ARTICLE I
OFFICERS
Section 1. PRINCIPAL OFFICE. The principal office for the transaction of
activities and affairs of the corporations is located at number One Whitecliffs Drive.
Newport Beach, in Orange County, California. The Board of Directors ("Board") Inay
change the principal office from one location to another. Any chaIlge of location of
principal office shall be noted by the secretary on these Bylaws opposite this section,
where this section may be amended to state the new location.
ARTICLE II
PURPOSES AND LIMITATIONS
Section 1. PURPOSE. The purpose of this corporation is to promote the health.
physical fitness and goodwill of the community through 01yn1pic-style rowing. kayaking,
and canoeinty.
Section'-). LIMITATIONS. Because of the commitment of the Newport Aquatic
Center to the benefit of the entire community through amateur, Olympic -style water
sports, no action shall be taken by the Newport Aquatic Center or its Board of Directors
that in any Nv'ay discriminates against any portion of the community based upon race.
color. creed, national origin, religion, political affiliation or sexual preference. Further,
the Newport Aquatic Center shall not involve itself, nor allow any of its property to be
used for political activity.

Ml'MBERS
Section 1. CLASSES AND QUALIFICATIONS. This corporation shall have
several classes of inembers, as established by the Board of Directors ("Board") from time
to time. Any person dedicated to the purposes ofthis corporation shall be eligible for

Section 4. TE'RNIINATION Of II MBERSI III3. A membership shall be terminated
on the occurrence of any of the folloNving events:

suspension and the reasons tier the proposed expulsion or suspension. Notice shall
be `liven by any' method reasonably calculated to provide actual notice. Any

the members last address as shown on. the corporation's records.
13. The member shall be given an opportunity to be heard, either orally or in writing,
at least five days betorc tiie eftectiVe date ofthe proposed Vxpulsiun ur
suspension. The hearing shall be held, or written statement considered, by the
Board or by a committee or person authorized by the Board to determine whether
expulsion or suspension should take place.
C. The Board, committee or person shall decide whether or not the member should
be suspended, expelled, or sanctioned in sonic other way. The decision of the
Board, committee, or person shall be final.
ARTICLI IV
DIRECTORS
Section 1. POWERS. Subject to the provisions and limitations of the California
Non -Profit Public Benefit Corporation Law and any other applicable laws, and subject to
the limitation of the Articles of Incorporation and BylaN s, the corporation's activities and
affairs shall be inanaued, and all corporate po«-ers shall be exercised, by or under the
direction ofthe Board.
Section 2. SPECIFIC POWERS. Without prejudice to the general powers set forth in
Article IV Section 1 of these Bylaws. but subject to the same limitations. the Directors
shall have the power to:
A. Appoint and remove, at the pleasure ofthe Board, all of the corporation's officers.
agents, and employees; prescribe powers and duties t( -)r them that are consistent
with the law. with the Articles of Incorporation, and with the Bylaws. and fix their
compensation.
13. Change the principal office or principal business office in California from one
location to another.
C. Establish classes of membership and a corresponding fee schedule for
membership dues.
1). Direct all ofthe financial matters faced by the corporation, including tett not
limited to borrowing money and incurring indebtedness on behalf of the
corporation, except that any vote of the Directors to borrow money or incur

Section 4. ELECTION OF DIRECTORS. Directors, including the Chairman, shall be
elected to the Board of Directors by written ballot of the Directors then in office.
Section S. TERM. Each Director shall serve a term of three years. One-third of the
active Directors shall be elected at each annual meeting of the members. The remaining
two-thirds of the Board of" Directors shall face reelection in the two successive years.
Section 6. VACANCIES ON THE BOARD. Vacancy or vacancies on the Board
shall exist on the occurrence of the following: (a) Death or resignation of any Director.
(b) The declaration by the resolution of the Board of a vacancy in the office of the
Director who has been declared of unsound mind by an order of the court, convicted of a
1elonv, been absent from four successive Board meetings, or found by final order of
judgment of any court to have breached a duty under Article 3 of Chapter ? of the
California non-profit public benefit corporation law and (c) removal of a Director by the
Board as is provided for herein.
Section 7. FILLING VACANCIES. Vacancies on the Board shall be filled by a
majority of the Directors then in office.
Section S. RESIGNATION AND REMOVAI;. Any Director or the Chairman of the
Board may resign from the Board of Directors at any time upon submitting a Written
resionation to the President. All such resignations shall be accepted. The. Chairman or
all\' Director May be removed from office, with or Nvithout cause, at any time upon a vote
o1'tN\'o-thirds of the Directors then in office at a meeting of the Board called for the
purpose of voting the removal of the Chairman or Director.
Section 9. MEETINGS. Regular mcCtiD-S of the Board of Directors shall be at such a
time and 111 such places as may be decided from time to time by the Board of Directors.
The Board shall meet at least once every year. Special meetings of the Board may be
called by the Chairman, or by any two Directors, and shall be held at a time and in a
place to be deterlllined by the Chairman in accordance «'ith law. Any meeting nlay be
closed by a majority vote of those present to exclude all but the Chairman, President,
Members of the Board, and those considered necessary x01' tilt transaction Of btlSilleSS by
the Board.
Section 10. MEETINGS BY'rELE,PIfONI . Any meeting may be held by conference
telephone or similar communication equipment, as long as the Directors participating in
the meeting can hear one another. All such Directors shall be deemed to be present in

Section 11. NOTICE. . Written notice of the time and place of any regular meeting
of the Board or Directors shall be sent to each Director not less than thirty ( 3 ) days prior

notice shall contain the agenda of the meeting and no other business shall be conducted.
Attendance at a meeting by a Director shall constitute Nvaiver of'notice. unless the
purpose of attending, stated in writing, is to protest lack of due and proper notice. A
Director may, also waive notice ill writing().
Section 12. COIN11'ENSATION. No Directors shall receive any compensation fof
his or her activities and service as a Director.
Section 13. QUORUM. Two thirds of the Directors then in office shall
constitute a Quorum for the transaction of business, except to adjourn. Subject to the
provisions of Article IV Section 2D, and Article IV, Section 16, every- action taken or
decision made by two thirds of the Directors present at a duly held meeting at which a
Quorum is present shall be the act of the Board. subject to the more stringent provisions
of the California Non-Profit Public Corporation Law existing from time to time.
Section 14. AGENDA. At any mecting ofthe Board. only those issues appearing
on the aocnda shall be discussed. An issue ma}- be placed on the agenda by any Director
who informs the Secretary in writing of the Director's wish to add an issue to the agenda
at least on month preceding? the meeting for which the agenda is being prepared. The
agenda shall be mailed to the Directors at least three weeks preceding the meeting to
which it pertains.
Section 15. WAIVER. 'fhe agenda requirements of Article IV. Section 14 can be
waived by the Board by a vote ol` ;/=f`1' of the Directors present at a meeting for which a
quorum is present.
Section 16. BOARD ACTIONS REQUIRING A TNN'O T1 [IRDS VOTE 01"
THE TO'T'AL NUNIBER OF DIRECTORS.
Two thirds of the total number of Directors then in office shall be required
concerning the filllowillu actions:
1. Dissolve the Corporation.
?. Changes to the Bylaws.
3. Commence litigation proceedings on behall'of the Corporation.
4. Changes to the authorized number of Directors, currently set at not
less than 8 and not more than 20.

ARTICLE, V
OFFICIRS
Section 1. APPOINTMENT. The officers and employees of the corporation shall
oe appointed by vole ol' the majority of the hoard.
Section I REMOVAL OF OFFICERS. NVithout prejudice to any rights of an
officer or employee under any contract ofemploynlent, any officer or employee may, he
removed xith or without cause by the Board, or by any officer on whorl the Board may
confer that power of removal.
Section I PRESIDENT, The Board of Directors shall elect one of its members to
act as president for a one year term. The president shall preside at Board meetings, and
shall enjoy all such povyers and duties as are conferred upon the President by the Board.
Section 4. SECRETARY. The Board of Directors shall elect one of its members
to act as Secretary of the corporation for a one year term. The Secretary shall keep or
cause to be kept, at the corporations principal office or such other place as the Board may
direct. a book of minutes of meetings, proceedings, and actions of the Board and of
committees of the Board. The minutes of the meetings shall include the time and place
that the meeting was held, whether the meeting was annual, regular, or special, and. it'
Special. how authorized, the notice given, and the names of those present at the Board and
committee. meetings. The Secretary shall keep or cause to be kept. at the principal office,
a copy of the Articles of Incorporation and Bylaws. as amended to elate.
Section 5. TREASURER. The Board of Directors shall elect one of its members
to act as Treasurer for a one year term. The Treasurer of the corporation shall be the chief
financial officer, responsible for the maintenance of adequate and correct books and
accounts of the corporations properties and transactions. The Treasurer shall send or
cause to be given to the Directors such financial statements and reports as are required to
be given by law. by these Bylavys, or by the Board. The books of account shall he open to
the inspection by any Director at all reasonable times.
ARTICLES VI
INDEMNIFICATION
Section 1. RIGI ITOF INDFI INT1Y. To the fullest extent permitted by law, this
corporation shall indemnify its Directors. officers, employees, all(] other persons
described in section _5238(a) ofthe C'alif'ornia Corporation's Code. including persons

I have received your additional request and comments.
Due to the current atmosphere surrounding the NAC Board of Directors activities, a response to you will necessarily
need to come from a lawyer representing the NAC since it involves an investigation into what occurred and how those
facts are interpreted based on the law in this area. There has been push back from other Board members regarding my
plan to have Snell and Wilmer respond to you on behalf of the NAC. Therefore, a response will have to wait until the
Board can agree on what lawyer will be authorized to prepare the response. This would be the only way to make sure
we get the analysis right the first time.

Good afternoon. I am following up on our previous communications as I have not yet received additional
information regarding my request for information. While I appreciate your diligence in seeking legal counsel, I
understand that your next Board Meeting is on October 3 and want to assure you that my personal request for
information could potentially be met at that meeting without the need for the NAC to incur any legal costs.
I would be satisfied if the entire Board reviewed the documents from the 1990 Membership vote to ensure that it
occurred and was conducted properly. While I am certain that you are all well -versed in the details of the bylaws, in
the interest of the Board's time, I took the liberty of putting together a list of the requirements as specified in the
1989 bylaws (I have also added my thoughts on what might constitute documentation that the board could
evaluate — it's certainly not an inclusive list, just a starting point off the top of my head):
• Notice of Meetings: A notice of place, date and hour of meeting needed to be posted at the NAC at least
30 days preceding said membership meeting [I understand it would be difficult to demonstrate that the
notice was made, but at minimum there should be a copy the agenda or notice in the records]
• Notice of Meetings: Same notice had to be mailed to members in the monthly issue of the NAC
immediately preceding membership meeting [a copy of the newsletter from October 1990 or earlier noticing
the meeting; there should also be a list of mailing list of members that newsletter was sent to]
• Quorum: Thirty-five percent of the voting power constitutes quorum [How many total members of NAC
were there on the day of the voting membership meeting? There should be documentation of membership.
How many members were present at the annual meeting? Is there a sign -in roster or other documentation
of attendees? Who verified that quorum was met?]
• Manner of Casting Votes: Voting may be by voice or ballot... [How was voting conducted? If by voice,
who counted? If by ballot, where's a copy of the ballot and a summary of the voting results?]
• Proxy: Each member entitled to vote shall have the right to do so either in person or by written proxy. [Was
a ballot mailed to all members given them the option to vote by proxy? Or was that option at least noticed
in the newsletter or posting? If a ballot was mailed, where's a copy? Who counted and verified votes? The
proxy may also be revoked if the member attended the voting meeting after all. How was it verified that no
one voted twice?]
The change from a member -based governance structure to one that specifically eliminates rights of all members
would have been very significant and I would also expect that there is documentation in Board or member meeting
minutes about why the change was being put to vote even before the voting meeting occurred.
While I do not have Jon's extensive legal experience, I believe that the question posed could easily be answered
by the Board: Did Membership vote on the bylaw changes in 1990, as required, and were all the requirements
outlined in the 1989 bylaws met (as supported by documentation)? Yes or no?
I look forward to a straightforward response to my request.

Responding to you today as I promised regarding your inquiry of Sept. 21, 2017 regarding
the NAC bylaws history and current status.
As a corporate law attorney with 40 years experience in counseling and litigation matters
involving profit and nonprofit corporations, I am fully capable of providing you with a clear,
complete, and reasoned legal response to your Inquiry.
However, the NAC has very highly competent and experienced corporate counsel, Snell and
Wilmer in Irvine, CA, and I believe it the better practice, as a client, to refer your inquiry to
them for a response. As soon as I receive that response, I will forward it to you for your
review.
There have been 4 sets of NAC bylaws, not two (1982, 1989, 1991, and 2014). The most
recent set of bylaws adopted in 2014 is the current, valid bylaws that govern the NAC. The
other 3 are not current and are not valid, as they have been revised and replaced in their
entirety.

Board of Directors:
I recently attended a couple of board meetings at the NAC to learn more about the organization. There was
a lot of discussion at the August 29, 2017 meeting regarding the return of the organization to a "member -
based" organization as well as whether or not youth members and/or their parents were eligible to vote or
be recognized as members. Since I was not familiar with the NAC's current or past governance structure, nor
the status of youth members, I requested a copy of the bylaws to educate myself.
I was provided with two versions of the bylaws and I am hoping you can provide clarification or additional
information.
Bylaws approved by the Board of Directors on October 4, 1989— Article II I Members specifies Classes and
Qualifications of members as well as Voting Rights and other terms of membership. The 1989 bylaws also
had attached a signed copy of the minutes for the meeting which specifically noted discussion and approval
of these amended bylaws. I have concluded that this is the "Member -based" governance structure
referenced at the August meeting.
Bylaws approved by the Board of Directors on November 14, 1990 — Article III Members is updated to
remove the Voting Rights of members. No copy of minutes were provided with this version of the bylaws so
I was unable to verify the specific action or how the vote was taken. I have concluded that this is the
"Director -based" governance structure currently in practice.
According to page 15, Article VIII, Section 1 of the October 4, 1989 bylaws, "The Board may adopt, amend,
or repeal bylaws unless the action would materially and adversely effect [sic] the members rights as to
voting." Since the November 14, 1990 bylaw amendments remove the Voting Rights of Members then this
would clearly affect members' rights to vote and, thus, my conclusion is that Members voted on this bylaw
revision (since it would otherwise not be a legally approved amendment).
According to page 15, Article VIII, Section 2 of the October 4, 1989 bylaws, "New bylaws may be adopted,
or these bylaws may be amended or repealed, by approval of the members at the annual meeting." So I
reference back to page 6, Article IV, Section 2 which states that "the annual meeting of the members shall

Based on the bylaws, I would expect that any material changes to the bylaws would have been voted on by
members at the Annual Meeting on Monday, May 7, 1990 (the annual meeting scheduled between October
4, 1989 when the existing board approved a "Member -based" governance and November 14, 1990 when
the "Director -based" governance structure was approved).
Since the "Director -based" bylaws indicate approval on Friday, November 14, 1990, then it seems that for
whatever reason the vote was delayed until November.
(Thanks for bearing with me through my thought process.)
So here's my request for information: Can you share documentation with me that November 14, 1990 was a
properly noticed (per Article IV, Section 3), member -based voting meeting attended by at least 35% of the
total voting membership (and that all other requirements outlined in Article IV were met) to confirm that
indeed the November 14, 1990 bylaw amendments are valid?
It seems to me that there's a lot of discussion about how to "get back" to a "Member -based" structure but I
wonder if that is even necessary as it seems unclear that the members ever voted to move away from a
Member structure.
While I would appreciate the opportunity to review the documentation myself, if you are unable to share
documentation directly with me, then I encourage you to review, as a Board, the information I requested to
ensure that the NAC is operating under legally -approved bylaws. And if, for whatever reason, the board has
been governing under non -approved bylaws, then I am confident that you will take immediate steps to
correct this error by returning to operations as specified in the approved 1989 bylaws.
I welcome your clarification of my conclusions or any additional information.

BYLAWS
OF
NEWPORT AQUATIC CENTER
A CALIFORNIA NON-PROFIT PUBLIC BENEFIT CORPORATION
ARTICLE I
OFFICES
Section 1. PRINCIPAL OFFICE. The principal office for
the transaction of activities and affairs of the corporation is
located at number One Whitecliffs Drive, Newport Beach, in Orange
County, California. The Board of Directors ("Board") may change
the principal office from one location to another. Any change of
location of principal office shall be noted by the secretary on
these bylaws opposite this section, where this section may be
amended to state the new location.
ARTICLE II
PURPOSES AND LIMITATIONS
Section 1. PURPOSE. The purpose of this corporation
is to promote the health, physical fitness and goodwill of the
community through Olympic style rowing, kayaking, and canoeing.
Section 2. LIMITATIONS.
Because of the commitment of the Newport Aquatic Center
to the benefit of the entire community through amateur, Olympic -
10 style water sports, no action shall be taken by the Newport
Aquatic Center, its Board of Directors or its members that in any
• way discriminates against any portion of the community based
upon, race, color, creed, national origin, religion, political
affiliation or sexual preferance. Further, the Newport Aquatic
Center shall not involve itself, nor allow any of its property to
be used for political activity.
ARTICLE III
MEMBERS
Section 1. CLASSES AND QUALIFICATIONS. This
corporation shall have several classes of members, as established
by the Board of Directors ("Board") from time to time. Any
person dedicated to the purposes of this corporation shall be
eligible for membership upon timely payment of such dues and fees
as the Board may fix from time to time.
Section 2. VOTING RIGHTS. All adult annual members in
good standing shall have the right to vote, as set forth in these
bylaws, on the election of directors, on the disposition of all
or substantially all of the corporations assets, on any merger
and its principal terms and any amendment of those terms, and on
any election to dissolve the corporation. In addition, those
members shall have all rights afforded members under the
California non-profit public benefit corporation law.

Section 3. DUES. Each member must pay, within the
time and on the conditions set by the Board, the dues, fees and
assessments in amounts to be fixed from time to time by the
Board. The Board may, in its discretion, set different dues,
fees, and assessments for each class of membership established by
the Board.
Section 4. GOOD STANDING. Those members who have paid
their required dues, fees, and assessments in accordance with
these bylaws and who are not suspended shall be members in good
standing.
Section 5. TERMINATION OF MEMBERSHIP. A membership
shall be terminated on the occurrence of any of the following
events:
A. Resignation of the member, on reasonable notice to
the corporation;
B. Expiration of the period of the membership, unless
the membership is renewed on the renewal terms fixed by the
Board;
C. Failure of the member to pay dues, fees, or
assessments as set by the Board within thirty days after they
ahave become due and payable;

D. Expulsion of a member under Article III, Section 6
of these bylaws based on the good faith determination by the
Board, or a committee or person authorized by the Board to make
such a determination, that the member has failed in a material
and serious degree to observe the rules of conduct for the
corporation established by the Board, or has engaged in conduct
material and seriously prejudicial to the purposes and interest
of the corporation.
E. Suspension of membership. A membership may be
suspended under Article III, Section 6 of these bylaws, based
upon a good faith determination of the Board, or a committee or
person authorized by the Board to make such a determination, that
the member has failed in a material and serious degree to observe
the corporation's rules of conduct, or has engaged in conduct
materially and seriously prejudicial to the purposes in the
interest to the corporation.
F. Interim Suspension. Pending the hearing described
in Article III, Section 6 a membership may be summarily
suspended, based upon a good faith determination of the Board, or
a committoo or person authorized by the Board to make such a
determination, that the member has failed in a material and
serious degree to observe the corporation's rules of conduct, or
has engaged in conduct materially and seriously prejudicial to
• the purposes in the interest to the corporation.

G. A persons whose membership is suspended pursuant to
this section shall not be a member during the period of
suspension.
Section 6. PROCEDURE FOR EXPULSION OR SUSPENSION. If
grounds appear to exist for expulsion or suspension of a member
under Article III, Sections 5 D or E of these bylaws, the
procedure set forth below shall be followed:
A. The member shall be given 15 days prior notice of
the proposed expulsion or suspension and the reasons for the
proposed expulsion or suspension. Notice shall be given by any
method reasonably calculated to provide actual notice. Any
• notice given by mail shall be sent by first class - Return
•
Receipt Requested - to the members last address as shown on the
corporation's records.
B. The member shall be given an opportunity to be
heard, either orally or in writing, at least five days before the
effective date of the proposed expulsion or suspension. The
hearing shall be held, or written statement considered, by the
Board or by a committee or person authorized by the Board to
determine whether expulsion or suspension should take place.

• C. The Board, committee or person shall decide whether
or not the member should be suspended, expelled, or sanctioned in
some other way. The decision of the Board, committee, or person
shall be final.
Section 7. TRANSFER OF MEMBERSHIPS. No membership or
right arising from the membership shall be transferable.
ARTICLE IV
MEETINGS OF THE MEMBERS
Section 1. MEETINGS. Meetings of the members shall be
held at the corporation's principal place of business, number One
• Whitecliff Drive, Newport Beach, California.
Section 2. ANNUAL MEETING. The annual meeting of the
members shall be held on the first Monday of May of each year at
7:30 p.m., unless the Board fixes another date or time and so
notifies the members as provided in Article IV, Section 3 of
these bylaws.
Section 3. -NOTICE OF MEETINGS. Notice of the place,
date and hour for the annual meeting or any other meeting called
by the Board, shall be (1) posted at the regular business offices
of the Newport Aquatic Center, at least 30 days preceding said
• membership meeting, and (2) mailed to the members in the issue of
the monthly Newport Aquatic Center newsletter immediately
proceedings said membership meeting.

Section 4. QUORUM. Thirty-five percent of the voting
power shall constitute a quorum for the transaction of business
at any meeting of the members.
Section 5. ELIGIBILITY TO VOTE. Subject to the
provisions of the California non-profit public benefit
corporation law, all annual adult members in good standing as of
the date of mailing of the notice of any such meeting shall be
eligible to vote.
Section 6. MANNER OF CASTING VOTES. Voting may be by
voice or ballot, except that any election of directors must be by
ballot if demanded by any member at any meeting before the voting
begins.
Section 7. VOTING. Each member entitled to vote shall
be entitled to cast one vote on each matter submitted to the vote
of the members.
Section 8. APPROVAL BY MAJORITY VOTE. If a quorum is
present, the affirmative vote of a majority of those members
• voting at the meeting, shall be the act of the members, unless a

• vote of a greater number is required by the California non-profit
public benefit corporation law or by the articles of
incorporation.
Section 9. WAIVER OF NOTICE. A member's attendance at
a meeting shall constitute a waiver of any defect in the notice
of that meeting, unless the member objects at the beginning of
the meeting to the transaction of any business because the
meeting was not lawfully called or convened.
Section 10. PROXY. Each member entitled to vote shall
have the right to do so either in person or by a written proxy,
signed by the person and filed with the secretary of the
• corporation. The proxy may be revoked by the member granting
said proxy, by either, (1) written remuneration, or (2)
attendance at the meeting for which the proxy was intended.
ARTICLE V
DIRECTORS
Section 1. POWERS. Subject to the provisions and
limitations of the California Non -Profit Public Benefit
Corporation Law and any other applicable laws, and subject to the
limitations of the articles of incorporation and bylaws regarding
actions that require approval of the members, the corporations
activities and affairs shall be managed, and all corporate powers
• shall be exercised, by or under the direction of the Board.

Section 2. SPECIFIC POWERS. Without prejudice to the
general powers set forth in Article V, Section 1 of these bylaws,
but subject to the same limitations, the directors shall have the
power to:
A. Appoint and remove, at the pleasure of the Board,
all of the corporation's officers, agents, and employees;
prescribe powers and duties for them that are consistent with the
law, with the articles of incorporation, and with the bylaws; and
fix their compensation.
B. Change the principal office or principal business
office in California from one location to another.

C. Establish classes of membership and a corresponding
fee schedule for membership dues.
D. Direct all of the financial matters faced by the
corporation, including but not limited to borrowing money and
incurring indebtedness on behalf of the corporation, except that
any vote of the directors to borrow money or incurr indebtedness
must be approved by at least 3/4ths of the directors.
E. Establish rules of conduct for the corporation and
its members.

Section 3. NUMBER OF DIRECTORS. Board of Directors
shall consist of at least 8 but no more than 20 directors until
changed by amendment to these bylaws. The exact numbers of
directors shall be fixed, within those limits, by a resolution
adopted by the Board of Directors. Qualifications for directors
are; (1) membership in good standing in the Newport Aquatic
Center; (2) A demonstrated, active interest in the health and
welfare of the community through Olympic -style rowing, kayaking,
and canoeing.
Section 4. TERM. Each director shall serve a term of
three years. One-third of the active directors shall be elected
at each annual meeting of the members. The remaining two-thirds
• of the Board of Directors shall face reelection in the two
successive years.
Section 5. VACANCIES ON THE BOARD. Vacancy or
vacancies on the Board shall exist on the occurrence of the
following: (a) Death or resignation of any director; (b) The
declaration by the resolution of the Board of a vacancy in the
office of the director who has been declared of unsound mind by
an order of the court, convicted of a felony, been absent from
four successive Board meetings, or found by final order of
judgment of any court to have breached a duty under Article 3 of
Chapter 2 of the California non-profit public benefit corporation
law; and (c) the vote of the members to remove a director from
• the Board.

• Section 6. FILLING VACANCIES. Except for a vacancy
created by the removal of a director by the members, vacancies on
the Board may be filled by a majority of the directors then in
office.
Section 7. DIRECTORS' MEETINGS. Meetings of the Board
shall be held at any place within or outside California that has
been designated by the Board. The time and place set for any
meeting of the directors shall be made available to all members
as well as the general public through the business office of the
corporation.
Section 8. MEETINGS BY TELEPHONE. Any meeting may be
held by conference telephone or similar communication equipment,
as long as the directors participating in the meeting can hear
one another. All such directors shall be deemed to be present in
person at such meeting.
Section 9. COMPENSATION. No directors shall receive
any compensation for his or her activities and service as a
director.
Section 10. QUORUM. A majority of the authorized
number of directors shall constitute a quorum for the transaction
of business, except to adjourn. Subject to the provision of
• Article V, Section 2D, every action taken or decision made by a
majority of the directors present at a duly held meeting at which

• a quorum is present shall be the act of the Board, subject to the
more stringent provisions of the California Non -Profit Public
Benefit Corporation Law.
Section 11. AGENDA. At any meeting of the Board, only
those issues appearing on the agenda shall be discussed. An
issue may be placed on the agenda by any director who informs the
Secretary in writing of the directors wish to add an issue to the
agenda at least one month preceeding the meeting for which the
agenda is being prepared. The agenda shall be mailed to the
directors at least three weeks preceeding the meeting to which it
pertains.
• Section 12. WAIVER. The agenda requirements of
Article V, Section 11 can be waived by the Board by a vote of
3/4ths of the directors present at a meeting for which a quorum
is present.
ARTICLE VI
OFFICERS

Section 1. APPOINTMENT. The officers and employees of
the corporation shall be appointed by vote of the majority of the
Board.

• Section 2. REMOVAL OF OFFICERS. Without prejudice to
any rights of an officer or employee under any contract of
employment, any officer or employee may be removed with or
without cause by the Board, or by any officer on whom the Board
may confer that power of removal.
Section 3. PRESIDENT. The Board of Directors shall
elect one of its members to act as president for a one year term.
The President shall preside at all member and Board meetings, and
shall enjoy all such powers and duties as are conferred on the
President by the Board.
Section 4. SECRETARY. The Board of Directors shall
aelect one of its member to act as Secretary of the corporation
for a one year term. The Secretary shall keep or cause to be
kept, at the corporations principal office or such other place as
the Board may direct, a book of minutes of meetings, proceedings,
and actions of the Board, of committees of the Board, and of
members meetings. The minutes of the meetings shall include the
time and place that the meeting was held, whether the meeting was
annual, regular, or special, and, if special, how authorized, the
notice given, the names of those present at the Board and
committee meetings, and the number of members present or
represented at the members' meetings. The Secretary shall keep
or cause to be kept, at the principal office, a copy of the
. articles of incorporation and bylaws, as amended to date.

iSection 5. TREASURER. The Board of Directors shall
elect one of its members to act as Treasurer for a one year term.
The Treasurer of the corporation shall be the chief financial
officer, responsible for the maintenance of adequate and correct
books and accounts of the corporations properties and
transactions. The Treasurer shall send or cause to be given to
the members and directors such financial statements and reports
as are required to be given by law, by these bylaws, or by the
Board. The books of account shall be open to the inspection by
any director at all reasonable times.
ARTICLE VII
INDEMNIFICATION
Section 1. RIGHT OF INDEMNITY. To the fullest extent
permitted by law, this corporation shall indemnify its directors,
officers, employees, and other persons described in section
5238(a) of the California Corporation's Code, including persons
formally occupying any such positions, against all expenses,
judgments, fines, settlements and other amounts actually and
reasonable incurred by them in connection with any "proceeding",
as the term is used in that section, and including an action by
or in the right of the corporation, by reason of the fact that
the person is or was a person described in that section.
"Expenses" as used in this by-law, shall have the same meaning as
0 section 5238(a) of the California Corporations code.

Section 2. INSURANCE. The corporation shall have the
right to purchase and maintain insurance to the fullest extent
permitted by law on behalf of its officers, directors, employees,
and other agents, against any liability asserted against or
incurred by any officer, director, employee, or agent in such
capacity or arising out of the officers, directors, employees or
agents status as such.
ARTICLE VIII
Section 1. AMENDMENTS BY THE BOARD. The Board may
adopt, amend, or repeal bylaws unless the action would materially
and adversely effect the members rights as to voting. The Board
may not extend the term of a director beyond that for which the
director was elected.
Section 2. AMENDMENTS BY MEMBERS. New bylaws may be
adopted, or these bylaws may be amended or repealed, by approval
of the members at the annual meeting.

may be called by the Chairman, or by any two Directors, and shall
be held at a time and in a place to be determined by the Chairman
in accordance with law. Any meeting may be closed by a majority
vote of those present to exclude all but the Chairman, President,
Members of the Board, and those considered necessary for the
transaction of business by the Board.

Section 10. MEETINGS BY TELEPHONE. Any meeting may be held
by conference telephone or similar communication equipment, as lox
as the Directors participating in the meeting can hear one another
All such Directors shall be deemed to be present in person at such
meeting.
Section 11. NOTICE. Written notice of the time and place of
any regular meeting of the Board or Directors shall be sent to eac;
Director not less than thirty (30) days prior to the meeting.
- Notice of a special meeting shall be at lest four (4) days in
advance of the meeting if sent by first class mail or 48 hours in
advance if given by telephone. Such notice shall contain the
agenda of the meeting and no other business shall be conducted.
Attendance at a meeting by a Director shall constitute waiver of
notice, unless the purpose of attending, stated in writing, is to
protest lack of due and proper notice. A Director may also waive
notice in writing.
Section 12. COMPENSATION. No Directors shall receive any
compensation for his or her activities and service as a Director.
Section 13. QUORUM. A majority of the authorized number of
Directors shall constitute a quorum for the transaction of

business, except to adjourn. Subject to the provision of Article
IV, Section 2D, every action taken or decision made by a majority
of the Directors present at a duly held meeting at which a quorum
is present shall be the act of the Board, subject to the more
stringent provisions of the California Non -Profit Public Benefit
Corporation Law.
Section 14. AGENDA. At any meeting of the Board, only those
issues appearing on the agenda shall be discussed. An issue may be
placed on the agenda by any Director who informs the Secretary in
writing of the Director's wish to add an issue to the agenda at
least one month preceding the meeting for which the agenda is being
prepared. The agenda shall be mailed to the Directors at least
three weeks preceding the meeting to which it pertains.
Section 15. WAIVE. The agenda requirements of Article IV,
Section 14 can be waived by the Board by a vote of 3/4th of the
Directors present at a meeting for which a quorum is present.
ARTICLE V
OFFICERS
Section 1. APPOINTMENT. The officers and employees of the
corporation shall be appointed by vote of the majority of the
Board.

Section 2. REMOVAL OF OFFICERS. Without prejudice to any
rights of an officer or employee under any-contract of employment,
any officer or employee may be removed with or without cause by the
Board, or by any officer on whom the Board may confer that power of
removal.
Section 3. PRESIDENT. The Board of Directors shall elect one
of its members to act as president for a one year term. The
President shall preside at Board meetings, and shall enjoy all such
powers and duties as are conferred upon the President by the Board.
Section 4. SECRETARY. The Board of Directors shall elect one
of its members to act as Secretary of the corporation for a one
year term. The Secretary shall keep or cause to be kept, at the
corporations principal office or such other place as the Board may
direct, a book of minutes of meetings, proceedings, and actions of
the Board and of committees of the Board. The minutes of the
meetings shall include the time and place that the meeting was
held, whether the meeting was annual, regular, or special, and, if
special, how authorized, the notice given, and the names of those
present at the Board and committee meetings. The Secretary shall

keep or cause to be kept, at the principal office, a copy of the
Articles of Incorporation and Bylaws, as amended to date.
Section 5. TREASURER. The Board of Directors shall elect one
of its members to act as Treasurer for a one year term. The
Treasurer of the corporation shall be the chief financial officer,
responsible for the maintenance of adequate and correct books and
accounts of the corporations properties and transactions. The
Treasurer shall send or cause to be given to the Directors such
financial statements and reports as are required to be given by
law, by these Bylaws, or by the Board. The books of account shall
be open to the inspection by any Director at all reasonable times.
ARTICLE VI
INDEMNIFICATION
Section 1. RIGHT OF INDEMNITY. To the fullest extent
permitted by law, this corporation shall indemnify its Directors,
officers, employees, and other persons described in section 5238(a)
of the California Corporation's Code, including persons formally
occupying any such positions, against all expenses, judgment,
fines, settlements and other amounts actually and reasonably
incurred by them in connection with any "proceeding", as the term
is used in that section, and including any action by or in the
right of the corporation, by reason of the fact that the person is

or was a person described in that section. "Expenses" as used in
this Bylaw, shall have the same meaning as section 5238(a) of the
California Corporations Code.
Section 2. INSURANCE. The corporation shall have the right
to purchase and maintain insurance to the fullest extent permitted
by law on behalf of its officers, Directors, employees, and other
agents, against any liability asserted against or incurred by any
officer, Director, employee, or agent in such capacity or arising
out of the officers, Directors, employees or agents status as such.
ARTICLE VII
AMENDMENTS
AMENDMENTS BY THE BOARD. The Board may adopt, amend, or
repeal Bylaws.

• My name is Meredith Cagle. I am a Newport Beach resident.
• I am concerned about the governing body of the Newport Beach Aquatic Center and ask
that the City of Newport Beach - as the NAC's landlord - investigate the numerous
allegations of misconduct by the organization's leadership.
• Over the years, my family and I have enjoyed the facilities and activities at the NAC - first
through kayak rentals, then as NAC members, and most recently because my two
daughters participate on NAC teams.
• My husband and I have also supported the NAC through volunteering and financial
donations.
• In July 2017, 1 attended my first board meeting at the NAC. At that and the next meeting,
there was a lot of discussion regarding the return of the NAC to a "member -based"
organization. Since I was not familiar with the NAC's current or past governance
structure, I tracked down the bylaws to educate myself.
• After reviewing them, I had questions. The most concerning issue in the bylaws was that
in 1989, adult members of the NAC were granted the right to participate in the election of
board members annually and to approve any changes to the bylaws that would affect
their rights.
-months later, a new set of bylaws was created that specifically removed
members' rights.
• My concern was, those new bylaws aren't valid unless the members voted on them.
• So I contacted the Board of directors and shared my concern. I asked that they review
their records and confirm that the required procedural steps had been taken.
• One of the board members responded; he indicated that they needed to seek legal
counsel to give me an answer, and to be patient.
• That was more than 15 months ago. (And incidentally, before any lawsuits had been filed
at the NAC).
• It is extremely concerning to me that the governing board of a public, non-profit
organization isn't able to answer a very straightforward question about the bylaws.
• 1 believe they know the answer -- that is, members never voted away their rights -- but to
acknowledge that wouldn't allow the four current board members to continue to hold the
NAC hostage. [It's important to note that the board is currently operating with only four
members - not the minimum 8 required by bylaws - and all of them have far exceeded
their three year terms. One board member has served 30 years!]
• I - along with many others - have tried to get answers. But the Board won't provide them.
• So I'm here to ask for your help.
• The bylaws are only one issue. The allegations of unethical, illegal and potentially
criminal activities that have been made against the NAC leadership are more than a little
concerning. As the organization's landlord, you are uniquely positioned to demand those
answers. Please investigate and if you find that the activities of the organization are at
odds with your lease agreement, require that new leadership be put in place to fix it.
• The Newport Aquatic Center and the many programs it provides is an important
community asset. I don't want to see it go away. I just want it to operate legally so it can
continue to serve the community for many years.

I'm here to talk to you about another example of wrongdoing by the people
who run the Newport Aquatic Center. This is a good one. I hope you enjoy.
The Executive Director of the NAC built a makeshift dock, with a motor mount
and registered it as a vessel with the DMV (CF 8055 ZC). As you can see
from the above picture, he is not even paying for the registration to keep it
current. This illegal dock, which has been there for at least 4 tears, is without
proper approvals from the City of Newport Beach and any other agencies that
govern the docks in our bay.
It gets crazier... For over a year, the NAC Executive Director has stored a
fake light pole, made by his brother-in-law. (see LA Times Article November 5,
2017). Which brings up another question... Was the fake light pole made and
painted at the NAC? If so, sounds like more violations and environmental
issues to me.
In the pictures, the base of this light pole is rusting in the bay. Environmental
issue #2?
Additionally, the light pole is unsafely strapped to this makeshift dock and
substantially too large for the dock.
What if every Newport Beach dock owner did this? Duffy, you own a business
on the water, I've rented from your company. I've seen how you use every
inch of dock space to store you rental boats. I bet you would love an extra 25
feet of free dock space. So maybe you should just strap one on!
believe this type of storage and the makeshift dock to be clear violations of
the Condition Use Permit spelled out in the City's lease to the NAC. I assume
the Coastal Commission and potentially other governing bodies are going to
have issue with this method of doing business and storage as well.
Again, this is just another clear example of the wrongdoing that continues to
happen every day at the NAC.
I'm asking you to make a motion tonight to investigate the NAC and if you find
evidence of wrongdoing, you must use the remedies spelled out in you lease
to ensure this organization is run by people who will act in accordance to the
law.

announced it would not be ready in time for this weekend's Art & Nature festival.
In consultation with state resource agencies, the California Coastal Commission directed the museum to cancel the
proposed temporary installation, titled "Seascape," while environmental concerns and issues are addressed,
museum officials said.

"As you can imagine, we were in unfamiliar regulatory territory with this particular piece," Malcolm Warner, the
museum's executive director, said in a statement Friday. "The museum will continue to work with the Coastal
Commission and the relevant agencies in Sacramento in the hope that there will be a future opportunity to display
'Seascape."'
The city's Community Development Director Greg Pfost said that the city received calls from the California Ocean
Protection Council, State Lands Commission and California Fish and Game Commission.
Those agencies were concerned that because the streetlight was to float in a marine protected area, it could affect
the environment and sea life, Host said.
A call and email to the Coastal Commission seeking further details were not immediately returned Friday.
"Seascape," created by artist Pablo Vargas Lugo, was scheduled to be one of the attractions of the fifth annual Art
& Nature festival, which includes special exhibitions, lectures, panel discussions, films and family activities.
The other programs and events will remain on schedule, museum officials said. The festival ends Sunday.
Museum officials postponed installing "Seascape" on Thursday after engineers with the Newport Beach firm
Morrelli & Melvin Design and Engineering Inc. said it would be unsafe to lift the streetlight into a vertical position
without help from a crane.
The streetlight, made of fiberglass and foam, is attached to a buoy, which contains a 400 -pound ballast. It was
scheduled to be in place through Nov. 16 about 200 yards offshore.
Pfost told the Pilot on Wednesday the proposed installation satisfied the Coastal Commission, which granted
"Seascape" a temporary event permit.
He said Friday that he will continue working with the state agencies to address their concerns and hopes to install
the piece at a later date.

For the fifth edition of Art & Nature, Pablo Vargas Lugo chose to bring the intervention sponsored annually by the
museum into the waters of the Pacific Ocean. "The piece acknowledges the origins of Laguna Beach as a haven for
plein air painters and its character as a city whose imagination remains firmly set on the seas in spite of the vast
urban sprawl of southern California," the artist remarks. "The ever-changing seascape and a familiar element of
urban infrastructure and growth, the streetlight, will come together, pinpointing a small section of the ocean as a
seascape under observation and reminding viewers of the shifting conditions under which development and our
future are taking form."

• I'm Chrissie Emmel, a resident of Newport Beach and volunteer and parent at the
NAC
• I wanted to bring to your attention the fact that the NAC management is requiring
the kids in the Junior Rowing program to fundraise under false pretenses. As I
said the last time I spoke to you, my family, especially my 14 year old daughter,
is at risk of retaliation by my being here and talking to you.
• I'd like to show you the document from the 2018-2019 Junior Rowing Enrollment
Packet that states that our $4,100.00 annual dues includes our coaching
expenses.
• Just 3 months ago, in October 2018, the NAC management announced that they
were putting together a Letter Writing Fundraising Campaign. They instructed the
kids and families to provide 12-20 addresses of "grandparents, godparents,
dentists, orthodontists and other special people" to send the letters to. I'd like to
show you the form letter generated by the NAC management that the kids were
told to send to their special people which states that "the money raised will be
used to pay for our amazing coaches."
• When this letter became available, many people, including coaches, brought this
false statement to the attention of the President of the Board, Dr. Grant,
cautioning him that this statement was a lie and it would be unethical for the kids
to send the letter out. Dr. Grant and the NAC management decided to require the
kids to send the letter anyway.
• Having been told that participation in the fundraising campaign was mandatory,
you can imagine how uncomfortable my 14 year old was when my husband and I
told her that she wasn't allowed to send the letter out to any of our "friends and
family." She was told by the current Director of Junior Rowing that if she didn't
participate, her parents would have to pay the very expensive $500 Parent
Buy -Out.
• I find it horrific that our kids are being used as pawns in the NAC managements'
fraudulent actions. This should be ample evidence that the NAC management
will continue to do wrong since no one is able to hold them accountable and they
obviously are not holding themselves accountable.
• Once again, I'm asking for your help. The current management and Board are
self serving and have demonstrated that they do not have our children's best
interests at heart and are in fact forcing them to participate in their corrupt
behavior.
The remaining board members' three year term limits have long expired. One
board member has been seated for over 30 years. Another 2 have been there 15
and 20 years. Why have they embedded themselves and refused to step aside to
let new Board members bring fresh ideas and expertise to the organization?
What are they hiding? It's a real mystery and we need your help solving it.
• In the past, the Board and Executive Director have relied on the fact that the
parents and athletes age out of the programs and give up the fight against the
illegal actions of the NAC management and Board. This current group is
different. We aren't going anywhere.
• We're asking you to make a motion to investigate the NAC, and if you find
evidence of wrongdoing, please use the remedies spelled out in your lease to
ensure our community center has a governing body we can trust and leadership
our kids can respect and look up to.

NAC varsityteams have won US Junior National Championships5 times since 1996. Each year, many of
ourgraduating seniors are recruited and signed at thetop universities in thecountry.

other equ ipmentth atwe need to remain safe and competitive. Also, thisyearwe continue ourcommunity
outreach and scholarship commitment Someofthe money raisedwill provide both summercamp and
competitive rowing opportunities to youth who otherwise could notafford these opportunities. We
currently have over200 high school age boys and girls that train here at the Newport Aquatic Center.

Fundraiser - For 2018-19 the team will do a letter writing campaign to raise
money for the team. The letter writing campaign will have a kick-off event on
10-12 when the Women's team will write their letters and kick off the
fundraiser. What we require from the parents/families are 12 to 20 addresses

addition to letters and an on-line and check method of donating will be
