MEMORANDUM OF LEASE
v This is the Memorandum of Lease dated this 7 day of
//// , 1998, between the City of Newport Beach, a

municipal corporation, and Charter City (hereinafter "Lessor") and
the Bahia Corinthian Yacht Club, a California, non-profit
corporation (hereinafter "Lessee"), concerning those tidelands
described in Exhibit "A" and depicted on the map attached hereto as
Exhibit "B" and incorporated herein by this reference.
For good and adequate consideration, Lessor leases the
premises to Lessee, and Lessee hires them from Lessor, under the
terms and conditions contained in the Lease ("Lease") and First
Amendment to Lease ("Amendment") which are incorporated in this
Memorandum of Lease by this reference.
The term is thirty-five (35) years, commencing on
7 799,- and ending on the date which is thirty-
five 35) years after such commencement date, if not sooner
terminated pursuant to the terms thereof.
This Memorandum of Lease is not a complete summary of the
Lease and Amendment. Provisions in the Memorandum of Lease shall
not be used in interpreting the Lease or Amendment provisions. In
the event of conflict between the Memorandum of Lease, and the
Lease or Amendment, the Lease and Amendment shall control.
