(Contract No. 7539-2) ABSTRACT: Staff requests City Council approval to amend a Professional Services Agreement (PSA) with Psomas Engineering, Inc. for design engineering services. The amended agreement includes an expanded valve replacement scope and increases the not -to -exceed amount by $82,848.00 for the additional work. RECOMMENDATION: a) Determine this action is exempt from the California Environmental Quality Act (CEQA) pursuant to Sections 15060(c)(2) and 15060(c)(3) of the CEQA Guidelines because this action will not result in a physical change to the environment, directly or indirectly; b) Approve Amendment No. 1 to Psomas Engineering, Inc.'s PSA, to add $82,848.00 to the current contract for a total not -to -exceed amount of $264,868.00; and c) Authorize the Mayor and City Clerk to execute the amendment. FUNDING REQUIREMENTS: The current adopted CIP budget includes sufficient funding for this Amendment. It will be expensed to account No. 70201931-980000-18W12 (Water Capital Distribution and Piping). DISCUSSION: On September 24, 2019, City Council approved Professional Services Agreement with Psomas Engineering, Inc. to provide design engineering services for the Water Transmission Main Valve Replacement — Phase 2 and Alta Vista Regulating Station Relocation project. 9-1 Water Transmission Main Valve Replacement — Phase 2 & Alta Vista Regulating Station Relocation Project (18W12 & 19W13) — Amendment No. 1 to Professional Services Agreement with Psomas Engineering, Inc. (Contract No. 7539-2) March 24, 2020 Page 2 This project replaces large diameter water transmission main valves identified in the Water Master Plan. These are older deteriorated valves located on large diameter transmission mains (12 -inch through 30 -inch) that were installed in the 1960s and used to isolate sections of the water system for maintenance and operations. These valves have outlived their design life and are now due to be replaced. This project's original scope replaced fourteen valves located along Jamboree Road, Newport Boulevard, East Coast Highway and at the Big Canyon Reservoir. In addition, the project included the Alta Vista Regulating Station Relocation replacement project that relocates an existing station located on Jamboree Road in the center median close to Ford Road. The current location is in a high-speed traffic area that also is flooded by irrigation of the median. Relocation to 2615 Basswood Street (adjacent to Blue Heron Park) will lower maintenance costs, eliminate flooding and improve access for operations. The project design is nearing completion; however, construction will not be possible until late fall due to the summer peak water demand period. Taking this slight delay as an opportunity, staff recently requested a proposal from Psomas to provide professional design engineering services so as to include seven additional deteriorated valves that need replacement that were planned for next fiscal year (Phase 3). The additional project scope of services will include the abandonment of an existing 10 -inch water main located on Jamboree Road between East Coast Highway and Back Bay Drive that is now unnecessary due to system modifications. The Phase 3 additional valve replacements are located at Big Canyon Reservoir, 15th Street, San Miguel Drive and East Coast Highway and identified in the Water Master Plan. By advancing the design for the above-mentioned work to take advantage of no summer work, Phase 2 and 3 can be completed together at a substantial cost savings to the City. In addition, the Phase 3 work will be completed sooner than planned. The larger Phase 2 and 3 bid package can still be completed this summer and meet the planned construction window for later this year once the high water usage season ends. Given the scope to design seven additional value replacements as requested, staff believes that the $82,848 fee is in the same cost per valve range as the original 14 valves. ENVIRONMENTAL REVIEW: Staff recommends the City Council find this action is not subject to the California Environmental Quality Act (CEQA) pursuant to Sections 15060(c)(2) (the activity will not result in a direct or reasonably foreseeable indirect physical change in the environment) and 15060(c)(3) (the activity is not a project as defined in Section 15378) of the CEQA Guidelines, California Code of Regulations, Title 14, Chapter 3, because it has no potential for resulting in physical change to the environment, directly or indirectly. 9-2 Water Transmission Main Valve Replacement — Phase 2 & Alta Vista Regulating Station Relocation Project (18W12 & 19W13) — Amendment No. 1 to Professional Services Agreement with Psomas Engineering, Inc. ONE TO PROFESSIONAL SERVICES AGREEMENT ("Amendment No. One") is made and entered into as of this 24th day of March, 2020 ("Effective Date"), by and between the CITY OF NEWPORT BEACH, a California municipal corporation and charter city ("City"), and PSOMAS, a California corporation ("Consultant"), whose address is 3 Hutton Centre Drive, Suite 200, Santa Ana, California 92707, and is made with reference to the following: RECITALS A. On September 24, 2019, City and Consultant entered into a Professional Services Agreement ("Agreement") for professional engineering design services for the Transmission Main Valve Replacement - Phase 2 and Alta Vista Regulator Relocation Project ("Project"). B. The parties desire to enter into this Amendment No. One to reflect additiona Services not included in the Agreement, and to increase the total compensation. NOW, THEREFORE, it is mutually agreed by and between the undersigned parties as follows: 1. SERVICES TO BE PERFORMED Exhibit A to the Agreement shall be supplemented to include the Scope of Services, attached hereto as Exhibit A and incorporated herein by reference ("Services" or "Work"). Exhibit A to the Agreement and Exhibit A to this Amendment No. One shall collectively be known as "Exhibit A." The City may elect to delete certain Services within the Scope of Services at its sole discretion. 2. COMPENSATION TO CONSULTANT Exhibit B to the Agreement shall be supplemented to include the Schedule of Billing Rates, attached hereto as Exhibit B and incorporated herein by reference ("Services" or "Work"). Exhibit B to the Agreement and Exhibit B to this Amendment No. One shall collectively be known as "Exhibit B." Section 4.1 of the Agreement is amended in its entirety and replaced with the following: "City shall pay Consultant for the Services on a time and expense not -to - exceed basis in accordance with the provisions of this Section and the Schedule of Billing Rates attached hereto as Exhibit B and incorporated herein by reference. Consultant's compensation for all Work performed in accordance with this Agreement, including all reimbursable items and subconsultant fees, shall not exceed Two Hundred Sixty Four Thousand Eight Hundred Sixty Eight Dollars and 001100 ($264,868.00), without prior 9-5 written authorization from City. No billing rate changes shall be made during the term of this Agreement without the prior written approval of City." The total amended compensation reflects Consultant's additional compensation for additional Services to be performed in accordance with this Amendment No. One, including all reimbursable items and subconsultant fees, in an amount not to exceed Eighty Two Thousand Eight Hundred Forty Eight Dollars and 001100 ($82,848.00). 3. INTEGRATED CONTRACT Except as expressly modified herein, all other provisions, terms, and covenants set forth in the Agreement shall remain unchanged and shall be in full force and effect. The work includes abandonment of a 10 -inch DIP water main in Jamboree Road from PCH to Back Bay Drive and connection of the existing 12 -inch ACP and 10 -inch DIP water mains to the existing 30 -inch RCSCP water main at the intersection of Jamboree Road and Back Bay Drive. Install new electronic actuator and demolish the existing hydraulic lines. • Replace 36 -inch influent/effluent by-pass BFV. Install new electronic actuator and demolish the existing hydraulic lines. • Demolish hydraulic pump and associated electrical. • Replace 30 -inch BFV valve on the Zone 2 effluent line. • Replace 12 -plus feet of 30 -inch and 12 -plus feet of 48 -inch effluent steel pipe coming out of the basement. • Work at the BCR control building excludes structural engineering. 15th and Irvine Ave • Valve # N07094 • Remove vault and replace 18 -inch BFV with a new 30 -inch BFV. Consultant shall reconcile any discrepancies noted to finalize the base maps for each valve location. A topographic survey is not included in this additional scope of services, and as such, the accuracy of the drawings will be commensurate with the availability and accuracy of existing record drawings. This additional work will be included in the 100% PS&E review submittal. PSOMAS Page A-2 9-9 Consultant anticipates submitting the 100% PS&E eight (8) weeks after the receipt of the notice to proceed. The work shall be completed in accordance with the current agreement, Contract No. C-7539-2, including task descriptions and deliverables. Consultant understands the City does not require assistance for Task 6 Bidding Phase Assistance and has asked Consultant to include preparation of as -built plans.
