RECITALS A. Grantor is the fee owner of certain real property located in the City of Newport Beach, County of Orange, State of California, described as Parcel 1, as shown on Parcel Map 81-713 filed in the Office of the Recorder of the County of Orange, State of California on December 8, 1983, in Book 184 of Parcel Maps Pages 38 and 39 ("Grantor's Parcel"). B. A certain Grant of Easement dated February 8, 1983, and recorded June 6, 1989, as Instrument No. 89-298424 in the Official Records of Orange County, California, which affects Grantor's Parcel, was made in favor of Grantee (the "Initial Grant of Easement"). The Initial Grant of Easement expired by its terms on November 30, 2018, at which point it became void, and of no force or effect whatsoever. C. Grantor now desires to redevelop Grantor's Parcel, including (but not limited to) renovating the parking structure ("Parking Structure"), renovating the existing building and docks, and making other improvements (collectively, the "Project"). RECITALS A. This Grant of Easement constitutes the satisfaction of certain conditions of Grantee's approval for Grantor's permit for the Project. 1. GRANT OF PUBLIC ACCESS EASEMENTS: Subject to the reservations set forth below, Grantor hereby grants to Grantee the following public access easements (collectively referred to herein as "Easements"): (a) a non-exclusive easement along a concrete pathway on the eastside of Grantor's Parcel in the area (i) legally described in Parcel `A' of Exhibit "A" attached hereto, (ii) described/depicted on the Plat Map in Exhibit "B" attached hereto, and (iii) further depicted on the Site Plan in Exhibit "C" attached hereto ("Access Easement"), (b) a non-exclusive easement along the above -grade concrete podium on the southside of Grantor's Parcel in the area (i) legally described in Parcel 'B' of Exhibit "A" attached hereto, (ii) described/depicted on the Plat Map in Exhibit "B" attached hereto, and (iii) further depicted on the Site Plan in Exhibit "C" attached hereto ("Bayside Easement"). In connection with any new development (or redevelopment) of the Grantor's Parcel which is first commenced after (i) recordation of this Grant of Easement; and (ii) full completion of the Project, at either party's request, Grantor and Grantee shall mutually agree on a plan to relocate the Easements (or either of the Easements). Upon mutual agreement by both Grantor and Grantee, both parties shall collectively offer to the Planning Division such plan for final approval by the Community Development Director for the City of Newport Beach, which approval shall be given as long as the new location for the Easements is equivalent (in terms of accessibility and function) to, and remains within the goals and intent of, the original Easements, as the original Easements are set forth in this Grant of Easement; and upon the approval of the Community Development Director of the City of Newport Beach, Grantor shall have the right to record an amendment to this Grant of Easement, on a form approved by the City Attorney, to reflect the new location of the Easements. 2. PURPOSE: The Access Easement shall be for a public access pathway for ingress and egress to and from the Bayside Easement by the general public and for no other use or purpose. The Bayside Easement shall be for a public access pathway along the concrete podium on the bayside of Grantor's Parcel for use by the general public and for no other use or purpose. The Easements are for public access use only. The Easements shall not allow use of the land on Grantor's Parcel but shall allow only use of concrete pathways along the improvements on Grantor's Parcel as depicted in Exhibit "C", ems.., ramps, below - grade parking area, and above -grade concrete podium. Without affecting the limitations stated above, nothing herein shall be construed as a grant of any right of passage of any member of the general public using a vehicle (as defined the Vehicle Code of the State of California) or any other manner of conveyance, whether 2 powered by humans or machines, except for wheel chairs and equipment necessary to allow disabled to use the Easements. 3. RIGHT TO MAKE IMPROVEMENTS: Grantor hereby retains and reserves the right, and shall have the right, to renovate the Parking Structure, renovate the existing building and concrete podium and docks, and to otherwise make any and all other improvements on Grantor's Parcel including (but not limited to) in the areas upon which the Easements are located (the "Easement Areas"), even if such renovation of the Parking Structure, renovation of the existing building and concrete podium and docks, and/or other improvements make the use of the Easements more difficult or inconvenient, provided that the Parking Structure and other improvements do not permanently prevent the intended use of the Easements by Grantee and the general public. 4. EFFECTIVE DATE: This Grant of Easement does not become effective until the final building inspection has been completed with respect to the Project and a Certificate of Occupancy has been issued by the City of Newport Beach for the Project, allowing occupancy of the Project; at which time this Grant of Easement may be recorded by Grantee in the official records of Orange County, California. Subject to Section 1, above, this Grant of Easement may be amended, modified or terminated only by an agreement executed, acknowledged and recorded by Grantor and Grantee. Subject to the terms of Section 9, below, this Grant of Easement, and restrictions herein shall be deemed to constitute a servitude upon and burden to the real property described herein within the meaning of Section 3712(d) of the California Revenue and Taxation Code, or successor statute, which survives a sale of tax -deeded property. 5. MAINTENANCE; RESTRICTED USE; RIGHT TO REGULATE: Grantor shall ensure that the Easements are maintained in a clean, sanitary and safe condition. The foregoing obligation of Grantor to maintain the Easements includes the obligation to make all repairs to the Easement Areas necessary to preserve the rights of public access granted herein and to ensure (to the extent reasonably possible) passage by members of the general public utilizing the Easements for the specific purpose for which they are intended. Grantor shall have the right to restrict use of the Easements when such restriction is necessary to perform maintenance, repairs or improvements to any part of the Easement Areas and/or other portions of Grantor's Parcel, or otherwise for other good faith business reasons concerning the operation of Grantor's Parcel. Grantor shall be responsible for any hazardous materials or contaminants located in the Easement Areas. Notwithstanding any provisions of this Grant of Easement, Grantor shall not be required to take any actions to connect the Easements to pedestrian pathway easements or other easements (if any) on any other property (including property adjacent to the 3 Grantor's Parcel); and, without limiting the foregoing, Grantor has no duty to make any improvements on the Grantor Parcel, adjust the Easements, or take any other action of any kind or nature to make possible (or more convenient) the use of easements on any other property. 6. ADDITIONAL RESERVED RIGHTS: Grantor hereby retains and reserves (a) all air space over eight feet (8') above the Easement Areas (that is, the rights in the Easements shall not apply more than eight feet (8') above the concrete pathways constituting the Easements); and (b) all land rights and all subsurface rights below the Easement Areas (that is, the rights in the Easements shall not apply below the concrete pathways). Nothing herein shall prohibit use of the Easement Areas by Grantor. Nothing herein shall be construed as a grant or conveyance of any fee interest (or any other interest) in Grantor's Parcel. 7. SIGNAGE: Grantor shall post signage at the base of the monument sign along West Coast Highway (or another appropriate location approved by the Planning Division) in a location determined by Grantor and the Planning Division showing by an arrow where the public can take access from West Coast Highway to the Bayside Easement. Grantor retains and reserves the right to post additional signage along West Coast Highway, advising members of the general public of the point of access, subject to first complying with all applicable State and local laws. Further, Grantor retains and reserves the right to post anywhere on Grantor's Parcel, such signs as may be deemed necessary or appropriate by Grantor to preserve private property rights of Grantor and otherwise enforce the regulations imposed by Grantor. 8. NO SUBDIVISION: The Easements granted herein shall in no way be construed as a subdivision of the Grantor Parcel, nor shall the Easements be construed to constitute a division of the Grantor Parcel in any manner. 9. BINDING EFFECT ON SUCCESSOR INTERESTS: Except as provided in Section 11, this Grant of Easement and terms, conditions and restrictions hereof, shall run with the land in perpetuity and shall not expire, and be binding on the assigns and successors of the Grantor in the manner provided for herein. Notwithstanding the foregoing, the fee owner of the Grantor Parcel shall only be obligated under this Grant of Easement during the period it owns the fee interest in the Grantor Parcel; and therefore upon the transfer by any fee owner of the Grantor Parcel, such fee owner shall not have any further obligations under this Grant of Easement, provided that the transferee thereof shall become the "Grantor" hereunder and shall, in turn, be obligated under this Easement during the period that such transferee is the fee owner of the Grantor Parcel. 21 10. NO ATTORNEY'S FEES: In the event of any dispute or legal action arising under this Grant of Easement, the prevailing party shall not be entitled to attorneys' fees. 11. HOLD HARMLESS: To the fullest extent permitted by law, Grantor shall defend, indemnify, and hold harmless Grantee, its elected officials, boards and commissions, officers, employees, and volunteers, with respect to any and all losses, liabilities, damages, including property damages and damages for bodily injury or death, costs and expenses, including reasonable attorneys' fees and experts' fees and costs, actually or allegedly arising out of the negligent acts or omissions of Grantor or of any of its officers, employees, or agents, in connection with the Easement Areas and/or this Grant of Easement. To the fullest extent permitted by law, Grantee shall defend, indemnify, and hold harmless Grantor, its directors, members, officers, agents, employees, and volunteers, with respect to any and all losses, liabilities, damages, including property damages and damages for bodily injury or death, costs and expenses, including reasonable attorneys' fees and experts' fees and costs, actually or allegedly arising out of the acts or omissions of Grantee or of any of its elected officials, boards or commissions, officers, employees, and volunteers, in connection with the Easement Areas and/or this Grant of Easement. 12. GOVERNING LAW AND VENUE: The laws of the State of California shall govern this Grant of Easement and all matters relating to it and any action brought relating to this Grant of Easement shall be adjudicated in a court of competent jurisdiction in the County of Orange, California. 13. INTERPRETATION: The terms of this Grant of Easement shall be construed in accordance with the meaning of the language used and shall not be construed for or against either party by reason of the authorship of the Grant of Easement or any other rule of construction which might otherwise apply. 14. INTEGRATED CONTRACT: This Grant of Easement represents the full and complete understanding of every kind or nature whatsoever between the parties hereto, and all preliminary negotiations and agreements of whatsoever kind or nature are merged herein. No verbal agreement or implied covenant shall be held to vary the provisions herein. 15. WAIVER: A waiver by either party of any breach of any term, covenant or condition contained herein shall not be deemed to be a waiver of any subsequent breach of the same or any other term, covenant, or condition contained herein, whether of the same or a different character. 5 16. COMPLIANCE WITH ALL LAWS: Grantor shall, at Grantor's own cost and expense, comply with all statutes, ordinances, regulations and requirements of all governmental entities, including federal, state, county or municipal concerning the Easements, whether now in force or hereinafter enacted. 17. SEVERABILITY: If any term or portion of this Grant of Easement is held to be invalid, illegal, or otherwise unenforceable by a court of competent jurisdiction, the remaining provisions of this Grant of Easement shall continue in full force and effect. 18. RECITALS: Grantor and Grantee acknowledge that the above Recitals are true and correct and are hereby incorporated by reference into this Grant of Easement. 19. AMENDMENTS: Subject to Section 1, above, this Grant of Easement may be modified or amended only by a written document executed by both Grantor and Grantee and approved as to form by the City Attorney of the City of Newport Beach.
