have purchased the operating assets of Macke Building Services,
which is camtonly known in the orange County area as CanTercial
Maintenance Systems.
ISS International Service System, Inc., is a janitorial service
contractor listed on the American Stock Exchange. Sixty -five
percent of the ISS cannon stock is owned bry ISS International
Service System A/S, headquartered in Copenhagen, Denmark. ISS
provides janitorial and related services in 12 Western European
countries, the United Kingdom, Brazil, and 24 cities in the
United States.
Commercial Maintenance Systems has built a highly respected
-7 service organization in Orange County, and it is our intent to
retain the management, administrative, account representatives
and supervisors who have been so instrumental in the success of
the company.
Effective January 1, 1987, the ealpany name and the invoice
will be changed to ISS International Service System. ISS
recognizes that such changes can be very irritating to the

RECOMMENDATION:
Approve the award of a contract for building /janitorial maintenance service
for the City Hall Complex to the Reliable Maintenance Co.; cost to be
$3,685 monthly.
BACKGROUND:
On December 14, 1981, the City Council passed Resolution No. 11101, giving
approval to Contract No. 2311 with the Commercial Maintenance Systems, Santa
Ana, CA. This contract provided for contract janitorial maintenance service
for the City Hall Complex, including Council Chambers, Planning and Build-
ing Departments, and the City Yard Complex. It became effective on 1/4/82,
and the current cost to the City is $3,611 /monthly.
In response to an increasing level of complaints concerning various aspects
of service provided by CMS, earlier this summer I was directed by the City
Manager to solicit new bids for a new building maintenance service contract
for the"City Hall Complex only. CMS would continue to service the City Yard. _
Complex. _
After contacting many commercial businesses and other agencies regarding their
contractors, I eventually received three bids for the new City Hall Complex
contract. All of the bids are based on providing janitorial service to the
buildings currently in use. They -Ao not include coverage for the new Pro-
fessional- Technical Building, as yet. It is understood that once the new
building is completed and occupied, the rented space would be vacated and
deleted from the contract. Any adjustment in the contract made necessary
by the move would then be negotiated.

All of the proposed bids were based on the same service criteria and specifi-
cations. Benco Building Services is the apparent low bidder, but after con-
tacting their references, the response was not very positive. Their service
was rated as only fair. Service Master, Inc. was the highest bidder of the
three because of additional charges for carpet shampooing and for servicing
the Council Chamber after every meeting. Reliable Maintenance was the next
to lowest bidder. Their references revealed that they had been servicing
some of The Irvine Co. buildings for the last five to six years. Their Serv-
ice was rated from very good to excellent.
After considering all the factors involved, and digesting the comments re-
ceived from their references, I could not recommend awarding the contract to
Benco Building Services. I believe it would only be a repetition of our ex-
periences with other contractors. Also, the bid from Service Master, Inc.
was quite high, and contained too many additional charges.
On the other hand, the bid from Reliable Maintenance appears to be reasonable,
and their service was rated highly by their references.
Therefore, I recommend awarding to Reliable Maintenance, Inc. the contract for
building maintenance services for the City Hall Complex. Commercial Mainten-
ance Systems would retain the contract for the City Yard Complex.

Approve a rate increase of $686.00 monthly for the existing contract
janitorial maintenance being provided by Commercial Maintenance Systems.
BACKGROUND:
On December 14, 1981, the City Council passed Resolution No. 11101 which
gave approval to Contract No. 2311. This Contract was with Commercial
Maintenance Systems, Santa Ana, CA. It provided for contract janitorial
maintenance service for the City Hall complex, Council Chambers, Planning
and Building Departments, and the City Yard complex. It became effective
January 4, 1982, and has been increased once on April 8, 1983. Current
Contract cost is $2,925 /monthly.
DISCUSSION:
Phase I and II Improvements at the City's Corporation Yard with reference
to buildings only, will be virtually completed as of March 1, 1984. In
addition to the new Sign and Carpenter Shops, and the Parks Department
offices (already occupied and being serviced), ready for occupancy then
will be the new Administrative offices and the Equipment Maintenance Shop.
Also, two covered storage buildings for equipment. The Administrative
building is two story, with offices and restrooms upstairs, and a com-
bined shower, locker and restroom downstairs along with a multi - purpose
classroom /meeting /lunch room equipped with kitchen facilities. The new
Equipment Maintenance Shop building is 16,000 sq. ft., complete with
offices, parts room, storage areas, and restrooms with shower and locker
facilities. There is also a smaller multi - purpose meeting /lunch room in
that building.
The new buildings are much larger than the ones they replace, with many
more restroom facilities and offices to maintain; as well as more floor
area with additional tile, linoleum and carpet surfaces. They will be
quite a large addition to the originally contracted restrooms and floor
areas.
Part of the rate increase is due to increased labor rates for both cus-
todial care and window washing service. There are many more windows in
the new buildings to keep clean than previously.

Dear Wade:
Thank you for allowing us the privilege of bidding your facility
for janitorial services.
After a thorough inspection of your facility and giving careful
consideration to your cleaning requirements, Commercial Maintenance
Systems is pleased to submit it's recommendation for cleaning
and general services. Please note that this is a new contract
and not an addendum to the one presently on file in your office.
It is our understanding that eventually the existing building
you are in may be deleted. At that particular time a reduction
will be made against Building A.
In Building D we will service three (3) offices, one (1) lunch-
room and two (2) restrooms. Building A will be serviced as
follows, one (1) lunchroom, one (1) janitor closet, one (1) locker -
room, one (1) shower room, all downstairs restrooms'and every-
thing will be included upstairs.
These prices are high due to the fact that inside and outside
window washing is included one (1) time per month. The price
for cleaning windows in Building A is $130.00 each month, as
the cost for window washing in Building D is $50.00 alone
per cleaning.

SPECIAL PROCEDURES
All cleaning personnel will report any damage, breakage
and /or plumbing problems immediately to Commercial Maintenance
Systems night supervisors. Day management will, in turn,
notify you of any relevant information. If the problem is
urgent, you will be notified immediately.
SERVICE DEPARTMENT
Our Service Department switchboard is open 24 hours per day.
For any information, special services, or for any emergency,
call (714) 546 -3223.
PUBLIC RELATIONS PROGRAM
In addition to our fine supervisory and janitorial staff,
Commercial Maintenance Systems also provides a public
relations staff during the day whose main responsibility is
to thoroughly inspect facilities during the day time hours
to assure that you are satisfied with the service we are
providing. This gives us an additional aid in double
checking on our supervisors and operations staff in the
evening.
At any time you request, we will be more than happy to have
a thorough walk -thru of the facility with you or any of your
staff members. It is also of benefit when there is a day
porter on the premises which Commercial Maintenence Systems
provides and this enables us to stay in contact with our day
personnel and to check on the quality of the buildings.

SUPERVISION AND INSPECTION PROGRAM
Each facility is assigned to a District Manager who is
responsible for a given area which may represent anywhere
from ten to forty buildings, depending on the total size and
distance involved.
It is the Operations Manager's responsibility to assure
management that every building within the District Manager's
area has been personally supervised and reviewed a mimimum
of two days per week, with a maximum of five days per week,
depending on the type of service and specifications required.
Once a week the District Manager will submit an inspection
report to management as a result of a thorough walk -thru.
The Operations Manager must inspect each facility along with
the District Manager, a minimum of two times per month.
All facilities have an In -house Supervisor and /or Lead Man
who reports directly to the District Manager nightly.
Should any problems arise, the District Manager can be paged
directly by the Lead Person.
In addition, inspections are periodically made during the
day as outlined in the Public Relations Program.

SECURITY AND SAFETY PROGRAM

Our employees are screened for ability and reliability.
Security checks are made on all of our personnel and a
complete and current employee and applicant file is maintained.
Work in your premises will be performed only by permanently
assigned employees or crew during authorized hours. Employees
will secure burglar or other required security procedure.
All equipment used is OSHA approved. Upon entering a
facility, all entrances will be secured unless directed
otherwise.
No one will be allowed within the facility by any of our
employees without express permission from your company.

EMPLOYEE TRAINING PROGRAM
PERSONNEL AND TRAINING
All Commercial Maintenance Systems personnel are personally
interviewed and carefully screened for character and temperament.
Only those with a satisfactory work history will be considered
for employment. Our personnel will be neatly.dressed while
on the premises.
Commercial Maintenance Systems believes that employee
training is one of the most important ingredients in a high
quality and efficient housekeeping program.
Commercial Maintenance Systems will undertake an extensive
formal training program of all hourly personnel. The
training will act as a refresher course for those experienced
personnel. It is to be understood that all personnel will
receive training prior to being assigned to your account.
The training program will be divided into two phases. Phase
I will consist of the formal training. Phase II consists of
on- the -job training. This phase of the training program
emphasizes the definite area of responsibility. This phase
will be conducted by the installation team and management
training staff.
INSTALLATION
In order that the housekeeping program can be productive
from its inception, considerable work and planning will be
done prior to the actual installation. Daily and project
work schedules will be written.. Potential employees will be
interviewed and the successful applicants will be trained in
the basic cleaning routines. The proper cleaning materials
and equipment will be ordered.

This amendment to Contract, entered into thisl�b day

of , 1983, by and between the City of Newport Beach, a
Municipal Corporation and Charter City, hereinafter "City" and
Commercial Maintenance Systems, hereinafter "Contractor" is made
with reference to the following facts:
A. City and Contractor have previously entered into an
agreement, bearing Contract No. 2311, which obligates Contractor
to perform janitorial and maintenance services for the City Hall
complex, Council Chambers, Planning and Building Departments, and
the City Yard complex, all which agreement became effective
January 4, 1982; and
B. City has constructed additional improvements at its
Corporation Yard, these new buildings are now being occupied, and
require additional janitorial and maintenance services to be
performed by Contractor; and
C. The parties wish to extend the provisions of
Contract No. 2311 to apply to the new structures at the
Corporation Yard and to increase the compensation to be paid to
Contractor accordingly.

NOW, THEREFORE, the parties hereto agree as follows;
1. Contractor, in addition to the other duties
required by this Agreement, will perform janitorial and
maintenance services within the sign and carpenter shops of the
General Services Department and City agrees to pay Contractor an
additional $73.00 per month in consideration of the agreement of
Contractor to perform the additional maintenance and janitorial
services required by this Agreement.
2. Except as provided herein, all of the terms and
conditions of Contract No. 2311 shall remain in full force and
effect.

RECOMMENDATIONS:
Approve a rate increase of $73.00 monthly for the existing contract
janitorial maintenance service being provided by Commercial Main-
tenance Systems.
BACKGROUND:
On December 14, 1981, the City Council passed Resolution No. 11101,
which gave approval to Contract No. 2311. This contract was with
Commercial Maintenance Systems, Santa Ana, CA. It provided for
contract janitorial maintenance service for the City Hall Complex,
Council Chambers, Planning and Building Departments, and the City
Yard Complex. It became effective January 4, 1982, and this agree-
ment is still in effect. There has been no request for an increase
in rates prior to this action.
DISCUSSION:
Phase I & II Improvements at the City's Corporation Yard have now
progressed to the point where two of the new buildings are now
being occupied. One is being utilized by the Parks Department and
the other by the Sign and Carpenter Shops of General Services.
Each one of these new buildings has restroom and office facilities.
The building formerly occupied by the Parks Department (also con-
taining offices and restroom facilities, and demolished prior to
the start of construction) had also been maintained by Commercial
Maintenance Systems. The new Parks Department building is close
enough in size and scope to the old building so that no increase
is required for that facility. However, the offices and restroom
in the new Carpenter and Sign Shops are an addition to the con-
tract, and a rate increase is required for that reason. The re-
quested increase is modest, and service will begin after approval
by Council. As more of the new buildings at the Corporation Yard
are finished and occupied, additional rate adjustments may become
necessary.

THIS AGREEMENT is made and entered into this
day of 1982, by and between the CITY OF
NEWPOR BEACH, a m nicipal corporation, hereinafter referred
to as "City," and COMMERCIAL MAINTENANCE SYSTEMS, hereinafter
referred to as "Commercial."
W I T N E S S E T H:
WHEREAS, City desires to have the janitorial main-
tenance services for City Hall, the City Yard complex,
Building & Planning Departments, and City Council Chambers;
and
WHEREAS, Commercial is equipped to perform such
services and presented City with a Janitorial Maintenance
Proposal; and
WHEREAS, it is City's desire to employ Commercial
Maintenance Systems to perform the janitorial maintenance
services as set forth herin.
NOW, THEREFORE, in consideration of the mutual
covenants contained herein, the parties hereto agree as
follows:
1. PAYMENT FOR SERVICES In consideration for the
services to be performed by Commercial, City agrees to pay to
Commercial the sum of Two Thousand Eight Hundred Fifty -Two
Dollars ($2,852.00) per month, payable on the first day of
each month.
Above prices include all labor, supervision, cleaning
supplies and equipment. Restroom paper shall be furnished by
City.
2. MAINTENANCE All work to be performed by
Commercial shall be performed in a substantial and workmanlike
manner according to accepted standards of practice in the

industry. Said work shall be performed in accordance with
the janitorial specifications as set forth on Exhibit "A"
attached hereto and incorporated herein by reference.
3. TERM The term of this agreement shall commence
on January 4 , 1982 , and shall continue on a month -to-
month basis, subject to termination as hereinafter provided.
4. TERMINATION AND NOTICE THEREOF It is hereby
mutually agreed that either party may terminate this
agreement, with or without cause, upon thirty (30) days'
written notice. All notices herein provided to be given, or
which may be given, by either party to the other, shall be
deemed to have been fully given when made in writing and
deposited in the United States Mail with postage prepaid,
and addressed as follows:

The address to which the notices shall or may be
mailed as aforesaid by either party shall or may be changed by
written notice, given by such party to the other, as
hereinbefore provided; but nothing herein contained shall
preclude the giving of any such notice by personal service.
5. HOLD HARMLESS INSURANCE Commercial agrees to
defend, indemnify, protect and save harmless City and its
officers, agents and employees from any and all claims, loss
or liability on account of injury, loss or injury to any
person or persons or property suffered or sustained in, on or
about the premises or elsewhere, by any person or persons
whomsoever, in any manner, directly or indirectly, arising
out of or by reason of the conduct of Commercial's business.
Commercial shall, at all times during the term of
this agreement, maintain in full force and effect, with
respect to this agreement, a policy or policies of

comprehensive liability insurance (bodily injury, including
death, property damage, product liability, contractual and
automobile) with minimum limits of Five Hundred Thousand
Dollars (500,000.00) combined single limit, naming the City
and its officers, agents and employees as additional
insureds and further providing an endorsement as follows:
"1. The City of Newport Beach, its officers
and employees are hereby declared to be additional
insureds in the policy described insofar as they
may be held liable for injuries or death to a
person or persons, or damage to property occurring
in or about the premises, whether or not caused by
their sole or contributing negligence. This policy
shall be primary and non - contributing with any
other insurance available to the City of Newport
Beach, and will include a severability of interest
clause.
2. If this policy is cancelled or materially
altered so as to affect the coverages, at least
thirty (30) days' prior written notice by registered
mail of such cancellation or alteration will be sent
to the City of Newport Beach, in care of the City
Manager, 3300 Newport Boulevard, Newport Beach,
California 92663."
Said policy or policies shall be in a form satis-
factory to City and certificates issued by the insuring
company shall be submitted to City concurrently with the
execution of this agreement. Certificates for each and any
new or renewal policy or policies effective during the term
of this agreement shall be submitted to City at least twenty
(20) days prior to the effective date of such policy or
policies.
6. WORKERS' COMPENSATION INSURANCE Commercial
shall obtain and maintain any necessary Workers' Compensation
insurance for all employees of Commercial, and shall provide
City with a certificate evidencing such insurance coverage
issued by an admitted insurer or a consent to self- insure
issued by the State of California, Director of Industrial
Relations.

PROVISION OF JANITORIAL SERVICES
CITY OF NEWPORT BEACH, CALIFORNIA
Any person, firm or corporation bidding to provide janitorial
services to buildings for the City of Newport Beach shall:
1. Provide with the bid at least two letters of reference from
the management of firms for which bidder has or is providing
janitorial services for a period of not less than six months.
2:: Agree to provide all labor, supervision, equipment and
supplies (including soap for dispensers, plastic liners for
waste baskets, urinal deodorizer cakes, deodorant disinfecting
cleaning agents, cleansers, mops, dust cloths, vacuum cleaners,
buffers, and any other equipment and supplies required) speci-
fied in the janitorial service specifications for the term of
the contract at the prices quoted.
3. Agree to perform all work specified for 12 months at the
prices quoted and to certify weekly that a supervisor has
inspected the work of his employees and found that the work
is being performed according to these requirements and the
janitorial service specifications.
4. Agree to furnish a certificate of Workers' Compensation
Insurance to cover all claims to contractor or employees
while providing janitorial services to the City of Newport
Beach.
S. Agree to obtain, within five days of executing contract, a
current City of Newport Beach business license for janitorial=
service and to maintain a current business license throughout
the term of said contract.
6. Agree that contractor's employees shall wear uniforms
identifying contractor's firm.
7. Agree that employees of the janitorial firm shall not permit
access into City of Newport Beach -owned buildings unauthorized
persons, including friends and children of employees of
contractor.
8. Agree to store in contractor's vehicles and premises, supplies
and equipment of contractor, and not to store such supplies
and equipment in City -owned closets, unless specifically
authorized by Director of General Services.
9. Agree to pay all federal and state payroll taxes for
employees of contractor, and that said employees shall in
no way be construed as employees of City.

General Requirements for the
Provision of Janitorial Services
10. Certify that the janitorial firm does not engage in
discriminatory employment practices on the basis of race,
sex, religion, age, or national origin, and agree to
conform to all applicable federal laws and guidelines
pertaining to non - discrimination in employment.
11. Agree that keys to City of Newport Beach -owned property
in the custody of contractor's employees shall be accounted
for at all time; that contractor shall be liable for the
.expense of re- keying all locks to the building to which
contractor's employees lose keys; that no duplicate keys
shall be made without the.consent of City in writing; that
breach of this provision shall be cause for voiding of the
contract; that contractor shall surrender all keys to the
City Wildings upon termination of any contract; and that
expense of re- keying buildings shall be deducted from any
final payment to contractor for any keys not returned to
the City upon termination.
12. Agree to maintain 24 -hour, seven - day - per -week telephone
service and to respond promptly to clean up any work left
undone after City notifies contractor by telephone of said
failure to perform.

services in the City Hall, City Yard complex, Building & Planning
departments and City Council building.

furniture, and dust table and counter tops.
9. Remove carbon, ditto blue, and other stains from desks, counters
and table surfaces by washing with appropriate chemical.
10, Clean and sanitize drinking fountains, remove spots and polish metal.
11. Empty all ashtrays and sand urns and wipe ashtrays clean.
12. Pick up litter and sweep porches at building entrances.
13. Sweep and wash restroom floors with pine oil disinfectant or equivalent.
Wipe walls and floor tile clean.
14. Clean restroom wash basins, toilet bowls and seats and urinals with pine
oil disinfectant detergent or equivalent; eliminate urine odor from restrooms.
15. Clean and refill restroom towel, toilet tissue, paper toilet seat cover
and soap dispensers with supplies; replace urinal deodorant cakes as used up.

around door handles and light switches and other frequently touched places.
4. Remove shoemarks from baseboards, walls and legs of furniture.
Services to be performed once a month:
1. Damp mop and machine scrub uncarpeted floors, wax and buff; wipe all
baseboards and furniture legs clean after each floor refinishing.
2. Vacuum drapes and cornices.
3. Dust all picture frames and other objects on walls.
4. Wash inside and outside windows and their sills.
5. Dust venetian blinds.
6. Clean all wall and ceiling vent and fan covers.
7. Clean aluminium and wood door sills, checks, kick plates, etc.
8. Scrub, mop and wax Equipment Maintenance Superintendent's office floor,
re -wax and buff (to be performed during regular working hours of
Equipment Maintenance staff).

Services to be performed every three months:
1. Clean and wax floors in vaults in Finance Department, Public Works
Department and City Clerk's Office during working hours.
2. Strip wax from uncarpeted floors, wax and buff.
Services to be performed every six months:

As you can see, one of the proposals received is lower than our current con-
tract, and three are higher.
SUMMARY: Reliable Maintenance Inc. has a five -year contract with the Irvine
Co., covering approximately 1,500,000 sq. ft. They are considered to be an
excellent vendor by the Irvine Co., as well as by the South Coast Plaza Mall,
Orange Commerce Center, Imperial Bank, and the University of California, Irvine.

I. RECOMMENDATION: Utilize the 30 day escape clause and cancel the existing
Building Maintenance contract with Western Counties Maintenance Co.
Issue a new contract for the same services to Reliable Maintenance, Inc.,
17925 Sky Park Circle, Suite K, Irvine, CA.
II. DISCUSSION: On April 9, 1979, a Building Maintenance contract for five
City facilities was awarded to Universal Building Maintenance Co., Santa
Ana, CA. On November 26, 1979, because of increased dissatisfaction with
the poor service being rendered, this contract was terminated and a new
contract was authorized with Western Counties Maintenance Co., Newport
Beach. Again there has been an increasing number of complaints and gen-
eral dissatisfaction with the level of service being offered by Western
Counties Maintenance Co. Corrective measures undertaken by Western
Counties in their efforts to remedy the situation have not been success-
ful.
Recently I directed Staff to investigate alternative Building Maintenance
contract services, with the emphasis being placed on a dependable and pro-
fessional service at a reasonable cost. Contact was made with several of
the surrounding cities, as well as with many of the larger businesses in
the area. From these contacts, and other sources, four Contractors were
selected as a representative sample. All of them were invited to come in
for an interview, look over the properties in question, and submit a pro-
posal if they were interested. We received the following proposals.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY

MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT
BETWEEN THE CITY OF NEWPORT BEACH AND
COMMERCIAL MAINTENANCE SYSTEMS FOR JANITORIAL
SERVICES AT CITY HALL, THE CITY YARD COMPLEX,
PLANNING & BUILDING DEPARTMENT AND THE CITY
COUNCIL CHAMBERS AND RESCINDING RESOLUTION
NO. 9968
WHEREAS, pursuant to the proposals received for work in
connection with the janitorial services at City Hall, the City
yard complex, the Planning & Building department and the City
Council chambers, it appears that the lowest responsible bidder
therefor is COMMERCIAL MAINTENANCE SYSTEMS; and
WHEREAS, on the 26th day of January, 1981, the City
Council adopted Resolution No. 9968 which awarded the janitorial
services contract to Western Counties Maintenance Company, Inc.;
and
WHEREAS, the previous janitorial services contract with
Western Counties Maintenance Company, Inc, will expire on
December 31, 1981; and
WHEREAS, there has been presented to the City Council
of the City of Newport Beach proposals.for the contract and the
lowest bidder on this project is COMMERCIAL MAINTENANCE SYSTEMS;
and
WHEREAS, after review of the terms and conditions by
the City Council, said proposal is found to be fair and
equitable.

NOW, THERFORE, BE IT RESOLVED by the City Council of
the City of Newport Beach that the proposal from COMMERCIAL
MAINTENANCE SYSTEMS in the amount of $2,852.00 PER MONTH be.and
hereby is accepted, and that the contract for the described work
(Contract No. 2311) be awarded to said bidder, effective January
4, 1982; and
BE IT FURTHER RESOLVED that Resolution No. 9968 be and
hereby is rescinded, effective December 31, 1981.
BE IT FURTHER RESOLVED that the Mayor and City Clerk
are hereby authorized and directed to execute said contract in
accordance with the terms and conditions therein agreed to on
behalf of the City of Newport Beach, and that the City Clerk be
directed to furnish an executed copy to the successful bidder.
