OF NMJPORT BEACH AUTHORIZING THE E =CUTION OF
• 3 A CONSENT TO TI-M TRANSFER.OF INTEREST UNDER A
NATURAL GAS CONTRACT

WHEREAS, the City of Newport Beach, pursuant to Resolu-
6
tion No. 4467, executed a contract on March 19, 1956, in which the
7
City of Newport Beach was referred to as "Producer ", Monterey Oil
8
Company, a Delaware corporation, and Humble Oil & Refining Company,
9
a Texas corporation, were referred to as "Producer's Contractor",
10
and Monterey Oil Company, a Delaware corporation, was referred to

as "Gasoline CompanyQ°, under which Monterey Oil Company agreed to
12
receive all natural gas produced from oil wells under the Elliott
13
contract; and
14
WHEREAS, Humble Oil & Refining Company, in contemplation
15
of a corporate merger, has requested the City's consent to a trans-
16
fer of all assets and the rights and obligations of Humble Oil &
17
Refining Company, a Texas corporation, to Humble Oil & Refining
18�
Company, a Delaware corporation; and
19
WHEREAS, it appears that the transfer would not interfere
20
with the obligations under said contract or its performance by any
21
of the parties;

NOW, THEREFORE, BE IT RESOLVED by the City Council of the
23
City of Newport Beach that the City hereby consents to said transfe
24
and assignment and authorizes and directs the City Manager to
25
execute and transmit a letter as requested by Humble Oil & Refining
26
Company to evidence this consent.

This resolution was adopted by the City Council of the
28
City of Newport Beach at a regular meeting on the 26th day of
• 29 October, 1959, by the following vote, to wit:

Higbie, Stoddard,. Hart, Lorenz, Somers
