Civic Center Concession Agreement with 24 Carrots, LLC In my previously submitted written comments, I missed the above - captioned supplementary item S15 on the Consent Calendar. My initial comments on it areas follows: C The staff report says, but does not further explain, that in approving the recommendation the Council will need to waive City Council Policy F -7 ('Income Property "). o What aspect or aspects of Policy F -7 are being waived? o The "Funding Requirements' section on page 1 cites an expected "base rent of $24,000 in year one." The table of expected revenue on page 3 has a footnote referring to "monthly rent." Is the initial base rent $24,000 per month or $24,000 per year? C Who will be responsible for physical maintenance of the concession site, including disposal of waste? o As acknowledged in the staff report, the proposed granting of "exclusive catering rights to the Civic Center complex" appears to go well beyond the original scope of the RFP and seems very problematic, including such issues as whether a " "grab and go" vendor is likely to have an adequate variety of catering capabilities. • Is "Civic Center complex" understood to include the Central Library, which has numerous events in the Friends Room catered by a variety of vendors? • Would "exclusive catering rights" include private, or non - exclusively City events? For example, if the new Community Room is rented? Or an area in the park? • Is there a schedule of rates the City will be offered? • Assuming the City is the primary customer, how is the "Catering Revenue - 13% for food and beverage and 5% for equipment rentals. Based on gross sales." On page 4 figured? Would this be a discount offered to the City? Or is a percent of what we pay (at a possibly discounted rate) to be returned? o Page 4, under "Land Use Restrictions," additionally indicates "24 Carrots will adhere to the Special Land Use Restrictions agreed upon by the City and The Irvine Company... The City Manager will consult with The Irvine Company prior to executing the concession agreement." o Why and how does The Irvine Company retain control over what the City can and cannot do at its new Civic Center? o Since Irvine Company projects and activities are frequently before the City for approval, this seems an inappropriate, and, for want of a better word, blackmail - prone relationship to me.
