RESOLUTION NO. 89- 99 Training (POST) has proposed an agreement pursuant to which the City of Newport Beach would produce a five to seven minute videotape for the Supervisory Leadership Institute; and WHEREAS, POST has submitted an agreement (attached as Exhibit A) regarding the production of the videotape and requires a resolution of the City Council authorizing the Mayor and City Clerk to execute the agreement; and WHEREAS, the City Council has reviewed and considered the proposed agreement, has determined that the City is fully qualified to prepare the videotape, and desires to approve the agreement. NOW THEREFORE, BE IT RESOLVED, that the Mayor of the City of Newport Beach is hereby authorized to execute the videotape production agreement attached to this resolution as Exhibit A. ADOPTED this 14th day of August, 1989. The Contractor will perform the necessary services required to produce a finished videotape of superior quality. These services shall minimally include but are not limited to meeting with POST staff, scripting, videotaping, narration, generation of special effects, and editing. The cost for these services shall not exceed $1,000.00 per finished minute of programing. 3. The Contractor will submit a final version of t:he script to the project coordinator for approval prior to commencement of videotaping. 4. The "master" copy of the program and one 1/2" VHS format copy of the program will be submitted to POST upon completion of the project. The total amount of this agreement shall not exceed $8,500.00, which includes $1,500 for travel and per diem costs associated with the production. These costs will be approved in accordance with standard State rates. ® 6. Invoices for payment shall be submitted, in triplicate, to the attention of the project coordinator, Commission on POST, 1601 Alhambra Blvd., Sacramento, CA 95816 -7083. The Contractor must maintain a separate accounting of travel and per diem costs which will be separately itemized on all invoices submitted to POST. 7. The project coordinator at POST is Holly Mitchum. 8. The term of this agreement shall be June 20, 1989 through August 31, 1989, except that either party may cancel the agreement upon thirty (30) days prior written notice. 9. This agreement may be amended by mutual written consent. 10. By signing this agreement, the Contractor does swear under penalty of perjury that no more than one final unappealable finding of contempt of court by a Federal Court has been issued against the Contractor within the immediately preceding two -year period because of the Contractor's failure to comply with an order of a Federal Court which orders the Contractor to comply with an order of the National Labor Relations Board (Public Contract Code Section 10296) . 11. The attached Nondiscrimination Clause is to be referenced incorporated and made a part of this agreement. 12. Except as otherwise provided in this agreement, any dispute concerning a question of fact arising under this agreement which is not disposed of by compromise shall be decided by POST, who shall reduce its decision in writing and mail or otherwise furnish a copy thereof to the Contractor. The Contractor has fifteen (15) calendar days after receipt of such a decision to submit a written protest to POST specifying in detail in what particulars the agreement requirements were exceeded. Fai:Lure to submit such a protest within the period specified shall constitute a waiver of any and all rights to adjustment in agreement terms and POST's decision shall be final and conclusive. Pending final decision of a dispute hereunder, the Contractor shall proceed diligently with the performance of this agreement, upon receipt of written order from POST to do so. City of Newport Beach 88- 001 -39 Page 3 13. In accordance with provisions of the State Administrative Manual, Section 1218, the Contractor's performance under this agreement will be evaluated. Contractor shall insure that the evaluation and treatment of employees and applicants for employment are free of such discrimination, 2. Contractor shall comply with the provisions of the Fair 1290Noyment and Housing Act (Government Code, Section 0 et seq.), the regulations promulgated thereunder (California Administrative Code, Title 2, Section 7285,0 et seq.), the provisions of Article 9,51 Ch ter 1. Part 1, Division 3, Title 2 of the Government Code �Gpovernment Code, Sections 11135- 11139,5) and the regulations or stand- ards adopted by the awarding State agency to implement such article. 3.
