The Marine Operations Division of the Fire Department responds to over 4,000 ocean rescues, approximately 150,000 preventative actions and over 17,000 enforcements each year. A rescue vessel provides lifesaving personnel and equipment to the nearly 10,000,000 residents and visitors of the beaches, along with emergency service and support to the many vessels that frequent the near shore waters of Newport Beach each year. The rescue vessel can provide a faster response to persons in the surfline, off shore locations including rock structures, and areas not manned by beach lifeguards. It provides emergency response to boats in distress and medical emergency services to individuals on vessels offshore. RECOMMENDATION: a) Approve the purchase of one 29' Crystaliner Rescue Vessel from Willard Marine Inc. of Anaheim, California, for a total cost of $394,710; and b) Approve and authorize the Mayor and City Clerk to sign the Purchase Agreement with Willard Marine, Inc. for this purchase. FUNDING REQUIREMENTS: The current adopted budget includes sufficient funding for this purchase. It will be expensed to the Equipment Replacement Fund in the Municipal Operations Department, 7529032-911016. RIM Purchase of Lifeguard Rescue Vessel March 8, 2016 Page 2 DISCUSSION: The Fire Department operates a fleet of three large rescue vessels. These vessels are available for service year round 24 hours a day. They are deployed on the oceanfront daily during the peak times of the year (spring, summer, and fall). Exhibit A: Fire Department Rescue Boat Fleet Year- Model Unit # Unit Hours 1985 Norek Crystaliner 2844 10,407 (Approximate) 2003 Crystaliner 2842 4,505 2007 Crystaliner 2840 2,950 The City Vehicle/Equipment Guidelines (Council Policy F-9) states that large rescue vessels should normally be replaced after 25 years. The rescue vessel to be replaced was built in 1985 and refurbished in 2007 for major repairs and upgrade to efficient systems within the engines. A survey was completed in 2010 by Crystaliner Corporation to determine the need for replacement. At that time they concluded the vessel was in good condition, but they could not determine the status of the structural areas of the hull, such as lamination stresses, longitudinal stringer integrity and secondary bonding. After the survey in 2010, the Municipal Operations Department, in consultation with the Fire Department, determined the vessel could last another five years. On December 22, 2015, the City published Request for Proposal (RFP) No. 16-23 soliciting proposals for one (1) Lifeguard Rescue Vessel, using specifications developed by Municipal Operations and Fire Department staffs. Staff posted the RFP on PlanetBids, the City's third -party online bidding platform, and distributed to a number of known marine vessel builders, including Westerly Marine and Mag Bay Yachts. Through the PlanetBids portal, 250 companies registered with a keyword of "boat, marine, vessel or watercraft" were notified. Staff was able to determine that 20 companies downloaded a copy of the RFP. The RFP closed on February 2, 2016 with the City receiving one (1) proposal, from Willard Marine of Anaheim, CA. The RFP document reiterated that information provided for the vessel specifications was identified as a minimum and designed to conform to the City's current operating standards. If the specified requirements could not be met, the proposers were asked to list such deviations, including the benefit served to the City by these deviations, if any. It was also emphasized that the City was focused on the intent of the specifications and any deviations to the specifications would be considered as responsive so long as the intent was satisfied. The Willard Marine proposal and proposed vessel took no exceptions to the City's specifications. 8-2 Purchase of Lifeguard Rescue Vessel March 8, 2016 Page 3 The evaluation panel for this selection process consisted of Municipal Operations and Fire Department staffs. Panelists were selected due to their experience with the operation, technical operation and maintenance of lifeguard rescue vessels. Each member of the evaluation panel was provided a copy of the proposals as well as an evaluation matrix to score the proposals. The criteria used for evaluating the proposals were provided in the RFP and are described in Exhibit B: Exhibit B: Proposal Evaluation Criteria Evaluation Criteria Percentage of Score Points (100 Point Scale) Qualifications & Experience of the Proposer 20% 20 Technical Specifications of the Proposed Vessel 40% 40 Proposed Pricing 40% 40 The evaluation of the proposal encompassed a two-step scoring process. In the first step, known as "Technical Evaluation," the panel was responsible for scoring the proposal against the evaluation criteria, with the exception of pricing. The panelists all score the proposal individually and the average of the scores is considered as the Technical Evaluation Score. Of the 60 points allotted for this technical evaluation, the Willard Marine proposal averaged 56 points. Typically, the proposed pricing is evaluated based on a cost ratio score during the second step of the scoring process, known as "Cost Ratio Scoring." In a solicitation in which there are multiple proposals, the proposal containing the lowest cost is awarded the maximum number of points allotted toward cost scoring. The other proposals are subsequently awarded points in direct proportion to how much more costly they are when compared to the lowest cost proposal. However, in this solicitation only one proposal was received so the panel only had one cost to consider. In these instances, the cost is evaluated for reasonableness and feasibility. The proposed vessel cost of $394,710 is under the proposed budget for this purchase and represents a good value especially when considering the proposed vessel does not contain exceptions to any of the specifications requested by the City. Exhibit C below summarizes the scoring process: Exhibit C: Proposal Scorina Summary Evaluation Criteria Percentage of Score Technical Evaluation 56.00 Cost Evaluation 40.00 Total Score 96.00 8-3 Purchase of Lifeguard Rescue Vessel March 8, 2016 Page 4 ENVIRONMENTAL REVIEW: Staff recommends the City Council find this action is not subject to the California Environmental Quality Act (CEQA) pursuant to Sections 15060(c)(2) (the activity will not result in a direct or reasonably foreseeable indirect physical change in the environment) and 15060(c)(3) (the activity is not a project as defined in Section 15378) of the CEQA Guidelines, California Code of Regulations, Title 14, Chapter 3, because it has no potential for resulting in physical change to the environment, directly or indirectly. NOTICING: The agenda item has been noticed according to the Brown Act (72 hours in advance of the meeting at which the City Council considers the item). ATTACHMENTS: Attachment A — Purchase Agreement with Willard Marine :• ATTACHMENT A PURCHASE AGREEMENT FOR ONE (1) LIFEGUARD RESCUE MARINE VESSEL FROM WILLARD MARINE, INC. This Purchase Agreement ("Agreement") is entered into as of this 8th day of March, 2016 ("Effective Date"), by and between the CITY OF NEWPORT BEACH, a California municipal corporation and charter city ("City"), and Willard Marine, Inc., a California corporation ("Vendor"), whose principal place of business is 1250 North Grove Street, Anaheim, CA 92806. RECITALS A. City is a municipal corporation duly organized and validly existing under the laws of the State of California with the power to carry on its business as it is now being conducted under the statutes of the State of California and the Charter of City. B. City requires One (1) Lifeguard Rescue Marine Vessel ("Equipment"), as set forth in Exhibit A, which is attached and incorporated herein by this reference. C. Vendor has carefully reviewed and evaluated the specifications set forth by the City for the Equipment and has committed to deliver the Equipment required for the price specified in this Agreement within Two Hundred Forty (240) calendar days commencing upon execution of this Agreement. D. City has solicited and received a proposal from Vendor, has evaluated the expertise of Vendor, and desires to submit an order for the Equipment under the terms and conditions set forth in this Agreement. NOW, THEREFORE, in consideration of the mutual representations, warranties and covenants, and other terms and conditions as set forth herein, Vendor and City (each a "Party" and together the "Parties") agree as follows: 1. TERM The Term of this Agreement shall commence on the Effective Date and shall terminate on October 31, 2016 unless terminated earlier as set forth herein. 2. COMPENSATION City shall pay the purchase price as more fully described in the Pricing Proposal attached hereto as Exhibit A and incorporated herein by reference. The purchase price for Equipment, including all sales taxes, shall not exceed Three Hundred Ninety Four Thousand Seven Hundred Ten Dollars and no/100 ($394,710.00) ("Purchase Price"). Willard Marine, Inc. Page A-1 a 3. ADMINISTRATION This Agreement will be administered by the City's Municipal Operations Department. The Deputy Municipal Operations Director, or designee, shall be the Purchase Administrator and shall have the authority to act for City under this Agreement. The Purchase Administrator or designee shall represent City in all matters pertaining to the services to be rendered pursuant to this Agreement. 4. DELIVERY 4.1 Unless otherwise agreed to in writing by the parties, delivery to City of the Equipment shall be made within Two Hundred Forty (240) calendar days from the execution of the Agreement. The date of delivery shall be referred to as the "Delivery Date" or "Shipment Date" as those terms are used in this Agreement. 4.2 Delivery shall be made to the County of Orange Harbor Patrol facility at 1901 Bayside Drive, Corona del Mar, CA 92625, or such other location as may be designated by City in writing. Time of delivery is of the essence in this Agreement. City reserves the right to return Equipment not conforming to applicable specifications. City reserves the right to refuse the Equipment, or part thereof, and to cancel all or any part of the Equipment not conforming to applicable specifications, samples or descriptions. Acceptance of any part of the order for Equipment shall not bind City to accept future shipments nor deprive City of the right to return Equipment already delivered to City. . Over shipments and under shipments of Equipment shall be only as agreed to in writing by City. Delivery shall not be deemed to be complete until all Equipment have actually been received and accepted in writing by the City. 4.3 Vendor shall submit all requests for extensions of time for delivery in writing to the City Purchase Administrator not later than ten (10) calendar days after the start of the condition that purportedly causes a delay. The Purchase Administrator shall review all such requests and may, at his/her sole discretion, grant reasonable time extensions for unforeseeable delays that are beyond Vendor's control. 4.4 The Parties agree that it is extremely difficult and impractical to determine and fix the actual damages that City will sustain should the Vendor fail to complete the delivery as called for in this Agreement. Should Vendor fail to complete the delivery as called for in this Agreement, Vendor agrees to the deduction of liquidated damages in the sum of One Hundred Fifty Dollars and 00/100 ($150.00) per day, for every day beyond the date scheduled for delivery provided in Section 4.1. Execution of this Agreement shall constitute agreement by the City and Vendor that the sum of One Hundred Fifty Dollars and 001100 ($150.00) per day, is the minimum value of costs and actual damages caused by the failure of Vendor to deliver the Equipment within the allotted time. All liquidated damages shall be paid within ten (10) calendar days of City's written request for payment. Such sum is liquidated damages and shall not be construed as a penalty, and may be deducted from payments due the Vendor, or recovered from Vendor, as applicable, if such delay occurs. ACCEPTANCEI PAYMENT Unless otherwise agreed to in writing by City, acceptance of the Equipment shall not be deemed complete unless in writing and until all the Equipment, including each part thereof, has actually been received, inspected and tested to the satisfaction of City. Once acceptance of the Equipment is complete, City shall pay Vendor within thirty (30) calendar days thereafter. Unless otherwise agreed to in writing by City and Vendor, payment of Purchase Prices shall be under the following terms'. 5.1. City shall provide payment in the amount of One Hundred Ninety Seven Thousand Three Hundred Fifty Five Dollars and 001100 ($197,355.00), which payment represents fifty percent (50%) of the total Equipment cost, within thirty (30) days of the Effective Date. 5.2 City shall provide a second and final payment in the amount of One Hundred Ninety Seven Thousand Three Hundred Fifty Five Dollars and 001100 ($197,355.00), within thirty (30) days of the Date of Delivery. 53 Should the Date of Delivery not occur within 180 days of the Effective Date as required herein, and/or this Agreement is terminated, upon written demand by City, all sums paid by City shall be promptly returned to City by Vendor. 6. NOTICES 6.1 All notices, demands, requests or approvals to be given under the terms of this Agreement shall be given in writing, and conclusively shall be deemed served when delivered personally, or on the third business day after the deposit thereof in the United States mail, postage prepaid, first-class mail, addressed as hereinafter provided. 6.2 All notices, demands, requests or approvals from Vendor to City shall be addressed to City at: Attn: Municipal Operations Director Municipal Operations Department City of Newport Beach 100 Civic Center Drive PO Box 1768 Newport Beach, CA 92658 Phone: 949-644-3059 Fax: 949-650-0747 Email: mpisaniAnewportbeachca.gav 6.3 All notices, demands, requests or approvals from City to Vendor shall be addressed to Vendor at: Willard Marine, Inc. TAXES The Total Compensation amount includes any and all applicable taxes and fees, including federal, state and/or local sales or use taxes. Under the City's Direct Payment Exemption permit number SF EAA 24-089475 DP, City shall self -accrue its Use Tax obligation to the California State Board of Equalization in the applicable amount within thirty (30) days of Equipment delivery to the City. If only partial delivery of Equipment is received, the City will only pay the State Board of Equalization the amount of Use Tax due on the value of the Equipment delivered. 8. ENTIRE AGREEMENT This Agreement contains the entire Agreement between the Parties with respect to all matters herein, and there are no restrictions, promises, warranties, or undertakings other than those set forth herein or referred to herein. No exceptions, alternatives, substitutes or revisions are valid or binding on City unless authorized by City in writing. Electronic acceptance of any additional terms, conditions or supplemental agreements by any City employee or agent, shall not be valid or binding on City unless accepted in writing by the Purchase Administrator. The terms of this Agreement shall supersede any inconsistencies between this Agreement and the Exhibits hereto. 9. WARRANTY 9.1 Vendor expressly warrants that the Equipment covered by this Agreement is free of liens or encumbrances. 9.2 Vendor and manufacturer's warranties and certifications are attached hereto as Exhibit B, and incorporated in full by this reference. The Warranty Period shall commence on the date the Equipment is accepted by the City. All warranty repair work shall be conducted by Vendor or a Vendor -certified dealer/agent in the Southern California region. 9.3 As of the Effective Date of this Agreement the Vendor -certified dealer/ agent for purposes of all repairs and warranty work is: Willard Marine, Inc., 1250 North Grove Street, Anaheim, CA 92806. 9.4 In the event that Vendor designates a different certified dealer/agent for the Southern California region, Vendor shall provide City with written notice of such change within ten (10) days of the change. Willard Marine, Inc. Page 4 10. ASSIGNMENT OR SUBCONTRACTING The terms, covenants, and conditions contained herein shall apply to and bind the heirs, successors, executors, administrators and assigns of the Parties. Furthermore, neither the performance of this Agreement nor any portion thereof may be assigned or subcontracted by Vendor without the express written consent of City. Any attempt by Vendor to assign or subcontract the performance or any portion thereof of this Agreement without the express written consent of City shall be invalid and shall constitute a breach of this Agreement. 11. TERMINATION 11.1 In the event that either Party fails or refuses to perform any of the provisions of this Agreement at the time and in the manner required, that Party shall be deemed in default in the performance of this Agreement. If such default is not cured within a period of ten (10) working days after receipt of written notice of default specifying the nature of such default and the steps necessary to cure such default, or if more than ten (10) working days are reasonably required to cure the default and the defaulting Party fails to give adequate assurance of due performance within ten (10) working days after receipt of written notice of default, or thereafter fails to diligently take steps to cure the default, the non -defaulting Party may terminate the Agreement forthwith by giving to the defaulting Party written notice thereof. City shall be refunded all money for Equipment not delivered and accepted by City at time of termination within thirty (30) calendar days. Cause for default shall further be defined as any material breach of this Agreement, any misrepresentation or fraud on the part of the Vendor and/or filing of any petition in U.S. Bankruptcy Court or entering of Bankruptcy by Vendor. 11.2 Notwithstanding the above provisions, City shall have the right, at its sole discretion without cause, of terminating this Agreement at any time by giving thirty (30) calendar days prior written notice to Vendor. In the event of termination under this Section, City shall pay Vendor for services performed and costs incurred or accrued up to the effective date of termination for which Vendor has not been previously paid. City shall be refunded all money paid to Vendor for Equipment not delivered and acceptable by City at time of termination within thirty (30) calendar days. Within fifteen (15) days of the effective date of termination, Vendor shall deliver to City all equipment, reports, documents and other information developed or accumulated in the performance of this Agreement, whether in draft or final form. 12. CONSENT TO BREACH NOT WAIVER No term or provision of this Agreement shall be deemed waived and no breach excused, unless such waiver or consent shall be in writing and signed by the Party claimed to have waived or consented to such breach. Any consent by any Party to, or waiver of, a breach by the other, whether express or implied, shall not constitute consent to, waiver of, or excuse for any other different or subsequent breach. Willard Marine, Inc. Page 5 13. REMEDIES NOT EXCLUSIVE The remedies for breach set forth in this Agreement are cumulative as to one (1) another and as to any other provided by law, rather than exclusive; and the expression of certain remedies in this Agreement does not preclude resort by either Party to any other remedies provided by law. 14. INDEMNIFICATION 14.1 To the fullest extent permitted by law, Vendor shall indemnify, defend and hold harmless City, its City Council, boards and commissions, officers, agents, volunteers, and employees (collectively, the "Indemnified Parties") from and against any and all claims demands, obligations, damages, actions, causes of action, suits, losses, judgments, fines, penalties, liabilities, costs and expenses (including, without limitation, reasonable attorney's fees, disbursements and court costs) of every kind and nature whatsoever which occur as a result of injury, death or damage to property (individually, a Claim; collectively, "Claims"), which may arise from or in any manner relate (directly or indirectly) to any breach of the terms and conditions of this Agreement, any work performed or services provided under this Agreement including, without limitation, defects in workmanship or materials (including the negligent and/or willful acts, errors and/or omissions of Vendor, its principals, officers, agents, employees, suppliers, consultants, subcontractors, anyone employed directly or indirectly by any of them or for whose acts they may be liable or any or all of them). 14.2 Notwithstanding the foregoing, nothing herein shall be construed to require Vendor to indemnify the Indemnified Parties from any Claim arising from the negligence or misconduct of the Indemnified Parties. 14.3 Nothing in this indemnity shall be construed as authorizing any award of attorneys' fees in any action on or to enforce the terms of this Agreement. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by the Vendor. 14.4 LIMITATION OF LIABILITY: NOTWITHSTANDING ANYTHING TO THE CONTRARY, VENDOR SHALL HAVE NO LIABILITY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES OR LOSS OF PROPERTY, FINANCIAL LOSS, LOST PROFITS OR EXPENSES, ARISING OUT OF OR AS A RESULT OF THE PERFORMANCE OR NONPERFORMANCE BY THE VENDOR UNDER ANY THEORY OF LIABILITY, WHETHER BASED ON CONTRACT, TORT OR OTHERWISE, EVEN IF THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 15. CHARGES AND LIENS Vendor shall pay promptly all indebtedness for labor, materials and equipment used in performance of the work. Vendor shall not permit any lien or charge to attach to the equipment, but if any does so attach, vendor shall promptly procure its release and, Willard Marine, Inc. Page 6 in accordance with the requirements of section 14 above, indemnify, defend, and hold city harmless and be responsible for payment of all costs, damages, penalties and expenses related to or arising from or related thereto. 16. INSURANCE Without limiting Vendor's indemnification of City, and prior to commencement of work, Vendor shall obtain, provide and maintain at its own expense during the term of this Agreement or for other periods as specified in this Agreement, policies of insurance of the type, amounts, terms and conditions described in the Insurance Requirements attached hereto as Exhibit C, and incorporated herein by reference. 17. CHANGE OF OWNERSHIP Vendor agrees that if there is a change or transfer in ownership of Vendor's business prior to completion of this Agreement, the new owners shall be required under terms of sale or other transfer to assume Vendor's duties and obligations contained in this Agreement and complete them to the satisfaction of City. 18. FORCE MAJEURE Vendor shall not be assessed with liquidated damages or unsatisfactory performance penalties during any delay beyond the time named for the performance of this Agreement caused by any act of God, war, civil disorder, employment strike or other cause beyond its reasonable control, provided that Vendor gives written notice of the cause of the delay to City within forty-eight (48) hours of the start of the delay and Vendor avails itself of any available remedies. 19. CONFIDENTIALITY Vendor agrees to maintain the confidentiality of all City and City -related records and information pursuant to all statutory laws relating to privacy and confidentiality that currently exist or exist at any time during the term of this Agreement. All such records and information shall be considered confidential and kept confidential by Vendor and Vendor's staff, agents, employees and subcontractors. Except as otherwise required by state or federal law, city agrees to maintain the confidentiality of all confidential and/or proprietary information provided by vendor. City further acknowledges that vendor shall retain all intellectual property rights in the content and other materials that are provided by vendor to city under this agreement. 20. FREIGHT (F.O.B. DESTINATION) The Total Compensation includes shipment and delivery of Equipment to designated City location. Vendor assumes full responsibility for all transportation, transportation scheduling, packing, handling, insurance, and other services associated with delivery of all products deemed necessary under this Agreement. Willard Marine, Inc. Page 7 21. TERMS AND CONDITIONS Vendor acknowledges that it has read and agrees to all terms and conditions included in this Agreement. 22. SIGNATORIES AUTHORITY Each person executing this Agreement expressly warrants that he or she is authorized to do so on behalf of the entity for which he or she is executing this Agreement. The City and Vendor represent and warrant that this Agreement is executed voluntarily, with full knowledge of its significance. 23. STANDARD PROVISIONS 23.1 Recitals. City and Vendor acknowledge that the above Recitals are true and correct and are hereby incorporated by reference. 23.2 Compliance with all Laws. Vendor and City shall at its own cost and expense comply with all statutes, ordinances, regulations and requirements of all governmental entities, including federal, state, county or municipal, whether now in force or hereinafter enacted. 23.3 Integrated Contract. This Agreement represents the full and complete understanding of every kind or nature whatsoever between the Parties hereto, and all preliminary negotiations and Agreements of whatsoever kind or nature are merged herein. No verbal contract or implied covenant shall be held to vary the provisions. herein. 23.4 Conflicts or Inconsistencies. In the event there are any conflicts or inconsistencies between this Agreement and the Exhibits attached hereto, the terms of this Agreement shall govern. 23.5 Amendments. This Agreement may be modified or amended only by a written document executed by both Vendor and City and approved as to form by the City Attorney. 23.6 Controlling Law and Venue. The laws of the State of California shall govern this Agreement and all matters relating to it and any action brought relating to this Agreement shall be adjudicated in a court of competent jurisdiction in the County of Orange, State of California. The California Commercial Code shall be the controlling law for the terms of this Agreement. 23.7 Equal Opportunity Employment. Vendor represents that it is an equal opportunity employer and it shall not discriminate against any subcontractor, employee or applicant for employment because of race, religion, color, national origin, handicap, ancestry, sex, age or any other impermissible basis under law. 23.8 Interpretation. The terms of this Agreement shall be construed in accordance with the meaning of the language used and shall not be construed for or Willard Marine, Inc. Page 8 8-12 against either Party by reason of the authorship of the Agreement or any other rule of construction which might otherwise apply. 23.9 Severability. If any term or portion of this Agreement is held to be invalid, illegal, or otherwise unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall continue in full force and effect. 23.10 No Attorneys' Fees. In the event of any dispute or legal action arising under this Agreement, the prevailing Party shall not be entitled to attorneys' fees. 23.11 Counterparts. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. GENERAL DESCRIPTION It is the intent of these specifications to describe, in detail, the construction, machinery installation, outfitting, equipping and delivery of one (1) 29.5 -foot twin-screw ocean rescue boat. The boat shall be similar in appearance, build, and performance to the current Lifeguard Rescue Boats. The boat shall be delivered afloat to 1901 Bayside Drive, Corona Del Mar, CA, completely equipped as hereafter described and ready for service. 2. PROPOSED USE The boat will be used for providing immediate initial response to swimmer rescues, and marine emergencies, particularly in or near the surf zone, where the ability to maneuver and back quickly is of prime importance. 3. ESTIMATED LIFE The specified boat will have an expected life of not less than twenty-five (25) years. The boat builder should bear this in mind when designing and building the boat. For this reason, certain minimum qualities of material and workmanship are specified which may exceed those normally furnished in pleasure boats. 8-23 WILLARD MARINE` 4. PERFORMANCE REQUIREMENTS The vessel shall be capable of performing the following test while carrying all of the specified equipment and payload. Payload shall include a 180 -gallon full fuel tank, personnel, required rescue gear, miscellaneous equipment; which weighs approximately 2000 pounds. WMI will provide a 180 -gallon marine -grade 5086 aluminum fuel tank. The vessel will sufficiently carry specified payload. a. The vessel shall be able to maintain an average two way speed of not less than 32 knots on calm water without exceeding the manufacturer's rated maximum engine speed. Vessel is predicted to reach minimum of 32 knot. b. The vessel shall be able to make a two hour test run without power loss, overheating of engines, structural damage, or running out of fuel while maintaining a cruising speed of not less than 24 knots. c. The vessel shall be able to start from a dead still position to a full plane in a maximum of 75 yards. d. The vessel shall be capable of making a full throttle, hard over, 180 -degree turn without causing damage to the hull orthe steering components or become unstable. e. The performance of the new rescue boat shall be similar to the current rescue vessels deployed by the City of Newport Beach. The boat offered is the same exact model and hull of the current NBFD rescue vessels. S. HULL The hull is to be a conventional "V" bottom, hard -chine type; in accordance with the most modern practice for high-speed service under severe open sea weather conditions. It is considered that this form of hull will produce the minimum destructive wake for operation at planing speed in confined waters. The hull must be of proven design and construction and similar to the hulls of the current rescue boat fleet. The vessel offered has a V -bottom with hard chines and a shallow draft to reduce wake at high speeds. Crystaliner Boats have been used for rescue and patrol for decades, with many original models still in service. 8-24 Ago WILLARD MARINE' a. Dimensions Length: overall 29.5 to 30 feet, plus swim step. LOA: 29' 6" ii. Beam at sheer: minimum 11 feet. BOA: 11' iii. Freeboard aft: approximately 33 inches. iv. Freeboard forward: approximately 45 inches. b. Construction The hull shall be constructed of hand -laid fiberglass, as specified. Chopper gun lay-up is not acceptable. The longitudinal stringers shall be of maximum thickness covered with layers 1% -ounce mat and two layers of 24 -ounce roving, with additional mat and roving used in securing stringers to center section of the hull, bulkheads and transom. Spray rails shall be laminated wherever possible. Hull construction shall include two longitudinal lifting strakes per side: one extending from the stern and the other extending from the stern approximately two-thirds the distance to the stern. Each shall be molded into the bottom during the lay-up process of the fiberglass. Limber holes shall be provided where necessary to provide for proper drainage. Cabin, deck structure and hull shall be bonded together using mat -and - roving process, with a minimum two layers of 24 -ounce roving and two layers of Vi -ounce mat. A 1Y/ -inch x %- inch black vinyl rub rail and one inch stainless steel covering shall be provided along the shear and transom. There shall be two (2) watertight bulkheads; one (1) anchor chain locker, the cutout shall be lined with stainless molding, and one (1) forward engine room. WMI has consulted with the previous Crystaliner Manufacturing Manager to discuss the details of this layup schedule and have confirmed that we can meet this requirement. All detail mentioned will be included in the vessel. c. Materials All material used shall be of the highest quality. All fasteners shall be stainless steel, grade 18-8, 300 series or equal. All self-locking nuts shall be stainless with "NY -LOC" inserts. All through -hull fitting shall be bronze. Any type of iron, galvanized iron, aluminum or plastic -type materials will not be accepted unless specified. All fiberglass, roving, mat, etc., shall be high-quality marine grade. All lay ups shall be of polyester laminating resin. All plywood or material of equivalent strength shall be marine grade. All materials used on the vessel will be high-quality marine -grade. 8-25 Nk *�11_3_) IF' WILLARD MARINE' d. The hull components shall have the following minimum thicknesses: i. Hull bottom: % inch thick — one layer of 7% -ounce cloth, five layers of 24 -ounce roving, and six layers of 1% -ounce mat. ii. Keel and stem area: one layer of 7% -ounce cloth, eight layers of 24- ounce roving, and nine layers of 1% -ounce mat. iii. Hull sides: 3/8 inch thick— one layer of 7%2 -ounce cloth, three layers of 24 -ounce roving, four layers of 1%Z -ounce mat. iv. Transom % inch thick —one layer of 7%z -ounce cloth, four layers of 24- ounce roving, five layers of 1% -ounce mat. V. Decks 5/8 inch think". vi. Plywood, or material of equivalent strength, and fiberglass covered watertight bulkheads of sufficient strength shall be provided. 6. DECK CONSTRUCTION a. Minimum thickness of 5/8 inches. b. Fiberglass lay-up of mat and cloth, or equivalent. Lay-up of mat and cloth used. c. Vessel shall have two inside deck levels: i. Lower aft deck. ii. Engine compartment and control area deck. d. Cockpit decks, hatch covers and bow decks shall be fiberglass covered on all sides, have gutters, be weather tight and self -draining. e. Cockpit hatches shall be wide enough to allow easy servicing of outboard side of each engine by access over the top of engine and shall be long enough to service the fore and aft engine components, including the transmission and propeller shaft packing nuts from the engine compartment. There shall be no cover boards at this deck level. Center hatch shall be shortened as to not interfere with tow bitt. The hatch and deck shall be flush. f. The solid stock used in all hatches shall be machined -screwed to plywood or material of equivalent strength prior to fiber -glassing. Solid stock shall be counter -bored to recess screw end nuts. Hatches shall be reinforced. g. Aft cockpit deck shall slope aft and be self -draining through 2 -inch x 6 -inch (minimum size) fiberglass scuppers located on the transom as far outboard as possible. With hinged flaps. Scuppers shall be located at transom with flaps . h. Toe rails, if provided, shall be constructed of fiberglass during the lay-up process of the deck and shall be free of voids to permit proper fastening of chafing strips, etc. 8-26 wILLARD MARINE' i. Aft deck hatches will be water tight and allow for easy removal and inspection and service of fuel tank, bilge pump and alarm, and steering gear. No screws. Deck hatches will utilize a gasket seal with a latching system that is easily removable and flush with the deck. j. On the aft deck, the inner hull liner will be cut out to allow for a towline reel with 400 -foot capacity to be stored on the port side and equipment storage on the starboard side. The storage compartments will be self -draining. 7. CONTROL STATION AND COCKPIT a. A streamlined cockpit shall be provided on the main deck with helm seats that may be moved when the engine compartment needs to be fully accessed. Seats shall be made with re -cut foam and support, with 3/ -inch marine grade plywood or material of equivalent strength, and a light color gray vinyl for the cover. Hardware shall be constructed to supports seats when engine hatches are removed. Seat mounts shall be through -bolted with machine screws, lock nuts and finishing washers; seats shall be secured to the deck with a single fastener. Seats posts shall swing outboard away from center. Engine accessible seats will be mounted on swiveling pedestals, lockable. b. The forward side of the spray shield shall be curved and ranked aft, 48 degrees to 50 degrees from the fore deck, to insure good looks and lines. Spray shield will be made as requested. c. The cockpit shall be at a height, which will ensure unlimited visibility, raised approximately 2% inches, similar to the current rescue boats. d. The cockpit spray shield will have a forward sloping StarBoard, or equivalent material, windscreen across the front and around the forward corners, and shall be completely watertight. Starboard material to be used. e. A tubular stainless steel radar arch shall be installed over the cockpit area, aft of the seats, extending coaming to coaming. Arch shall be of sufficient strength to support radar, marine radio, (2) P.A. speakers, deck lights, lifeguard radio, and GPS antenna. Height of the arch from the distance between the deck and underneath side of the arch shall be a minimum of 79 inches. The height of the radar arch shall be raised to compensate for any raise in the floor, and as much equipment as possible shall be mounted on top of the arch to allow clearance underneath. Maximum height shall be approved by Newport Beach Fire Department. All details of the radar arch will be done on a drawing prior to fabrication. City can review, request changes, and approve. 8-27 SAII .t�;f;x WILLARD MARINE' f. A cabin door leading to the v -berth shall be located on the center of the boat, on the forward bulkhead, The cabin door shall have a step-down. The trim of the cabin door shall be made of gray StarBoard, or equivalent material, with a stainless steel foot -step covering the bottom of the entrance. Center doorway with Strarboard or equal door, SS steps. g. The control station and cockpit area shall be similar in construction, appearance, performance and durability as the current rescue vessels. The control station will be identical to current rescue vessels used by NBFD. 8. FORWARD CABIN a. The bulkhead of the cabin shall be located approximately 1S7 inches to 161 inches from the bow to provide optimum visibility while standing at the helm. b. The entrance to the cabin shall be through a center hatchway with a step down the sole of the cabin. Center hatchway shall be included in console design. c. An anchor locker with the capacity to store the required anchor, chain, and rode shall be at located at the forward portion of the cabin, at the bow. The anchor locker will have adequate drains, deck access through a stainless capped deck pipe, and a hatch that seals the locker from the main cabin. d. The forward cabin shall be configured to maximize storage and access to electrical components, electronics and mechanical systems. The configuration shall accommodate a head with storage tank and privacy screen, wash basin, hanging locker, bunk and work station, and seating. The bunk and seating shall have 4 -inch high density foam. This configuration may be determined at time of construction and shall be approved by City representatives. e. Storage compartments shall be shall be capable of securely storing the following; first aid box, resuscitator kit, spare oxygen bottles, diving gear, back boards, blankets, pump -out hose, lifejackets, tools, fenders and dock lines. Various item descriptions will be supplied at the time of construction. Drawers and cabinet doors will be self -latching. Dimensions shall be provided upon construction f. These areas shall have secured latches, easy access and be water tight. g. Cabin decking shall be covered with high-grade marine material to be provided by the builder and accepted by the City inspectors. h. All cabinet faces, door and drawerfaces, and counter tops shall be glassed and coated with gelcoat, color and pattern to be determined by City inspectors. i. StarBoard, or equivalent material, shall be used for wire runs, trim, and self - facing. 8-28 �L 0,10 WILLARD MARINE' j. LED daylight and red night lighting will be provided. LED dome light shall be white/red. 9. TRANSOM CUTOUT A 27% -inch cutout shall be provided at the center of the transom, matching the general lines of the transom. There shall be enough clearance to slide a person on a backboard through the doorway. The transom cutout shall be similar in construction, appearance, performance and durability to the current rescue vessels. 2.7.5" cutout to match the general lines of the transom. 10. UNDERWATER SWIM STEP The underwater swim step shall be a 10 -inch continuation of the bottom extending the full width of the hull. Thickness of the center section will be the distance from the top of the step to the bottom of the keel. The swim step shall be constructed of heavy fiberglass lay-up, attached with all -thread, then covered and attached further with a minimum thickness of 3/8 - inch mat and roving. The transom cutout shall be similar in construction, appearance, performance and durability as the 2003 City rescue vessel. The swim step shall be epoxy - coated and painted. Same mold as vessel currently used by NBFD. 11. TOWING BITT A 4 -inch O.D., polished stainless steel, thick wall tubing post shall be installed. The towing bitt shall be attached to the keel, aft engine bulkhead; both engine inboard longitudinal stringers and aft decking. The bulkhead, longitudinal stringers, decking, towing bitt and mounting hardware shall be sufficiently backed, braced and constructed to withstand towing vessels in heavy seas. Height of bitt shall be sufficient so that the towing line will clear the entire transom hardware. The towing bitt shall be stronger in construction, appearance, performance and durability than those on the current rescue vessels. SS towing bitts will be reinforced during the layup of the hull and deck. Height has been noted for design. 12. HARDWARE All hardware is to be polished stainless steel, with chromed brass as an acceptable alternative where stainless steel is not available. Galvanized steel or aluminum is NOT acceptable (exception only for anchor and anchor chain). All hardware will have adequate 3/16 -inch to %-inch stainless steel backing plates. Mounting location of the hardware will be determined at time of construction by the City. 8-29 W ILLARD MARINE* a. Bow bitt, 7% -inch minimum height, and shall be through -bolted. b. Two (2) spring mooring cleats, 8 inches to 10 inches in length, through -bolted (mounted below top sides). c. Two (2) stern mooring cleats, 8 inches to 10 inches in length, through- bolted (mounted below top sides). d. Two (2) bow chocks of appropriate length to accommodate %-inch line. e. Eight (8) 12" minimum rub rail strips shall be installed; one at each chalk, one at each spring hawse pipe, and two at each stern hawse pipe. f. All cleats, chocks, hawse pipes and bow bitt shall be able to accommodate 3/- inch line. g. Fuel and water tank fittings. h. Two (2) 3 -inch x 3 -inch right-angle stock, to be mounted on each transom corner, from sheer to chine guard, with flat head machine screws and nut caps. i. Any required hinges shall be stainless steel piano hinges. j. Steering wheel — 20 -inch minimum with turning spokes, and external wooden spokes k. Two stainless steel P.A. speaker mounts. One (1) on forward coaming and one (1) on radar arch. Location to be determined by the City at time of construction. 1. Bow hatch to be standard with translucent center panel. m. Stern cutout doorway stainless steel molding to be 23%2 inches x 1 inch x 1 inch, and shall be mounted on the forward portion of the doorway on each corner. n. A 7/8 -inch stainless -tubing Bimini Frame with Navy Blue canvas, Dacron thread, using #0 bronze hooks and welded snap eyes shall be installed. The top shall not interfere with equipment. The Bimini should fold forward onto the cockpit coaming, and shall be able to be secured to the coaming. The Bimini shall be fastened below the spray shield with stainless steel fasteners, and should be larger than — and more durable than — current rescue vessels. Size and material shall be determined by City. o. A 1 -inch rub strip shall be mounted on the top of the transom, extending as far outboard and inboard as possible to prevent wear on fiberglass from towline. Wood screws shall be well recessed to prevent towline chafing. p. A grab handle shall be mounted on each side of the transom door, extending from the sheer to the boot strip, with no center stanchion. q. All hose clamp/screw assemblies shall be the highest quality stainless steel. r. One (1) removable rail of 1 -inch tubing, shall be provided to "Bridge" the 8-30 ,r WILLARD MARINE. transom door opening. Curvature of rail shall be gradual, creating a smooth transom line that will not foul the tow line as it moves across the stern. A secure storage rack shall be provided under sheer deck. 1" SS tube, s. A step plate, 4 inches x 3 inches x 24 inches, 3/32 -inch to 1/8 -inch thick shall be installed on the aft wash deck, extending through the transom door and down the transom face. The plate shall be bedded and screwed flush with flat head wood screws t. Anchor Chain and Rode stainless capped deck pipe. 13. VENTILATION The engine and fuel tank ventilation system shall comply with the latest U.S. Coast Guard requirements. Exterior vents shall be of fiberglass, and the same color as the hull. Vent hosing shall be constructed of non -collapsing, non -corrosive material. Fuel system will be in compliance with USCG and EPA regulations 14. ANCHOR SYSTEM a. 221b. Delta Anchor with galvanized shackle, to be stowed vertically in the anchor chain locker bulkhead. Delta anchor to be supplied b. Anchor mounting hardware with set screws. c. 30 feet of 5/16 -inch ACCO Grade 70 hot -dipped galvanized high-test anchor chain. 30 -feet of high-test chain to be provided. d. 400 feet of 5/8 -inch white nylon three -strand line. 15. ENGINES AND TRANSMISSIONS a. Engines i. MerCruiser 8.21L gasoline engines. Painted, coated (or equivalent) to prevent corrosion. MerCruiser 8.21L to be installed. ii. The builder shall order the engines with wiring harnesses and all necessary accessories to install the engines. iii. Engines to have standard 65amp alternators. b. Transmissions i. The engines shall be equipped with Hearth HSW630A down angle transmissions with 1.5 reduction. They shall be full reversing. Painted, coated (or equivalent) to prevent corrosion. 8-31 WILLARD MARINE' 16. FUEL SYSTEM a. A 180 -gallon gasoline tank, constructed of a minimum 12 -gauge, aluminum, with a fuel tank sending unit shall be installed over the keel and/or longitudinal stringers, aft of the towing bitt. Installation shall allow future examination and removal without disturbance of the hull or deck structure. Tank shall be adequately supported and braced to prevent movement. The supports and braces shall be insulated from contact with the tank with non- abrasive and non-absorbent material, Neoprene rubber. The tank shall have a minimum of four (4) welded lifting eyes and one (1) bonding tab connected to the boat's bonding system. Installation of the deck fuel access shall be located on the topsides, for easy fueling. Removable with lifting eyes, 180 - gallon marine -grade 5086 aluminum tank to be supplied. b. There shall be a siphon type pick-up tube for each engine, minimum size to be determined by the engine manufacturer. c. Fuel shut-off valves shall be brass, #103 HD, accessible in engine compartment to stop fuel flow when servicing fuel filters. 17. COOLING SYSTEM a. Combination oil coolers and reverse -gear cooling systems shall be of the highest capacity and quality. They shall be compatible with said engines and shall be provided by the builder. b. The raw water sea strainers shall be provided and constructed of bronze with through -hull intakes to be fitted with separate high-speed pickups and screens. Grocco Bronze Seawater Intake Strainers/model SA, or approved equal. c. Raw water valves shall have stainless steel handles and shall be accessible through the center engine hatch. d. All hoses shall be heavy duty USCG approved, wire inserted, and with both ends double -clamped below the water line. 18. EXHAUST SYSTEM The engines shall be provided with non -corrosive exhaust systems designed to provide as close to zero back pressure as possible at the exhaust manifold outlet when the engine is operated at full speed and full power. The exhaust "Y" shall be of fiberglass 8-32 WILLARD MARINE' 19. ENGINE BED/MOUNT SYSTEM a. The high-speed use of this vessel in high seas and the surf zone will include frequent full -throttle acceleration, full -throttle turns, and deceleration loading that may cause the engine mounting system to bear severe loading during full -throttle maneuvers. The boat builder shall determine the proper thickness (depth) and strength of the engine beds. b. Engine beds shall be constructed of stainless steel and designed in such a way as to fully cap the engine stringer and be bolted through the engine stringer (LAG BOLTS WILL NOT BE ACCEPTED). The bed design shall be inspected and approved by City. c. Appropriate engine mounts to be used with thrust plates. d. The engine beds shall be constructed to eliminate oil -trapping spaces. e. Significant space shall be provided to allow for proper alignment by mechanics. This shall be increased over the inadequate space provided in the current rescue boats. Space to be maximized and components arranged conveniently for service 20. ENGINE ALIGNMENT The alignment of the coupling flanges of the reduction gear and propeller shaft shall be parallel within .002 inches. With the engines aligned, motor mounts, after adjustment, shall have a minimum of Y inch down and % inch up, and side to side movement for future adjustments. 21. SHAFT LOGS Shall be a fiberglass tube glassed into the bottom of the boat. This shall be a drip -less packing system, self -aligning and connected to the shaft log with hose double -clamped at each end. Space shall be retained between the drip -less system and the transmission flange for the installation of the bonding system wiper brushes. The shaft logs shall be the same as the current rescue boats. Shaft logs to be same as current boats used by NBFD. 8-33 RA i WILLARD MARINE' 22. STRUTS Two (2) heavy-duty cast manganese bronze, single arm struts with rubber cutlass bearings shall be installed and aligned. Struts will be bolted with 3/8 -inch silicone bronze carriage bolts through the bottom and inside stainless steel backing plates. Intermediate struts to be installed if necessary. The rudder shall be 12 inches from the furthest point of the transom. 23. PROPELLER SHAFTS Two (2) NITRONICO 50 (XM -19) Stainless Steel propeller shafts, 1Y2 -inch diameter, machined to SAE standards with double brass castle nuts and stainless steel cotter pins. Propeller shaft flange shall be the "clamp fit" type. Propeller shaft couplings shall be epoxy coated. 24. PROPELLERS Selection of propeller diameter and pitch shall be determined by the boat builder to match maximum engine R.P.M. specified by engine manufacturer. Four (4) propellers total [two (2) left rotation and two (2) right rotation] shall be provided, dynamically and hydraulically balanced, three (3) blade, and 1%2 -inch shaft with tapered, keyed hole. See also Performance Requirements, Item No. 6 on Page 6 for more information. 25. RUDDER SYSTEM a. Steering wheel shall be "Morse," 20 -inch diameter or larger, stainless steel destroyer type, without rudder indicator, mounted vertically and centered, 7 inches to left of center line of throttles. b. The builder shall install a hydraulic steering system. The steering system at the aft end shall be anchored with a stainless steel mount and bolts and be sufficiently strong to withstand rudder loads during high-speed turns. c. Rudder arms shall be heavy-duty bronze, keyed to rudder post and clamped with stainless steel machine bolts. Heavy duty stops shall be installed to limit rudder angle to 55 degrees, port or starboard. 8-34 WILLARD MARINE' d. Connecting rod, clevis, pins, lock nuts and cotter keys shall be solid stainless steel. The rudder connecting arm shall be solid stainless or stainless tubing. Adjustments shall be possible by S.A.E., N.F., or N.C.; left- and right-hand threads on opposite ends of the connecting rod and lock nuts. Thread purchase in the clevises, after adjustment, shall be equal to at least the diameter of the connecting rod. Clevises shall be secured to connecting rods with cotter keys after final adjustment of rudders. e. Rudder ports shall be manganese bronze, 1 -3/8 -inch inside diameter. Rudder port sleeves shall be cut to allow 1/8 -inch projection outside of hull, These sleeves shall be tightly fitted in hull bottom for support during high-speed turns. Rudder ports shall be secured to hull with silicone bronze carriage bolts. f. The upper support bearing for each rudder shaft shall be located as high as the aft deck permits to better withstand rudder side Loads during high speed turns. Bearings shall be bronze. g. A stainless steel locking collar with stainless steel set screws shall secure the rudders from slipping downward. h. Rudders shall be manganese bronze with NITR©NIC° 50 (XM -19) Stainless Steel, 1 -3/8 -inch shafts. Rudder pattern shall be well balanced to minimize turning effort, have sufficient blade speed steerage, and shall be selected to have maximum strength to withstand high speed full -throttle turns. 26. ALARM SYSTEM Three (3) heavy-duty float switches shall be connected to an "Aqua -alarm" marine bell mounted out of the weather, near helm. A float switch shall be mounted adjacent to each automatic bilge pump. Alarm breaker shall be independent of the main battery switches. Float switch leads shall be connected to their main leads by non -corrosive terminal boards. 27. ENGINE THROTTLES AND TRANSMISSION CONTROLS Shall be mounted, centered on instrument panel, placed as close as possible to each other, throttles adjacent. Transmission controls shall be two (2) "Morse"; throttle controls shall be two (2) "Morse Twin." "Morse" connection kits and heavy duty cables shall be installed on the engines and transmissions. Transmission control knobs shall be black, throttle control knobs shall be red. Any control system shall be approved by City. 8-35 WILLARD MARINE' 28. WATER TANK Water tank shall be a minimum of 25 gallons, constructed of quality plastic, location to be determined by builder. Fill pipe shall have watertight deck plate suitably marked for identification. A plastic hose shall lead to a suitable auto pump, via an inline filter. Auto pump and filter to be located high in engine compartment in location protected from moisture. The pump mounting area shall be easily accessible to work on or remove or install pump. Pump discharge plastic hose shall lead to a standard bronze hose bib with bronze handle in aft cockpit area. The specific location of water tank shall approved by the City. 29. INSTRUMENT PANEL The following instruments shall be provided and mounted in the instrument control panels located at the control center. A group of instruments shall be provided for each engine. The instruments shall be mounted on the starboard side of the gearshift and throttles. a. Tachometers (electric). b. Oil pressure gauges (electric). c. Engine water temperature gauges (electric). d. Ignition switches with starter buttons for each engine (keyless). e. Manual bilge switches with pump "on" lights. f, Volts meters. g. Fuel gauge. h. Sounding alarm for engine oil pressure loss, coolant over -temperature, and transmission temperature. L Malfunction indicator lights for oil pressure, coolant temperature, and transmission temperature. j. Two (2) "Hobbs" hour meters to be connected to the ignition switches of the engines and mounted in the helm location. 30. COMPASS One (1) compass, 4 -inch minimum, lighted, Kelvin -white or equal, flush mounted into centerline of the control center and properly adjusted after launch. A deviation card shall be supplied. 8-36 WILLARD MARINE' 31. BILGE PUMPS a. 12 -Volt, 1 -inch of the highest quality pumps shall be provided for each compartment that is not watertight. Mounting surface shall be made of laminated wood for easy future bilge pump replacement. b. Pumps shall be automatic and manually controlled and shall pump water overboard at a minimum of 1,500 gallons per minute. c. The through -hull fittings shall be bronze. d. Red "on" lights shall be located at the operator's console. e. Heavy-duty float switches shall be mounted adjacent to each bilge pump. 32. 12 -VOLT ELECTRICAL SYSTEMS a. Batteries -The builder will provide 4 (four) Blue Top batteries for starting the engines. The boat builder will make provisions for mounting the batteries and connecting them into the electrical system. Batteries shall be located to make accessible for servicing. They shall have a 33% reserve factor. The contractor will install heavy-duty battery terminals. The contractor shall install heavy-duty battery terminals. The battery box shall be fiberglass, painted with Linear Polyurethane or equivalent to match the area it is located in. The front wall of the battery box shall be hinged for easy battery removal. The cover shall have a locking mechanism. b. Alternators - One (1) marine quality alternator per engine (the manufacturer's rated capacity must be at least 65 amperes). c. Wiring i. All wiring shall be color -coded or identified by numbers or letters. ii. All wiring shall be neatly run, secured and protected where necessary against mechanical injury, heat, oil or moisture. iii. Tinned wiring shall be used to prevent excessive corrosion if crimp -type solder -less terminals are used. iv. Crimping, connectors, and electrical connections, including breakers, shall be covered with adhesive shrink tubing. V. All wiring shall be run as high as practical above the bilge's to minimize moisture expose. vi. NO splices or butt connectors shall be allowed in any wiring run. vii. On Iv "3 M" (o r ao oro ved ea u al) insulated heat -shrink connectors will be permitted. 8-37 lk*AF WILLARD MARINE' viii. All wire runs shall have 6 -inch minimum slack loop at each end. ix. Circuit Protection 1. Each circuit, except for starter and ignition circuits shall be provided with adequate circuit breakers accessible in the forward cabin. 2. Fuses are not acceptable. d. One master disconnect switch shall be provided for battery selection. Switch locations shall be designated by the City at the time of installation. e. Electrical panel shall be recessed and mounted in readily accessible location in the forward cabin. f. Panel shall be hinged and adequately latched to prevent vibration and shocks from opening it underway and to allow for easy servicing. g. Panel shall contain sufficient breakers to control all electrical devices and lighting circuits. 33. SHORE POWER SYSTEM a. Builder shall install a 120 -volt receptacle to power a battery charger to be supplied by the builder. b. A 50 -foot compatible shore power cord shall be supplied by the builder. c. Shore power location to be determined by the City. d. Add a duel circuit breaker system to shore power system. 34. LIGHTING Shall be marine grade LED and provide red night lighting as well as daylight or white lighting. The following lamps and fixtures shall be provided. Lamps shall be selected to provide good appearance, reliability, long life and assurance of local availability. a. Forward storage (under the deck) b. Engine Compartment c. Deck lighting d. Lighting shall be provided on the control instrument panel that illuminates controls, switches, etc. e. All switches shall be marine -type, using the highest quality materials and components. 8-38 Ar WILLARD MARINE` f. Two (2) adjustable deck -illumination lights mounted on the radar arch. g. Forward and rear facing spot lights. 35. EMERGENCY WATER PUMP One (1) water pump (same as current rescue boats), with magnetic clutch -drive by the starboard engine, shall be installed with an electro -polished heavy-duty stainless steel mount sufficiently strong enough to prevent pump wobble, and slotted for adjustment of V -belts. If the engine -driven pump is not compatible with the engine, the builder will research the feasibility of an electric pump. a. Discharge shall be through the starboard hull below the helm. b. Intake will be connected to one (1) 3 -way valve permitting pumping at two (2) points: one (1) shall be at the lowest portion of the bilge just aft of the forward bulkhead, the second point shall have 40 feet of heavy duty 1% -inch non -collapsing, all -plastic hose with slip on the ends. c. Both intakes shall have protected screens. d. Hose storage shall be in the cabin. e. A breaker shall protect the pump. f. The pump shall be controlled by a quality pull switch accessible from the helm. 36. RADAR ARCH a. The builder shall install a stainless steel tubular radar arch that shall be installed over the cockpit and, aft of the seats, extending from coaming to coaming. The design shall be approved before construction. b. The arch shall have sufficient strength to support the radar array, two (2) P.A. speakers, deck lights, search light, Lifeguard and VHF radio antennas, GPS antenna, and navigation lights. Equipment shall be mounted on top of the arch. c. The height of the arch from the distance between the deck and the underside of the arch shall be determined at time of construction, but not less than 80 inches or greater than 84 inches. d. The Bimini Top shall not interfere with the operations of the radar arch and equipment. e. The arch shall be of similar construction and appearance of the other Newport Lifeguard Rescue Vessels. 8-39 WILLARD MARINE' 37. FIRE EXTINGUISHING SYSTEM a. The builder shall provide one (1) Class 40 B&C hand-held fire extinguisher and stainless steel mounting bracket. This system shall be Coast Guard approved and the same as the current rescue boats. b. The builder shall provide and install an automatic fire suppression system in the engine compartment with a manual pull -to -discharge cable. The fire system shall cover an area of no less the 350 cubic feet and shall be dry chemical substance. c. The City will determine the location of the fire suppression equipment at the time of construction. 38. CORROSION CONTROL The boat builder shall ground the boat adequately and install zincs where necessary to protect underwater hardware against electrolytic action. "Electro -guard" system with shaft brushes shall be installed. Each engine, propeller shaft, shaft log, strut, rudderpost and port, and all underwater through -hull fittings shall be bonded by a No.10 copper (solid) plastic -covered wire without a break in the wire. "Test Lead" wire shall be used to bond rudderposts, due to the rudder movement. Wiring shall be properly secured along the entire length. Each wire run shall have a six-inch extra wire loop at each end for future repairs. The main zinc anode shall be recessed into the swim step and counter sunk. Zinc shaft collars shall be installed on each propeller shaft. 39. BOAT COVER The builder shall supply custom fit cock -pit cover from bottom of the coaming over the spray shield to aft engine bulk head with additional accessory covers for the following: each aft compartment, companionway, radar unit window, compass, and cockpit storage compartment. Cover shall be protected with added material at each stress- and chafe - point to prevent wear. Cover shall be constructed of quality material with bonded polyester thread and stainless steel and chrome plated brass "Lift -A -Dot" short post snaps with morning screws each. The design shall minimize snaps. A storage "boot" cover for the Bimini Top with an all -plastic zipper and slide shall be provided. The cover shall properly drain and be approved by City. WILLARD MARINE' 11061MW Garmin 10 -inch widescreen chart plotter, down/side view sonar, radar, GPS combo, ICOM VHF radio, Automatic Identification System (AIS) receiver and transmitter, lifeguard radio, forward and rear facing PA, siren, blue light, forward and rear facing spot light. The location of the electronic equipment will be determined by the City inspectors at the time of the construction. The builder will run all wire and install all equipment and antennas. Marine grade stereo with speakers shall be provided. 41. NAVIGATION LIGHTS AND EQUIPMENT Shall be U.S. Coast Guard approved for international waters. (Note: Horn requirement will be met by a PA/siren system.) Lights shall be LED stainless steel. All lights shall be mounted to minimize reflection into the operator's eyes. The port and starboard running lights shall be mounted on stainless steel back tabs on the upper sides of the radar arch. 42. 12 -VOLT POWER POINTS Four (4) 12 V.C.D. "Cole Hersee" waterproof receptacles shall be installed near the helm at the location specified by the City of Newport Beach. Receptacles shall have screw -on waterproof caps when not in use. Two (2) power points shall be provided with a location to be determined at the time of construction. 43. FINISH,TRIM, INSULATION a. Fiberglass i. Foredeck, cockpit, cover boards, swim step, and any other locations where strength, water proofing or design may prescribe. ii. Cloth shall be applied neatly and have all pores completely filled with resin. Complete fiberglassjob shall be sanded smooth before application of colored finishes. iii. Preservatives - The complete interior of the hull, including the underside of the deck, interior of the cabin and all places where the plywood or material of equivalent strength is not covered with fiberglass shall be treated with polyester resins. on . , 1 �_- 8-41 WILLARD MARINE' b. Finish i. The boat shall be finished with a high-quality, high -gloss exterior gelcoat finish. The forward cabin interior bulkheads, cabinet faces and tops shall be faced with Formica and the overhead and interior of the hull shall be gelcoat with webbing. ii. The forward cabin interior bulkheads, hull, overhead, and interiors of all storage shall be gelcoat, epoxy or linear polyurethane in a color selected by the City. iii. The hull sides, coaming areas, and transom shall match the color of the current Newport Beach Lifeguard Rescue Vessels. iv. A 2 -inch blue boot -line will be provided at the waterline. The boot strip will match the current rescue boat color. V. All decks and cover boards shall be light gray. vi. The interior of the hull shall be finished in a light blue to be specified by the lifeguard staff. Vii. The spray shield (dodger) shall be made of StarBoard, or equivalent material. 44. BOTTOM PAINT Bottom to be sanded with #80 sandpaper and will not penetrate the gelcoat finish. Bottom paint and primer of equal protection and durability will be accepted to meet all state and local laws. The builder shall provide the City staff with information of new products prior to primer and bottom paint application. 45. NON-SKID SURFACES All deck surfaces shall be non-skid silica sand applied evenly onto wet pigmented resin. A second coat of pigmented resin shall be applied after the first coat is dry. A %2 -inch border, free of non-skid material, shall be provided at the following locations; around hatch openings, hatches, any deck hardware, hinges and vertical surfaces. Pigment shall be equal in color to Sterling Linear Polyurethane Light Gray. The grit of the silica sand shall be determined at the time of construction by the City. 8-42 WILLARD MARINE' 46. LETTERING All lettering shall be vinyl polyester. The design and location will be determined at the time of construction by the City. Letter shall match the current rescue boats. 47. PROTECTION DURING CONSTRUCTION The vessel must be protected from the weather during construction and prior to delivery. The contractor shall take care to preserve the structure, fittings, outfit, paint work, engines, auxiliaries, appliances, and apparatus to insure delivery in a satisfactory condition. Measures shall be taken to prevent wear and tear or damage to construction and to prevent corrosion and contamination of machinery parts. All defects, damage and deterioration of the vessel or components that develop during construction, fitting out, and trials shall be corrected by, and at the expense of, the contractor. The builder shall provide security of the new vessel. The builder shall be liable for all equipment provided by the City. 48. INSPECTION a. The vessel shall be subject to inspection during the construction by City representatives. The builder will give a 24-hour notice to the City inspectors at the following points of construction: i. Completion of the hull. ii. Assembly of the decks and cockpit. iii. Installation of the engine stringers and mounting beds. iv. Any paint, gelcoat, or primer applications. V. Installation of the bulkheads. vi. Installation of any through -hull ports, shaft or rudder openings. vii. Installation of the control station and dash board. viii. Installation of the engines, running gear, and exhaust system. ix. Installation of the radar arch and electronic equipment. X. Installation of the fuel system. A. Installation of circuit breaker panel. b. Any unsatisfactory materials or evidence of faulty workmanship shall be removed and replaced or corrected by, and at the expense of, the contractor. Failure by the City to identify or find faulty materials or R Mh 8-43 WILLARD MARINE` workmanship at inspection times does not release the builder of the responsibility for said materials or workmanship. 49. SEA TRIALS Prior to the delivery date ("Shipment Date"), The City of Newport Beach Lifeguards shall be notified to make arrangements for sea trial of the vessel at a mutually acceptable location. The City of Newport Beach shall have thirty (30) days to determine if the vessel, as delivered, meets the performance requirements and specifications of the lifeguards. 50. WARRANTY a. The builder shall guarantee the hull of the boat against failure due to faulty material, workmanship or design for a period of not less than one (1) year after acceptance. b. The hull shall be guaranteed to be free from leaks except through the propeller shaft packing for one (1) year after acceptance. A warranty for structural hull and deck extends for a period of ten (10) years. c. Machinery and other supplies or installed items shall be guaranteed and provided by their respective manufacturer(s). d. Workmanship and materials used in the installation of machinery and other components shall be guaranteed against failure for one (1) year. 51. MANUALS, DIAGRAMS, PARTS LISTS For future reference and parts ordering, the contractor shall provide a copy of all purchased parts used, component manufacturer's instruction and maintenance manuals and an accurate electrical wiring diagram with the boat prior to, or at the time of, delivery. 52. DELIVERY The vessel shall be transported to a boat yard for launching by the builder. WMI shall have a reasonable time after determining that a defect in a Craft exists to make repairs to the Craft. If WMI repairs the Craft under the Craft Warranty, such repairs shall be made using new or serviceable used parts. KG (purchaser) to their suppliers and even for future business deals. Different conditions of the suppliers are only valid in individual cases if the purchaser has acknowledged them in writing. 11. Quotation and Contract Conclusion 1. Orders and inquiries of the purchaser are not binding unless they are made in writing and marked as a firm order. All contracts are made only upon receipt of a written confirmation of the customer. 2. Binding orders of the purchaser can only be accepted within a period of 10 days after the order date in writing. After this period 10 the purchaser, declarations of the suppliers are considered a new contract offer and only lead to conclusion of a contract, if they are confirmed by the purchaser in writing. The amount specified in the firm order or the order confirmation is a final binding fixed price for the delivery, which includes the required packaging for transportation of the goods and transportation to the place of receipt given in the order or confirmation respectively. 2. Should the market prices of metal and alloy surcharges reduce or the seller lowers his prices, then these discounted prices are applicable to all future deliveries made. 3. Payments are made after the receipt of goods and invoice with the deduction of a 3% early payment discount; invoices received by the 15' of a month are paid at the end of the month and invoices received from the 16' to 31" day of the month are paid on the 151h of the following month. 4. The supplier is not enHiled to assign accounts receivable from the purchaser in whole or partially to a third party. Deliveries prior to the due date are subject to the consent of the purchaser. Payment claims of the supplier are due at the earliest on the contractual delivery date even for items which are delivered at an earliertime. 5. Force majeure frees the supplier for their duration only if he informs us of the circumstances immediately and is net already in delay at the time. 6. In the event of a delay in delivery by the supplier we are entitled to claim reimbursement for resultant direct and indirect damages. We are entitled to withdraw wholly or partially from the contract or to a damage claim due to non-compliance if our interest in fulfilling the contract lapses due to the delay or we have extended the deadline and this elapsed unused. The acceptance of late deliveries and I or services does not constitute a waiver of our contractual and legal claims. Warranty 1. if the goods supplied by the supplier are defective, or do not exhibit the characteristics promised by the supplier in the contract, the purchaser is entitled to demand, in addition to the statutory claims for rescission, price reduction and damages, subsequent delivery of defect -free goods, which exhibit the characteristics promised by the supplier. 2. If a defect of the delivered item or a missing feature results in product liability for the purchaser with regard to one of his customers or a third party or the regulations of the Product Liability Law are exercised, then the supplier is obliged to grant the purchaser warranty claims even after the limitation period in full amount S. The supplier is obliged under any circumstances, to keep documents and materials from the purchaser or third parties assigned by the purchaser, inaccessible, and is required to commit his employees to confidentiality. 2. The production and processing of drawings, samples, models, tools and fixtures by the supplier or third parties according to information from the purchaser is done for the purchaser as the manufacturer in terms of para. 950 BGB Civil Law. VIII. Delivery Quantity 1. The ordered quantities may only be shorted or exceeded with our consent. Applicable Law 1. For the business and all legal relationships between the customer and the supplier only the law of the Federal Republic of Germany applies. Under the onboard warranty, Garmin provides reimbursement for the cost of the maximum time allowed for that service, or the actual time for the service (whichever is less). 5.1.3 Installations made by an OEM selected third party that is not a Garmin/NMEA/ABYC certified entity or is not approved by Garmin will be classified as owner installations, and will therefore be covered by the Type 1 Standard Two-year Limited Warranty described above or the Garmin One-year Consumer Limited Warranty. 5.1.4 Proof of OEM parts and onboard warranty coverage is required. Proof of warranty is comprised of: Invoice with original date of vessel purchase, and • Product serial number; and • Vessel hull number from an authorized OEM Boat Builder 5.1.5 Garmin onboard warranty does not affect the customer's statutory rights under applicable laws, nor the customer's rights against the retailer arising from the sales/purchase contract. In the absence of any contrary applicable laws, this onboard warranty will be the customer's sole and exclusive remedy against Garmin, and neither Garmin nor its affiliated entities will be liable for any incidental or consequential damages for breach of any express or implied warranty. OEM Parts and Onboard Warranty Procedure: Claim Form and Supporting Documentation 6.1 .0 Customers should contact Garmin, a Garmin/NMEA/ABYC certified installer or OEM Dealer within 30 days of a product failure for warranty service. All customers, Garmin/NMEA/ABYC certified entities or OEM Dealers are required to perform standard troubleshooting fault tests in order to determine whether onboard warranty service is appropriate. After standard troubleshooting fault tests have been performed, a Return Material Authorization (RMA) number will then be given. This RMA number is to be marked in plain view on the package being shipped to Garmin for the warranty service. This RMA number will act as a reference number for all parties involved. It is to be quoted in any matters regarding the claim. 6.1.2 Failure to complete the form, missing or insufficient information will delay in processing the claim and may result in claim denial. 6.1.3 Vessel Hull Number from an authorized OEM Boat Builder is required to receive labor reimbursement for products listed in Appendix `B.' 6.1.4 A completed service report (invoice/work order) must be attached to the warranty claim form. The service report should include: service time, shop rate, fault symptoms, repair remedy and should include reason for additional labor/travel/mileage if approved by Garmin. Page 4 of 9 Rev. All service dealers are required to provide the following documents with a claim form: a Service Report (section 6.1.4), a copy of the Original Proof of Purchasellnstall ation of the device or vessel containing Garmin marine devices installed by the OEM, and based on your location an IRS tax form (only required with the first claim of the year). Warranty Exclusions 7.1.0 In addition to the limitations above the warranty exclusions set forth below shall apply to the Standard Two-year Limited Warranty, Two-year Parts and Onboard Warranty and the Two-year OEM Parts and Onboard Warranty. 7.1.1 Installations not in accordance with the installation guidelines provided in the Garmin user/install manual will invalidate the warranty. 7.1.2 The warranty policy does not cover costs associated with non-Garmin manufactured transducers, transducer replacements or haul outs and launches. It also does not cover shop supplies, lost production time or collateral damage. 7.1.3 The warranty policy does not cover product failures due to: shipping damage, accident, abuse or misuse, alteration or unauthorized repair, corrosion, products on which the serial number has been tampered with, power spikes, vandalism, water ingress, submersion, or other acts of God or weather phenomena such as lightning, flash floods, etc. 7.1.4 Garmin assumes no responsibility for damage incurred during installation. 7.1.5 Garmin onboard warranty does not extend to self -performed owner installed equipment or installations. 7.1.6 The warranty policy does not cover: incorrectly specified product, incorrectly specified transducers, incorrect transducer installation, transducer aeration problems, RF interference installation problems, existing onboard electrical systems noise, stray voltages, chart cartography errors, units subjected to or connected to the incorrect voltage supply level or voltage type. 7.1.7 The warranty policy does not cover LCC displays that exhibit faulty pixels that are within technical specifications as determined by Garmin or the Garmin approved LC© supplier. 7.1.8 The warranty policy does not cover: luxury software updates, system checkouts, or calibrations unless these aforementioned activities are done in accordance with the user/installation manual of the product that is being repaired/serviced. 7.1.9 The warranty policy does not cover products for which a suitable proof of purchase showing date, dealer/retailer, serial number, installation invoice (if required), cannot be demonstrated at the time of the request for warranty service. 7.2.0 The warranty policy does not cover sea trials. 'F' supersedes and replaces all previous warranties and is valid until superseded by a sequential revision. 7.2.2 The warranty policy does not cover freight costs associated with the return of defective equipment to Garmin nor is such freight payable by Garmin. 7.2.3 The warranty policy does not cover water intrusion caused by high-pressure water sprayers or damage to products caused by harsh chemicals. 7.2.4 The warranty policy does not cover Silva branded compasses. 7.2.5 The warranty policy does not cover costs associated with modified or painted products outside of manufacture specifications. 7.2.6 Product Recalls — In the event Garmin chooses to recall a product from the field we reserve the right to establish a fair rate (time, travel and hourly rate) for removal and replacement of such product based on a case-by-case situation. 7.2.7 Garmin reserves the right to refuse any warranty service claim it deems unfair or non -conforming to the policies and procedures set forth in this warranty document. In addition, Garmin reserves the right to refuse to pay warranty labor reimbursement to any service dealer it finds not performing quality work or manipulating this warranty policy in a way that is not in the interest of Garmin or the end user. Product Returns 8.1.0 Any return of defective product must have an RMA number issued in advance. 8.1.1 The RMA is valid for 45 days from the date of issuance. Units must be returned to Garmin within this period, otherwise the RMA may be cancelled. 8.1.2 Unmarked boxes or returns without RMA numbers will be returned to sender. 8.1.3 Freight costs — Inbound delivery to Garmin is the responsibility of the Garmin/NMEAIABYC certified installation entity, OEM, dealer or the customer. Standard ground outbound shipping freight cost will be paid by Garmin. Overnight or 2"d day express delivery freight service is available at an additional cost, paid by the requester. Marine All marine handhelds, CommandMics, and VHF fixed mounts come with a three (3) year waterproof warranty from factory defects and workmanship with a one (1 ) year warranty for accessories (battery, antenna). Single side -band radios and tuners have a two (2) year non -waterproof warranty. Land Mobile Land Mobile portable or mobile radios come with a standard two (2) or three (3) year warranty from factory defects and workmanship depending on the model. There is a one (1) year warranty on Icom America Systems products and all accessories. Land mobile customers have the option to purchase extended warranties at the time of purchase and up to 60 days following their purchase for periods of one (1), two (2), or three (3) years. Without limiting Vendor's indemnification of City, and prior to commencement of work, Vendor shall obtain, provide and maintain at its own expense during the term of this Agreement, policies of insurance of the type and amounts described below and in a form satisfactory to City. Contractor agrees to provide insurance in accordance with requirements set forth here. If Contractor uses existing coverage to comply and that coverage does not meet these requirements, Contractor agrees to amend, supplement or endorse the existing coverage. 1.2 Acceptable Insurers. All insurance policies shall be issued by an insurance company currently authorized by the Insurance Commissioner to transact business of insurance in the State of California, with an assigned policyholders' Rating of A- (or higher) and Financial Size Category Class VII (or larger) in accordance with the latest edition of Best's Key Rating Guide, unless otherwise approved by the City's Risk Manager. 1.3 Coverage Requirements. 1.3.1 Workers' Compensation Insurance. Vendor shall maintain Workers' Compensation Insurance, statutory limits, and Employer's Liability Insurance with limits of at least one million dollars ($1,000,000) each accident for bodily injury by accident and each employee for bodily injury by disease in accordance with the laws of the State of California, Section 3700 of the Labor Code. 1.3.1.1 Vendor shall submit to City, along with the certificate of insurance, a Waiver of Subrogation endorsement in favor of City, its officers, agents, employees and volunteers. 1.3.2 General Liability Insurance. Vendor shall maintain commercial general liability insurance, and if necessary umbrella liability insurance, with coverage at least as broad as provided by Insurance Services Office form CG 00 01, in an amount not less than one million dollars ($1,000,000) per occurrence, two million dollars ($2,000,000) general aggregate. The policy shall cover liability arising from premises, operations, products -completed operations, personal and advertising injury, and liability assumed under an insured contract (including the tort liability of another assumed in a business contract) with no endorsement or modification limiting the scope of coverage for liability assumed under a contract. 1.3.3 Automobile Liability Insurance. Vendor shall maintain automobile insurance at least as broad as Insurance Services Office form CA 00 01 covering bodily injury and property damage for all activities of the Vendor arising out of or in connection with Work to be performed under this Agreement, including coverage for any owned, hired, non -owned or rented vehicles, in an Willard Marine, Inc. The policies are to contain, or be endorsed to contain, the following provisions: 1.4.1 Waiver _of_Subrogation. All insurance coverage maintained or procured pursuant to this agreement shall be endorsed to waive subrogation against City, its elected or appointed officers, agents, officials, employees and volunteers or shall specifically allow Vendor or others providing insurance evidence in compliance with these requirements to waive their right of recovery prior to a loss. Vendor hereby waives its own right of recovery against City, and shall require similar written express waivers from each of its subcontractors. 1.4.2 Additional Insured Status. All liability policies including general liability, excess liability, pollution liability, and automobile liability, but not including professional liability, shall provide or be endorsed to provide that City and its officers, officials, employees, and agents shall be included as insureds under such policies. 1.4.3 Primary and Non Contributory. All liability coverage shall apply on a primary basis and shall not require contribution from any insurance or self-insurance maintained by City. 1,4.4 Notice of Cancellation. All policies shall provide City with thirty (30) days notice of cancellation (except for nonpayment for which ten (10) days notice is required) or nonrenewal of coverage for each required coverage. .5 AgreementsAdditional „ Between the Parties. The Parties hereby agree to the following: 1.5.1 Evidence of Insurance. Vendor shall provide certificates of insurance to City as evidence of the insurance coverage required herein, along with a waiver of subrogation endorsement for workers' compensation and other endorsements as specified herein for each coverage. Insurance certificates and endorsement must be approved by City's Risk Manager prior to commencement of performance. Current certification of insurance shall be kept on file with City at all times during the term of this contract. City reserves the right to require complete, certified copies of all required insurance policies, at any time. 1.5.2 Ws Right to Revise Requirements, The City reserves the right at any time during the term of the contract to change the amounts and types of insurance required by giving the Vendor sixty (60) days advance written notice of such change. If such change results in substantial additional cost to the Vendor, the City and Vendor may renegotiate Contractor's compensation. 1.5.3 Enforcement of Contract Provisions. Vendor acknowledges and agrees that any actual or alleged failure on the part of the City to inform Vendor of non-compliance with any requirement imposes no additional obligations on the City nor does it waive any rights hereunder. Willard Marine, Inc. Page C-2 1.5.4 Requirements not Limiting. Requirements of specific coverage features or limits contained in this Section are not intended as a limitation on coverage, limits or other requirements, or a waiver of any coverage normally provided by any insurance. Specific reference to a given coverage feature is for purposes of clarification only as it pertains to a given issue and is not intended by any Party or insured to be all inclusive, or to the exclusion of other coverage, or a waiver of any type. 1.5.5 Self-insured Retentions. Any self-insured retentions must be declared to and approved by City. City reserves the right to require that self- insured retentions be eliminated, lowered, or replaced by a deductible. Self- insurance will not be considered to comply with these requirements unless approved by City. 1.5.6 City Remedies for Non Compliance If Vendor or any subVendor fails to provide and maintain insurance as required herein, then City shall have the right but not the obligation, to purchase such insurance, to terminate this agreement, or to suspend Vendor's right to proceed until proper evidence of insurance is provided. Any amounts paid by City shall, at City's sole option, be deducted from amounts payable to Vendor or reimbursed by Vendor upon demand. 1.5.7 Timely Notice of Claims. Vendor shall give City prompt and timely notice of claims made or suits instituted that arise out of or result from Vendor's performance under this Agreement, and that involve or may involve coverage under any of the required liability policies. 1.5.8 Vendor's Insurance. Vendor shall also procure and maintain, at its own cost and expense, any additional kinds of insurance, which in its own judgment may be necessary for its proper protection and prosecution of the Work.
