Erosion Control Applications, Inc. Page C-2
B. City's Right to Revise Requirements. City reserves the right at any time

substantial additional cost to Contractor, City and Contractor may
renegotiate Contractor's compensation.
C. Right to Review Subcontracts. Contractor agrees that upon request, all
agreements with subcontractors or others with whom Contractor enters
into contracts with on behalf of City will be submitted to City for review.

agrees that any actual or alleged failure on the part of City to inform
Contractor of non-compliance with any requirement imposes no
additional obligations on City nor does it waive any rights hereunder.
E. Requirements not Limiting. Requirements of specific coverage features
or limits contained in this Section are not intended as a limitation on
coverage, limits or other requirements, or a waiver of any coverage
normally provided by any insurance. Specific reference to a given
coverage feature is for purposes of clarification only as it pertains to a
given issue and is not intended by any party or insured to be all inclusive,
or to the exclusion of other coverage, or a waiver of any type. If the
Contractor maintains higher limits than the minimums shown above, the
City requires and shall be entitled to coverage for higher limits
maintained by the Contractor. Any available insurance proceeds in
excess of the specified minimum limits of insurance and coverage shall
be available to the City.

to and approved by City. City reserves the right to require that self-
insured retentions be eliminated, lowered, or replaced by a deductible.
Self-insurance will not be considered to comply with these requirements
unless approved by City.
G. City Remedies for Non -Compliance. If Contractor or any subcontractor
fails to provide and maintain insurance as required herein, then City shall
have the right but not the obligation, to purchase such insurance, to
terminate this Agreement, or to suspend Contractor's right to proceed

notice of claims made or suits instituted that arise out of or result from
Contractor's performance under this Agreement, and that involve or may
involve coverage under any of the required liability policies. City
assumes no obligation or liability by such notice, but has the right (but
not the duty) to monitor the handling of any such claim or claims if they
are likely to involve City.
Contractor's Insurance. Contractor shall also procure and maintain, at
its own cost and expense, any additional kinds of insurance, which in its
own judgment may be necessary for its proper protection and
prosecution of the Work.

judgments, fines, penalties, liabilities, costs and expenses (including, without limitation,

9.4 Notwithstanding the foregoing, nothing herein shall be construed to require
Contractor to indemnify the Indemnified Parties from any Claim arising from the sole
negligence or willful misconduct of the Indemnified Parties. Nothing in this indemnity shall
be construed as authorizing any award of attorneys' fees in any action on or to enforce
the terms of this Agreement. This indemnity shall apply to all claims and liability
regardless of whether any insurance policies are applicable. The policy limits do not act
as a limitation upon the amount of indemnification to be provided by Contractor.
9.5 Contractor shall perform all Work in a manner to minimize public
inconvenience and possible hazard, to restore other work areas to their original condition
and former usefulness as soon as possible, and to protect public and private property.

aforesaid.
9.7 The rights and obligations set forth in this Section shall survive the
termination of this Agreement.
10. INDEPENDENT CONTRACTOR
It is understood that City retains Contractor on an independent contractor basis
and Contractor is not an agent or employee of City. The manner and means of conducting
the Work are under the control of Contractor, except to the extent they are limited by
statute, rule or regulation and the expressed terms of this Agreement. No civil service
status or other right of employment shall accrue to Contractor or its employees. Nothing
in this Agreement shall be deemed to constitute approval for Contractor or any of
Contractor's employees or agents, to be the agents or employees of City. Contractor
shall have the responsibility for and control over the means of performing the Work,
provided that Contractor is in compliance with the terms of this Agreement. Anything in
this Agreement that may appear to give City the right to direct Contractor as to the details
of the performance of the Work or to exercise a measure of control over Contractor shall
Erosion Control Applications, Inc. Page 5
mean only that Contractor shall follow the desires of City with respect to the results of the

constitute a failure to pay according to the terms of this Agreement. Contractor shall not
discontinue Work as a result of such withholding. Contractor shall have an immediate
right to appeal to the City Manager or his/her designee with respect to such disputed
sums. Contractor shall be entitled to receive interest on any withheld sums at the rate of

other catastrophic failures of the Big Canyon Reservoirs Chlorosulfonated
Polyethylene (CSPE) floating cover as identified by City staff.
• Contractor is required to provide safety gear, equipment and experienced and
trained personnel.
• Contractor shall supply repair materials (if requested by the City in advance and in
a Letter Proposal accepted by City).
• Contractor shall issue a written final report documenting repairs and any
recommendations.
Repairs:
• Repairs shall be classified as major or minor. Most minor repairs will be made by
City personnel. Major repairs will be made by Contractor. Operators must be
trained prior to performing any repairs on the floating cover.
Major Repairs:
• Major repairs consist of large tears, seam separations, or other catastrophic
failures of the floating cover. Major repairs are often unique and must be handled
on a case-by-case basis.
• Upon discovery, the City's Project Administrator shall immediately be notified. All
major damage and subsequent repairs shall be fully documented in the Floating
Cover Operations Log Book.
• The Project Administrator will determine if the reservoir must be removed from
service to effect repairs. Major repairs may require the lowering of the water
surface elevation or removal of the reservoir from service completely.
• Disinfection of repair areas is required prior to returning the reservoir to service per
American Water Works and State Water Resources Control Board requirements.
Repair Materials:
An adequate supply of the following repair materials shall be stored on-site in a
weatherproof enclosure:
Erosion Control Applications, Inc. Page A-1
• Repair float log. The repair float log is used to raise the repair area above the water
surface and provide a stable base on which to perform the repair. The repair float
log is typically a cylindrical closed -cell polyethylene float fully wrapped in floating
cover geomembrane material. A rope may be added to the repair float for ease of
recovery.
• Floating Cover patch material. The floating cover patch material must be made of
the same chlorosulfonated polyethylene material as the floating cover. New,
unexposed material will produce the best seams and shall be used wherever
possible.
• Seaming equipment: Environmentally friendly two-part chloroprene cement, and
two-inch (2") wide roller.
• Miscellaneous supplies consist of cleaners (Simple Green), stainless steel
scouring pads, Scotch pads, rags, soft -bristled brush, blunt metal probe, etc.
General Repair Procedures:
The Floating Cover is made of chlorosulfonated polyethylene. Chlorosulfonated
polyethylene requires adhesive for seaming. Repairs on the chlorosulfonated
polyethylene floating cover shall be made as follows:
• Disinfect the repair float by spraying with a minimum 50 mg/L chlorine solution. (6
ml of 10% bleach in a 3 -gallon Hudson sprayer).
• Place the repair float log beneath the floating cover through the access hatch
closest to the repair area. Note: Typically, twelve (12) repair float logs are
maintained underneath the floating cover in strategic areas to facilitate a rapid
response.
• Move the repair float log to the repair area by walking on top of the floating cover
and pushing the edge of the float log by foot in the direction desired. Position a
sufficient number of repair float logs beneath the repair area such that the
damaged area is raised out of direct contact with the water.
• Remove large deposits of dirt, if any, with a soft -bristled broom or brush. Remove
all remaining dirt and debris from the contact surfaces with water and a clean,
sanitized rag. If heavily soiled dirt is embedded into the contact surfaces, remove
debris with cleaner and a stiff scrub brush followed with a thorough rinse.
• Scour the contact surfaces with a stainless steel scouring pad or Scotch pad and
water or Simple Green. If Simple Green is used, flush the area thoroughly with
water. A final wipe with a clean damp cloth shall be made to remove dirt, debris,
and residue that has been scrubbed off the contact surfaces of the membrane.
Wipe in one direction only, away from the edge to be repaired. The membrane
shall be allowed to completely dry prior to seaming.
Erosion Control Applications, Inc. Page A-2
• The contact surface of the patch shall be cleaned in a similar manner.
• The patch shall be sized so that it extends a minimum of two inches (2") beyond
the area of repair in all directions. The corners of the patch shall be rounded to
minimum radius of one -inch (1").
• Place glue on the outer edges of the patch. Center patch over the hole and roll
with a two-inch (2") wide roller.
• After the repair area has dried, use a blunt metal probe to verify there are no loose
edges. Test the area for leaks by removing the repair float and standing in the
vicinity of the repair.
Repairs at Rainwater Collection Troughs:
Normally the inside of the rainwater collection troughs is inaccessible. To make
repairs, the inside of the rainwater collection troughs can be accessed in the following
manner:
• Note that the rainwater collection trough depth is minimized at lower water surface
elevations. The water surface elevation shall be lowered to the lowest elevation
practical to facilitate repairs. Lowering the water surface elevation alone may be
sufficient to access the repair area.
• Move the repair float log into position alongside the rainwater collection trough.
• Place temporary weights a minimum of 5 feet from the edge of the float on each
side of the rainwater collection trough in the area to be repaired. Ropes tied to the
temporary weight tubes will aid in their removal upon completion.
• Temporary weights shall be added until their combined weight is greater than the
sand tube permanently installed in the rainwater collection trough. Temporary
weights shall be added in equal increments on each side of the trough. Once
sufficient weight has been added, the permanently installed sand tube will rise to
the surface. Remove the sand tube by disconnecting the buckles and straps
securing the sand tube to the floating cover.
• Relocate the repair float log as required to elevate the repair area above the water
surface and perform the repair as described in the "General Repair Procedures"
above.
• After the repair has been completed, replace the sand tubes in their previous
locations and secure it to the floating cover reusing the existing straps and buckles.
• Remove the temporary weights on each side of the rainwater collection trough.
The temporary weights shall be removed in equal increments from each side of
the rainwater collection trough.

Safety Equipment:
Unless fitted as a diver, personnel walking on the surface of the floating cover shall
be fitted with the following items:
• A US Coast Guard approved flotation vest Type I, II or III. The flotation vest shall
be worn at all times while walking or working on the floating cover.
A sharp knife with which to free oneself if accidentally trapped under the floating
cover. The knife must be properly sheathed and secured to prevent it from
damaging the floating cover during normal operations.
Only smooth, rubber -soled shoes shall be worn when walking on the floating cover.
The shoe soles shall be inspected prior to entrance onto the floating cover for
embedded sharp objects such as rocks, glass, thorns, etc. Where practicable,
personnel shall use the designated walkways located on the floating cover to gain
access to the specific work area. When work is being performed on the floating
cover, 4'x8' Styrofoam pads encapsulated with cover material shall be placed over
the floating cover in high traffic areas to reduce abrasion and pinholes.
• A minimum of 100 feet of 600 Ib. test nylon rope attached to a U.S. Coast Guard
approved life ring shall be readily available while work is taking place on the floating
cover.
All electrical cords and connections used for maintenance and repairs on the
floating cover shall be connected using a ground fault circuit interrupter (GFCI).
Safety Procedures:
When it is required that personnel work on the floating cover to measure
elevations, remove debris, patch holes, relocate drainage enhancement tubes or perform
other maintenance activities, the following safety requirements shall be followed:
Before performing any work on the reservoir floating cover, the Project
Administrator or designee within City's Utilities Office shall be notified. This will aid
in office personnel receiving calls from the public about people on the cover.
Contractor will also notify the Utilities Supervisor or staff that is not on site with an
estimated time of completion. If the Contractors' staff does not respond back within
the time of completion, City staff will take appropriate action to assure their safety.
There will be a minimum of two (2) personnel on the cover at all times. No
personnel will work on the floating cover unless radio or telephone communications
is established. There shall be an observer on the perimeter road at all times
personnel are working on the floating cover.
• The surface of the floating cover membrane is extremely slippery when wet.
Personnel shall exercise caution when walking on reservoir slopes when the
Erosion Control Applications, Inc. Page A-4
floating cover material is wet. When entering onto the reservoir floating cover, use
the designated textured walkways when on the slopes or the vehicle ramp.
• Caution shall also be exercised when walking on the floating cover when standing
water is present. Personnel on the floating cover create localized depressions that
will collect surface water. Standing water on the floating cover may be an indication
of a hole or tear in the floating cover material and shall be approached with caution.
• Personnel requiring rescue or retrieval shall be thrown the life ring and dragged to
a safe area of the floating cover prior to being approached, unless more urgent
action is required.

pursuant to this Agreement shall be endorsed to waive subrogation against
City, its City Council, boards and commissions, officers, agents, volunteers

following:
A. Evidence of Insurance. Contractor shall provide certificates of insurance to
City as evidence of the insurance coverage required herein, along with a

Erosion Control Applications, Inc. Page C-2
additional cost to Contractor, City and Contractor may renegotiate
Contractor's compensation.
C. Right to Review Subcontracts. Contractor agrees that upon request, all
agreements with subcontractors or others with whom Contractor enters into
contracts with on behalf of City will be submitted to City for review. Failure
of City to request copies of such agreements will not impose any liability on
City, or its employees. Contractor shall require and verify that all
subcontractors maintain insurance meeting all the requirements stated
herein, and Contractor shall ensure that City is an additional insured on
insurance required from subcontractors. For CGL coverage,
subcontractors shall provide coverage with a format at least as broad as CG
20 38 04 13.
D. Enforcement of Agreement Provisions. Contractor acknowledges and
agrees that any actual or alleged failure on the part of City to inform
Contractor of non-compliance with any requirement imposes no additional
obligations on City nor does it waive any rights hereunder.
E. Requirements not Limiting. Requirements of specific coverage features or
limits contained in this Section are not intended as a limitation on coverage,
limits or other requirements, or a waiver of any coverage normally provided
by any insurance. Specific reference to a given coverage feature is for
purposes of clarification only as it pertains to a given issue and is not
intended by any party or insured to be all inclusive, or to the exclusion of
other coverage, or a waiver of any type. If the Contractor maintains higher
limits than the minimums shown above, the City requires and shall be
entitled to coverage for higher limits maintained by the Contractor. Any
available insurance proceeds in excess of the specified minimum limits of
insurance and coverage shall be available to the City.
F. Self-insured Retentions. Any self-insured retentions must be declared to
and approved by City. City reserves the right to require that self-insured
retentions be eliminated, lowered, or replaced by a deductible. Self-
insurance will not be considered to comply with these requirements unless
approved by City.
G. City Remedies for Non -Compliance. If Contractor or any subcontractor fails
to provide and maintain insurance as required herein, then City shall have
the right but not the obligation, to purchase such insurance, to terminate this
Agreement, or to suspend Contractor's right to proceed until proper
evidence of insurance is provided. Any amounts paid by City shall, at City's
sole option, be deducted from amounts payable to Contractor or reimbursed
by Contractor upon demand.
H. Timely Notice of Claims. Contractor shall give City prompt and timely notice
of claims made or suits instituted that arise out of or result from Contractor's
Erosion Control Applications, Inc. Page C-3
performance under this Contract, and that involve or may involve coverage
under any of the required liability policies. City assumes no obligation or
liability by such notice, but has the right (but not the duty) to monitor the
handling of any such claim or claims if they are likely to involve City.
Contractor's Insurance. Contractor shall also procure and maintain, at its
own cost and expense, any additional kinds of insurance, which in its own
judgment may be necessary for its proper protection and prosecution of the
Work.
