MEMORANDUM OF UNDERSTANDING
BETWEEN THE CITY OF NEWPORT BEACH
AND NEWPORT/MESA PROLITERACY
THIS MEMORANDU OF UNDERSTANDING ("MOU") is made and entered into
as of this l� day of W'2018, by and between the CITY OF NEWPORT
BEACH, a California municipal corporation and charter city ("City"), and
NEWPORT/MESA PROLITERACY, a California exempt organization under Internal
Revenue Code §501(c)(3) ("Organization"). The City and Organization are collectively
referred to in this MOU as the "Parties."
This MOU is undertaken with the goal of attaining the greatest degree of
cooperation, communication, and working relationship between the City and the
Organization to provide English language and literacy services to adult learners through
the Newport/Mesa ProLiteracy literacy program ("Program") of the Newport Beach
Public Library ("NBPL").
TERM OF THE MOU
This MOU becomes effective on the date it is signed by both Parties. The
Parties agree that each Party hereto should review this MOU informally every five (5)
years. The purpose of this informal review is to assure that its purposes are being
carried out and to explore ways in which the communication between both Parties could
be enhanced.
II. TERMS AND CONDITIONS
A. DUTIES OF THE ORGANIZATION
1. Provide, free of charge, programming and literacy services to adults seeking
assistance within the City of Newport Beach and surrounding communities.
2. Recruit and train volunteers to be tutors for adult learners.
3. Purchase instructional materials, office supplies, and other goods and
services required for the Program.
4. Conduct pre- and post -assessments of adult learners.
5. Apply for yearly grants from the California State Library and other appropriate
sources and complete all related reporting requirements.
6. File federal and state taxes and reports in a timely fashion.
7. Maintain separate bank and investment accounts for the Organization in
accordance with the Organization's bylaws and financial control policy.

8. Host fundraising and community outreach events to benefit the Organization
and the Program.
9. Provide other services as requested by the City and the NBPL.
10.Allocate funding toward one (1) part time staff member to be fully funded by
the Organization.
B. DUTIES OF THE CITY
1. Maintain the Program as a separate budget category within the NBPL's
budget.
2. Support the recruitment efforts of the Organization.
3. Provide support services (e.g.: information technology, finance, payroll, etc.)
as necessary.
C. DUTIES OF THE NEWPORT BEACH PUBLIC LIBRARY
1. Assist the Organization in staff recruitment efforts.
2. Provide clerical and marketing support as necessary.
3. Assist with financial tracking and record keeping.
4. Maintain the Program as a separate budget category.
5. As approved by City Council, allocate funding toward one (1) part time staff
member from the NBPL annual budget.
6. Act as the Organization's liaison to the City.
7. Appoint a NBPL liaison to the Organization's Advisory Board, as defined in
the Organization's bylaws.
D. GENERAL COOPERATING PROCEDURES AND COSTS
The City shall designate an area within the Central Library, located at 1000
Avocado Avenue in the City of Newport Beach, for the Organization's administrative
staff to operate the Program and shall make available the equipment necessary to
conduct normal business affairs, such as telecommunications, Library postage meter;
and Library copying equipment.

E. COMMUNICATION
1. The City's Library Services Director, or his/her designee, shall continue as an
ex -officio member of the Organization's Board of Directors and be entitled to
all rights and privileges offered to any other Organization director except that
of voting.
2. In addition to monthly financial statements, minutes of meetings of the
Organization's Board of Directors shall be forwarded to the Library Services
Director, or his/her designee, in a timely manner.
3. The above is not intended in any way to limit the communication between the
Parties. To the contrary, every effort shall be made by members of both
Parties to attend the regularly scheduled events of the other.

IN WITNESS WHEREOF, the Parties have caused this MOU to be executed on
