HomeMy WebLinkAboutC-5847 - Temporary Entry Permitr TEMPORARY ENTRY PERMIT U Rule 20B Underground Conversion Project Work Order: TD594023 CITY OF NEWPORT BEACH, ( "Permittor'�, as owner of that certain real property located in Orange County and identified as APN: 047- 190 -06 and incorporated herein by this reference (collectively, the "Property', hereby grants permission to SOUTHERN CALIFORNIA EDISON COMPANY, its agents, employees, invitees, contractors, subcontractors and any person or entity claiming under Permittee (collectively, "Permittee "), as of April _, 2014 (the "Effective Date "), to enter upon the Property subject to the terms and conditions set forth in this Temporary Entry Permit (this "Permit "). PURPOSE Permittee desires to access the Permittor's Property ( "Permit Area') for purposes of allowing construction activities to replace and upgrade existing electrical system. These activities include the construction of wires, underground conduits, cables, vaults, manholes, handholes, and including above - ground enclosures, markers and concrete pads and other appurtenant fixtures and equipment necessary or useful for distributing electrical energy and for transmitting intelligence by electrical means where necessary throughout the community in connection with Permittee's proposed Rule 20B Underground Conversion Project ( "Project's. TERMS AND CONDITIONS 1. The "Terry:" of the Permit shall be the later of, (i) the date which is one (1) year after the Effective Date of this Permit; or (ii) the date that Permittee completes construction of the Project. 2. Permittee shall make reasonable efforts to minimize interference with the existing use of Permittor's Property. 3. Permittee agrees to save harmless and indemnify Permittor, its successors and assigns and its and their officers, agents and employees (collectively, " Permittor's Related Parties', from and against all claims, demands, loss, damage, actions, causes of action, expense and /or liability (excepting consequential damages) (collectively, "Claims', actually incurred by Permittor and/or Permittor's Related Parties and which are directly caused by Permittee's exercise of the rights granted pursuant to this Permit, except to the extent that such Claims (i) arise prior to the Effective Date of this Permit (this "Permit'), or following a termination of this Permit, or (ii) are attributable to the negligence or willful misconduct of Permittor or Permittor's Related Parties. 4. Throughout the Term of this Permit, Permittee shall have and maintain general liability insurance under a policy of self - insurance with a combined single limit of not less than Two Million and 00 /100 Dollars ($2,000,000.00), each occurrence. Such general liability insurance shalt include coverage for "Premises- Operations, Owners and Contractors Protective, Products/Completed Operations Hazard, Explosion, Collapse, Underground, Contractual Liability and Broad Form Property Damage including Completed operations." 5. Permittee shall notify Permittor no less than two (2) days prior to Permittee's initial entry onto the Property. 6. Prior to the termination of this Permit in accordance with Section I above, Permittee shall restore the Permit Area to a condition as near as reasonably possible to that which existed prior to the Term of this Permit. 7. This Permit may be executed in multiple counterparts, each of which shall be deemed an original, but all of which, together, shall constitute one and the same instrument. 8. This Permit shall not be construed as a waiver of any prior rights Permittee may have on the subject property for its access and its facilities, including, but not limited to prescriptive rights.
