SIXTH AMENDED AND RESTATED EMPLOYMENT AGREEMENT <br />CITY OF NEWPORT BEACH CITY MANAGER <br />This SIXTH AMENDED AND RESTATED EMPLOYMENT AGREEMENT <br />("Agreement") is made effective as of April 10, 2018 ("Effective Date") and is entered <br />into by and between the CITY OF NEWPORT BEACH, a California municipal <br />corporation and Charter City ("Employer" or "City") and DAVID KIFF ("Employee") an <br />individual (sometimes collectively referred to herein as "the Parties"). <br />RECITALS <br />A. City is a municipal corporation duly organized and validly existing under the <br />laws of the State of California with the power to carry on its business as it is <br />now being conducted under the statutes of the State of California and the <br />Charter of City. <br />B. Employee has been continuously employed by City as City Manager since <br />September 12, 2009. Employee is currently employed under a Fifth Amended <br />and Restated Employment Agreement dated April 25, 2017 ("Fifth Amended <br />Agreement"). The term of the Fifth Amended Agreement expires on April 24, <br />2019. <br />C. Employee informed the Mayor for the City of Newport Beach of his desire to <br />separate from employment with the City in the near future. In exchange for the <br />promises and provisions contained herein, Employee and the City mutually <br />agreed that his employment with the City would terminate effective August 31, <br />2018, rather than on April 24, 2019 as contemplated by the Fifth Amended <br />Agreement. To that end and in conformance with the parties discussions, the <br />City publically announced Employee's intention to separate from the City <br />effective August 31, 2018. <br />D. The Parties mutually agree that this Agreement reflects the terms and <br />conditions under which the Parties intend and desire to continue Employee's <br />employment until August 31, 2018, and thereafter amicably part ways in a <br />manner mutually beneficial to both Employee and the City.
