SLF KC Towers, LLC, a Delaware limited liability company ("Owner"), is the owner of that certain real
property located between Birch Street and Von Karman Avenue in the City of Newport Beach, County of
Orange in the State of California and more particular described on Exhibit "A" attached hereto (the
Property"). TPG (KCN) Acquisition, LLC ("Applicant") is working in cooperation with Owner to advise and
assist Owner in the planned redevelopment of the Property.
Owner hereby authorizes Applicant, its attorneys, and/or its representatives, including Kenneth Picerne,
Derek Picerne, Eric Hoffman and Gregory Nakahira, to file applications and to do all things necessary to
effect the project as contemplated under the Project Site Plan attached hereto as Exhibit B.
