The Irvine Company ("TIC") and the San Joaquin Hills Transportation Corridor Agency (the "TCA") entered into a certain Amended and Restated Combined Fee Credit and Reimbursement Agreement effective as of the 21st day of November, 1996 (the "Fee Credit Agreement"). 2. TIC and Agency entered into a certain Second Amendment to San Joaquin Hills Transportation -Corridor Amended and Restated Combined Fee Credit and Reimbursement Agreement dated as of March 12, 1998 (the "Second Amendment"), whereby Agency granted to Company certain Sand Canyon In Lieu Fee Credits (as defined in.the Second Amendment). 3. The Second Amendment allows for transfer of Company's Sand Canyon In Lieu Fee Credits to a successor -in -interest subject to certain terms and conditions. TIC transferred $2,000,000 of Sand Canyon In Lieu Fee Credits to Company pursuant to that certain Transfer of Interest in Fee Credits dated as of April 29, 1998, a copy of which is on file with the TCA. 4. Company's Transferee is the successor -in -interest to the real property within the boundaries of the Area of Benefit (as that term is defined in the Fee Credit Agreement), which real property is more particularly described as:Tract 15517, Lot 5 at Bonita Canyon. 5. Company desires to transfer to Company's Transferee a portion of Company's Sand Canyon In Lieu Fee Credits. 6. The Fee Credit Agreement requires Company's Transferee to acknowledge and accept the terms and obligations contained in the Fee Credit Agreement. AGREEMENT NOW, THEREFORE, in consideration of the above, the parties hereto agree as follows: A. Company's Transferee acknowledges, accepts and binds itself to all terms, conditions and obligations of the Fee Credit Agreement insofar as such Fee Credit Agreement applies to that real property described above and to the transfer by Company of Company's Sand Canyon In Lieu Fee Credits to Company's Transferee.
