TITLE: Amendment No.1 to Agreement with Axon Enterprise Inc. for the
Fusus Intelligence Ecosystem
ABSTRACT:
The Police Department requests City Council approval of Amendment No.1 (Amendment)
to the existing agreement with Axon Enterprise Inc. (Axon) for the Fusus intelligence
ecosystem to support real-time crime analysis and data integration in the department's
forthcoming Crime Information Center. The Amendment term will be concurrent with the
existing agreement with Axon, through October 2032, at a cost of $100,130.67 per year
for the first five years. The procurement would be made using Sourcewell cooperative
contract 101223-AXN at a total cost of $886,990.60.
RECOMMENDATIONS:
a) Determine this action is exempt from the California Environmental Quality Act (CEQA)
pursuant to Sections 15060(c)(2) and 15060(c)(3) of the CEQA Guidelines because
this action will not result in a physical change to the environment, directly or indirectly;
and
b) Approve Amendment No. 1 to the Purchase, Installation and Maintenance Agreement
with Axon Enterprise, Inc. for the Fusus system and services at a not -to -exceed cost
of $886,990.60 and authorize the Mayor and City Clerk to execute the Amendment.
DISCUSSION:
The Police Department is establishing the Crime Information Center (CIC) with
responsibility for real-time crime analysis and investigation, digital evidence
retrieval/processing, and a future drone program. The CIC will be co -located and closely
integrated with the Police Communications Center to provide immediate access to crime
and intelligence information from 9-1-1 phone calls and text messages, radio traffic, and
the Computer Aided Dispatch (CAD) system. Civilian investigators assigned to the CIC
will also have access to multiple incoming data streams, including private and
public surveillance cameras, Flock license plate readers, public safety drones, and
several other public safety systems. A system that allows efficient access to that
information and visualization of the data on a map will be critical to effective management
of the high volume of expected data.

Fusus is a web -based system accessible from any Police Department computer or
mobile device, which provides instant access to available data streams that have been
pre -configured to function within Fusus and plots them on a map. The mapping of
available data sources and camera feeds allows CIC staff to quickly access resources
that are nearby to emergent incidents and immediately begin working up leads to guide
responding patrol officers or supplement the investigation. These data sources include
several systems already in use by the Police Department, such as Flock,
CentralSquare CAD, Axon body -worn cameras and in -car video, traffic cameras, beach
cameras, and covert cameras.
Fusus will also interface with private and public surveillance cameras systems using
proprietary hardware and software that allows the owners full control of the
Police Department's access to their systems. Fusus will allow CIC staff to directly dispatch
drones and other resources that have been configured to function within the Fusus
environment.
The Amendment is to purchase the Fusus Pro Package, which includes implementation,
500 data connections, and several components that will facilitate connection between the
community and the Police Department. The components of the Fusus system are
described in detail in the Scope of Services of the attached Amendment.
FISCAL IMPACT:
Fusus was recently fully purchased by Axon, the Police Department's existing body -worn
camera/in-car video/Taser vendor, so the Amendment is co -termed with the existing
agreement with Axon for a total of 99 months. Months 97-99 are included so the Fusus
term coincides with the Axon warranty period, which began in December 2022. Using a
Sourcewell cooperative contract, an RFP is not required and discounted pricing will result
in a total discount of $114,362.24. Annual costs for the Fusus system are shown in the
table below:

The adopted budget includes sufficient funding for this purchase. It will be expensed to
the Software License Renewal account in the Police Department, 01035352-871017. The
annual cost increase scheduled for year six of the Amendment will be addressed during
the annual budget preparation process in future fiscal years.

ENVIRONMENTAL REVIEW:
Staff recommends the City Council find this action is not subject to the California
Environmental Quality Act (CEQA) pursuant to Sections 15060(c)(2) (the activity will not
result in a direct or reasonably foreseeable indirect physical change in the environment)
and 15060(c)(3) (the activity is not a project as defined in Section 15378) of the CEQA
Guidelines, California Code of Regulations, Title 14, Chapter 3, because it has no
potential for resulting in physical change to the environment, directly or indirectly.
NOTICING:
The agenda item has been noticed according to the Brown Act (72 hours in advance of
the meeting at which the City Council considers the item).

PURCHASE, INSTALLATION, AND MAINTENANCE AGREEMENT
WITH AXON ENTERPRISE, INC. FOR
BODY WORN CAMERAS, IN -CAR VIDEO, AND TASER CEW
THIS AMENDMENT NO. ONE TO PURCHASE, INSTALLATION, AND
MAINTENANCE AGREEMENT ("Amendment No. One") is made and entered into as of
this 27th day of August, 2024 ("Effective Date"), by and between the CITY OF NEWPORT
BEACH, a California municipal corporation and charter city ("City"), and AXON
ENTERPRISE, INC., a Delaware corporation ("Contractor"), whose address is 17800
North 85th Street, Scottsdale, AZ 85255, and is made with reference to the following:
RECITALS
A. On October 25, 2022, City and Contractor entered into a Purchase, Installation,
and Maintenance Agreement ("Agreement") to provide Body Worn Cameras, In -
Car Video, and TASER CEW ("Project").
B. The parties desire to enter into this Amendment No. One to reflect additional
Services not included in the Agreement and to increase the total compensation as
detailed in the Scope of Services and Schedule of Billing Rates attached hereto as
Exhibit A.
NOW, THEREFORE, it is mutually agreed by and between the undersigned parties
as follows:
1. SERVICES TO BE PERFORMED
Exhibit A to the Agreement shall be supplemented to include the Scope of Services
and Schedule of Billing Rates, attached hereto as Exhibit A and incorporated herein by
reference ("Services" or "Work"). Exhibit A to the Agreement and Exhibit A to this
Amendment No. One shall collectively be known as "Exhibit A." The City may elect to
delete certain Services within the Scope of Services and Schedule of Billing Rates at its
sole discretion.
2. COMPENSATION TO CONSULTANT
Section 4.1 of the Agreement is amended in its entirety and replaced with the
following: "City shall pay Contractor for the Products and Services on a fixed firm price
not -to -exceed basis in accordance with the provisions of this Section and the payment
schedule on Exhibit A and incorporated herein by reference. Contractor's compensation
for all work performed in accordance with this Agreement, including all reimbursable items
and subcontractor fees, shall not exceed Four Million Three Hundred Seventeen
Thousand Two Hundred Four Dollars and 07/100 ($4,317,204.47), without prior written
authorization from City. No billing rate changes shall be made during the term of this
Agreement without the prior written approval of City."

The total amended compensation reflects Contractor's additional compensation for
additional Purchases and Services to be performed in accordance with this Amendment
No. One, including all reimbursable items and subconsultant fees, in an amount not to
exceed Eight Hundred Eighty Six Thousand Nine Hundred Ninety Dollars and
60/100 ($886,990.60).
3. INTEGRATED CONTRACT
Except as expressly modified herein, all other provisions, terms, and covenants
set forth in the Agreement shall remain unchanged and shall be in full force and effect.

Subject: Service Agreement Proposal
Dear Chief Cartwright
Fusus is honored that the Newport Beach Police Department is considering our organization to
support its community safety initiatives by providing a platform to view public and community
video sources for incident situational awareness and investigations.
Fusus will provide a video and data collaboration platform to expedite intelligence gathering and
efficiency of response to situations as they unfold throughout the community. Further, the
platform is tied to a community -facing website portal for video camera registry, providing a tool
for identifying the location of cameras in proximity to incidents, as well as a means for efficient
outreach to collect recorded video and image files from camera owners both public and private.
This Service Agreement Proposal and related software subscription will become effective upon
signing and continue for ninety-nine (99) months.
1. Initial Scope of Work: The following fusus Pro Package software and associated
hardware will be delivered and installed as part of this agreement.
a. fususONETm: Initial setup, access and training of users to include up to 500 data
points and 500 public/private video feeds
b. f0susCORETm: Installation and setup of:
i. Eight (8) fUsusCORE ProTm Appliances
ii. two (2) fOsusCORE Elite AI TM Appliances
iii. One (1) fOsusCAD Core Appliance
c. fususREGISTRYTM: Creation of a custom website portal for community members
to register privately owned cameras
d. fususVAULTTm: Implementation of a CJIS compliant evidence vault for the
storage of up to 5TB of videos and still images captured via the fususONETM
platform
e. fususOPSTm: Implementation of the Fusus smart -phone app which provides
viewing of live camera feeds and setting up and transmitting the location of
teams for special events and critical incident management

provides panic alerting to fususONETm along with geolocation of persons in

jurisdiction to assist with camera registration and integration
h. fOsusCONNECT Microsite: Development of an agency specific website landing
page to assist with building camera registration and integration of community
video assets
i. fususlNCIDENTTM: Implementation of the Fusus Situational Awareness system
for bi-directional telestration, icon marking, floorplan room clearing, planning, and
resource staging from Emergency Operation Center workstations and mobile
field -based users on laptops and iOS/Android mobile devices
j. fususLIVELINKTm: Provision of Fusus live link system which allows 911 callers to
initiate a camera stream in the event of an emergency to the Department, along
with a one -to -many methodology for secure and encrypted responder -group
sharing during an emergency
k. fususOVERWATCH: Allows users the ability to track vehicles and people from
one camera to another
I. Integration of all current and future video feeds
m. Integration of Computer Aided Dispatch, AVL, drone feeds, covert cameras, and
license plate readers as required

charge for the life of the agreement

the Cloud
b. Unlimited Access for Your Agency to the fususONETm Dashboard
c. Floorplan Integration for designated locations in fususONETm
d. Ongoing Integration Services with the CAD System
e. Installation and Technical Phone Support
f. Provide a Full Solution Warranty for the Life of the Agreement
g. Live U.S.-Based Phone Technical Support for the Life of the Agreement
3. Technical Requirements:
a. Camera live -sharing compatibility will be assessed for each location before
CORE delivery.
b. The customer will designate a primary POC for the deployment of the fususTm
solution.
c. Minimum network speed of .5 mb/s per viewed camera for live video sharing
through the system.

Room purchase, if applicable. In the event you and Axon have entered into a prior agreement to govern all future purchases, that agreement shall govern to
the extent it includes the products and services being purchased and does not conflict with the Axon Customer Experience Improvement Program Appendix
as described below.
The Axon Customer Experience Improvement Program Appendix, which includes the sharing of de -identified segments of Agency Content with Axon to
develop new products and improve your product experience (posted at www,axon.com/legal/sales-terms-and-conditions), is incorporated herein by
reference. By signing below, you agree to the terms of the Axon Customer Experience Improvement Program.
Acceptance of Terms:
Any purchase order issued in response to this Quote is subject solely to the above referenced terms and conditions. By signing below, you represent that you
are lawfully able to enter into contracts. If you are signing on behalf of an entity (including but not limited to the company, municipality, or government agency

1. Access. Upon Axon granting Customer a subscription to FUSUS cloud services in the Quote, Customer
may access and use FUsusONE Real Time Interoperability Solution services for the purpose of viewing
and managing Customer Content. Some Customer content contained in Axon's Evidence.com may not
be accessible or transferable to the FUSUS cloud services.

3. Disclaimer. Customer is responsible for use of any internet access devices and/or all third -party
hardware, software, services, telecommunication services (including Internet connectivity), or other items
used by Customer to access the service ("Third -Party Components") are the sole and exclusive
responsibility of Customer, and Axon has no responsibility for such Third -party Components, FUSUS
cloud services, or Customer relationships with such third parties. Customer agrees to at all times comply
with the lawful terms and conditions of agreements with such third parties. Axon does not represent or
warrant that the FUSUS cloud services and the Customer Content are compatible with any specific third -
party hardware or software or any other Third -Party Components. Customer is responsible for providing
and maintaining an operating environment as reasonably necessary to accommodate and access the
FUSUS cloud services.
4. Data Privacy. Axon may collect, use, transfer, disclose and otherwise process Customer Content in the
context of facilitating communication of data with Customer through their use of FUSUS cloud services
FUSUS app (iOS or Android interface), complying with legal requirements, monitoring the Customer's use
of FUSUS systems, and undertaking data analytics. Customer Content saved in Axon Cloud Services is
the sole property of Customer and may not be distributed by Axon to any third parties outside of the
Customer's organization without the Customer's expressed written consent.
