Code §§ 6103 & 27383] MEMORANDUM OF LICENSE AGREEMENT This Memorandum of License Agreement ("Memorandum") is dated July 18th, 2025, and; is made between City of Newport Beach, a California municipal corporation and charter city ("City" or "City") and TSG — PARCEL 1, LLC, a Delaware limited liability company ("Licensee"), concerning real property owned by the City and situated in the City of Newport Beach, County of Orange, State of California, as more particularly described in Exhibit "A" attached hereto (the "Tract Map" or "Premises") pursuant to Licensee's dedication thereof to the City in that certain tract map for Tract No. 17763 recorded June 19, 2015 as Instrument No. 2015000320061, in Book 937, Pages 17 through 23, inclusive, of Miscellaneous Maps in the Official Records of Orange County, California (the "Official Records"), as amended by that certain Tract Map Certificate of Correction recorded February 2, 2016, as Instrument No. 2016000045179 in the Official Records. For good and adequate consideration, City licenses the Premises to Licensee for the term and on the provisions contained in the Maintenance License Agreement dated July 18, 2025 ("Agreement"), including without limitation provisions prohibiting assignment, or transferring of the Agreement without the express written consent of City in each instance, all as more specifically set forth in said Agreement, which said Agreement is incorporated in this Memorandum by this reference. The term is thirty (30) years, beginning July 18, 2025, and ending July 19, 2055, with the option to extend for additional terms of thirty (30) years on the same terms and conditions contained in the Agreement as it may be amended from time to time. This Memorandum is not a complete summary of the Agreement. Provisions in this Memorandum shall not be used in interpreting the Agreement's provisions. In the event of conflict between this Memorandum and other parts of the Agreement, the other parts shall control. Execution hereof constitutes execution of the Agreement itself.
