RESOLUTION NOW
WHEREAS, there has this day been presented to the City
Council an agreement between E. S. Williams of Los Angeles,
California, in said agreement referred to as "Bondholder ", and
City of Newport Beach, a Municipal Corporation, in said agree-
ment referred to as "City "; and
WHEREAS, said agreement refers to the payment to the bond-
holders of the sum of $575.00 in full for the bond which he holds,
being bond No. 262 with maturity date of 7 -2 -36, with coupons
19 and 20 attached; and
WHEREAS, a portion of said money will be paid from the
redemption fund and a portion by the City; and
WHEREAS, it appears for the best interests and benefit of
said City that said bond be cancelled, together with the coupons
attached thereto, for the sum of $575.00 in accordance with said
agreement; and
WHEREAS, many other bonds of said City were cancelled under
similar agreements;
NOW THEREFORE, BE IT BESOLVED, that the mayor and city
clerk of the City of Newport Beach be authorized, directed and
instructed to sign said agreement on behalf of the City of New-
port Beach;
AND BE IT FURTHER RESOLVED that the City Treasurer of the
City of Newport Beach be authorized, directed and instructed to
pay to the said E. S. Williams the said sum of $575.00 upon the
surrender of said bond with eoupons attached, and that said bond,
upon said surrender and said payment being made, be cancelled.
I hereby certify that the foregoing resolution was duly
and regularly passed and adopted by the City Council of the City
of Newport Beach at a regular meeting thereof held on the 5th

3 THIS AGREEMENT made and entered into by and between E. S.
4 WILLIAMS, of Los Angeles, California, hereinafter referred to as
5 "Bondholder", and the City of Newport Beach, a municipal corpora -
6 tion, hereinafter referred to as IfCity °:
7 WITNESSETH:
8 WHEREAS, the Bondholder is the owner of a certain improve -
9 ment bond issued by the City under the Improvement Bond Act of
10 1915, designated Series °D°, Resolution No. 304 of the City of
11 Newport Beach, and bearing the following numbers, maturing on
12 the following dates, and having appurtenant thereto the following
13 interest coupons, to -wit:

18 NOW, THEREFORE, IT IS HEREBY AGREED by and between the
19 parties hereto as follows:
20 1. The Bondholder agrees with the City that he will within
21 thirty (30) days from date hereof surrender to the City Treasurer
22 for retirement said bond hereinbefore described, together with
23 the attached coupons, and the said City agrees to pay to Bondholder
24 therefor the sum of $575.00 within a reasonable time after such
25 surrender.
26 2. That upon the payment to the Bondholder of said sum of
27 $575.00, it is agreed and understood that the same shall be in full
28 for all claim or claims that said Bondholder may have against the
29 City of Newport Beach, or any of its officers and officials, in
30 reference to the bond heretofore described.
31 3. The terms and conditions of this agreement are in accord-
32 lance with the provisions of a certain judgment rendered in the

1 Superior Court of the State of California in and for the County
2 of Orange, being case No. 38046 and entitled Belle Crowell versus
3 J. A. Gant, as Treasurer of the City of Newport Beach.
4 IN WITNESS WHEREOF, the parties hereto have executed this
5 agreement, the City by its officers thereunto duly authorized, with
6 the seal of the City hereunto affixed, this day of February,
7 1945, and the Bondholder has executed this agreement as of the
8 ] b— day of January, 1945. /
