The Newport Theatre Arts Center (Theatre) is located on Cliff Drive in Newport Heights.
For the past twenty years, the Friends of the Newport Theatre Arts Center (Friends) have
operated a community theatre program at the Theatre and have been actively involved in
the day to day management of the property. The Friends have spent more than
$180,000 to improve the Theatre and purchase equipment for use in stage productions.
The Friends normally present a minimum of four (4) productions during their program year
(August 1 through July 31) and many of their productions involve children or young
adults. The Friends have set ticket prices at rates that ensure their productions are
affordable to everyone and they are able to provide first class theatre because of the time
and funds donated by members and the community. The Friends have encouraged and
supported use of the Theatre by individuals, groups and organizations for meetings as
well as artistic or cultural events.
In the past, Council Policy 1-6 has governed the use of the Theatre. However, staff
believes a formal agreement between the City and the Friends is warranted given the
Friends' investment in the Theatre, the time and effort necessary to present first class
theatrical productions and the potential for conflicting demands for use of the Theatre.
DISCUSSION
Staff has prepared a proposed management agreement (Agreement) between the City
and the Friends that would replace Council Policy 1-6 as the document controlling access
to, and usage of, the Theatre. The Agreement is intended to memorialize the manner in
which the Friends have, for the past twenty years, operated the community theatre
program and managed the property. The key provisions of the Agreement can be
summarized as follows:
1. Term: The initial term is 10 years with two 5 year extensions and then •
annual extensions if neither party serves a notice of non - renewal.
2. Ownership: Equipment purchased by the Friends that is considered a
fixture becomes the property of the City after expiration or termination.
3 Friends Duties: The Friends are required to operate a community
theatre program with a minimum of four productions during the program
year with affordable ticket prices affordable. Revenue is to be used to
operate or improve the program, theatre or equipment.
4. Permitted Use: Permitted uses include a community theatre and
artistic or cultural events. Food service and limited retail sales are
authorized if related to the theatre program or cultural event.
5. Use by Other Groups: Friends required to designate 3 two-week
periods (reserved periods) for use of the Theatre by "third parties." Friends
supervise use by other groups and provide technical assistance when
requested or appropriate. Friends approve and supervise use of the
property by community groups for meetings or events of limited duration.
6. City Duties: Repair and maintain the property and the structures to •
the extent funds are appropriated. Approve use by third parties during
reserved periods with a license agreement. Provide and pay for utilities.
7. Liability: City is required to defend and indemnify the Friends unless
the claim is based on Friends' sole negligence, fraud, misconduct or
violation of law. City not liable to Friends for damages except for
reimbursement for damage to Friends equipment.
The Friends have already provided staff with the dates of the "reserved periods" for the
upcoming program year (August 1, 2001 through July 31, 2001) and have agreed to allow
use of the property by a children's theatre group for an event to be held on May 5, 2001.
RECOMMENDATION
Staff recommends the City Council authorize the Mayor to execute the Agreement and
direct„staff to modify Council Policy 1-6 to be consistent with the Agreement.

This Management Agreement (Agreement) entered into as of May 1, 2001

(Effective Date) between the City of Newport Beach (City) and the Friends of the
Newport Theatre Arts Center (Manager), is made with reference to the following:
RECITALS
A. City is the owner of the real property, structures, and related
improvements that are commonly known as the Newport Theatre
Arts Center, located at 2501 Cliff Drive in the City of Newport
Beach.
B. Manager is a non - profit corporation organized pursuant to and in
compliance with the provisions of California law and is presently in
good standing. Manager was organized by, and its members
include, individuals who have developed expertise in the operation
of a community theatre and the production of stage plays and
similar events.
C. In 1981, City adopted a policy that designated the Property as the
City's community theatre, a designation that is commonly
understood to describe a specific type of theatrical operation.

D. Since 1981, Manager has been primarily responsible for the
community theatre productions and program as well as the day to
day management of the Property.
E. Since 1981, Manager has invested more than $185,000 in the
Property including theatre lighting, building remodeling, seating,
stage turntable, sound equipment and dressing room
improvements.
F. The City Council of the City of Newport Beach (City Council) has
determined that Manager is uniquely qualified to conduct a
community theatre program on, and otherwise manage the use of,
the Property. Manager is uniquely qualified because of the skill
and knowledge of its members and the practical experience that
Manager has gained from the operation of a community theatre
program on the Property for more than twenty years.
G. The City Council has determined that this Agreement and the use
of the Property as a community theatre is consistent with the City
Charter, the Newport Beach General Plan and Zoning Ordinance
and all other applicable Federal, State and local laws.
H. The City Council has also determined that this Agreement will
allow the Property to be used for community meetings conducted
by and /or on behalf of community organizations that will benefit
and serve the interests of nearby residents.
NOW, THEREFORE, in consideration of the following covenants and promises
City and Manager agree as follows:
ARTICLE 1 SUBJECT OF AGREEMENT
1.1 Purpose of the Agreement
The purpose of this Agreement is to provide for the management of the
Property in a manner that will allow Manager to continue to operate a
community theatre program on the Property. This Agreement is also
intended to designate Manager as the entity responsible for the
supervision and control over the use of the Property by other community
groups and organizations. The Parties also intend that this Agreement
reflect and memorialize the manner in which Manager has conducted its
community theatre program for the benefit of the City for more than
twenty (20) years.
1.2 The Property
The Property that is the subject of this Agreement includes the
structures, improvements and real property located at 2501 Cliff Drive in
Newport Beach. The Property includes the Theatre, parking areas and
related improvements including Equipment purchased by Manager
before or after the Effective Date that is considered a fixture pursuant to
California law.
1.3 Theatre
The word °Theatre" refers to the theatre building on the Property.

1.4 City
City is the City of Newport Beach, a charter city and includes the officers
and employees of the City of Newport Beach.
1.5 Manager
Manager is the Friends of the Newport Theatre Arts Center, a California
nonprofit public benefit corporation organized for the purpose of
operating a community theatre program in a manner which will serve the
interests of, and, benefit, members and the community. Manager
includes all officers, agents, volunteers and employees of the Friends of
the Newport Theatre Arts Center.
1.6 Reserved Period
The term Reserved Period" refers to one of the three (3) two -week periods
that Manager is required to designate pursuant to Article 8 and during
which the Property is available for use by a Third Party.
1.7 Third Party
The term Third Party" shall refer to any individual, group or organization
(other than the Manager or any individual, group, or organization acting
pursuant to an agreement with the Manager) that requests approval from
City to use the Property during all or a portion of any Reserved Period.
ARTICLE 2 APPOINTMENT OF MANAGER
City appoints Manager and Manager accepts appointment as Manager for
the Term and pursuant to the terms and conditions of this Agreement.
ARTICLE 3 GENERAL PROVISIONS
3.1 Non - interference
Manager shall be entitled to perform its duties as Manager of the
Property for the Term without hindrance or interruption except for the

. exercise of City's rights pursuant to this Agreement and City's right to
inspect the Property pursuant to its police power. City shall also have
the right to enter and /or inspect the Property to perform its duties
pursuant to this Agreement and to re -enter City should Manager be in
breach or default.
3.2 Condition of Property
Manager will keep City informed as to the condition of the Property
including soil conditions, the condition of structures, hardscape and
landscaping, and the condition of utilities.
3.3 Ownership of Improvements
During the Term of this Agreement, City shall hold title to the Property
and Manager will retain title to the personal property that Manager has
purchased or purchases during the Term and that is necessary or
convenient to the operation or maintenance of the Theater. Manager
has, during the past twenty years, purchased and installed fixtures,
machinery, computers, controls, rigging, sound and lighting apparatus,
staging, costumes, props, merchandise, trade fixtures (collectively, the
• "Equipment ") that have been constructed, installed or placed on or in the
Property by Manager. Any Equipment purchased by Manager prior to, or
after, the Effective Date that is considered a fixture pursuant to
California law shall become the property of the City upon the expiration
or termination of this Agreement
3.4 Surrender of Property
On expiration of the Term or earlier termination of this Agreement,
Manager shall peaceably and quietly leave and surrender the Property to
City in good order, condition and repair, reasonable wear and tear and
obsolescence excepted. Manager shall deliver to City all assignable
contracts, agreements, and other documents related to the operation,
maintenance or use of the Property.

ARTICLE 4 TERM
4.1 Duration and Commencement
The initial term ( "Initial Term ") of this Agreement shall commence on the
Effective Date. The Initial Term shall expire on April 30, 2011, subject to
early termination.
4.2 Extension of Term
The term of this Agreement will be automatically renewed for an
additional five (5) years (Initial Extension) unless either party provides
the other party with written notice of non - renewal at least (90) days prior
to the expiration of the Initial Term of this Agreement. The Term of this
Agreement shall be extended for a second five (5) year period (Second
Extension) upon expiration of the Initial Extension unless either party
provides the other with written notice of non - renewal at least ninety (90)
days prior to the expiration of the Initial Extension.
4.3 Annual Extension
Assuming the Term of this Agreement is extended as provided in Section •i
4.2 and Manager is not in default upon expiration of the Second
Extension, the Term of this Agreement shall be automatically extended
for successive twelve month periods after the Second Extension (Annual
Extension(s)). This Agreement shall expire at the end of any Annual
Extension if either party gives the other party written notice of non -
renewal no less than sixty (60) days prior to the expiration of any Annual
Extension.
4.4 Extensions
The Initial Extension, the Second Extension and the Annual Extension(s)
are occasionally referred to as the Extensions" or Extended Term"
ARTICLE 5 DUTIES OF MANAGER
5.1 Duties of Manager
The duties of the Manager include the following:

5.1.1 Operate and maintain a community theatre program
(Program") in accordance with the provisions of Article 6.
5.1.2 Maintain, and replace as necessary, all theatrical stage
lighting, sound apparatus, computers, sets and other
equipment and facilities necessary to the operation of a
community theatre.
5.1.3 Authorize, manage and supervise the use of the Property by
any Third Party as provided in this Agreement.
ARTICLE 6 PROGRAM STANDARDS AND OPERATION
As primary consideration for this Agreement, Manager shall operate the
Program in accordance with the criteria and objectives specified in this Article.
6.1 Productions
The Program shall offer to the general public a minimum of four
theatrical productions during each twelve -month period during the Term
is or any Extended Term. The quality of the theatrical productions shall
equal or exceed the high quality productions that Manager has presented
at the Theatre during the past twenty (20) years.
6.2 Open to Public
The theatrical productions shall be open to the general public at a
reasonable admission price. The admission price shall be established at
a rate that encourages attendance by all economic segments of the
community while providing income that, when combined with other
sources of revenue, will fully fund the operation of the Program and the
maintenance obligations of Manager.
6.3 Volunteers
The Program shall be administered by experienced volunteers and /or
paid personnel capable of operating and managing the Property in good
condition, producing high quality theatrical productions and to
performing the fund raising and other tasks necessary to a successful
Program.
6.4 Varie M
The Program shall include a variety of theatrical, cultural or artistic
productions to ensure that the community is offered a wide range of
entertainment.
ARTICLE 7 ANNUAL BUDGET
7.1 Budgeting Schedule
7.1.1 Initial Budget Manager shall prepare and make available
to the City an annual budget ( "Budget ") covering its planned
operations for each full twelve- month period from August 1
through July 31 during the Initial Term and any Extended
Term.
7.1.2 Annual Financial Report Manager shall make available
to City for inspection during normal business hours any
financial statement Manager is required to prepare pursuant
to State law.
7.2 Contents of Budget lei
The Budget shall state, as appropriate and in reasonable detail: (i) the
proposed rates and charges for the use of the Theater; (ii) all anticipated
revenues and sources of funds of Manager, including contributions; (iii)
the expenditures proposed to be made by Manager in fulfilling its
obligations pursuant to this Agreement; (iv) all other budgeted
expenditures of Manager, if any; (v) cash reserves, if any.
7.3 Records
Manager shall keep and maintain complete, accurate and customary
records and books of account on all sales and expenditures, whether for
cash or on credit, and all business transactions made with respect to the
Property during each year. These records shall be retained for a period of
not less than three (3) years after the end of the operating year (August 1
through July 31) during which the records or books were prepared. City
shall be entitled, upon reasonable notice and during business hours, to
inspect and make copies (at City's costs) of any records and books
required by this Section.
0 7.4 Audit
City shall, once per year and at its cost, be entitled to conduct an audit
of all records and books of account required to be maintained pursuant
to this Agreement or State law.
7.5 Fiscal Policy
Manager will adhere to the fiscal policy that has characterized Managers
use of the Property during the preceding twenty years. Manager agrees
to continue to maintain an account with sufficient funds to cover the
anticipated maintenance obligations of Manager during the following
twelve months (Maintenance Account). Manager also agrees that, should
revenue from ticket prices and other sources exceed the costs of
operating the Program and funding the Maintenance Account, the excess
funds shall be used exclusively to improve the quality of the Program, the
Property or the Equipment.
ARTICLE 8 USE OF PROPERTY
8.1 Permitted Use by Manager
In addition to the Program, Manager may conduct benefits, fund - raising
events, previews, receptions and other similar activities that are related
to the operation or funding of the Program, the presentation of any
artistic or cultural event or the improvement of the Property. Manager
may conduct incidental operations such as limited food service, the
service of alcoholic beverages as and to the extent permitted by law,
catering, concessions, and limited retail sales in conjunction with any of
the events or activities, and for the purposes, described above. The uses
and activities authorized in this Section are referred to as Permitted
Uses.
8.2 Use of Property By Manager
Except for the Reserved Periods, Manager shall have the exclusive right
to use, or authorize the use of, the Property. Manager may enter into
agreements with any individual or entity authorizing use of the Property
for Permitted Uses. Manager shall authorize use of the Property by any
individual, group or organization who own residential or commercial
parcels in the vicinity of the Property for meetings or community events

of limited duration provided the meeting or event will not interfere with 40
Manager's use of the Property.
8.3 Use of Propertv By Third Party
Manager shall permit Third Party use of the Property during all or a
portion of any Reserved Period for plays, performances, or
cultural /artistic activity in accordance with the provisions of this
Section.
8.3.1 Manager shall, within sixty (60) days after the Effective Date,
and every twelve months thereafter during the Term and any
Extended Term, provide City with a schedule identifying at
least three (3) two -week periods when the Property is
available for Third Party use.
8.3.2 City shall, after consultation with Manager, establish criteria
and procedures for selecting any Third Party to be granted a
license for use of the Property during all or a portion of any
Reserved Period. The criteria for Third Party use for
extended periods shall, in light of the nature and designation
of the Property, give priority to use by any qualified and
experienced non - profit theatrical production group or
organization comprised of Newport Beach residents.
8.3.3 City shall not approve the Third Party use of all or a portion
of the Property at any time other than a Reserved Period
without the express consent of the Manager. City shall only
authorize Third Party use of the Property pursuant to a
license agreement and subject to strict compliance with all
conditions of approval and any rules adopted by the
Community Services Department of City. The license
agreement shall specify that all Third Party use of the
Property is subject to the control and supervision by
Manager and shall establish conditions on Third Party use
that fully protect Manager and the Property. City shall
indemnify, defend and hold Manager harmless with respect
to any damage, loss or liability resulting from use of the
Property by any Third Party.
8.3.4 Manager shall determine the technical and supervisory
personnel, if any, whose presence and involvement is
required as a condition of permitting Third Party use of the

Property and Equipment. Manager shall, in determining the
necessary technical and supervisory personnel, consider the
extent to which the Third Party intends to use the
Equipment and nature of the production to be presented by
the Third Party. The Manager shall require only the
personnel necessary to ensure that Third Party use will not
damage the Equipment and that Third Party use of the
Property or Equipment will not disrupt or impair the
Manager's use of the Property. Manager shall authorize the
Third Party to provide any technical or supervisory personnel
deemed necessary upon proof that the personnel are capable
and experienced. Manager shall provide necessary technical
and /or supervisory personnel upon request or in the event
the Third Party fails to provide experienced and capable
personnel.
8.3.5 City shall, after consultation with Manager, establish a
uniform schedule of fees or charges (which may be changed
from time to time) to be paid by any Third Party for use of
the Property, use of the Equipment, or to .pay for the services
of qualified technical and /or supervisory personnel. City
shall retain revenue generated by fees and charges for use of
the Property and City reserves the right to modify or waive
fees charged any Third Party for use of the Property. City
shall transmit to Manager the revenue generated by use of
the Equipment and the service of technical or supervisory
personnel provided by or on behalf of the Manager. City
shall not, without the prior consent of the Manager, waive or
reduce fees or charges for use of the Equipment or the
services of technical or supervisory personnel provided by or
on behalf of the Manager.
8.4 Change of Use
Manager shall use the Property in full compliance with this Agreement
unless Manager has received the prior written consent of City authorizing
a use other than a Permitted Use. The consent may be withheld at City's
sole discretion.

8.5 Compliance with Laws 41
Manager shall not use the Property in a manner likely to cause a public
or private nuisance, to damage the Property or equipment or to cause
injury to any person. Manager shall not violate any local, state or federal
law in the renovation, maintenance, management or operation of the
Property or Theatre.
8.6 Zoning and Planning
Manager shall be entitled to repair, alter, and modify the structures and
improvements on the Property in accordance with the provisions of the
Zoning Code, provided Manager complies with this Agreement. Manager
shall also use the Property in conformance with the Newport Beach
General Plan and all applicable ordinances and policies of the City.
8.7 Nondiscrimination
8.7.1 Manager shall not discriminate against any person or group
of persons, on account of race, color, creed, religion, gender,
sexual orientation, marital status, national origin, or
ancestry, in the operation, management, use or occupancy of
the Property. 4
8.7.2 Manager agrees not discriminate on the basis of gender,
sexual orientation, marital status, race, color, religion, creed,
ancestry or national origin of any person with respect to any
agreement, license, contract related to the alteration, repair,
operation, use or management of the Property.
8.7.3 All contracts, licenses, and agreements between Manager
and any individual or entity with respect to the Property or
the Program shall contain non - discrimination provisions
substantially similar to this Agreement.
ARTICLE 9 REPAIRS AND MAINTENANCE
9.1 Manager's Obligations
Manager shall, at Manager's sole cost and expense, perform all routine
and recurring maintenance, including replacement if necessary, to keep
the theatrical stage, lighting, sound equipment, telephone equipment,

theatre seats, kitchen equipment and appliances and furniture and
furnishings in good condition and repair.
9.2 City's Obligations
City will use reasonable efforts to maintain the Property consistent with
levels of maintenance during the past twenty years. City shall annually
inspect the property and, after consultation with Manager, determine the
nature and extent of the repairs and maintenance that should be
undertaken in the succeeding twelve months. City shall establish a fund
or account for purposes of funding necessary maintenance and repair of
the Property. City will also use reasonable efforts to repair any conditions
that would hinder Manager in the performance of its duties and
responsibilities. The maintenance and repair obligations of City
pursuant to this subsection are limited to the funds appropriated, during
any fiscal year, by the City Council for the express purposes specified in
this subsection. City shall, subject to the provisions of this Section,
perform the following routine and recurring maintenance and repair.
9.2.1 The maintenance of the exterior, and interior surfaces of the
Theatre (including patching and resurfacing the roof
membrane and painting or other protective treatment of the
exterior wall of the Theater);
9.2.2 The maintenance of the public rest rooms (including repairs
or replacements of tile or rest room fixtures);
9.2.3 The maintenance of electrical systems serving the Theatre
and the repair and replacement of components;
9.2.4 The maintenance of all pipes and plumbing systems serving
the Property and the repair and replacement of components;
9.2.5 The maintenance of all building service equipment (includes
HVAC equipment, conveyance systems, and fire, life safety,
and emergency equipment) and the repair and replacement
of components;
9.2.6 The maintenance and repair of all carpeting, flooring, drapes,
window coverings and similar items;
9.2.7 The maintenance and repair of all exterior lighting,
landscaping, signage, parking facilities and hardscape;

9.2.8 The provision of all janitorial services and supplies.'
ARTICLE 10 STATUS AND MANAGEMENT OF MANAGER
10.1 Nonprofit Status
During the Term, Manager shall maintain its status as a California
public benefit nonprofit corporation in full compliance with the California
Nonprofit Corporation Law (California Corporation Code Section 5000 et
seq.). Manager shall also maintain its qualification as a tax- exempt
organization under 501(c)(3) of the Internal Revenue Code or any
successor statute.
10.2 Executive Committee
During the Term, Manager shall appoint an Executive Committee
consisting of no more than five (5) members. The Executive Committee
shall be authorized by Manager to interact with City and promptly
respond to problems or concerns expressed by: City or members of the
general public relative to the operation of the Program.
ARTICLE 11 ALTERATIONS
Manager shall obtain the written consent of City prior to making any structural
alterations to the Property or any structure on the Property. Manager shall be
solely responsible for all costs and expenses incurred in making any such
alteration. All alterations shall be surrendered with the Property when this
Agreement expires or terminates. All structural alterations shall be made by a
licensed contractor.
ARTICLE 12 UTILITIES, TAXES, AND FEES
12.1 Public and Private Utility Services
City will pay all charges for all public or private utility services and all
sprinkler systems and interior protective services provided to or for the
Property. Manager will comply with the terms and conditions of
contracts relating to such services. City shall not be liable to Manager
for any failure or defect in the supply of any utility.

• 12.2 Taxes, Assessments and Charges
Except as provided in Section 12.3, Manager is not responsible for any
taxes, assessments, fees, charges, and levies of every type and character,
including all interest and penalties, that may be imposed, assessed or
levied on the Property or any occupancy or use of the Property.
12.3 Possessory Interest
In accordance with California Revenue and Taxation Code Section
107.6(a) and Health and Safety Code Section 33673, City states that by
entering into this Agreement, a possessory interest subject to property
taxes may be created, and if so, that Manager shall pay any such tax or
assessment.
ARTICLE 13 LIENS
13.1 Timely Payment
Manager shall pay, prior to delinquency, for all work performed and
material furnished to the Property by Manager or on Manager's behalf
that may result in a lien on the Property.
13.2 Written Notice
Manager shall give City written notice of any claim or lien filed against
the Property and any action or proceeding instituted affecting the title to
the Property that is related to Manager's work on, or improvement of, the
Property.
ARTICLE 14 INDEMNIFICATION
14.1 City Indemnity
City shall defend, indemnify and hold harmless Manager from and
against any and all claims, damages, and losses that are in any way
related to the condition of the Property, any maintenance or repair City is
required to perform pursuant to this Agreement, or any act or omission
of City. City's obligations do not extend to claims, damages or losses
that are proximately caused by the sole negligence, fraud or willful
• misconduct of Manager.

14.2 Manager Indemnity

Manager shall indemnify City with respect to any claim, damage or loss
arising from the sole negligence, fraud, willful misconduct of Manager or
any violation of law by Manager.
14.3 Liabili
City shall not be liable to Manager for any loss of revenue, any loss of use
of the Property or for compensatory damages except for reimbursement
for any damage to the Equipment or other personal property owned by
Manager that is proximately caused by City.
ARTICLE 15 DAMAGE BY FIRE OR CASUALTY
City shall have no obligation to repair or restore the Property to its original
condition in the event of damage or destruction to the extent of twenty percent
(20 %) of the then full replacement cost of the Property. In the event City elects
to repair or restore the Property, then this Agreement shall continue in full
force and effect. In the event City elects not to restore the Property when .
damage exceeds twenty percent (20 %) of the full replacement cost, this
Agreement shall terminate.
ARTICLE 16 ASSIGNMENT
Manager may not assign this Agreement without City's prior written consent,
which consent may be withheld in City's sole discretion. Manager may grant or
approve any agreement or contract with any individual or entity to promote a
Permitted Use or facilitate the operation of the Program.
ARTICLE 17 DEFAULTS, REMEDIES AND TERMINATION
17.1 Legal Actions
In addition to any other rights or remedies, either Party may
institute legal action to cure, correct, or remedy any default, to
recover damages for any default, or to obtain any other remedy
consistent with the purpose of this Agreement. Any legal action
shall be filed in the County of Orange. The laws of the State of

SCalifornia shall govern the interpretation and enforcement of this
Agreement.
17.2 Occurrence of Default
The following acts or omissions shall be considered material
breaches of this Agreement if Manager fails to cure the default
within thirty (30) days after written notice of default from City or, if
cure is not feasible within thirty (30) days, Manager has failed to
commence cure within thirty (30) days or fails to diligently proceed
to cure:
17.2.1 The failure of Manager to operate the Theatre in
compliance with the provisions of this Agreement.
17.2.2 The failure of Manager to maintain the Property as
specified in this Agreement.
17.3 Remedies
If Manager has materially breached this Agreement then a Default
shall be deemed to have occurred, and City may give written notice
of termination to Manager, and on the date specified in the notice
this Agreement shall terminate. In addition to the right of
termination, City shall have the immediate right to reenter the
Property and take possession of the Theatre.
ARTICLE 18 ENTRY BY CITY
City may enter the Property at reasonable times for the purpose of inspecting,
servicing or posting notices, protecting the Property or the Theatre, or for any
other lawful purposes. City shall use reasonable care to avoid unreasonable
interference with the use of the Property during events open to the public.
However, nothing in this Agreement shall be considered to alter or impair City's
authority to inspect the Property in the course of exercising its police powers
such as the enforcement of provisions of the Newport Beach Municipal Code.

19.1 Notices
All notices and other communications shall be in writing, shall be
sent by first class, registered or certified United States mail,
postage prepaid, and shall be deemed to have been given two (2)
days after the day of mailing, addressed:

19.2 No Claims Against City
Nothing in this Agreement constitutes any consent or request by
City for the performance of any labor or services or the furnishing
of any materials to the Property
19.3 Integration
This Agreement represents the entire understanding between the
parties, and there are no agreements or representations between
the parties except those contained in this Agreement. This
Agreement supersedes any prior negotiations, representations,
discussions or agreements between the Parties with respect to the
Property or the Theatre. Except as otherwise provided, no
subsequent change or addition to this Agreement shall be binding
unless in writing and signed by the Parties.

19.4 Severability: Consent
If a term of this Agreement or any application is declared invalid or
unenforceable by a court of competent jurisdiction, the remainder
of this Agreement shall not be effected.

I am a resident of Irvine and a long time loyal supporter of the Newport
Theatre Arts Center (NTAC).
We attend the NTAC at least 4 times a year in a party ranging from 4 to 6
patrons and we typically dine at a posh restaurant (i.e.Villa Nova)
somewhere along PCH nearby. We also have shopped at Newport stores
along PCH prior to one of the NTAC productions: Our continuing
connection to NTAC reminds us to return more frequently to Newport Beach
for our weekend outing with family and friends, even when we are not
attending any theater production.
If the NTAC were to disappear, we would lose.a major attraction and
continual reminder of the many other attractions to be found in Newport
Beach. Frankly, we would be spending more shopping and restaurant dollars
in Irvine and. Tustin.

I was very distressed to learn that there was any possibility of eliminating the fabulous
Theatre offered at the Newport Theatre Arts Center.
I was born and raised in Newport Beach and have received an incredible amount of joy
returning at least five times a year to see the magnificent productions the theatre presents.
I also come in the summer with my.five grandchildren for the children's production that
is a very special event for them.
I bring clients, business associates and friends to the productions and we ALWAYS
DINE in the delicious restaurants in Newport.
I was driven out of Newport by the crowds and congestion and now reside in San Juan
Capistrano, which is very like Balboa was when I was born 56 years ago.
Please, please do not take away this lovely thea46 tk at brings such elegance to the city.
There is a wonderful group of very warm people running ring the theatre and many actors
given an opportunity to entertain us and take us away from the humdrum and confusion

the main reasons we chose to purchase season tickets and after attending found the
performances were very professional and entertaining and the characters exceptionally

We have been season subscribers to the Newport Theatre Arts Center for a few years. We have
always enjoyed their shows both for the enjoyment provided and the obvious dedication and hard
work put into the productions by the hard working people who run the center. We only see the
finished "product ", but we know that many weeks have gone into each production prior to
opening night, and that for the people behind the scenes it is almost a 52 week a year effort. Over
the years we have noticed the constant improvements in the physical theater itself and the
increase in attendance. Last night we attended the opening night of the latest show, and it was a
complete sell -out.

We always look forward to the performances as we make it a night out. We particularly like the
closeness of nice restaurants to the theater which makes it easy to have dinner and still get to the .
theater on time. Our favorite restaurant is Zucchero's which is just around the comer.
It would be a shame if the season had to be shortened, as there are so few community theater
groups putting on good theater at affordable prices. We hope this does not happen.

for the Newport Theatre Arts Center.
We are most fortunate in having such a fine organization in Newport Beach. The quality of the
plays and the quality of the performances are usually excellent. Indeed, I have season tickets to
the Mainstage at SCR, but I find that I enjoy the plays at the Newport Theatre Arts Center much
more.
We are a group of 7 college friends who for 5 years have had season tickets to the NTAC.
Members of our group come from Claremont, Moreno Valley, Norco and Irvine on Thursday
nights to dine at one of the local restaurants (a different one each time), to visit, and to see the
latest play. We are looking forward to renewing our tickets for the 6m year!!!

I'm 72 and believe me, there are very few places I can go for good, clean

My wife, Henrietta, and I have been season subscribers to your NEWPORT THEATRE ARTS
CENTER (NTAC) for at least the past six years and have found the experience most
rewarding.
For the first four years of our membership we attended with a couple from your city,
Mr. and Mrs. David Shane. The past two to three years our theater -mates have been
Mr. and Mrs. Joe Holtzer, also of our city, Huntington Beach.
In both instances our usual Thursday evening plans included a dinner before the show
at one of your fine restaurants in the vincinity of the NTAC location -- usmall a
restaurant on Pacific Coast Highway close to Riverside /Cliff Drive streets.
Our group has always enjoyed our monthly visits to your fine city (to our friends and
relatives "back East' we tell them that Huntington Beach is really 'North' Newport
Beach), and hope we can continue the experience in the future.

years by attending performances at the Newport Theatre Arts Center on Cliff
Drive. The setting of this small, intimate theatre among a beautiful residential
neighborhood overlooking the water is outstanding, and the cast has most
often given outstanding performances.
Another couple always attends with us, and we have many other friends here in
Leisure World who also are regular attendees, although on different nights. We
always have dinner in a Newport Beach restaurant prior to a performance, and
really enjoy and look forward to these experiences.
We hope that you donY have any plans to delete this enjoyable theatre
location, and hope that the city of Newport Beach continues to support it

For many years my husband and I have had season tickets to the Newport
Theatre Arts Center. We have supported it, spread the news about it and
always bought tickets to the events.
We meet friends and have dinner before hand; when we were younger we also
went out afterwards.
We like it because it is within driving distance and the plays are great. It is
also a place where we can see long time friends who are also supporters.
There isn't a bad seat in the house.

I am writing this in support of the Newport Theatre Arts Center.
I can't tell you how much I have enjoyed this Center. Ten or more years of past since I started
attending.
At first there were just two of us - a Newport Resident and me, a Costa Mesa Resident. The group
has grown to about 8 persons, mostly from Newport. and now I live in Irvine and hope to continue
attending the plays for many more years.
I have never seen a poor production and hope the city will continue to support this theater.

the performances at the Newport Theatre Arts Center. In addition, whenever we
attend one of their performances, we enjoy dinner at one of the many good
restaurants in close proximity to the theatre. At the theatre we always rum into a
large number of acquaintances from our home area who also enjoy the theater and a
dinner nearby.
It has been brought to our attention that the continuation of these
performances is in jeopardy.
We sincerely hope that, whatever the problem seems to be, it can be
overcome in a way that we can all continue to enjoy the Newport Theatre Arts

As an eight -year member of the Board of Directors of the Friends of Newport Theater
Arts Center, I am very concerned with the recent attempts by another group to usurp the
facilities we have developed over the years.
d Some history of the facility may be'in "orden Over twenty years ago the City had multiple
tenant groups using the building at 2501 Cliff Drive for educational, craft and exercise
classes as well as theater performances. At that time there were no auditorium style seats,
only metal folding chairs for the audience. The City had a paid staff person in charge of
the building and still experienced the problems inherent in a multi- tenant use such as
security, conflicting schedules and missing & misused equipment. Eventually, at the
city's request, the Friends of the Newport Theater Arts Center became the sole occupant
of the building and eliminated these problems for the City. Ever since that time our
organization has been the de facto exclusive user of the center and we have always been
led to believe this was the official position of the city. This exclusiveness was a prime
factor in our using monies from fund raising events, donations and profits from our
efficient operation of the theater program to greatly expand & improve this city owned
property. Risers and upholstered seats were installed as well as a theater quality sound
system, stage improvements, stage curtains, theater lighting, storage facilities, carpeting
throughout the auditorium and lobby areas and dressing room improvements — all at no
cost to the city. Just last year we raised $90,000 as a gift to the city to pay the major share
of an enlargement and upgrading of the theater including making the building compliant
with the Americans with Disabilities Act requirements. In addition to that amount we also
replaced the upholstered seats, carpeting and flooring and made substantial kitchen
improvements. Since then we have completed an upgrade.of the sound system and are
currently in the process o €upgrading the -stage lighting system: At no time did the city
ever intimate that any other organization would be using the improvements we installed
and paid for. It has now come *to our attention that the city policy manual was never
changed to reflect the change in our status as exclusive tenants.
It is important to realize that as a community theater none of our Board members, ushers
or actors are paid for their time. The Director and a few of the technical and support
personnel are paid a small stipend on a show by show basis but the few dollars involved
could never (and was never intended to) compensate them for the many hours they
contribute to the presentation of a successful show. We do have a paid box office person
who is paid from the show proceeds. The theater operation is really a city cultural arts
program that is operated by volunteers at no cost to the city.
Over the past years our organization has continually provided an enjoyable theater
experience for citizens of all ages. Our season of six shows contains a mixture of
musicals; comedies and a drama or mystery for which our patrons have shown a
preference. The popularity of our offerings is shown by the fact that over 50% of our
seating capacity is pre sold to season ticket holders. We do not depend solely on the
friends and relatives of the cast to support our performances. We are not a profcssional
venue such as South Coast Rep but are a community-based operation. The very name
"Community Theater" can be misleading since this expression is used to define a
volunteer run, non - professional organization. It does not mean a theater in which all the
members of the community participate. The Andy Hardy vision of "we will get a barn
and put on a play and all the kids will come" is definitely not what we are about. We have
worked very hard and have been very successful in establishing a reputation for quality
performances of quality shows that the public enjoys and is willing to pay to see.
As a tribute to the professionalism of FNTAC, the Daily Pilot selected two of our board
members, Rae Cohen and Terri Miller Schmidt, as Theater Woman of the Year for 1999
and 2000 respectfully. We have operated the theater with the idea that we are operating a
cultural arts program for the city and have worked to bring credit to the city. We think we
have succeeded in that effort.
As part of our season program we also produce a children's show during the summer or
at Christmas. This special program is not only intended to entertain the audience of
children but also has a mixed cast of children and adults to give the younger actors an
opportunity to work in a semi - professional setting with more experienced actors in order
to develop their skills. Traditionally, the audience for children's productions is the
family, friends & neighbors of the cast since, generally, the level of these performances is
not sufficiently high to entice the general public to pay to see such a show. To reduce the
stress on the young cast members we reduce the number of performances from our
normal 19 per play to eight for the children's show, and we also reduce the ticket prices
to $8.00 for these special presentations so all family members can afford to attend. Since
our costs of production are very nearly the same as for our regular shows, these
reductions virtually guarantee that we will face a loss on these shows, however, we are
committed to this loss as a means of returning some cultural benefits to the community.
In past years the City of Newport Beach provided an annual grant to help offset part of
the loss on the children's show, but for the past few years the city has not made such a
contribution and the entire cost has been born by FNTAC.

In meetings that Rae Cohen & I attended with the City Manager and representatives of
Newport Beach Theater Company we offered to have them present a show for
consideration as all of our Directors do each year. The City Manager thought this was an
acceptable approach but they rejected our offer and have refused to even provide a
resume of their experience and examples of their productions. This is the same
information that we require of all Directors that want to stage a show at NTAC so we
may maintain the high standards that our patrons have come to expect. It would be
difficult for us to consider a proposal if the proposing party refuses to identify themselves
and provide some example of their expertise. The proposed new group also expressed a
desire to hold a gala reception and have a time slot for a stage "revue ". We offered dates
for both of these functions that the City Manager stated was a good faith effort to meet
their needs, however, they again rejected our offer. They have steadfastly insisted on
their original demand for four shows of nine performances each over three weekends. As
I mentioned above, our regular season is five productions plus the special children's
program, therefore; with no history of successful productions, no established clientele
and no equipment, they plan on launching a similar full -scale season with child
performers. My feeling, as expressed to Homer Bludau, is that they should learn to walk
before they try to run. During these meetings it was discussed that individual members of
the Newport Beach Theater Company (but not the group) presented productions in
schools and other venues but now feel that those accommodations are not sophisticated
enough or are too expensive for their shows. They are seeking a better location to present
their performances, which is understandable, however they are seeking to impose their
use on a facility that we have developed through twenty years of toil. We would feel
cheated if the fruits of our two decades of work was now turned over to some other group
merely because they think they have some "right" to it as residents of the city we share.
We ask for the City Council's continued support of the successful efforts of the Friends
of Newport Theater Arts Center by granting the proposed agreement and by making the
appropriate changes to the city policy manual.

Dear Sir:
There is a humorous quote that states "No good deed goes unpunished ". The Newport Beach City Council
is unlikely to have a better example of this statement than the currant issue involving Newport Theatre Arts
Center and another group of individuals interested in utilizing the same building now occupied by NTAC.
In my opinion, this problem exists due to two facts:
Fact 1: The group now demanding use of NTAC clearly had no idea how this facility is structured,
equipped or managed when they insisted that they have a right as a "tax payer" to use of the facility in the
same capacity as NTAC. They visited the premises during a performance of NTAC and looked around at a
building housing a theatre fully equipped with beautiful carpeting, comfortable seating, a revolving stage,
stage curtain, fully equipped sound and lighting system in a booth, staffing for the box office, and
presumably a fully equipped kitchen with a stove, refrigerator /freezer, microwave oven and dishwasher.
This appeared to be fairly attractive to the group as they were seeking a similar facility for their children's
theatre. What they did not see was that these things were not furnished by the City of Newport Beach and
had nothing to do with their tax payer dollars. Their tax payer dollars through the City of Newport Beach
would have provided only a building, formerly a church, but never a theatre. For indeed, this is what the
City of Newport Beach provided twenty years ago to NTAC — a building in disrepair.
What they were attracted to and demanded use of belonged to NTAC and 20 years of volunteers, hard work
and careful budgeting, and donations from relationships developed not by the City, but by volunteers and
loyal individuals who helped create NTAC.
However, the new group demanded that their children's theatre had a right to come forth and utilize the
building, and all of the equipment and personnel currently in place. The word "demand" by the way, is
appropriate. When the group called the city to inquire about the facility, they were given the home
telephone of Rae Cohen, President of NTAC. Mrs. Cohen explained that the existing season was extremely
full and did not lend itself to a second group on an equal basis. The group's spokesperson explained that
"as much as they would not like to do so" they were committed to taking the issue to the newspaper to get
what they wanted To this end, several children and an adult were photographed draped over and
surrounding the theatre's marquee. Visual Effect: How could good people refuse children a place to enjoy
theatre and all that goes with it? Indeed
Fact 2: When this opposing group did not meet with success in disrupting NTAC's season easily, they next
approached the City Manager to plead their cause. (This is the "No good deed goes unpunished" part).
Because NTAC has not been an irritant or a source of problems for the City of Newport Beach for over 20
years, many representatives of the City had no idea how NTAC functioned. One such individual was this
City Manager who was now called upon by the opposing group to help their children's theatre find a home.
It might be presumed that even by rumor the City Manager might have heard of a self sufficient group of
volunteers called NTAC who not only provided a source of enjoyment and pride to the City of Newport
Beach and community, but through special fund raising efforts and careful control of budgets over 20 years
had approached the city and offered over $90,000.00 for improvements to the building. However, this City
• Manager was not aware of these facts, and therefore had no idea what NTAC was or how it functioned,
and not wanting to refer this opposing group to the appropriate city representative who was specifically
aware of NTAC and their relationship, he fueled the group's quest when they again threatened to go to the
local newspaper. Who would want to be known as a person who would refuse children the opportunity to
enjoy theatre? This City Manager now had a tiger by the tail and a chance to be in the paper, but not for a
very good reason.
SUMMARY:
This group demanding that NTAC disrupt their 20i6 season because they are in need of a place to
perform has no idea what "their tax dollars" support and what exists as the result of NTAC and its
volunteers and supporters. In the group's quest, they have started with demands and progressed with
threats of extortion by bad press to Mrs. Cohen and the City Manager unless they get exactly what they
want When asked to present their credentials (as requested of all directors or groups soliciting time at
NTAC, their response to Mrs. Cohen was `9 don't have to tell you anything about us ".
2. The City Manager had no idea of the activities or relationship of NTAC with the City of Newport
Beach, and should have never been primarily involved regarding this issue. With his uninformed
participation, this group now has become a potential problem for the City Council.
3. NTAC has done the City of Newport Beach a good deed for 20 years as a good tenant and
representative for the City. NTAC has been quietly self - sufficient and a source of community pride. 1
continued to underwrite and present children's theatre even after the City of Newport Beach no longer
provided for such grants in their own city budget. It also came to the city with $90,000.00+ and a
request to supplement the city in the improvement of the city's own building. It is unbelievable that
the City of Newport Beach could even consider disrupting a scheduled season and season ticket
holders by placating this roving group of people in search of a low cost, if not free, instant theatre.
1 want to finally express my displeasure at how this issue came to be so stressful and personally intrusive at
her home to NTAC's President, Rae Cohan. The city employee who gave Mrs. Cohen's home telephone
number to this group should be officially reprimanded for such an indiscretion. 1 doubt that it is policy to M
give the home telephone number of any city official in charge of a department to any person or group of
people when they telephone with a request, complaint or problem to be solved. However, when this
opposing group had a question regarding NTAC they were referred to Mrs. Cohen at her home. Why was
this easy to do? .... the answer is simple. Over the past years, problems regarding NTAC were taken care of
by NTAC, and if questions arose for NTAC they were answered by NTAC, and sir, NTAC IS Mrs. Rae
Cohen who can always be reached. Mrs. Cohen has handled a monumental amount of problems
concerning the facility known as NTAC and often never bothered the City of Newport Beach with these
issues, and it is for this reason that most of the city representatives haven't had to encumber their problem
solving agendas with NTAC items. Mrs. Cohen's efforts throughout the years have been immeasurable and
invaluable to this community and City Council.
If the City of Newport Beach allows this opposing group to diminish and interfere with the successful
regimen necessary to maintain NTAC, it will indeed reenforce the quote "No good deed goes unpunished ".

As a season ticket holder and admirer of the way the board of directors and the many
volunteers provide outstanding entertainment for Newport Beach residents of all ages, it seems
to me that the city of Newport Beach should be very proud of what has been accomplished by
the many people who, through the years, have participated at Newport Theatre Arts Center to
develop it into such an asset to our community.
When the Children's Theatre Guild, of which I was a member, disbanded, about the time the
Newport Theatre Arts Center became a producing theatre, all the records and plays were
. turned over to the theatre and they, in essence, became the continuation of the Children's
Theatre Guild. They did musical plays written by Jean Tandowsky and Prue Holden, of which
we were all so fond. NTAC is still presenting children's theatre productions.
In December 1999, I presented a Holiday Celebration at Newport Theatre Arts Center. I had
approached and was encouraged by one of the board members about doing this program early
in the year, a continuation of holiday programs I had done for the City many times. The NTAC
board of directors scheduled the time for us, arranged for a rehearsal period, adjusted sound
and lights and had a person doing the technical work for the performance. We presented our
program in a time slot that they recommended. The musical holiday celebration was extremely
successful and we have planned doing it again at Newport Theatre Arts Center this Christmas.
The Friends of Newport Theatre Arts Center are a part of the tradition of the Newport Beach
community. We enjoy being a part of that tradition.

We are most fortunate in having such a fine organization in Newport Beach. The quality of the
plays and the quality of the performances are usually excellent. Indeed, 1 have season tickets to
the Ma!nstage at SCR, but I find that I enjoy the plays at the Newport Theatre Arts Center much
more.
We are a group of 7 college friends who for 5 years have had season tickets to the NTAC.
Members of our group come from Claremont, Moreno Valley, Norco and Irvine on Thursday
nights to dine at one of the local restaurants, to visit, and to see the latest play. We are looking

It is my understanding that the lease for the above - mentioned entity is coming up for
renewal and that controversy exists regarding same. I wish to inform you that I am in support for
renewing the lease with the Center. The Center is the only theater in Newport Beach to offer live
productions. Laguna has theirs, Costa Mesa has a couple and Huntington Beach has one. It is
my belief that to not renew the lease and perhaps lose the Center would be a big disservice to the
residents of Newport Beach. I have attended the productions put on by the Center and have been
impressed with the professionalism of the productions.

I am writing to you as a theater devotee in support of the Newport Theatre Arts Center. I have
been a season member for the past 15 years from the time I first brought my junior high school
age son. I was so impressed with the quality of actors and the intimate setting for the audience
that I immediately took out a season subscription and have maintained it ever since. Over the
years I've seen a steady progression in the acting ability and quality of performance, selection of
plays, and staff professionalism.
I am also a season subscriber to other local theaters, e.g., South Coast Repertory and Laguna
Beach Theater, and can truthfully say that you should be quite proud to have a group like this in
your city. Not many cities can boast about a live theater group in their area.
Over the years I've encouraged my friends to join me as season ticket holders. We always enjoy
our day in Newport Beach by having lunch at the many fine restaurants in the area and shopping
at the stores prior to each play.
Please continue to support this fine theater group which offers so many opportunities to aspiring
actors and actresses as well as providing theatergoers with such fine drama and comedy. In fact,

Please give your support to the Newport Theatre Arts Center. I do not know if
you have ever attended any of their productions but I can testify to you that they are so
wonderful.
My husband and I attend all the time and always have family members with us,
which consists of my three sons and their wives. We never miss the opportunity to take
our out of town guests to The Newport Theatre Arts Center, this really impresses them
not only the productions but the beautiful atmosphere where the shows are presented.
We also usually dine at the restaurants located there in Newport Beach. Our
favorite restaurant being the CRAB COOKER. Other times we eat at the SPAGHETTI
FACTORY, just to name a few of the places we have dined.
It was brought to our attention that the Newport Theatre Arts Center might be in
jeopardy. Please do not let this fine community play house be taken away. It really is
a blessing to your community and to the many patrons that enjoy the entertainment
that is presented there. Please give your full support in keeping this facility in New port
Beach.

This letter is to express my appreciation for the fine work and enjoyment that is extended
by the Newport Theatre Arts Center. My wife and I have enjoyed the plays and activities
of this group for the last 12 years that we have been residents of Orange County. In the
last 5 years, since we have moved to Newport Beach, we are more frequent visitors and
are season ticket holders. In fact we have enjoyed our grandchildren participating in the
childrens programs that are also a part of each year's performances. In addition, we are
members of a group of 20 couples who are season ticket holders and meet before each
performance at local restaurants and other facilities. I believe that this adds to the
intimacy and the "small town" flavor that we otherwise don't have in California.
I understand that these programs are now in jeopardy as a result of a rival faction that
wishes to invade the building for the purpose of putting on their own productions. I want
to express my dismay at the consideration of this alternate program. It seems to me and
I'm sure many others, that this is a real case of "if it ain't broke, don't fix it ". The current
programs have provided enjoyment for many, for many, many years. If this other group
feels they need to have additional performances offered to the residents of Newport then
why can't they go to one of the many other fine facilities that are available in the
area,such as the schools. This would have the additional benefit of providing an extra
revenue source for the school as well. They could then also develop their own proprietary
equipment, props, etc.,and offer many more seats than the 100 that are available at the
"little theatre".
As you meet to consider the request of this other group,please consider this request to tell
them to consider a venue other than the Newport l heatre Arts Center. Thank you.

I am writing because I just heard that you are contemplating the
closing of the Newport Theatre of Cliff Drive. That would be terrible.
They do such a wonderful job of performing their dramas and
musicals. They attract people from all over Southern Orange County.
I come from Irvine with a friend from Laguna Woods. After the
theatre we always eat dinner in a Newport Beach restaurant, which
we wouldn't otherwise do. We also usually do our shopping there at
the same time. I know it is an expense for Newport Beach to support
this wonderful little theatre, but it does give pleasure to so many
people and it does bring people into your lovely city to eat and shop.
I do hope we will have this theatre for many years to come.

Though i have intended many times to write to you, now seems just right to take the opportunity
to thank you for your outstanding position as the mayor of Newport Beach.
Very simply, I would like to express my appreciation and enjoyment ofthe existing theatre program
at the Newport Beach Arts Center. My husband and I attend many NTAC productions, often with
four or six in our party (frequently friends from neighboring towns) and on those occasions, dine
in one of Newport's many good restaurants . NTAC provides excellent, affordable theatre which
seems to be more and more difficult to encounter these days!
My husband and I have followed and supported this dedicated group for many years. We always
find them to be friendly, dedicated and exceptionally talented. We feel proud and appreciate
having them in our area !

I attended my first play at the Newport Theatre Arts Center in the 1980's simply because
it was conveniently close to home. What began as a one -time event became a long-
standing relationship, thanks to the impressive efforts of a talented cast and crew.
Over the years, I have seen musicals, dramas and comedies at NTAC, and each one has
been enthusiastically produced. The events are reasonably priced and affordable for those
on a budget. I've taken several out -of -town guests to plays and they've never been
disappointed. My guests and I frequently have dinner locally because the theatre is so
close to a variety of restaurants.
NTAC is a mecca for budding dramatic talent. In an area where cultural arts are so
competitive, local theatre is a way for fledgling actors to test their mettle, gain confidence
and step up to the next level. Backed by a warm and enthusiastic audience, these artists
are sure to flourish.
I encourage you and the Newport Beach City Council to continue allowing NTAC to
exist, benefiting the local economy, providing affordable theatre and supporting the
artistic growth of local actors.
