SUBJECT: Resolution 2005---- Establishment of the Ad Hoc Santa Ana
Heights Community Center Committee
ISSUE:
Should the City Council adopt a resolution forming a committee of three Council
members to work on issues relating to the proposed community center in Santa Ana
Heights?
RECOMMENDATION:
1. Adopt Resolution 2005- forming the Ad Hoc Santa Ana Heights Community
Center Committee;
2. Appoint Council members and
to the Committee
DISCUSSION:
Background:
The City, the Santa Ana Heights Project Area Committee (SAHPAC), and the Orange
County Development Agency (OCDA) have worked to develop a regional recreational
facility or community center in Santa Ana Heights since 2003. The preferred location for
this Center is the YMCA at 2300 University Avenue.
Included in the tasks to make the Center a reality are several agreements, including an
Operating Agreement (that will establish the relationship between the YMCA and the
City) and a Purchase and Sale Agreement that will establish the terms of the transaction
that will transfer the YMCA to the City upon completion of the Center's construction.

In the past, when the City has embarked upon new relationships like this one, the City
Council has created an ad hoc committee to provide guidance to City staff in developing
these key agreements. City staff seeks this assistance again for the Santa Ana Heights
Community Center project.

Committee Action: None.
Environmental Review: The City Council's approval of this Agenda Item does not
require environmental review.
Public Notice: This agenda item may be noticed according to the Brown Act (72 hours
in advance of the public meeting at which the City Council considers the item).

RESOLUTION 2005-
A RESOLUTION OF THE CITY COUNCIL
OF THE CITY OF NEWPORT BEACH
ESTABLISHING THE CITY COUNCIL AD HOC
SANTA ANA HEIGHTS COMMUNITY CENTER COMMITTEE
WHEREAS, the City and the Orange County Development Agency ( "OCDA ") have
entered into an agreement whereby the City will coordinate the development and
operation of a regional recreational facility or community center ( "Center ") in Santa Ana
Heights; and
WHEREAS, the City and the Santa Ana Heights community have identified the land
and facility at the YMCA of Central Orange County (YMCA) located at 2300 University
Drive as the site for the proposed Center; and
WHEREAS, the City and the YMCA intend to enter into one or more agreements,
including, but not limited to, an Operating Agreement and a Purchase and Sale
Agreement to formalize the two entities' relationship regarding the Center; and
WHEREAS, the parties intend to establish negotiating teams to develop these
agreements and to bring them back to the YMCA Board of Directors and to the City
Council for consideration and approval;
NOW, THEREFORE, the City Council of the City of Newport Beach hereby resolves
as follows:
SECTION 1: ESTABLISHMENT
The City Council Ad Hoc Santa Ana Heights Community Center Committee
(Committee) shall be established as of the date this Resolution is approved by four
members of the City Council voting at a duly noticed meeting of the City Council.
SECTION 2: DUTIES
The Committee shall have the following duties:
1. In conjunction with City staff, to negotiate with the YMCA of Orange County and /or
the County of Orange and its Orange County Development Agency regarding all
matters associated with the design, construction, and management of the proposed
Community Center; and
2. In conjunction with City staff, to review and offer advice regarding any construction or
management issues that may arise as the Community Center is under construction and
in the Center's initial months of operation.

SECTION 3: COMPOSITION
The Committee shall consist of three members of the City Council appointed by, and
serving at the pleasure of, the Mayor.
SECTION 4: TERM
The term of the Committee shall expire two years from the date this Resolution is
adopted by the City Council.
ADOPTED this 25th day of October, 2005.
