Vanpool Services Agreement (VSA)
This agreement is by and between Enterprise Rent-A-Car Company of Los Angeles, LLC, DBA Enterprise Rldeshare ("Enterprise"), and
< \ City of Newport Beach ("Employer), Enterprise and the Employer wish to undertake a mutual agreement In order to establish or
V continue a limited relationship for the purpose of Enterprise forming and managing a vanpool program at the Employer's worksite
(or at an off-site work location). Both parties do agree to the following:
1. SERVICES:
a) Enterprise agrees to commit Its proprietary vanpool formation services to the employer at no cost for the length of this
agreement These proprietary services include:
- Data mapping and duster analysis - Carbon Offset options
- On-site Formation Presentations and vehicle
- Online Driver Approval Process demonstrations
- Subsidy program enrollment assistance - quarterly emissions calculations & reporting
b) Employer and its employees are under no obligation to rent any vans under this agreement.
c) In order to protect the time and energies of both parties, Employer agrees to be responsible for the following two activities
necessary for successful vanpool Formation Meetings:
• A minimum meeting attendance of 10 employees per formation meeting
• Employees' work hours must be ore -screened and matched prior to Formation Meeting
Employer agrees to ensure Formation Meetings have at least 10 employees per meeting In attendance, and also agrees to
pre-screen the work hours for the employees prior to the meeting(s).

2. INCENTIVES:
a) The Employer agrees to provide financial or non financial Incentives to employees who choose to vanpool with Enterprise
The spedric Incentive(s) will be agreed upon prior to the first Formation Meeting conducted by Enterprise and added to this
Agreement as an Addendum.
b) Employer agrees that Enterprise is expending significant monetary resources to start-up and sustain a vanpool program at
the Employer's work site(s). Employer agrees that any and ail incentives, financial or otherwise, put In place by the
Employer to support or promote vanppoling or alternate forms of transportation by or for its employees, will be offered
exclusively to employees who use Enterprise's vanpool service. These Incentives cannot be extended to any other vendor
or organization during the term of this agreement. y,,

3. TERMS:
a) This agreement shall remain in effect for a period of one (1) year after the date last signed below. The agreement will
automatically renew 30 -days at a time at the expiration of the initial 1 -year term.
b) This agreement may be terminated for cause If Enterprise Rldeshare defaults the specific services described in the
Enterprise Rideshore Vanpool Procedure List. In the event of such default, Employer agrees to notify Enterprise in writing
of default, and Enterprise agrees to remedy default within 30 days. If Enterprise falls to remedy within 30 days, Employer
has the right to terminate this agreement and would notify Enterprise In writing at the end of the 30 day remedy period.
Either Enterprise or Employer may terminate this agreement far any reason upon ninety (90) days' written notice to the
other party.
c) This document reflects the entirety of the marketing and Incentives agreement between Employer and Enterprise. The
agreement shall be read as a whole to accomplish the stated business purpose indicated above.
d) Enterprise shall Indemnify, hold harmless, and defend Employer, Its subsidiaries and their respective officers, directors, and
employees from and against any and all liabilities, damages, actions, costs, losses, claims and expenses, Including
reasonable attorney's fees, on account of any bodily injury, death or damage to, or loss of, property arising out of or in
connection with this agreement to the extent caused by any negligence or willful misconduct by Enterprise, Its employees,
contractors and agents.

e) Termination of this agreement for any reason other than stated In Sectlan 3 (b) above prior to the expiration date set forth
herein shall only be by the mutual written consent of both parties.

Vanpool Incentives Addendum
This addendum to the Vanpool Services Agreement executed between Enterprise and the
Employer details the Incentive(s) the Employer agrees to provide to employees who choose to
vanpool with Enterprise:
