this indemnity shall be construed as authorizing any award of attorneys' fees in any action
on or to enforce the terms of this Agreement. This indemnity shall apply to all claims and
liability regardless of whether any insurance policies are applicable. The policy limits do
not act as a limitation upon the amount of indemnification to be provided by the

SCOPE OF SERVICES
RAK Development, Inc. DBA Kreuzer Consulting Group Page A-1
This Project includes miscellaneous proposed improvements at six (6) City park locations. The following
provides a brief overview and scope of work for each location. It is important to note that this scope of
work is based on the City's direction that these improvement are maintenance type improvements and
do not require the significant level of detail, with respect to survey and elevations, that would normally
be involved with more traditional CIP projects. Our overall goal will be to deliver plans that are
"biddable" and "buildable" within the City's overall budget for all, or most, of the six (6) sites.
1. Bayview Park
This location will require the removal of an existing wood stairway and the construction of a
concrete stairway at a new location to the west. The new stairway will connect to the existing sidewalk
in the park. The design for this location will utilize record contour information from the City's GIS
data base and existing aerial photo map. A limited field survey effort will be conducted to gather site
specific elevations as needed. One (1) plan sheet will be developed depicting the stairway layout and
supporting details will be prepared. A construction cost estimate will accompany all plan submittals.
2. Cliff Drive Park
The existing wall is constructed with vertical railroad ties which have been embedded into the
ground behind the existing sidewalk. The railroad ties are continuous (i.e. stacked side-by-side
immediately adjacent to each other) along the entire wall length. Portions of the wall have deflected
outward toward the sidewalk, and this is most likely due to inadequate embedment into the ground
below the sidewalk. Since standard railroad tie lengths can vary from 8' to 9' and the height of the
ties visible above the sidewalk is 4' to 5' there is (at most) only 3' to 4' of embedment provided.
Current wall design criteria would typically result in required embedment depths for this type of wall of
approximately 2x the retained height which would be twice that currently provided.
To reduce construction cost and avoid changing the character and appearance of the wall, Consultant
proposes to fix the existing wall deflections in the following manner and sequence:
1) Temporarily reduce the backfill height behind the wall by excavating downward;
2) Extract the existing railroad ties;
3) Splice tapered timber extensions onto the bottom of each of the existing ties to extend their length
of embedment;
4) Reinstall lengthened ties (by hammering or pushing with the appropriate type of heavy equipment)
into a vertical or slightly rearward -leaning position;
5) Install filter fabric to rear side of wall; and
6) Backfill rear side of the wall, reestablish landscaping & irrigation as needed.
Consultant will prepare the improvement base sheets based upon GIS data, aerial images and field
measurements. We will develop layout plans and supporting details based upon the proposed solution
described above. We envision two (2) plan sheets will be required including the necessary structural
details. A construction cost estimate will be provided with all plan submittals.
3. Irvine Terrace Park
The existing wall is constructed with vertical railroad ties which have been intermittently embedded into
the ground behind the existing sidewalk. These vertical ties are spaced at approximately 7' to 8' and act
as cantilevered "soldier piles", supporting horizontally -stacked railroad ties which act as the "lagging"
between the vertical ties. Portions of the wall have deflected outward toward the sidewalk, and this is
most likely due to inadequate embedment of the vertical railroad ties into the ground below the
sidewalk.
To reduce construction cost and avoid changing the character and appearance of the wall,
Consultant proposes to fix the existing wall in a similar manner above for the Cliff Drive Park Wall,
summarized as follows:
1) Temporarily reduce the backfill height behind the wall by excavating downward;
2) Remove lagging and extract the existing "soldier pile" railroad ties at deflected locations;
3) Splice tapered timber extensions onto the bottom of each of the existing "solider pile" ties to
extend their length of embedment;
4) Reinstall lengthened ties (by hammering or pushing with the appropriate type of heavy equipment)
into a vertical or slightly rearward -leaning position;
5) Reinstall the horizontally -stacked "lagging" railroad ties;
6) Install filter fabric to rear side of the wall; and
7) Backfill rear side of the wall, reestablish landscaping & irrigation as needed.
Consultant will prepare the necessary plan/detail sheets (two assumed), along with a corresponding
cost estimate.
4. Grant Howald Park
At this location, there are a few locations where the top row of the existing block wall are displaced,
likely due to pressure from existing tree roots. Consultant believes a potential solution for this
location would be to remove the top block for the entire length of the wall and replace it with a
new top color. Consultant recommends that this cap be a wider block to give the appearance of a
"finished cap" and perhaps consider a darker brown block to give the wall a more aesthetically pleasing
appearance. These improvements also call for short railroad tie walls on the east side of Iris.
Consultant's plans will depict the removal and replacement of this wall in addition to the block wall cap
replacement described above. Consultant will prepare two (2) plan/detail sheets for this site, along
with a cost estimate.
5. Peninsula Park
This site requires the removal of the existing high block wall and replacement with a cast in place seat
wall at the same location. The existing wall openings to the beach will be maintained. Consultant
will prepare two (2) plan/detail sheets for this site, along with a cost estimate.
6. Bayside Park/Goldenrod Stairs
This location currently has a combination concrete/railroad tie stairway. Based on our field review,
Consultant believes the best solution would be to remove and replace this stairway with a new
concrete stairway in conformance with APWA standard plans. The existing railroad ties are very
distressed and replacing them with new ties provides no real aesthetic value.
Consultant will prepare new stairway layout plans and details for this location with a cost estimate.
Consultant believes one (1) plan/detail sheet will be required.

RAK Development, Inc. DBA Kreuzer Consulting Group Page C-2
B. City's Right to Revise Requirements. City reserves the right at any time
during the term of the Agreement to change the amounts and types of

additional cost to Consultant, City and Consultant may renegotiate
Consultant's compensation.
C. Enforcement of Agreement Provisions. Consultant acknowledges and
agrees that any actual or alleged failure on the part of City to inform
Consultant of non-compliance with any requirement imposes no additional
obligations on City nor does it waive any rights hereunder.
D. Requirements not Limiting. Requirements of specific coverage features or
limits contained in this Section are not intended as a limitation on coverage,
limits or other requirements, or a waiver of any coverage normally provided
by any insurance. Specific reference to a given coverage feature is for
purposes of clarification only as it pertains to a given issue and is not
intended by any party or insured to be all inclusive, or to the exclusion of
other coverage, or a waiver of any type. If the Consultant maintains higher
limits than the minimums shown above, the City requires and shall be
entitled to coverage for higher limits maintained by the Consultant. Any
available insurance proceeds in excess of the specified minimum limits of
insurance and coverage shall be available to the City.

retentions be eliminated, lowered, or replaced by a deductible. Self-
insurance will not be considered to comply with these requirements unless
approved by City.
F. City Remedies for Non -Compliance. If Consultant or any subconsultant fails
to provide and maintain insurance as required herein, then City shall have
the right but not the obligation, to purchase such insurance, to terminate this
Agreement, or to suspend Consultant's right to proceed until proper
evidence of insurance is provided. Any amounts paid by City shall, at City's
sole option, be deducted from amounts payable to Consultant or reimbursed
by Consultant upon demand.
G. Timely Notice of Claims. Consultant shall give City prompt and timely notice
of claims made or suits instituted that arise out of or result from Consultant's
performance under this Contract, and that involve or may involve coverage
under any of the required liability policies. City assumes no obligation or
liability by such notice, but has the right (but not the duty) to monitor the
handling of any such claim or claims if they are likely to involve City.
H. Consultant's Insurance. Consultant shall also procure and maintain, at its
own cost and expense, any additional kinds of insurance, which in its own
judgment may be necessary for its proper protection and prosecution of the
