MEMORANDUM OF LEASE

This MEMORANDUM OF LEASE is entered into as of the 2-6 day of I OV -
1996, by
and between THE CITY OF NEWPORT BEACH, a chartered municipal corporation ("Lessor'), and Joy L.
Monroe, an Unmarried Woman ("Lessee"), and 'Th e; Estate of Virginia Mason
Elliott, and Estate of Raymond Stevens Elliott, Jr., by Virginia M. Dittmar, Executrix, to witness that
Lessor executed a lease dated January 1, 1988, a memorandum of which was recorded on March 25,
1988, as Instrument No. 88-137687 in the Official Records of Orange County. By said lease, the Real
Property described below was leased until July 1, 2006 to Raymond S. Elliott (deceased) and Virginia M.
Elliott (deceased). Lessor and the Execufr-► x of the Elliotts' Estates agree to terminate said lease as
of the Commencement Date set forth below, and to discharge and release successor Lessees from all
obligations under said lease as of said date (other than delinquent rent or other charges, if any, owed
pursuant to said lease as of the termination). n
Lessor hereby leases to Lessee, commencing on i V D V '- 4�' , 1996 (the "Commencement
Date"), and ending on July 1, 2044, on the terms and conditions set forth in that certain lease by and
between the parties hereto executed concurrently herewith, all the terms and conditions of which are
made a part hereof as though fully set forth herein, those certain premises in the City of Newport Beach,
County of Orange, State of California (the "Real Property"), described as follows:
Lot 30 as shown on the map filed in Book 9, Pages 42 and 43 of Record of Surveys, in the
Office of the County Recorder, County of Orange, State of California.
