FOR CITY HALL AND PARK MASTER PLAN
ARCHITECTURAL DESIGN COMPETITION
THIS AGREEMENT is made and entered into as of this day of e- -1
2008, by and between the CITY OF NEWPORT BEACH, a Municipal Corporation
( "City "), and Gonzalez Goodale Architects, a California Corporation, whose address is
135 West Green Street, Suite 200, Pasadena, CA 91105 ( "Consultant "), and is made
with reference to the following:
RECITALS
A. City is a municipal corporation duly organized and validly existing under the laws
of the State of California with the power to carry on its business as it is now
being conducted under the statutes of the State of California and the Charter of
City.
B. City is planning to conduct an architectural design competition for the City Hall
and Park Master Plan ( "Project ").
C. Consultant has been selected by the City Hall Design Committee as one of five
firms to submit an entry into the competition.
D. Consultant possesses the skill, experience, ability, background, certification and
knowledge to provide the services described in this Agreement.
E. The principal member of Consultant for purposes of Project shall be David L.
Goodale, AIA.
F. City Hall Design Committee has solicited and received qualifications per the
City's request for qualifications (RFQ) from Consultant, has reviewed the
previous experience and evaluated the expertise of Consultant, and the City
desires to retain Consultant to render professional services under the terms and
conditions set forth in this Agreement.
NOW, THEREFORE, it is mutually agreed by and between the undersigned parties as
follows:
1. TERM
The term of this Agreement shall commence on the above written date, and shall
terminate on the 12th day of December, 2008, unless terminated earlier as set
forth herein.
2. SERVICES TO BE PERFORMED
Consultant shall diligently perform all the services described in the Scope of
Services attached hereto as Exhibit A and incorporated herein by reference. The
City may elect to delete certain tasks of the Scope of Services at its sole
discretion.
3. TIME OF PERFORMANCE
Consultant shall submit their entry by the September 18, 2008, 5pm deadline to
be considered in the Design Competition. Failure to meet this condition will
result in termination of this Agreement by City.
4. COMPENSATION TO CONSULTANT
City shall pay Consultant for the services on a lump sum not -to- exceed basis in
accordance with the provisions of this Section. Consultant's compensation for all
work performed in accordance with this Agreement, including all reimbursable
items and subconsultant fees, shall not exceed Fifty Thousand Dollars and
no1100 ($50,000).
4.1 Consultant will be paid an initial payment of 10 %, Five thousand ($5,000)
upon execution of this contract and the submittal of an invoice to the City.
The City shall pay Consultant no later than thirty (30) days after approval
of the initial (10 %) payment invoice by City staff.
4.2 Consultant will be paid the balance of 90 %, Forty -Five Thousand
($45,000) provided Consultant submits an entry that fully complies with
the criteria set forth in Exhibit A by September 18, 2008, at 5pm to the
City. If Consultant fails to comply with the criteria set forth in Exhibit A or
make a timely submittal, Consultant shall not be entitled to any additional
compensation under this Agreement. The City shall pay Consultant no
later than thirty (30) days after approval of the final (90 %) payment invoice
by City staff.
5. PROJECT MANAGER
Consultant shall designate a Project Manager, who shall coordinate all phases of
the Project. This Project Manager shall be available to City at all reasonable
times during the Agreement term. Consultant has designated DAVID L.
GOODALE to be its Project Manager. Consultant shall not remove or reassign
the Project Manager or any personnel listed in Exhibit A or assign any new or
replacement personnel to the Project without the prior written consent of City.
City's approval shall not be unreasonably withheld with respect to the removal or
assignment of non -key personnel.
Consultant, at the sole discretion of City, shall remove from the Project any of its
personnel assigned to the performance of services upon written request of City.
Consultant warrants that it will continuously furnish the necessary personnel to
complete the Project on a timely basis as contemplated by this Agreement.

6. ADMINISTRATION
This Agreement will be administered by the City Manager's Office. Dave Kiff
shall be the Project Administrator and shall have the authority to act for City
under this Agreement. The Project Administrator or his /her authorized
representative shall represent City in all matters pertaining to the services to be
rendered pursuant to this Agreement.
7. CITY'S RESPONSIBILITIES
In order to assist Consultant in the execution of its responsibilities under this
Agreement, City agrees to, where applicable:
A. Provide access to, and upon request of Consultant, one copy of all
existing relevant information on file at City. City will provide all such
materials in a timely manner so as not to cause delays in Consultant's
work schedule.
8. STANDARD OF CARE
8.1 All of the services shall be performed by Consultant or under Consultant's
supervision. Consultant represents that it possesses the professional and
technical personnel required to perform the services required by this
Agreement, and that it will perform all services in a manner
commensurate with community professional standards. All services shall
be performed by qualified and experienced personnel who are not
employed by City, nor have any contractual relationship with City. By
delivery of completed work, Consultant certifies that the work conforms to
the requirements of this Agreement and all applicable federal, state and
local laws and the professional standard of care.
8.2 Consultant represents and warrants to City that it has, shall obtain, and
shall keep in full force in effect during the term hereof, at its sole cost and
expense, all licenses, permits, qualifications, insurance and approvals of
whatsoever nature that is legally required of Consultant to practice its
profession. Consultant shall maintain a City of Newport Beach business
license during the term of this Agreement.
8.3 Consultant shall not be responsible for delay, nor shall Consultant be
responsible for damages or be in default or deemed to be in default by
reason of strikes, lockouts, accidents, or acts of God, or the failure of City
to furnish timely information or to approve or disapprove Consultant's
work promptly, or delay or faulty performance by City, contractors, or
governmental agencies.
9. HOLD HARMLESS
To the fullest extent permitted by law, Consultant shall indemnify, defend and
hold harmless City, its City Council, boards and commissions, officers, agents,

volunteers and employees (collectively, the "Indemnified Parties) from and
against any and all claims (including, without limitation, claims for bodily injury,
death or damage to property), demands, obligations, damages, actions, causes
of action, suits, losses, judgments, fines, penalties, liabilities, costs and
expenses (including, without limitation, attorney's fees, disbursements and court
costs) of every kind and nature whatsoever (individually, a Claim; collectively,
"Claims "), which may arise from or in any manner relate (directly or indirectly) to
the negligence, recklessness, or willful misconduct of the Consultant or its
principals, officers, agents, employees, vendors, suppliers, consultants,
subcontractors, anyone employed directly or indirectly by any of them or for
whose acts they may be liable or any or all of them.
Notwithstanding the foregoing, nothing herein shall be construed to require
Consultant to indemnify the Indemnified Parties from any Claim arising from the
sole negligence, active negligence or willful misconduct of the Indemnified
Parties. Nothing in this indemnity shall be construed as authorizing any award of
attorney's fees in any action on or to enforce the terms of this Agreement. This
indemnity shall apply to all claims and liability regardless of whether any
insurance policies are applicable. The policy limits do not act as a limitation
upon the amount of indemnification to be provided by the Consultant.
10. INDEPENDENT CONTRACTOR
It is understood that City retains Consultant on an independent contractor basis
and Consultant is not an agent or employee of City. The manner and means of
conducting the work are under the control of Consultant, except to the extent
they are limited by statute, rule or regulation and the expressed terms of this
Agreement. Nothing in this Agreement shall be deemed to constitute approval
for Consultant or any of Consultant's employees or agents, to be the agents or
employees of City. Consultant shall have the responsibility for and control over
the means of performing the work, provided that Consultant is in compliance with
the terms of this Agreement. Anything in this Agreement that may appear to give
City the right to direct Consultant as to the details of the performance or to
exercise a measure of control over Consultant shall mean only that Consultant
shall follow the desires of City with respect to the results of the services.
11. COOPERATION
Consultant agrees to work closely and cooperate fully with City's designated
Project Administrator and any other agencies that may have jurisdiction or
interest in the work to be performed. City agrees to cooperate with the
Consultant on the Project.
12. CITY POLICY
Consultant shall discuss and review all matters relating to policy and Project
direction with City's Project Administrator in advance of all critical decision points
in order to ensure the Project proceeds in a manner consistent with City goals
and policies.

13. PROGRESS
Consultant is responsible for keeping the Project Administrator and/or his /her
duly authorized designee informed on a regular basis regarding the status and
progress of the Project, activities performed and planned, and any meetings that
have been scheduled or are desired.
14. INSURANCE
Without limiting Consultant's indemnification of City, and prior to commencement
of work. Consultant shall obtain, provide and maintain at its own expense during
the term of this Agreement, a policy or policies of liability insurance of the type
and amounts described below and in a form satisfactory to City.
A. Certificates of Insurance. Consultant shall provide certificates of
insurance with original endorsements to City as evidence of the insurance
coverage required herein. Insurance certificates must be approved by
City's Risk Manager prior to commencement of performance or issuance
of any permit. Current certification of insurance shall be kept on file with
City at all times during the term of this Agreement.
B. Signature. A person authorized by the insurer to bind coverage on its
behalf shall sign certification of all required policies.
C. Acceptable Insurers. All insurance policies shall be issued by an
insurance company currently authorized by the Insurance Commissioner
to transact business of insurance in the State of California, with an
assigned policyholders' Rating of A (or higher) and Financial Size
Category Class VII (or larger) in accordance with the latest edition of
Best's Key Rating Guide, unless otherwise approved by the City's Risk
Manager.
D. Coverage Requirements.
i. Workers' Compensation Coverage. Consultant shall maintain
Workers' Compensation Insurance and Employer's Liability
Insurance for his or her employees in accordance with the laws of
the State of California. In addition, Consultant shall require each
subcontractor to similarly maintain Workers' Compensation
Insurance and Employer's Liability Insurance in accordance with
the laws of the State of California for all of the subcontractor's
employees. Any notice of cancellation or non - renewal of all
Workers' Compensation policies must be received by City at least
thirty (30) calendar days (10 calendar days written notice of non-
payment of premium) prior to such change. The insurer shall agree
to waive all rights of subrogation against City, its officers, agents,
employees and volunteers for losses arising from work performed
by Consultant for City.

ii. General Liability Coverage. Consultant shall maintain commercial
general liability insurance in an amount not less than one million
dollars ($1,000,000) per occurrence for bodily injury, personal
injury, and property damage, including without limitation,
contractual liability. If commercial general liability insurance or
other form with a general aggregate limit is used, either the general
aggregate limit shall apply separately to the work to be performed
under this Agreement, or the general aggregate limit shall be at
least twice the required occurrence limit.
iii. Automobile Liability Coverage. Consultant shall maintain
automobile insurance covering bodily injury and property damage
for all activities of the Consultant arising out of or in connection with
work to be performed under this Agreement, including coverage for
any owned, hired, non -owned or rented vehicles, in an amount not
less than one million dollars ($1,000,000) combined single limit for
each occurrence.
iv. Professional Errors and Omissions Insurance. Consultant shall
maintain professional errors and omissions insurance, which
covers the services to be performed in connection with this
Agreement in the minimum amount of one million dollars
($1,000,000).
E. Endorsements. Each general liability and automobile liability insurance
policy shall be endorsed with the following specific language:
The City, its elected or appointed officers, officials, employees,
agents and volunteers are to be covered as additional insureds with
respect to liability arising out of work performed by or on behalf of
the Consultant.
ii. This policy shall be considered primary insurance as respects to
City, its elected or appointed officers, officials, employees, agents
and volunteers as respects to all claims, losses, or liability arising
directly or indirectly from the Consultant's operations or services
provided to City. Any insurance maintained by City, including any
self- insured retention City may have, shall be considered excess
insurance only and not contributory with the insurance provided
hereunder.
iii. This insurance shall act for each insured and additional insured as
though a separate policy had been written for each, except with
respect to the limits of liability of the insuring company.
iv. The insurer waives all rights of subrogation against City, its elected
or appointed officers, officials, employees, agents and volunteers.

V. Any failure to comply with reporting provisions of the policies shall
not affect coverage provided to City, its elected or appointed
officers, officials, employees, agents or volunteers.
vi. The insurance provided by this policy shall not be suspended,
voided, canceled, or reduced in coverage or in limits, by either
party except after thirty (30) calendar days (10 calendar days
written notice of non - payment of premium) written notice has been
received by City.
F. Timely Notice of Claims. Consultant shall give City prompt and timely
notice of claim made or suit instituted arising out of or resulting from
Consultant's performance under this Agreement.
G. Additional Insurance. Consultant shall also procure and maintain, at its
own cost and expense, any additional kinds of insurance, which in its own
judgment may be necessary for its proper protection and prosecution of
the work.
15. PROHIBITION AGAINST ASSIGNMENTS AND TRANSFERS
Except as specifically authorized under this Agreement, the services to be
provided under this Agreement shall not be assigned, transferred contracted or
subcontracted out without the prior written approval of City. Any of the following
shall be construed as an assignment: The sale, assignment, transfer or other
disposition of any of the issued and outstanding capital stock of Consultant, or of
the interest of any general partner or joint venture or syndicate member or
cotenant if Consultant is a partnership or joint- venture or syndicate or cotenancy,
which shall result in changing the control of Consultant. Control means fifty
percent (50 %) or more of the voting power, or twenty -five percent (25 %) or more
of the assets of the corporation, partnership or joint- venture.
16. SUBCONTRACTING
City and Consultant agree that subconsultants may be used to complete the
work outlined in the Scope of Services. The subconsultants authorized by City to
perform work on this Project are identified in Exhibit A. Consultant shall be fully
responsible to City for all acts and omissions of the subcontractor. Nothing in
this Agreement shall create any contractual relationship between City and
subcontractor nor shall it create any obligation on the part of City to pay or to see
to the payment of any monies due to any such subcontractor other than as
otherwise required by law. The City is an intended beneficiary of any work
performed by the subcontractor for purposes of establishing a duty of care
between the subcontractor and the City. Except as specifically authorized
herein, the services to be provided under this Agreement shall not be otherwise
assigned, transferred, contracted or subcontracted out without the prior written
approval of City.

17. OWNERSHIP OF DOCUMENTS
Each and every report, draft, map, record, plan, document and other writing
produced (hereinafter "Documents "), prepared or caused to be prepared by
Consultant, its officers, employees, agents and subcontractors, in the course of
implementing this Agreement, shall become the exclusive property of City, and
City shall have the sole right to use such materials in its discretion without further
compensation to Consultant or any other party. Consultant shall, at Consultant's
expense, provide such Documents to City upon prior written request.
Documents, including drawings and specifications, prepared by Consultant
pursuant to this Agreement are not intended or represented to be suitable for
reuse by City or others on any other project. Any use of completed Documents
for other projects and any use of incomplete Documents without specific written
authorization from Consultant will be at City's sole risk and without liability to
Consultant. Further, any and all liability arising out of changes made to
Consultant's deliverables under this Agreement by City or persons other than
Consultant is waived against Consultant and City assumes full responsibility for
such changes unless City has given Consultant prior notice and has received
from Consultant written consent for such changes.
18. COMPUTER DELIVERABLES
CADD data delivered to City shall include the professional stamp of the engineer
or architect in charge of or responsible for the work. City agrees that Consultant
shall not be liable for claims, liabilities or losses arising out of, or connected with
(a) the modification or misuse by City, or anyone authorized by City, of CADD
data; (b) the decline of accuracy or readability of CADD data due to inappropriate
storage conditions or duration; or (c) any use by City, or anyone authorized by
City, of CADD data for additions to this Project, for the completion of this Project
by others, or for any other Project, excepting only such use as is authorized, in
writing, by Consultant. By acceptance of CADD data, City agrees to indemnify
Consultant for damages and liability resulting from the modification or misuse of
such CADD data. All original drawings shall be submitted to City in the version
of AutoCAD used by CITY in ".dwg" file format on a CD, and should comply with
the City's digital submission requirements for Improvement Plans. The City will
provide AutoCAD file of City Title Sheets. All written documents shall be
transmitted to City in the City's latest adopted version of Microsoft Word and
Excel.
19. CONFIDENTIALITY
All Documents, including drafts, preliminary drawings or plans, notes and
communications that result from the services in this Agreement, shall be kept
confidential unless City authorizes in writing the release of information.

20. OPINION OF COST

Any opinion of the construction cost prepared by Consultant represents his /her
judgment as a design professional and is supplied for the general guidance of
City. Since Consultant has no control over the cost of labor and material, or over
competitive bidding or market conditions, Consultant does not guarantee the
accuracy of such opinions as compared to contractor bids or actual cost to City.
21. INTELLECTUAL PROPERTY INDEMNITY
The Consultant shall defend and indemnify City, its agents, officers,
representatives and employees against any and all liability, including costs, for
infringement of any United States' letters patent, trademark, or copyright
infringement, including costs, contained in Consultant's drawings and
specifications provided under this Agreement.
22. RECORDS
Consultant shall keep records and invoices in connection with the work to be
performed under this Agreement. Consultant shall maintain complete and
accurate records with respect to the costs incurred under this Agreement and
any services, expenditures and disbursements charged to City, for a minimum
period of three (3) years, or for any longer period required by law, from the date
of final payment to Consultant under this Agreement. All such records and
invoices shall be clearly identifiable. Consultant shall allow a representative of
City to examine, audit and make transcripts or copies of such records and
invoices during regular business hours. Consultant shall allow inspection of all
work, data, Documents, proceedings and activities related to the Agreement for a
period of three (3) years from the date of final payment to Consultant under this
Agreement.
23. WITHHOLDINGS
City may withhold payment to Consultant of any disputed sums until satisfaction
of the dispute with respect to such payment. Such withholding shall not be
deemed to constitute a failure to pay according to the terms of this Agreement.
Consultant shall not discontinue work as a result of such withholding. Consultant
shall have an immediate right to appeal to the City Manager or his/her designee
with respect to such disputed sums. Consultant shall be entitled to receive
interest on any withheld sums at the rate of return that City earned on its
investments during the time period, from the date of withholding of any amounts
found to have been improperly withheld.
24. ERRORS AND OMISSIONS
In the event of errors or omissions that are due to the negligence or professional
inexperience of Consultant which result in expense to City greater than what
would have resulted if there were not errors or omissions in the work
accomplished by Consultant, the additional design, construction and/or

restoration expense shall be borne by Consultant. Nothing in this paragraph is
intended to limit City's rights under the law or any other sections of this
Agreement.
25. CITY'S RIGHT TO EMPLOY OTHER CONSULTANTS
City reserves the right to employ other Consultants in connection with the
Project.
26. CONFLICTS OF INTEREST
The Consultant or its employees may be subject to the provisions of the
California Political Reform Act of 1974 (the "Act "), which (1) requires such
persons to disclose any financial interest that may foreseeably be materially
affected by the work performed under this Agreement, and (2) prohibits such
persons from making, or participating in making, decisions that will foreseeably
financially affect such interest.
If subject to the Act, Consultant shall conform to all requirements of the Act.
Failure to do so constitutes a material breach and is grounds for immediate
termination of this Agreement by City. Consultant shall indemnify and hold
harmless City for any and all claims for damages resulting from Consultant's
violation of this Section.
27. NOTICES
All notices, demands, requests or approvals to be given under the terms of this
Agreement shall be given in writing, and conclusively shall be deemed served
when delivered personally, or on the third business day after the deposit thereof
in the United States mail, postage prepaid, first -class mail, addressed as
hereinafter provided. All notices, demands, requests or approvals from
Consultant to City shall be addressed to City at:

28. TERMINATION
In the event that either party fails or refuses to perform any of the provisions of
this Agreement at the time and in the manner required, that party shall be
deemed in default in the performance of this Agreement. If such default is not
cured within a period of two (2) calendar days, or if more than two (2) calendar
days are reasonably required to cure the default and the defaulting party fails to
give adequate assurance of due performance within two (2) calendar days after
receipt of written notice of default, specifying the nature of such default and the
steps necessary to cure such default, and thereafter diligently take steps to cure
the default, the non - defaulting party may terminate the Agreement forthwith by
giving to the defaulting party written notice thereof.
Notwithstanding the above provisions, City shall have the right, at its sole
discretion and without cause, of terminating this Agreement at any time by giving
seven (7) calendar days prior written notice to Consultant. In the event of
termination under this Section, City shall pay Consultant for services
satisfactorily performed and costs incurred up to the effective date of termination
for which Consultant has not been previously paid. On the effective date of
termination, Consultant shall deliver to City all reports, Documents and other
information developed or accumulated in the performance of this Agreement,
whether in draft or final form.
29. COMPLIANCE WITH ALL LAWS
Consultant shall at its own cost and expense comply with all statutes,
ordinances, regulations and requirements of all governmental entities, including
federal, state, county or municipal, whether now in force or hereinafter enacted.
In addition, all work prepared by Consultant shall conform to applicable City,
county, state and federal laws, rules, regulations and permit requirements and be
subject to approval of the Project Administrator and City.
30. WAIVER
A waiver by either party of any breach, of any term, covenant or condition
contained herein shall not be deemed to be a waiver of any subsequent breach
of the same or any other term, covenant or condition contained herein, whether
of the same or a different character.
31. INTEGRATED CONTRACT
This Agreement represents the full and complete understanding of every kind or
nature whatsoever between the parties hereto, and all preliminary negotiations
and agreements of whatsoever kind or nature are merged herein. No verbal
agreement or implied covenant shall be held to vary the provisions herein.

32. CONFLICTS OR INCONSISTENCIES
In the event there are any conflicts or inconsistencies between this Agreement
and the Scope of Services or any other attachments attached hereto, the terms
of this Agreement shall govern.
33. INTERPRETATION
The terms of this Agreement shall be construed in accordance with the meaning
of the language used and shall not be construed for or against either party by
reason of the authorship of the Agreement or any other rule of construction
which might otherwise apply.
34. AMENDMENTS
This Agreement may be modified or amended only by a written document
executed by both Consultant and City and approved as to form by the City
Attorney.
35. SEVERABILITY
If any term or portion of this Agreement is held to be invalid, illegal, or otherwise
unenforceable by a court of competent jurisdiction, the remaining provisions of
this Agreement shall continue in full force and effect.
36. CONTROLLING LAW AND VENUE
The laws of the State of California shall govern this Agreement and all matters
relating to it and any action brought relating to this Agreement shall be
adjudicated in a court of competent jurisdiction in the County of Orange.
37. EQUAL OPPORTUNITY EMPLOYMENT
Consultant represents that it is an equal opportunity employer and it shall not
discriminate against any subcontractor, employee or applicant for employment
because of race, religion, color, national origin, handicap, ancestry, sex or age.

IN WITNESS WHEREOF, the parties have caused this Agreement to be executed on

Exhibit A — Scope of Services
City Hall and Park Master Plan Design Competition
The scope of work for the City Hall and Park Master Plan Design Competition includes
the following:
• Understand existing physical constraints, Council's General Design Parameters, all
applicable codes and laws, and other requirements affecting this project. The
General Design Parameters, City Hall Needs Assessment, competition rules, title
report, soils report, and boundary, parcel and topographic maps will be provided by
the City on the City's website (See postings at http: / /www.city.newport- beach.ca.us)
• Understand the context and goals of the Project, which as noted center around two
new highly significant public facilities (a City Hall and a park) in a central, high - profile
location, adjacent to the existing Newport Beach Central Library.
• Work within an open and public process led by the City Hall Design Committee,
including attending relevant Committee meetings when requested and dialoguing

• Review and utilize the City's existing and updated data about its space and parking
needs for the City Hall facility and the parking facility. The City Council has set a
building square footage target of 79,000 square feet. However, the updated Needs
Assessment estimates the number and size of needed workstations along with
meeting rooms, Council Chambers, storage, and circulation space to exceed that
target. The City envisions that each firm will primarily satisfy the updated work
space requirements and employ creative solutions to meet the target. If the firm
believes that the square footage target cannot be met, it should so state that fact
and provide strong reasoning as to why.
• Provide all of the necessary materials, exhibits, etc. to present and successfully
communicate their team's design concept to the City Hall Design Committee and
later the Newport Beach City Council in a public setting.
• Develop and submit, to the City Hall Design committee by 5pm on September 18,
2008, a creative, timeless, and fully functional design encompassing each element
of the Project within the timelines laid out within this Agreement and by the
Committee. The elements of the Project would include, but not be limited to: overall
site design, park design, building design, and parking design. The design shall also
include the integration of water quality and LEED requirements.
• Participate in public hearings before the Committee and City Council to discuss and
potentially modify the design plan, based upon public input and Council direction.
• If selected, advance forward into design with a qualified, competent team that can
complete design thru construction.

design a major civic project by design competition — an always
refreshing event in American architecture and governance.
As a practice focused on projects that enrich the public life, the recent
built work of Gonzalez I Goodole Architects includes city holls, libraries,
urban parks, community and performing arts centers, educational
campuses, and mixed use developments.
We find a special, career - peaking appeal in the specific character and
conditions of your Civic Center's design challenges:
• The synergy of natural land form, porkscape, city hall, and library
suggests the potentials for the Civic Center to be also a center of
learning, of recreation, of performance and public gathering; i.e.
to be an inter - connected destination and cultural center for the City
of Newport Beach.
• With a keen interest in both research and context, our diverse
experience has prepared us to respond creatively to the dramatic
contextual issues of this project:

for LEED points, but for a truly efficient and sensitive example of

We particularly invite a review of Section 6, Design Approach for a
further exploration of these exciting challenges.
This submittal is structured around the outline in your Request for
Qualifications. There are four specific qualifications that we highlight
below:
The conceptual design team for the competition includes
Gonzalez I Goodole Architects and Rabben /Hermann Design, a
Newport Beach based landscape architectural studio currently
engaged in two City projects. The project principals, Armando
Gonzalez, David Goodole, William Rabben, and Dan Hermann
were responsible for winning and executing another major civic
design competition for Culver City's 80,000 - square -foot City
Hall. We also collaborated on the design and realization of
Westlake Village's Civic Center, on integrated complex of city
hall, library, meeting space, civic square and gardens nestled into
a dramatically terracing bluff. Imperative to both design principals,
David Goodole and William Robben, is the will to evolve on
understanding of context - culture and land - into a compelling
design idea.
2. Equally integral to the concept design team will be Tetra Tech
hydrology engineers. Their deep experience in civic infrastructure,
land management, and water management is wedded to a history
of creative civil engineering in support of an enhanced public life:
Tetra Tech was instrumental in the ongoing engineering of the
walkways for Son Antonio's Riverwalk, and continues to use water
management solutions in support of enriched pedestrian environments.
3. Outside of the focused civic project experience that we share in
Section 5, we underscore our own recent special project experience
that will directly benefit design thinking on your competition. Our
design, in Los Angeles, for the 382,000- square -foot Heritage K -12
campus at the center of the Wilshire District on the site of the former
Ambassador Hotel involved elements directly relevant to the
challenges of your Civic Center:

- The integration of historic and contemporary forces: architectural,
social, and political. Along with this came a public engagement
and consensus building among the most diverse and resolute
community interests and groups.
- The management of massive infrastructure and topography,
existing and new.
- The design of both extensive public facilities and recreational
open space, including on inspirational / educational, urban,
Wilshire- fronting public park dedicated to the memory and work
of Robert F Kennedy, who was assassinated at the Ambassador
Hotel in 1968.
- The core of both public dollars and a public trust to serve as
environmental stewards for a revered historic and topographic
site at the City center.
4. Finally, we underscore our established depth in sustainable practices
outlined in Section 7, with 5 current LEED projects (one Gold rated),
three LEED certified practitioners, and an aggressive in -house
resource and monitoring team.

DIAMOND BAR, CALIFORNIA
The City of Diamond Bar elected to build a community /senior center as the beginning of o focal
point within the city that promotes a social, cultural and recreational environment.
The community /senior center design called for richness of natural materials including stone, redwood,
and copper roofing, while melding with the surrounding landscape and maximizing upon the views.
Sitting atop a hillside in Summitridge Park, the new 22,500- square -foot Center provides the community
with a variety of amenities including a dedicated senior citizen room, specialized areas for youth
recreation programs such as gymnastics and dance, space for City -run arts programs, and a 500 -
seat banquet facility that features a performance stage and sophisticated oudio /video equipment.
The library was a component of the original master plan and is currently on hold.
Parallel to the challenges of the Newport Beach Civic Center, this project entailed a promontory
with dramatic city /canyon views, exterior gardens and open space, significant earth movement,
and storm water management. The community room portion of the facility has booked for a
year in advance ever since its opening, and is a genuine revenue- generotor for the city.

CULVER CITY, CALIFORNIA
The design for o new City Hall in Culver City was the outcome of an invited design competition.
The program called for o facility in Mission /Mediterranean Renaissance style located in downtown
Culver City, at the site of the City's 1920's City Hall.
The project comprises approximately 83,000 square feet of offices on three floors; 4,900
square feet of council chambers; and 200,000 square feet of two levels of subterranean
parking for 500 cars.
Designed by David Goodole, in concert with William Robben, this project won on AIA Design
Award, a Society of Registered Architects Award, and a Chicago Atheneum Design Award, and
has become on events center and passive recreational center for the city's growing pedestrian
life. This project almost precisely parallels the Newport Beach Civic Center in facility scale and
in number of programmed parking spaces — some of which were dedicated to surrounding
cultural uses.
This project won a 1994 AIA Design Award.

WESTLAKE, CALIFORNIA
This project consists of a new 26,000 - square -foot, one -story city hall, library and community
meeting rooms for Westlake Village. Designed in a contemporary extroverted hacienda form, the
building merges with the area's dramatic topography, acknowledging Westlake Village's image as
a "City in the country."
The pedestrian- oriented facility includes a community meeting room with courtyards on either side
that provide a view of the surrounding mountains. Featured components such as a 94 -seat
council chamber merge with such scenic elements as courtyard waterways and fountains.
Designed by David Goodale, in concert with Robben Hermann Design Office, the project is a
continuous integration of indoor and outdoor spaces, with a diversity of gardens, water features
and views, while providing a variety of exterior spaces both for gathering, for conversation,
and for quiet contemplation. Relevant to the Newport Beach project is this campus' sensitive
integration to landform and views.

AMBASSADOR HOTEL CONVERSION: K -1 2 CAMPUS
LOS ANGELES, CALIFORNIA
The scope of the project includes a K -3 School, a 4 -8 Middle School, and a High School, for a
total of 4,624 students.
The 92,000- squore -foot K -3 building will accommodate 1,150 seats within 46 classrooms on
three floors. The school will be located at the southwest corner of the Ambassador Hotel site, with
the main entrance and vehicular drop -off area along the south.
The 4 -8 /High School building will accommodate 3,474 seats within 130 classrooms on six floors.
The area is 382,000 square feet, and the rehabilitated Cocoanut Grove building is an additional
48,410 square feet of enclosed and covered areas.
In our letter of introduction, we note the numerous areas in which this project has relevance to the
Newport Beach Civic Center — most emphatically for our seasoning in master planning, designing,
and managing projects of complex scale and equally complex politicol /sociol sensitivities.

SIMI VALLEY, CALIFORNIA
This project best represents the long -term continuity of our professional relationship with civic
clients. It included the design of a Civic Center Master Plan and City Hall in the 1980's as well
as two major facility additions that spanned into the 21 st century. It also included design of a DMV
and a Senior Center within the some Master Plan (see following exhibit).
Totaling 86,000- square -foot, the expanded City Hall represents in evolution in the City's thinking
about both the services provided and about the increasingly citizen- centered openness and
hospitality of these services.
The shaping of the most recent major addition faced the particular challenge of introducing a
welcoming entry, day -lit major public service counter, atrium space, and meeting rooms, while
responding to the challenges of the harsh western sun in arid the micro- region of the city. Also
integral to the expanded City Hall was an associated intensification of the Master Plan to better
accommodate both citizen gathering and performances in a central amphitheater.

SIMI VALLEY, CALIFORNIA
This project best represents the long -term continuity of our professional relationship with civic
clients. It included the design of a Civic Center Master Plan and City Hall in the 1980's as well
as two major facility additions that spanned into the 21 st century. It also included design of a DMV
and a Senior Center within the some Master Plan (see following exhibit).
Totaling 86,000- square -foot, the expanded City Hall represents in evolution in the City's thinking
about both the services provided and about the increasingly citizen- centered openness and
hospitality of these services.
The shaping of the most recent major addition faced the particular challenge of introducing a
welcoming entry, day -lit major public service counter, atrium space, and meeting rooms, while
responding to the challenges of the harsh western sun in arid the micro- region of the city. Also
integral to the expanded City Hall was an associated intensification of the Master Plan to better
accommodate both citizen gathering and performances in a central amphitheater.

COMPETITION OBJECTIVES
In addition to fulfilling the requirements of the General Design Parameters, we envision a number
of additional objectives shaping a design approach:
• To enrich the existing landscape form, preserve neighboring view lines, and maximize public
usability of the entire site, including insulating 'green' rooftops.
• To land the facilities of this large-scale project into the site gently, while judiciously providing
iconic 'morkers' to denote a proud civic presence.
• In pursuit of a genuine pedestrian- friendly cultural destination:

In our history of civic architecture, we have evolved a successful process that has repeatedly
delivered projects in a timely and cost - effective manner, and, most importantly, in a manner that
has garnered public support and trust.
Participation requires a continuous spirit of research, listening, and open- mindedness. It requires
o spirit of inclusion, respect and deference for all who have a vested interest in the project, city
governance, city staff, citizens, and professional consultants. A successful project will structure
venues appropriate to each phase of the project wherein all parties can hove representation and
expression, and the design team, in turn, has on obligation to assimilate these expressions in a
cohesive way that maintains an overall functional and design integrity.
At the some time, public projects require a high level of both professionalism and leadership. We
recommend, at the inception of the project, formation of a small Ad Hoc City /Architect team that
steers the project continuously through all phases, and includes, at minimum, two respective
representatives of major stake- holders (staff and governance). This team becomes responsible for
establishing project Guiding Principles, for structuring a process of public input and review, and
acts as a mediating body for all City governance, City agencies and City officials, including
informal review of work -in- progress where appropriate.
This Ad Hoc City /Architect team integrates the input of governance, staff, and the public. It
seeks continually to build consensus and resolve conflicts. And it provides definitive leadership.
As a client, you will make confident project decisions based on the professional advice and
recommendations of Gonzalez I Goodole Architects and their consultant team.

THE TASK PLAN

Integral to our mission statement is the synthesis of our objectives as o design firm with a high
level of professional service and efficient project delivery. We achieve the service /delivery side of
this equation through numerous tools, but none so important as a highly detailed Task Pion /
Schedule that is developed at the earliest phase of a project. With the aid of both our client team
and our consultant team, we insure that this Task Plan, in its global structure, includes:
• The comprehensive consulting services required for the project, and the timing of their
interface with the design and documentation process.
• The milestones for each phase of the work, and sub - milestones, such as reviews required by
City and other governmental and agencies, client and consultant team meetings, and in -house
team meetings. Inclusion of both City and Architect tasks /responsibilities in these milestones
assures a mutual 'ownership' of the Task Plan, and a mutual adoption of the importance of
a disciplined project schedule.
• A methodical sequence of design and engineering tasks that are organized in critical
path sequence.
• With clear definition of mutual responsibilities, interfaces, and milestones, positive performance
of all parties con be continually confirmed /tweaked on nearly a 'real -time' basis in order to
keep the project on track. This Task Plan becomes the principal tool for achieving timely
completion of the project. In combination with monitoring and disciplined team
meetings /workshops, it can also become a creative tool for schedule recovery, should
unforeseen forces set back the project's timeline.
SPECIFIC PROGRAMS / QUALIFICATIONS
SUSTAINABILITY
We have both in -house and consultant experience /team depth in sustainable design. The firm's
Quality Assurance principal, John Ferguson, is LEED accredited, along with two other studio members.
We currently hove five projects being designed for LEED certification, with one — the Pasadena
Water and Power Building — designed at a LEED Gold level.
The value of sustoinability is a driving force in our work, our studio, and our staff. An
Environmental Resources Team within Gonzalez I Goodole Architects inspires and monitors sustainable
performance in design; and serves as a source for environmental research, information, and
practical implementation techniques.
We have established a series of overall principles by which to test successful design performance
against environmental health and sustainobility:
1) Successful design performance enriches the holistic well -being and health of a project's
inhobitants -os- organisms, optimizing the effects of light, climate control, sound, scent, and

We are convinced that the best policies and procedures for quality assurance are only as good as

Continuing Education
Gonzalez I Goodale has an internal implementation team responsible for oversight of our Quality
Assurance program. This team sponsors seminars, field trips, project "post- martems," etc.
designed to further develop our abilities to produce successful documents. We have a tracking
process to analyze prior projects and target learning opportunities in areas that have proven
challenging. Our efforts toward professional development include on annual budget allowance
for individual participation in off -site educational venues.
Quality Control
Quality control is the process of establishing minimum standards of performance and measuring
compliance upon completion of the work. The high level of standard for Gonzalez I Goodole
Architects is reflected concretely in our architect- driven change order history, which has averaged
- over the past 10 years - below 2.5 %. We utilize on extensive, formal, check list -based program
to guarantee compliance with our standards. Our entire project team participates in quality control

practices, continuously, from the very beginning through to the end of each project. Both our staff
retention and our current balance of registered architects (10), further help to insure a deepening
of our quality control.
Our consultants ore required to participate in this process, completing the some checklists and
certifying they have coordinated their work with all other disciplines.
Quality Checking
Our Quality Assurance principal and members of the team are responsible for the independent
checking of the documentation at various milestones such as completion of Design Development
and Construction Documents, and, most extensively, prior to bidding. The principal is typically not
intimately involved in the day -to -day development of the documents, and so is able to provide an
unbiased, independent critique of the work. These independent reviews are thorough, and, based
on project size and complexity, typically require several weeks to complete final reviews.
Public Presentation / Graphics / Animation
In Robert Gonzales, an 11 -year veteran of the firm, we believe we have one of the finest
3- dimensional architectural renderers and animators in Southern California. All of the digital
project sketches represented in these Qualifications have been developed by Robert, and his
videos /walk- throughs of our projects under design have been repeatedly utilized by major clients
in cable TV venues for public fund - raising and bond - raising campaigns. Robert is one of a team
of graphic and physical model implementers that we will bring — at both rough and refined levels
— to the exploration and refinement of your design.

What firms or teams shall the City select as finalists for the Design Competition for City
Hall and the Park?
RECOMMENDED ACTION:
Ratify the recommendations of the City Hall and Park Master Plan Design Committee by
selecting the following firms to go forward in the Design Competition for the City Hall
and Park Master Plan project and authorize the City Manager to enter into stipend
agreements with these firms:

BACKGROUND:
The City Council, guided by the City Hall Design Committee, issued a Request for
Qualifications (RFQ) for the design of the new City Hall and Park (and other related
facilities, including a parking facility) on April 11, 2008. The Design Committee,
consisting of the following persons:

... met six times in open, noticed, and public meetings at the Friends Room at the
Newport Beach Public Library since April 7, 2008, to:
• Assist City staff in preparation of the RFQ,
• Develop a Judging Procedure and Criteria for responses (see Exhibit A, Part 1);
• Assist in the Council's development of General Design Parameters for the City Hall and
Park Master Plan;

• Propose answers to questions that various firms raised as the firms reviewed the RFQ;
• Receive and review the RFQ responses (there were 51 firms /teams /individuals that
submitted responses by the May 19, 2008 deadline);
• Rank the responses consistent with the attached Scoring Sheet (see Exhibit B),
selecting thirteen (13) firms to "short list' and to have City staff make reference checks
on each firm to the extent possible; and
• Forward the names of five (5) firms or teams to the City Council for the Council's formal
consideration to complete in the Design Competition.
All of the 51 submittals were made available at the City Clerk's Office in City Hall and at
the Central Library.
The Design Committee's review took place both independently and in public sessions
on June 2 and June 16. At the June 2nd meeting, after a detailed individual review that
took dozens of hours by each Committee member over the Memorial Day weekend and
other free time during that period, the Committee narrowed the field of 51 firms down to
thirteen. The "short list" of thirteen firms was (in alphabetical order):

At the June 16th meeting, the Design Committee recommended that the following five
firms (shown in alphabetical order) be selected by the City Council to participate in the
next phase of the competition. The committee also selected Dougherty and Dougherty
as an alternate in the event one of the firms declines to proceed. The next phase
involves a $50,000 stipend for each firm to work over Summer 2008 on a "Concept
Plan" for the City Hall and Park Master Plan and to return in September 2008 for
detailed public review and discussion about each of the five Concept Plans.

The Committee stressed that the selection of these five firms was very challenging after
winnowing the list to thirteen. Each of the thirteen firms, they noted, could do the job
well — but they believed that the five firms identified here were the "best of the best" that
submitted responses to the RFQ, and they unanimously endorsed forwarding the five
firms to the City Council. Their 5 -0 recommendation on Monday, June 16t", 2008 urged
the Council to enter each of the five firms into the Competition by granting them each
the $50,000 stipend and contracting with them for the Concept Plan work.
Each of the firms' submittals (all fifty -one, in fact) remains available in the City Clerk's
Office and the Central Library for public review.
What's Next?
As noted, the design teams, if they are selected by the Council on June 24th, 2008 and if
they agree to go forward, will work over the summer to prepare Concept Plans for the
City Hall, Park, and related facilities.
On or about September 22nd, 2008, the Design Committee envisions meeting in a public
setting to receive presentations from each of the five firms. By late October or early
November 2008, the Committee hopes to have completed its review of the Concept
Plans and to put forth a ranking (based on the attached criteria — see Exhibit A, Part 2)
to the City Council. The Council's tentative calendar shows the Council considering the
plans on November 25t", 2008.
A Word of Thanks
The time donated to the community by each of the six Design Committee members has,
to date, been extraordinary. Their work will continue in the fall, and may be equally
time - consuming at that point. The City offers its sincere thanks to the Committee
members for their generosity.

Part 1 - Ranking the RFQ Responses
Judging Procedure
In Part 1 (recommending up to five firms from the RFQ submittals), the Design Committee
will consider all submittals except those that have been disqualified for providing less
information than is required in Section V of the RFQ or for not meeting the minimum
experience qualifications or showing appropriate financial stability in the RFQ. The
Committee will rank the submittals according, generally, to a point score based on the
following:
1. Experience and References (50 %).
• Does the quality of the team's expertise and design work as submitted (including "at
least three recent large scale projects of similar scope, preferably with a public
agency for a public building ") meet the Committee's expectations for functionality,
timelessness of design, and overall design vision? (25 %)
• Does the proposing team have appropriate expertise and experience working
successfully together in architecture, landscape architecture, structural engineering,
mechanical engineering, electrical engineering, civil engineering and other related
engineering services, project scheduling, cost - benefit analysis, value engineering,
LEED and sustainable design, and general administration of all design and
construction components of the project? (10%)
• How is the team's track record of completing functional project goals on time and on
budget? Are the end users satisfied that the project met all their objectives? (15 %)
2. Project Approach (30 %). Is the team's philosophy and approach to the Project -
including program requirements, vision, and expectation of the Project's functionality
appropriate? Does the team's Project Approach statement satisfactorily address specific
methods or processes they would use to ensure a successful collaboration with all of the
Project stakeholders, Including City officials, staff, and community members?
3. Design Management Approach (20 %). Is the stated design management approach
(including managing the intended scope of work and related professional services to
assure the timely and cost effective completion of the Project, working with the City's
team, Quality Assurance /Quality Control, and the incorporation of LEED and other

Judging Procedure & Criteria
Part 2 — Ranking the Five Firms' Concept Plans
In Part 2 (ranking criteria for the up to five firms /teams' concept plans), the Committee
and the City Council will review and rank the up to five (5) teams' submittals generally as
follows:
1. Functionality of Design (30%). Does the Concept Plan show an entire Project (City Hall,
park, and parking structure) that meets or exceeds all program parameters, that will be
functional for the community and that will promote an effective municipal organization?
• Integration. Does the Concept Plan successfully integrate the park, City Hall and the
existing library?
• Building. Does the Concept Plan show an efficient use of the building that limits
square footage and maintenance costs but that still maintains an open, airy, and
expansive feel? Will the public feel welcome without compromising the any of the
building's intended efficiency, security, or staff amenities?
• Park. Does the park design meet the desires of the community for a natural park
with appropriate recreational amenities?
• Space. Is the amount of space taken up by each element appropriate, balancing
building and parking needs with natural park space?
2. Creativity and Timelessness of Design (25 %). Does the Concept Plan show a unique,
exciting design that will remain appropriate, interesting, original and substantial into the
long -term future? As a public space, will the design solution make a valuable and
lasting contribution to both the social and physical environment of the City?
3. Practicality, Efficiency and Constructability (25 %). Does the Concept Plan reflect a
resource expenditure by the City that is appropriate for a large municipal facility in this
community? Is the design responsive to budget constraints? Does the Concept Plan
and its supportive documentation fully reflect the requests of the Committee and the
Council made to the design team?
4. Sustainability (20 %). Does the Concept Plan show sufficient elements of sustainability,
including at least the minimum appropriate level of LEED certification (silver), energy
efficiency, water quality protection, water conservation, and more?
