PROFESSIONAL SERVICES AGREEMENT

THIS PROFESSIONAL SERVICES AGREEMENT ("Agreement") is made and
entered into as of this 9th day of September, 2020 ("Effective Date"), by and between the
CITY OF NEWPORT BEACH, a California municipal corporation and charter city ("City"),
and DESIGN WEST ENGINEERING, INC., a California corporation ("Consultant"), whose
address is 412 E. Vanderbilt Way, San Bernardino, CA 92408, and is made with reference
to the following:
