(AGA) is pleased to present to you this letter proposal to prepare Traffic Signal Modification Design Plans at the following seven (7) intersections along Newport Coast Drive in the City of Newport Beach: 1. Newport Coast Drive at Sage Hill 2. Newport Coast Drive at Gas Recovery (Renewable Energy Facility) 3. Newport Coast Drive at Ridge Park Road 4. Newport Coast Drive at Vista Ridge Road/Pacific Pines 5. Newport Coast Drive at Pelican Hill Road North/Ocean Ridge Drive 6. Newport Coast Drive at Provence 7. Newport Coast Drive at Pelican Hill Road South In addition to traffic signal modification plans, AGA will prepare the necessary Engineer's Estimate of Probable Construction Costs for use when preparing the bid items. Per discussions with the City, we understand that whenever new pull boxes are installed, concrete restoration will need to be completed for the entire sidewalk panel. The amount of concrete repair will be identified separately for use when preparing the bid item list. Per information provided by the City of Newport Beach the traffic signal modifications will consist of new traffic signal cabinets, controller unit, battery backup systems, new signal vehicle heads and appurtenances where necessary, new vehicle detector loops for all approaches, and rewiring of the intersections. Additional improvements/upgrades will be identified during the field review and will be discussed with the City before commencing the design. It is anticipated that no traffic signal pole replacements or new conduit will be required as part of the traffic signal modifications. Relative to electrical services, AGA will attempt to design the new traffic signal cabinets to be installed on existing foundation, in order to reuse the existing electrical service. If not possible, AGA will discuss coordination with Southern California Edison (SCE) with the City to try to expedite obtaining the location of the new AGA Engineers, Inc. 21.1 Imperial Highway, Suite 208, Fullerton, CA 92835 (77.4) 992-4592 Email: aga@agaengineersinc.com Mr. Eric Loke, P.E., T.E. April 14, 2021 Page 2 electrical service. ADA curb ramp upgrades are not part of this project and are excluded from AGA's design. Based on our extensive experience preparing Traffic Signal Modification Plans throughout Southern California, we are proposing the following scope of work to successfully complete the project. SCOPE OF WORK AGA Engineers, Inc. will prepare Traffic Signal Modification Design Plans, complete with cost estimates, for the seven intersections detailed above. Project specifications and special provisions will be completed by the City of Newport Beach and are not part of AGA's scope of work. The plans will be prepared using AGA's CADD package consisting of AutoCAD version 2021 and a library of Caltrans symbols. Final design will be made on City of Newport Beach standard mylars forthe title sheet and bond for the remaining sheets. The following tasks have been identified for successful completion of the project: Task 1: Project Management Strong results -oriented leadership is a key element of AGA's management approach to fully leverage the expertise and experience of our team members. Mr. Ignacio Sanchez Hernandez, P.E., T.E., as the Project Manager will be responsible for the day-to-day direction and management of each element of work being completed as a part of the project. AGA will maintain the City of Newport Beach appraised of all project progress via conference calls or Zoom meetings if necessary. Mr. Sanchez will be responsible for adherence to the project schedule and, along with Mr. Chalap Sadam and Mr. Ruben Perales, for maintaining quality control of all project work products. In short, Mr. Sanchez will do everything necessary to ensure that the project is completed on time, within budget, and in a manner that fulfills all the goals and objectives of the City of Newport Beach. Task 2: Field Review AGA staff will field review the project intersections for the specific purpose of gathering topographic data to properly identify all existing conditions. Available "as -built" roadway and traffic signal plans will be obtained from the City. Utility and substructure information will also be obtained from the City. AGA will verify existing conduit runs, conduit sizes, and condition of conduit and cabling to replace as necessary. AGA will verify the existing traffic signal equipment and identify any additional infrastructure that may be needed. Proposed improvements and upgrades will be discussed with City staff before commencing full design. Task 3: Prepare Scaled Base Plans We will prepare 1" = 20' scale base plans for the Traffic Signal Modification Design Plans. The plans will show all topographic data gathered in Task 2, as well as all utility information obtained from the City and the various utility companies. Engineers, In,. Mr. Eric Loke, P.E., T.E. April 14, 2021 Page 3 Task 4: Prepare Preliminary Plans AGA will prepare preliminary traffic signal modification plans showing proposed improvements and submit the plans to the City of Newport Beach for review and comment. All improvements will be shown on the traffic signal modification plans. Task 5: Prepare Final Plans and Cost Estimate After City review of the preliminary plans, we will finalize the plans and cost estimates to complete the entire bid package for the project. The Traffic Signal Modification Design Plans will include all necessary equipment to be installed such as traffic signal poles, pull boxes, conduit, signal cabling, etc., as well as all necessary construction notes, phase diagrams, conductor schedules, details, etc., all in conformance with current City of Newport Beach and Caltrans standards. It is anticipated that the plan set will consist of eight sheets as follows: 1— Title Sheet 2 —Traffic Signal Modification Plan — Newport Coast Drive at Sage Hill 3 —Traffic Signal Modification Plan — Newport Coast Drive at Gas Recovery (Renewable Energy Facility) 4—Traffic Signal Modification Plan — Newport Coast Drive at Ridge Park Road 5 —Traffic Signal Modification Plan — Newport Coast Drive at Vista Ridge Road/Pacific Pines 6 —Traffic Signal Modification Plan — Newport Coast Drive at Pelican Hill Road North/Ocean Ridge Drive 7 —Traffic Signal Modification Plan — Newport Coast Drive at Provence 8 —Traffic Signal Modification Plan — Newport Coast Drive at Pelican Hill Road South Task 6: Final Review and Submittal of Final Plans and Cost Estimates The finalized plans will be submitted to the City for review. During this process, AGA will answer questions, then submit the plans with all corrections for final approval by the City. The final plans will be drawn on City standard 24" x 36"mylar plan sheets for the Title Sheet and bond for the remaining sheets and will be signed and stamped by a registered California Civil Engineer. AutoCAD files will also be submitted to the City. PERSONNEL AGA proposes to utilize experienced senior staff members to conduct this project. April 14, 2021 Page 4 SCHEDULE AND ENGINEERING DESIGN FEE AGA is prepared to complete the scope of work as outlined in this letter proposal for a not -to -exceed cost of $68,692 utilizing AGA's approved on-call hourly rates and as shown on the attached hourly cost by task breakdown. As requested by the City of Newport Beach, final approved Traffic Signal Modification Plans complete with all cost estimates will be completed by July 31, 2021. The initial submittal can be provided to the City for review within 10-12 weeks from receipt of notice to proceed. We look forward to working with the City of Newport Beach on this important project. April 14, 2021 Q ASSIGNMENT AGREEMENT OO BETWEEN THE CITY OF NEWPORT BEACH AND V AGA ENGINEERS, INC. THIS ASSIGNMENT AGREEMENT ("Assignment") is made and entered into as of this 16th day of April, 2021 ("Effective Date"), by and between the CITY OF NEWPORT BEACH, a California municipal corporation and charter city ("City") and ALBERT GROVER & ASSOCIATES, INC., a California corporation ("Assignor"), whose address is 15315 Regalado St., Hacienda Heights, CA 91745, and AGA ENGINEERS, INC., a California corporation ("Assignee"), whose address is 211 Imperial Highway, Suite 208, Fullerton, CA 92835, and is made with reference to the following: RECITALS A. On August 30, 2016, City and Albert Grover & Associates, Inc., a California corporation entered into an On -Call Professional Services Agreement for comprehensive professional traffic and/or transportation engineering services on an on-call/as-needed basis, commencing on August 30, 2016, by way of Amendment No One to the Agreement, terminating on July 30, 2021 ("Agreement"). B. Albert Grover & Associates, Inc. wishes to assign its rights under the Agreement to AGA Engineers, Inc., and City desires to consent to such assignment. NOW, THEREFORE, it is mutually agreed by and between the undersigned parties as follows: 1. ASSIGNMENT As of the Effective Date, AGA Engineers, Inc. hereby accepts such assignment and hereby assumes, agrees and undertakes to perform all obligations of Albert Grover & Associates, Inc. pursuant to the Agreement as of the Effective Date. Any reference to Albert Grover & Associates, Inc. and/or Consultant in the Agreement, shall be deemed to be a reference to AGA Engineers, Inc. As of the Effective Date, Albert Grover & Associates, Inc., shall have no further rights of any kind whatsoever under the Agreement. 2. CITY CONSENT TO ASSIGNMENT Pursuant to Section 15 of the Agreement, City approves of this Assignment. 3. INTEGRATED CONTRACT Except as expressly modified herein, all other provisions, terms, and covenants set forth in the Agreement shall remain unchanged and shall be in full force and effect. 4. COUNTERPARTS This Assignment may be executed in two (2) or more counterparts, each of which shall be deemed an original and all of which together shall constitute one (1) and the same instrument.
