CONTRACT FOR ENGINEERING
CONSULTANT SERVICES
THIS AGREEMENT, made and entered into this _2,�)� day of
1964, by and between the CITY OF NEWPORT BEACH,
a municipal corporation, hereinafter referred to as "City ", and
DE LEUW, CATHER & COMPANY, an engineering firm, hereinafter re-
ferred to as "Consultant ";
WITNESSETH:
WHEREAS, on May 22, 1963, the California Highway Commis-
sion adopted a coastal freeway route paralleling the existing 101
Coast Highway through the City of Newport Beach; and
WHEREAS, the engineering staff of the State Division of
Highways is proceeding with the development of specific geometric
designs for the State adopted freeway route; and
WHEREAS, the City Council has determined that there is a
16 need for extensive study and analysis of the freeway designs pro -
17 posed by the State Division of Highways; and
18 WHEREAS, City does not have traffic engineering special -
19 fists on its staff capable of performing such services; and
20 WHEREAS, Consultant is an engineering firm of wide
21 experience in the field of traffic engineering; and
22 WHEREAS, Consultant's services would be of substantial
23 value to City in analyzing and recommending revisions of the State's
24 freeway design proposals;
25 NOW, THEREFORE, City and Consultant for the consideration
26 hereinafter named agree as follows:
27 1. Consultant agrees:
28 (a) To assemble information as directed by City
29 concerning the effect of the coastal freeway on local
30 traffic conditions, including projections of estimated
31 traffic volumes on local arterial street systems.
32 (b) To analyze and submit to City recommendations

for revision of freeway designs prepared by the
State Division of Highways.
(c) To make such other traffic studies and
submit written opinions as requested by the Public
Works Director.
2. Consultant agrees to confer with City officials,.
including individual members of the City Council, and to appear at
meetings and public hearings, upon request of City, to explain any
of the information, recommendations, studies and opinions prepared
pursuant to this contract.
3. For the purpose of administering this contract, Cityl
shall mean the City Public Works Director, and in performing the
services hereinabove described Consultant shall at all times be"
under the supervision of the Public Works Director; provided,
however, that anyone dissatisfied with the decision of the Public
Works Director may take the matter to the City Council and the
decision of the City Council shall be final on the matter.
4. In carrying out the terms of this contract, Consult-
ant shall at all times be an independent contractor and not an
employee of the City.
5. This contract shall be effective for a term of two
(2) years commencing with the date of its execution by City unless
sooner terminated by either party. This agreement may be extended
for an additional term of one year by resolution adopted by the
City Council.
6. This contract may be terminated at any time by
either party in the following manner: The party desiring to
terminate this contract shall cause a written notice of termination
to be mailed to the other party addressed as follows: To the City
Clerk, City Hall, 3300-Newport Boulevard, Newport Beach; to
De Leuw, Cather 6c Company, Engineers, Western Office, 1256 Market
Street, San Francisco 2, California. Termination shall be effect

7.
Upon
the
expiration or termination of this contract,
3 Consultant shall upon request of City turn over to the City's
4 Director of Public Works copies of all data, memoranda, reports,
5 letters, and other documents and materials pertaining to the
6 services comprised in this contract.
7 8. In of the services hereinabove
8 described, City agrees to pay Consultant at hourly rates for the
9 actual man hours expended by, Consultant',s. employees, plus 150% of
10 the total of said amount, but in no event shall the total compen-
11 sation to be paid to Consultant pursuant to this contract exceed
12 the sum of $10,000. Said hourly rates shall be based on the aver,
13 annual hourly salary of each employee computed from the following
14 monthly salary schedule:
15 (a) Senior engineers: $900 - $1200 per month.
16 (b) Technical personnel, such as traffic analysts
17 and senior draftsmen: $450 - $650 per month.
18 Consultant agrees that secretarial and other indirect
19 salaries, telephone calls, and blueprinting costs will not be
20 charged to City.
21 City agrees to pay Consultant within thirty (30) days
22 after the receipt of itemized bills. Final bills will be submitted
23 within 60 days following the expiration or termination of this con -
24 tract. Consultant agrees to allow City or City's authorized agent
25 to examine its records to verify the correctness of the amounts
2611 billed to City.
27 9. City will reimburse Consultant for the reasonable
28 expenses of its engineering and other technical employees assigned
29 to performance of this contract in Newport Beach on the following
30 basis:
31 1 (a) Actual travel expenses between Consultant
32 offices in California and the City of Newport Beach.

1 (b), Daily living'ei:penses, limited to food and
2 lodging, not to exC^ per employee per day.
3 No other employee ex'enses will be charged to City.

Forwarded is a copy of proposed contract with De Leuw, Cather &
Company for engineering consultant services in connection with
the coastal freeway. The contract has been transmitted to the
