1 CONTRACT FOR ENGINEERING SERVICES

3 THIS AGREEMENT is made and entered into this day
4 of October, 1965, by and between the CITY OF NEWPORT BEACH, a
5 municipal corporation, herein referred to as "City ", and DONALD C.
8 SIMPSON, a licensed civil engineer, herein referred to as
7 `.'Engineer".
8 WHEREAS, City proposes to widen Seashore Drive between
9 56th Street and Orange Avenue; and
10 WHEREAS, engineering services are necessary in connection
11 with said project consisting of design, plans and specifications
12 for the entire project; and
13 WHEREAS, Engineer has submitted a proposal to perform
14 said engineering services dated August 14, 1965;
15 NOW, THEREFORE, the parties agree as follows;
16 1. Engineer shall provide services consisting of the
17 following items;
18 (a) Hold conferences with representatives of the
19 City, the Division of Highways, and others to review and
20 discuss all aspects of the project.
21 (b) Make field surveys to supplement existing
22 photogrammetry.
23 (c) Make necessary soils tests and investigations
24 to determine structural section.
25 (d) Prepare preliminary engineering studies and
26 designs for review and approval.
27 (e) Prepare engineering data for applications
28 required by the Division of Highways.
29 (f) Prepare detailed contract drawings in ink on

30 mylar, special provisions and contract documents typed on
31 stencils, and cost estimates.
32 (g) Assist City in securing bids; tabulate and

analyze bid results; furnish recommendations on the award
of construction contracts.
(h) Furnish consultation and advice to City during
construction.
(i) Prepare elementary sketches and supplementary
sketches required to resolve actual field conditions.
(j) Furnish "as built11 drawings made from notes
submitted by the construction inspector.
2. Engineer shall, at no additional cost to City, be
available for consultations with the Public Works Director and
his staff regarding interpretation of the plans and specifications
and other problems which may from time to time arise.
3. Original drawings, reports, notes, maps, and other
documents shall become the property of the City and may be repro-
duced as deemed necessary by the Public Works Director.
4. City reserves the right to terminate this contract
at any time by giving Engineer three days' prior written notice
either by personal service or by placing said notice in the United
States mails, postage prepaid, addressed to Engineer's business
office. In the event that City shall terminate this contract, the
amount of the final fee due and payable will be subject to negotia-
tion.
5. All plans, specifications, and other documents for
the project shall be completed to the satisfaction of the Public
Works Director of City and delivered to him within 90 calendar
days following the execution of this agreement by the City.
6. In consideration of the performance of the above
described engineering services, City agrees to pay Engineer an
amount based upon the fee schedule contained in Engineer's proposal
dated August 14, 1965, but in no event shall said amount be greater
than $4,100. The amount to be paid to Engineer shall be payable in
monthly partial payments, each payment being equal to ninety per

4 7. Engineer shall assume the defense of and indemnify
5 and save harmless the City, and its officers and employees, from
6 all claims, loss, damage, injury and liability of every kind,
7 nature and description, directly or indirectly arising from the
8 performance of this contract for engineering services, regardless o
9 responsibility for negligence.

The subject contract for engineering services in connection
with the project for the widening of Seashore Drive between
56th Street and Orange Avenue provides in paragraph 6 on
page 2 thereof that the payment for such services will be
based upon the fee schedule contained in Engineer's proposal
dated August 14, 1965.
If you do not have the original of such proposal, it is sug-
gested that it be obtained from the Public Works Director and
kept on record as a part of the contract.

SUBJECT: ENGINEERING SERVICES FOR THE WIDENING OF SEASHORE DRIVE BETWEEN
56TH STREET AND ORANGE AVENUE
RECOMMENDATION:
AUTHORIZE PREPARATION OF AN AGREEMENT WITH DONALD C. SIMPSON, CONSULTING
CIVIL ENGINEER, FOR PREPARATION OF PLANS AND SPECIFICATIONS FOR THE
WIDENING OF SEASHORE DRIVE.
DISCUSSION:
$30,000 HAS BEEN INCLUDED IN THIS YEARS PRELIMINARY GAS TAX BUDGET FOR
THE WIDENING OF SEASHORE DRIVE IN WEST NEWPORT. IN ORDER THAT STREET DESIGN CAN BE
COORDINATED WITH THE CURRENT LIGHTING DISTRICT PROJECT, IT WOULD BE DESIRABLE TO
PROCEED WITH THE DESIGN AT THIS TIME.
A PROPOSAL HAS BEEN RECEIVED FROM DONALD C. SIMPSON TO PERFORM THE WORK
FOR A MAXIMUM FEE OF $4,100. THE ACTUAL COST WOULD BE BASED ON THE AMOUNT OF TIME
REQUIRED FOR THE WORK. THE MAXIMUM FEE IS 132% OF THE ESTIMATED COST AND IS WITHIN
THE FEE SCHEDULE RECOMMENDED BY THE AMERICAN SOCIETY OF CIVIL ENGINEERS FOR PRO-
JECTS OF THIS SIZE AND TYPE. BECAUSE OF MR. SIMPSON'S FAMILIARITY WITH THE AREA,
GAINED IN CONNECTION WITH THE LIGHTING DISTRICT, WE FEEL HIS EMPLOYMENT FOR DESIGN
OF THE STREET IMPROVEMENTS WOULD BE ESPECIALLY ADVANTAGEOUS TO THE CITY.
IN ADDITION TO THE STREET IMPROVEMENTS PROPOSED, IT WILL BE NECESSARY TO
CONSTRUCT STORM DRAINAGE FACILITIES. THE PRELIMINARY ESTIMATES INCLUDED FUNDS ONLY
FOR MINIMUM DRAINAGE IMPROVEMENTS. IT IS POSSIBLE THAT FINAL DESIGN WILL SHOW A
NEED FOR ADDITIONAL FACILITIES. IF SO, ADD:T10NAL. FUNDS WOULD BE NEEDED FOR CON-
STRUCTION COSTS AND FOR ENGINEERING. BECAUSE OF THE FLAT' GRADES IN THE AREA, IT
15 DIFFICULT TO PREDICT DRAINAGE NEEDS WITHOUT OBTAINING TOPOGRAPHY AND PROCEEDING
WITH DETAILED DESIGN.
BECAUSE OF THE LIMITED RIGHT OF WAY AVAILABLE, THE STREET WIDTH PROPOSED
IS LE55 THAN STATE STANDARDS. APPLICATION HAS BEEN MADE TO THE DIVISION OF HIGH-
WAYS FOR PROJECT APPROVAL BASED ON THE PROPOSED WIDTH. ACTUAL EXECUTION OF THE
ENGINEERING SERVICES AGREEMENT WOULD BE CONTINGENT ON RECEIPT OF STATE APPROVAL.

August 14, 1965
August 10, 1965, we hereby
engineering services for the
Street to Orange Avenue.
The project is to include the widening of the street within
the existing right —of —way together with an offsite underground
drainage system near the easterly end of the work.
All other drainage not tributary to this system is to be
disposed of by surface means. If this is not feasible, additional
underground drainage facilities will be investigated. The
engineering services required for the design of these additional
drainage facilities will be considered as outside the scope of this
proposal.
II. ENGINEERING SERVICES:
A. Hold conferences with representatives of the City,
the Division of Highways, and others to review and
discuss all aspects of the project.
B. Puke field surveys to supplement existing
photogrammetry.
C. Make necessary soils tests and investigations to
determine structural section.
D. Prepare preliminary engineering studies and designs
for review and approval.
E. Prepare engineeri.n7 data for applications required
by the Division of Highways.
F. Prepare detailed contract drawings in ink on mylar,
special provisions and contract documents typed on
stencils, and cost estimates.

V. COMPLETION TIME:
In order to coordinate this project with Street Lighting
Assessment District No. 49, final grades and sections will be
established within 45 days after receipt of authorization to
proceed. Final plans and specifications shall be submitted
within 90 days after receipt of authorization to proceed.
