W I T N E S S E T H FOR AND IN CONSIDERATION OF the payments hereinafter to be made by the Customer to the Company, the Company agrees to furnish all tools, labor, material, lamps, equipment and electrical energy necessary to maintain and operate the overhead street lighting sys- tem installed and owned by the Company in the said City of Newport Beach Assessment District No, 50 (Balboa Island Street Lighting District) for a period of three (3) years, commencing December 1, 1965 and terminating November 30, 1968, and from year to year thereafter, unless terminated as herein provided. All installations shall be made at locations as shown on the map attached hereto marked Exhibit "A" and made a part hereof, and additional maps furnished from time to time by the Customer for such purpose. The Customer agrees to take, receive and use the electric energy and service so supplied and furnished, and to pay the Company bimonthly therefor at the rates and under the terms and conditions set forth in Rate Schedule LS -1 and at such higher or lower rates, or pursuant to such new or amended rate schedules, applicable to Customer, as may from time to time be ordered or allowed to become effective in accordance with law by the Public Utilities Commission of the State of California (the "Commission "), regardless of how or by whom proceedings resulting in such change may have been initi- ated, including proceedings initiated by the Company, and in accord- ance with the Company's rules on file from time to time with said N I � I 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25' 261 it 27 28 29 30 I 31 32 `J r Commission. A copy of said Rate Schedule is attached hereto marked Exhibit "B" and by reference made a part hereof. It is understood and agreed that all poles, wires, fix- tures, lamps and other appliances, supplied and used by the Company in furnishing the service herein provided for, shall at all times be and remain the property of the Company and the Company shall have the right to remove the same upon expiration of this contract or of any renewal thereof. It is further understood and agreed that the following conditions are to govern: All poles, wires, lights, and electrical apparatus installed by said Company in furnishing service under this agreement shall be so placed as to work the least possible public and private inconvenience, and the Customer may, at any time, order the location of any part of the system changed by the Company at the expense of the Customer to conform to the above requirements. Said Customer reserves the right to abrogate this con- tract whenever current is offered at two- thirds the price fixed in this contract. This agreement may be terminated by either party hereto at the end of the initial three (3) year term or at the end of any succeeding annual period by written notice given not less than sixty (60) days prior to the end of said three (3) year term or of any succeeding annual period. The time of service for any workman employed to do any pa of the work contemplated by this contract is limited and restricted to eight hours during any one calendar day and forty hours during any one calendar week, except as permitted by the provisions of Section 1815 of the Labor Code; it is further agreed that in the case of any violation in this regard of the provisions of Section 1810 -1815, inclusive, of said Labor Code the Company shall forfeit to the Customer the sum of $25 for each workman employed in the execution of this contract for each calendar day during which such 2. 1 2 3 4 5 6 7 0 0 10 11 12 13 's IS Ila 25 26 27 28 29 30 31'. 32 j • f I workman is required or permitted to work more than eight hours dur- ing any one calendar day and forty hours during any one calendar week, except as provided in Section 1815 aforesaid. This contract shall, at all times, be subject to such +changes or modifications by the Commission as said Commission may, from time to time, direct in the exercise of its jurisdiction. If the Company shall be prevented by strikes, by order of court, by public authority, or other causes beyond the control of the parties hereto, or either of them, from furnishing the service herein provided for, it shall not be liable in damages to the Customer for such failure, but a proportionate reduction in the amounts payable to the Company by the Customer for street lighting service hereunder, based on the period of suspension of such service, shall be made in case of such failure.
