NOW, THEREFORE, IN CONSIDERATION OF THE PREMISES AND MUTUAL BENEFITS HEREIN CONTAINED, IT IS MUTUALLY AGREED BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS: 1. That Section I. Paragraph 4 of Agreement No. 3014 be revised to read as follows: 4. To maintain, at no cost to the STATE the improvements, including the 6 -foot chain link fence until receipt of a 90 -day notice to vacate by STATE. 2. That Section II, Paragraph 3 of Agreement No. 3014 be deleted. 3. That all other terms and conditions of Cooperative Agreement No. 3014 shall remain in full force and effect. To construct or cause to be constructed chain link fence, restroom, landscaping and concrete removal, as shown on a drawing entitled "Proposed Roadside Developement by City of Newport Beach" scale 1" =100' dated February 2, 1967 and marked Exhibit A. a copy of which is attached hereto and made a part of this Agreement. Said facilities and concrete removal hereinafter referred to as "Improvements ". The actual details of the proposed work to be in conformity with the plans and specification pre- pared by CITY. 2. To complete construction of said Improvements as shown on attached Exhibit A. by December 31, 1967. 3. To submit said plans and specification of the Improver--nts for STATE'S approval at the time of applying for an encroachment permit. 4. To 1,gintain,at no cost to STATE the Improvements, excluding the 6 -foot chain link fence until receipt of a 90 -day Notice to Vacate by STATE, 5. To use STATE -owned rights of way only for the purpose as` stated in this Agreement. 6. To bear the entire expense of all the foregoing enumerated items in this Section, and to make no claim against STATE for any portion of such expense, except as stated in Section II (1). 7. To notify STATE in writing within 30 days of completion of the Betterments as described in Section II (1). 8. If said Betterments are not completed by December 31, 19675 CITY shall promptly return, at the dis- cretion of and upon demand of STATE, such funds as are advanced. 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 29 30 31 SECTION II STATE AGREES: 1, To pay a lump sum of $9,000 for a 6' chain- linkfbnce from 59th Street to Santa Ana River and removal of broken concrete and asphalt within STATE -owned rights of way. Said chain -link fence construction and concrete removal is herein- after referred to as "Betterments ". 2. To deposit with CITY upon demand prior to Adver- tisement of the contract, the lump sum of $9,000 as the total estimated cost of said Betterments as set forth in this Agreement. 3. To maintain the 6' chain -link fence as constructed, upon receipt of written notice until such time as STATE deems it necessary to remove said fence prior to the Route 1 Freeway construction. 4. To give CITY A 90 -day Not!.ce to Vacate before freeway clearanc- in order that CITY may salvage their plants, trees, irrigati(x. system and temporary cestroom. SECTION III IT IS MUTUALLY UNDERSTOOD AND AGREED_ 1. That neither STATE nor any officer or employee thereof shall be responsible for any damage or liability occur- ring by reason of Anything done or omitted to be done by CITY under or in connection with any work, authority or jurisdiction delegated to CITY under this Agreement. It is also understood and agreed that, pursuant to Government Code Section 895.4, CITY shall fully indemnify and hold STATE harmless from any liability imposed for injury (as defined by Government Code Section 810.8) occurring by reason of anything done or omitted to be done by CITY under or in connection with any work, authority or jurisdiction delegated to CITY under this Agreement. 2. That neither CITY, nor any officer or employee • 1 thereof is responsible for any damage or liability occurring by 2 reason of anything done or omitted to be done by STATE under or 3 I in connection with any work, authority or jurisdiction not dele- 4 gated to CITY under this Agreement. It is also understood and 5 agreed that, pursuant to Government Code Section 895.4, STATE 6 shall fully indemnify and hold CITY harmless from any liability 7 imposed for injury (as defined by Government Code Section 810.8) 8 occurring by reason of anything done or omitted to be done by 9 STATE.under or in connection with any work, authority or juris- 10 diction not delegated to CITY under this Agreement. 11 3, The obligation of both parties under this Agreement 12 are contingent upon the budgeting of the necessary funds for this. 13 project by STATE. 14 4. That CITY shall, at its own expense, take out and 15 keep in force during occupancy, (a) a public iiability insurance, 16 in a company or companies to be - pprove:i by STATE, to protect 17 STATE, its offi_;rs, agents and employees against any liability to 18 the public incident to the use of, or r,su]�'ing from injury to, 19 or death of any person occurring on STATE'S property, in the 20 amount of not less than $100;000.00, to indemnify against the 21 claim of one person, and in the amount of'not less than 22 $200,000.00, against the claims of two or more persons result- 23 ing from any one accident; and, (b) property damage or other 24 insurance, in a company or companies to be approved by STATE, 25 to protect STATE, its officers, agents and employees, against 26 any and every liability incident to the use of or resulting 27 from any and every cause occurring on STATE'S property, in the 28 amount of not less than t50,000.00. Said policies shall inure 29 to the contingent liabilities, if any, of STATE, its officers, 3.0 agents and employees and shall obligate the insurance carriers 31 to notify STATE, in writing, not less. than fifteen (35) days �! If said policies contain any exclusion concerning property in the care, custody or control of the insured, an endorsement shall be attached thereto stating that such exclusion shall not apply with regard to any liability of STATE, its officers, agents, or employees. CITY shall fur- nish to STATE a certified copy of each and every such policy within not more than ten (10) days after the effective date of the policy. 5. That the lump -sum payment of $9,000.00 by STATE for the cost of the Betterments is the total STATE'S share in the Improvements and no adjustments therein will be made. 6. That the 6 -foot chain link fence will become the property of STATE on completion and acceptance of Improvements. Mr. Nolan's letter of May 17, 1967 requested a reduction in the height of fence from 6' to 4' or 51e It would be necessary to re- evaluate the amount of State Participation and obtain the State Aighway Engineer's approval for the change. This change in fencing concept could delay the project from 6 to 7 months. The green - colored mesh type fence is satisfactory.
