CONTRACT FOR ENGINEERING SERVICES
(Bayside Drive Improvements)

THIS AGREEMENT is made and entered into this ZCo day of
4
196, by and between the CITY OF NEWPORT
5
BEACH, a municipal corporation, herein referred to as "City ", and
6
DONALD C. SIMPSON, a licensed civil engineer, herein referred to
7
as "Engineer ".

RECITALS:
9
City proposes to construct,certain street, drainage,
10
sewer and water system improvements as specified in "Bayside Drive
11
Study, Carnation Avenue to a point 1100 feet westerly, April,
12
1966"; and
13
Engineer has submitted a proposal to perform the neces-
14
sary engineering services in connection with said improvements.

AGREEMENT:

1. City engages Engineer to furnish the services hereinafter
17
mentioned, at and for the compensation herein stipulated, and
18
Engineer accepts said engagement upon the terms hereinafter set
19
forth.

2. Engineer shall:

(a) Undertake a preliminary investigation of the overall
22
project, including discussions and negotiations with all

23
agencies involved in the project.
24
(b) Prepare specifications and provide general super -
25
vision and office advice concerning test boring, subsurface
26
investigations and such other design and construction tests
27
that may, from time to time, be required by City.
28
(c) Prepare construction bid proposals and detailed
29
plans and specifications for the improvements outlined above,
30
suitable for use by the City in calling for competitive bids.

(d) Prepare quantity estimates and related cost est-

imates for the improvements outlined above.

(e) Provide assistance in analyzing bids.

(f) Be available for general supervision, field trips,
3
consultations and advice during the construction period of
4
the project.

(g) Check the required shop drawings and make revisions
6
of the plans and specifications as necessary in order to
7
accommodate unknown conditions discovered during construction.
8
(h) Be available for consultations with the Public
9
Works Director and his staff regarding interpretation of the
10
plans and specifications.

3. City shall provide all field surveys and secure recom-
12
mendations from a soils engineer and a geologist on the construe-
13
tion of the retaining wall along the northerly side of the project.
14
4. Original drawings, reports, notes, maps and other doc-
15
uments shall become the property of the City and may be reproduced
16
as deemed necessary by the Public Works Director.
17
5. City reserves the right to terminate this contract at any
18
time by giving Engineer three (3) days' prior written notice in
19
the United States mails, postage prepaid, addressed to any of
20
Engineer's business offices. In the event that City shall term -
21
inate this contract, it shall reimburse Engineer on the basis of
22
its standard fee schedule contained in its proposal dated August
23
18, 1966.

6. All plans, specifications and other documents for the
25
project shall be completed to the satisfaction of the Public Works
26
Director of City and delivered to him within ninety (90) calendar
27
days following receipt by Engineer of the soils report from City.

7. In consideration of the performance of the above described
29
engineering services, City agrees to pay Engineer an amount based
30
upon the standard fee schedule contained in Engineer's proposal
31
dated August 18, 1966, but in no event shall said amount be greater
32
than $2000. The amount to be paid to Engineer shall be payable as

follows:
(a) Monthly partial payments, each payment to be the
amount earned as determined by the fee schedule. The sum of
the monthly partial payments shall not exceed ninety percent
(90 %) of the above maximx= fee.
(b) The balance of the total amount to be paid upon
acceptance of the construction work by the City Council, but
in any event not later than eighteen (18) months after the
signing of the plans by the Public Works Director.
In addition, City shall reimburse Engineer for the actual
cost of reproduction of copies of said plans, specifications
and related documents, and filing fees, checking fees and
other related costs authorized by the Public Works Director
and advanced by Engineer.
8. Engineer shall indemnify and save harmless the City,and
its officers and employees, from all damage and liability arising
from any errors, omissions, or negligence in Engineers performance
of this contract and of the engineering work and services herein
provided.
IN WITNESS WHEREOF, the parties have executed this con-
tract as of the day and year first above written.
