CONTRACT Ci ENGINEERING SERVICES
(Traffic Signal- - Design - MacArthur
Boulevard and San Joaquin Hills Road)
THIS AGREEMENT is made and entered into this day
of �G.;�� , 1967, by and between the CITY OF NEWPORT BEACH,

a municipal corporation, hereinafter referred to as "City ", and
DE LEUW, CATHER & COMPANY, an engineering firm, hereinafter
referred to as "Engineer ";
WHEREAS, City intends to construct a traffic signal at
the intersection of MacArthur Boulevard and San Joaquin Hills Road;
and
WHEREAS, it will be necessary to have plans and specifica-
tions prepared for said project; and
WHEREAS, Engineer has submitted a proposal to prepare the
needed plans and specifications and is well qualified to furnish
such services;
NOW, THEREFORE, the parties agree as follows:
1. Scope of Work.
Engineer agrees to perform the following services:
1 (a) Prepare detailed plans and specifications
suitable for use in calling for public bids to construct and
install a traffic signal and safety lighting at the inter-
section of MacArthur Boulevard and San Joaquin Hills Road.
j (b) Prepare a cost estimate based on said plans

and specifications,
(c) Inspect the project site and consult with the
City Public Works Department staff regarding desirable
types of signal controls, interpret the plans and speci-
fications, and consult on any other design problems which
may arise.
(d) Assist the City in evaluating the bids and
making a determination on the award of the public works contrac .;

1 2. Drawings and Other Documents.
2 All drawings shall be prepared in ink on standard Mylar
31 sheets which shall be furnished to Engineer by City. All drawings
4j and other documents prepared by Engineer pursuant to this contract

5 shall become the property of City and may be reproduced as deemed
61 necessary by the Public Works Director.
7i 3. Compensation.

8� In consideration of the performance of the above described
9 services, City agrees to pay Engineer the actual cost of its
l0kservices based on the fee schedule attached hereto as Exhibit "A ",
11 plus 200 per cent of the total actual cost, provided that the
121 maximum cost to City shall not exceed $3,000. In addition, City

131 agrees to reimburse Engineer for reasonable travel and living costs
1411 incurred by its employees while working on the City's project away
15; from their usual home office. City shall also reimburse Engineer
16 for the actual costs of reproducing copies of the plans, specifica
17, tions and related documents.

18.! Payment shall be made on the following basis after sub -

19 mission to the Public Works Director of an itemized statement:
20 Seventy -five per cent (75 %) to be paid
211 within 20 days after submission of the completed plans
221 and specifications to the Public Works Director.

2311 (b) The final twenty -five per cent (25 %) to be
241 paid within 30 days after approval of the plans and speci-

251i fications by the City Council, but not later than 60 days
2611 after delivery of the plans and specifications.
271 4.. Independent Contractor.
281 In carrying out the terms of this contract, Engineer
291 shall at all times be an independent contractor and not an employee

RECOMMENDATION:
AUTHORIZE THE STAFF TO RETAIN THE FIRM OF DE LEUW, GATHER &
COMPANY TO DESIGN THE ABOVE SIGNAL FOR A MAXIMUM FEE OF $3,000.
DISCUSSION:
THE CONDITIONS OF APPROVAL FOR THE TENTATIVE MAP OF TRACT 6015
(NEWPORT CENTER) PROVIDE THAT THE IRVINE COMPANY AND THE CITY EACH HAVE RESPONSI-
BILITY FOR THE CONSTRUCTION OF TRAFFIC SIGNALS, DEPENDING ON LOCATION, IN ACCORD-
ANCE WITH THE CAPITAL IMPROVEMENT POLICY. THE CITY IS RESPONSIBLE FOR THE SIGNAL
AT MACARTHUR BOULEVARD AND SAN JOAQUIN HILLS ROAD. (IT HAD BEEN HOPED TO OBTAIN
STATE PARTICIPATION IN THE SIGNAL, HOWEVER THE STATE HAS INDICATED THAT THEY
WILL NOT SHARE IN THE COST OF A COMPLETELY NEW INSTALLATION OF THIS TYPE)-
NEWPORT CENTER WILL NOT OPEN UNTIL SEPTEMBER 1967; HOWEVER, BECAUSE
OF THE LONG LEAD TIME REQUIRED FOR DELIVERY OF ELECTRONIC COMPONENTS CAUSED
BY THE VIET NAM WAR, IT WILL BE NECESSARY TO DESIGN AND CONTRACT FOR THE
SIGNALS NEEDED FOR THE FIRST STAGE OF DEVELOPMENT AS SOON AS POSSIBLE. THE
PUBLIC WORKS DEPARTMENT HAS THEREFORE OBTAINED A PROPOSAL FROM DELEUW, LATHER &
COMPANY FOR DESIGN OF THE MACARTHUR - SAN JOAQUIN SIGNAL. THE FEE WILL BE BASED
ON THE AMOUNT OF TIME NEEDED TO PERFORM THE WORK, AND WILL NOT EXCEED $3,000.
THE OTHER SIGNALS NEEDED WHEN THE CENTER OPENS ARE THOSE AT PACIFIC
COAST HIGHWAY AND NEWPORT CENTER DRIVE, AND AT SAN JOAQUIN HILLS ROAD AND
SANTA ROSA DRIVE "EAST STREET "). THE IRVINE COMPANY HAS RETAINED DELEUW, LATHER
& COMPANY TO DESIGN THOSE SIGNALS.
RESPONSIBILITY FOR THE COAST HIGHWAY - NEWPORT CENTER DRIVE SIGNAL. LIES
WITH THL ;RVINE COMPANY. THE COMPANY AND THE CITY ARE TO SHARE IN THE RESPONSIBILITY
FOR THE SAN JOAQUIN HILLS ROAD - SANTA ROSA DRIVE SIGNAL. IT WOULD BE MOST ADVANTAGE-
OUS TO CONSTRUCT ALL 3 SIGNALS INVOLVED UNDER A SINGLE CONTRACT. A RECOMMENDATION
REGARDING A COOPERATIVE FINANCING AGREEMENT TO ACCOMPLISH THIS WILL BE MADE TO THE
COUNCIL AT A LATER DATE.
SUFFICIENT UNAPPROPRIATED SECTION 186.1 GAS TAX FUNDS ARE AVAILABLE FOR
THE ENGINEERING WORK REQUESTED, AND IT IS ANTICIPATED THAT THERE WILL BE SUFFICIENT
FUNDS AVAILABLE FOR THE CITY'S SHARE OF CONSTRUCTION COSTS. THE APPROVED BUDGET
PROVIDED THAT UNAPPROPRIATED GAS TAX FUNDS WOULD BE RESERVED FOR MISCELLANEOUS
TRAFFIC SIGNAL AND COOPERATIVE PROJECTS.) A BUDGET AMENDMENT FOR THE COST OF THE
ENGINEERING WORK HAS BEEN PREPARED FOR COUNCIL CONSIDERATION.
