3II THIS AGREEMENT, made and entered into this day
41? of 1967, y and between the CITY OF NEWPORT BEACH, a

5 municipal corporation, hereinafter referred to as "City ", and
ROBERT ]1 GRUNWALD & ASSOCIATES; planning consultants, hereinafter
71 referred to as "Planner ";
8! WITNESSETH:

9+ WHEREAS, the State has adopted a route for the proposed
101 Newport Freeway located generally along the present alignment of
Ili Newport Boulevard; and
12j! WHEREAS, the City Council is of the opinion that the
13j route of the proposed Newport Freeway should be relocated to an
14 alignment along Superior Avenue; and
15II WHEREAS, the City Council has determined that a planning
161, study of a Superior Avenue alignment is needed; and
171j WHEREAS, a proposal to prepare such a study has been made

181! to the City by Planner, which firm is well qualified to prepare
191j such a study;
20�; NOW, THEREFORE, City and Planner for the consideration
21�11hereinafter named agree as follows:
220 1. Scope of Services to be Provided by Planner,

23�'', Planner agrees to perform the following services:
24;t' (a) Prepare a written analysis of the physical
25 �design, land use, and other factors associated with the

26 +! establishment of a freeway -to- freeway interchange along
27 alignment of Superior Avenue as compared to an align -
281 ment along existing Newport Boulevard.
2911 (b) Consult with the staff of City, the Cali -
30j fornia Division of Highways, and De Leuw, Gather & Company
31'll to identify all information which has relevance to the

21 the City of Costa Mesa, to the extent possible, to.examine
3� those factors of freeway alignment and interchange design

ration and presentation of "hhe analysis.
(d) Assist City in preparing a final report and
8I presentation to the California Highway Commission. He shall
9+ present an oral report to the Highway Commission if requested
10l to do so by City.
11 2. Obligations of City.
1211 City agrees to make available to Planner, for purposes
131 of preparing the analysis described above, all background informa-
1411 tion, maps, reports, analyses and design work developed by the
151+ City staff and De Leuw, Cather & Company.
16,+ 3. Work Schedule.

171 Planner will prepare the preliminary and final analysis
1811 within a time period sufficient to allow review by City prior to
19ji City's preparation of a final report and scheduled presentation
20�r before the California Highway Commission in May, 1967. In addition
2111 planner will be available for attendance at such additional meet-
2211 ings as may be required after the City's presentation to the High -
231: way Commission.

24: 4. Compensation.

25 +j City agrees to pay Planner for the actual time expended
26lI in performing the services described in this agreement at a per
27±1 diem rate of $250, to reimburse Planner for its actual travel

281 expenses and for living expenses based upon a maximum rate of $20
291 per employee per day, and to pay the costs of reproduction required
3.0 in the preparation of the final report by City for presentation to
311 the Highway Commission.

staff to the maximum extent possible to minimize the cost of pro-
viding the services describe in this agreement.
It is agreed that the maximum compensation to be paid
to Planner shall not exceed the sum of $4,150, including consulta-
tions and meetings in Newport Beach, Los Angeles, Sacramento and
San Francisco, unless addition41 work beyond that described in
this agreement is specifically authorized by City.
City agrees to pay Planner within thirty (30) days after
the receipt of itemized bills. Final bills will be submitted to
City within sixty (60) days following the expiration or termina-
tion of this agreement. Planner agrees to allow City or City's
authorized agent to examine its records to verify the correctness
of the amounts billed to City,
5, Independent Contractor.
In carrying out the terms of this agreement, Planner
shall at all times be an independent contractor and not an
of City.
6. Term of Agreement.
This agreement shall be effective for a term of six (6)
months commencing with the date of its execution by City unless
sooner terminated by either party. This agreement may be extended
for an additional term by resolution adopted by the City Council.
7. Termination.
This agreement may be terminated at any time by either
party in the following manner; The party desiring to terminate
this agreement shall cause a written notice of termination to be
mailed by certified or registered mail to the other party ad-
dressed as follows; To the City Clerk, City Hall, 3300 Newport
Boulevard, Newport Beach, California; to Robert Grunwald &
Associates, 422 North Douty Street, Hanford, California. Termina-
tion shall be effective upon the date of receipt of such notice.

11 8. Documents and Other File Materials.
2i Upon the expiration or termination of this agreement,
3i Planner shall, upon request of City, turn over to City copies of

411 data, memoranda, reports, design drawings, calculations, letters

5. . and other documentation pertaining to the services included herein.
