referred to as "Southern Pacific", and the CITY OF NEwpORT BEACH,
a municipal corporation, hereinafter referred to as city",
® WITNESSETIT-1:
MREAS, City has widened that portion of 32nd Street
betw9en Newport Boulevard and Balboa Boulevard, as delineated on
a parcel map recorded in Book. 32, page 41 of Parcel flaps, in dj e
Office Of the County Recorder of the County of Grange, State of
California, marked Exhibit "A,,, attached hereto and made a part
herein by this reference; and
WHEREAS, Parcels A►, B, C and. D of the aforementioned
parcel map are owned by.Southern Pacific and lie within that
portion of 32nd Streets which has Seen widened,. and
WHEREAS, Parcel B of the aforementioned parcel, map is
owned by City and is egural in area to the sum of the areas, of
Parcels A, B, C .and Dr and
MER.EAS, it i� mutually desirable to the parties hereto
to exchange.their respective property;
NOW, THEREFORE, •IT IS ACRZED as follows;

1. For and. in consideration of the covenants and .•••�
conditions to be kept and performed by City as set forth:,herein,
Southern-' Pacific.agreesa
A. To convey by Grant Deed to City Parcels A, Be
NJ -
C and 1) as shown on the aforementioned parcel map# excep :ing
therefrom that portion lying below a depth of soo feet; however,
surface access rights are not retained;
B. To develop, or cause to be deaveloped# Parcel E
in accordance with the dead restrictions shown on the Grant Seed
for Parcel E and those restrictions hereinafter listed:
(1) No structures shall be constructed within
ten feet of the northwesterly property line of Parcel" E.
(2) The main entrance to coc=ercial structur�Da
constructed on Parcel, E shall not front can 32nd Street, unless a
waiver of this restriction is granted by the City Council of the
City of Newport Beach.
(3) No lighted signs facing 32nd Street shall
be constructed on Parcel E.
(4) The Light source for on-site Illumination 'F
shall not be visible from 32nd'Street..
(5) Trash bins and containers shall be enclosed.
C. To submit for achitectural review -ind rpproval
all development plana for Parcel E. This review shall be conducted
by the City of Newport Beach Community Development Director. The
intent , of the review is to minimi. e the adverse effect of
commercial development on the residential development on the
northwesterly ride of 32nd Street. The architectural review shall
include, but riot be l.$mited to, the following*
(1) Appearance of the structures and ether
appurtenances facing 32nd Street (buildings, trash facilities,
loading decks, etc.).
(2) Type of sign 49 visible from 32nd Street,
(3) The use of the northwesterly, ten feet of
Parcel. E for landscaping and screening.
D. Thia .agreement shall run with the real. property

herein described as Parcel E, in favor of and enforceable by'ae
City of Newport Beach, and shall be recorded in the Office of the
County Recorder of Orange County.
The above listed covenants, conditions and restrictions
shall be binding on Southern Pacific, its hairs, successors and
assigns.
2. For and in consideration of the covenants and
conditions to be kept and performed,by.Southern Pacific as set forth
herein, City agrees:
A. To convey by Grant Deed to Southern Pacific
Parcel E as shown on the aforementioned parcel map marked Exhibit "A":
B. That the improvements constructed in conjunction
with the widening of 32nd Street across and adjacent to the
aforementioned parcels, were constructed at no cost to Southern
Pacific and no obligation exists for Southern Pacific to repay City
for these improvements.
IN WITNESS WHEREOF, the parties hereto have executed this
agreement on the date f ova utitten.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF NEWPORT BEACH AUTHORIZING EXECUTION OF AN
AGREEMENT BETWEEN THE CITY OF NEWPORT BEACH
AND SOUTHERN PACIFIC TRANSPORTATION COMPANY
FOR THE EXCHANGE OF PROPERTY IN CONNECTION
WITH THE WIDENING OF 32ND STREET; AND
AUTHORIZING THE EXECUTION AND ACCEPTANCE OF
GRANT DEEDS CONVEYING THE RESPECTIVE PARCELS
OF PROPERTY
WHEREAS, the City of Newport Beach holds title to
certain real property located in the City of Newport Beach,
known as Parcel E, as shown on a parcel map recorded in
Book 32, page 41 of Parcel Maps in Orange County; and
WHEREAS, Southern Pacific Transportation Company
holds title to certain real property, known as Parcels A, B,
C. and D. as shown on a parcel map recorded in Book 32,
page 41 of Parcel Maps in Orange County; and
WHEREAS, the City of Newport Beach and Southern
Pacific Transportation propose to enter into an agreement
whereby Parcel E would be exchanged for Parcels A, B, C, and
D; and
WHEREAS, the area of Parcel E is approximately the
same as the sum of the areas of Parcels A, B, C, and D, and
their exchange value is equal; and
WHEREAS, the City Council has considered said agree-
ment and has determined that it would be in the best interest
of the City to exchange Parcel E for Parcels A, B, C, and D
under the terms and conditions as set forth in said proposed
agreement;
NOW, THEREFORE BE IT RESOLVED by the City Council
of the City of Newport Beach that the Mayor and City Clerk
are hereby authorized to execute an agreement between the
City of Newport Beach and Southern Pacific Transportation
Company setting forth the terms, conditions and procedures for
the exchange of Parcel E for Parcels A, B, D, and D as

hereinafter more particularly described:
PARCEL E
Parcel E in the City of Newport Beach, County of
Orange, State of California, as shown on a Parcel Map
recorded in Book 32, page 41 of Parcel Maps in the
Office of the County Recorder of said County;
PARCELS A, B, C, AND D
Parcels A, B, C, and D in the City of Newport
Beach, County of Orange, State of California, as
shown on a Parcel Map recorded in Book 32, page 41
of Parcel Maps in the office of the County Recorder
of said County.
BE IT FURTHER RESOLVED that the Mayor and City
Clerk are hereby authorized to execute a corporation grant
deed conveying Parcel E to Southern Pacific Transportation
Company, and to accept a corporation grant deed from
Southern Pacific Transportation Company conveying Parcels A,
B, C, and D to the City of Newport Beach.
