CONTRACT FOR ENGINEERING slulCES

THIS CONTRACT is made and entered into this ' ZX day.of
19670 by and between the CITY OF NEWPORT BEACH, a
municipal corporation, hereinafter referred to as "City ", and
ARM RESEA H'CORPORATION, hereinafter referred to as "Contractor ",
RECITALS:
A. Gity,intends to make application to the United
States Department of Justice, Office of Law Enforcement Assistance,
for a grant under the Law ^Enforcement Assistance Act of 1965. The
purpose, of said Grant Request is t9,.provide financial assistance
to City in the development of a Law Enfement Television Surveil -
lance System.
B. City is in need of Spec a Yzed engineering services
in order to assist the City staff in;the'ffiaparation of the grant
application and to provide continuing t cal .services in con-
nection with tite''design, installation and ealiratio�t ;:tha.;system
in the event the Grant Request is approved,
C. Contractor. is well qualified to provide the engineer
.ing services needed by City,
NOW., THEREFORE, the parties mutually ag ee as follows '#

state, and federal agencies. In addition, constraints
applicable.to .this type of system will be identified and
combined with the operatign,requ..irements to yield a set
of conceptual design criteria, Constraints which will
be considered, for example, include technical, economic,
legal, and socioethical constraints.
(2) Conceptual Design. A conceptual design
of the law enforcement television surveillance system
will be developed based on the requirements and con-
straints established,in step (1), This conceptual design
will utilize television transmission and related tech-
nology developed through military and space research
projects.
The system design concept will be reviewed .
with personnel of the Newport Beach Police Department
and the City Manager for their, approval prior to.prep -..
.aration of the Grant Request.
The design and general operation of the Law.
Enforcement Surveillance System will be defined in suf-
ficient detail for the preparation of the Grant Request.

City, By mutual agreement of the parties at.the time of negotia-
tion of individual.Taxk Orders, long -term projects_may'be paid for-
by monthly progress payments, subject to submission of monthly
progress reports by the Contractor.
With the exception of the initial payment to Contractor
in the amount of Thirty -five Hundred:Dollars.($3500) for the
development of the Grant Request, :in�the absence' of a specific
agreement by the City to the ,contrary, City shall not be liable
to Contractor for any payments owed to 0ontractor for-vork per-
formed pursuant to this contract or any Task Order issued here-
under unless federal funds are available,
7. Administration of Contract. For the purposes of
administering this contract, the City Manager or his'authorized
representative shall be responsible for representing the City in
all negotiations and discussions with Contractor. '..The,City agrees .,
to cooperate with the Contractor in the acquisition of.datai in

the analysis of specific.problems under study, in ,evaluating the
Contractorls designs., and in any other matters required-for the

I note that the contract between Arinc Research Cor-
poration and the City was signed by yourself and Mr.
J. M. Alderman on behalf of the corporation.
It is our policy to require that contracts executed on
behalf of a corporation be executed by the president
or vice - president and the secretary or assistant secre-
tary of the corporation and be impressed with the cor-
porate seal, or, in the alternative, if the contract is
to be signed by an officer or officers other than those
listed above, that we be furnished with a certified
copy of the resolution of the Board of Directors autho-
rizing such other officer or officers to enter into
contracts on behalf of the corporation. It would be
appreciated if you would see to it that the foregoing
requirements are complied with.
We are returning herewith the original and two copies of

Gentlemen:
Enclosed is the Contract for Engineering Services
to prepare a Grant Request to OLEA for the development
of a Television Surveillance System executed on behalf
of this Corporation.
It is our understanding that (1) consultation and
attendance at meetings by the Contractor's employees
(page 3, line 26 -30) will be kept.to reasonable propor-
tions and (2) the "Hold Harmless Agreement" is not
construed to include the socioethical aspects of the
installation of such a system.
We are extremely pleased to have this opportunity
of working with the city of Newport Beach on this project.

FUNDING. Following the -,passage of the Act in September 1965, the Senate appropriated
T9��on dollars '.'or FY 66 and FY67 respectively. The current Safe Street Bill,
now pending before Congress, includes an appropriation request for 100 million dollars.
(NOTE... it is difficult to assess at this time what will be approved).
LEAA authori.zes the Attorney General to make grants for specific projects.
ELIGIBILITY. States, couities, cities, police departments, correctional institutions,
colleges and universities, research institutes, and non - profit organizations inter-
ested in the field of activity.
GRANT CRITERIA. Preference to project which seeks to develop or introduce new know-
ledge, to iques, and action- orGinted efforts ... i.e. where project will test and de-
monstrate ideas, develop working prototypes, or practical aids to achieve change and improvement.
GRANT CONDITIONS.
a. Funds may be used on',- on the project.
b. Funds can be obligate' Drily subsequent to effective date, and balance must
be liquidated within 90 days after termination.
c. Justice Department, at its discretion, can terminate any grant at any time.
(Previous obligation will be. met before termination).
d) Travel only as related to t:a prc�ect and in accordance with Government Travel
Regulations.
e) Funds cannot be used for:
(1) Purchase of land, building, cars, etc.
(2) Dues
(3) Entertainment
(4) Outside of budgeted category without (LEA written authority.
f) Title to property acquired with grant fiords shall vest in the grantee subject
to divestment at option of OLEA. Exerciseable only upon notice within 120
days after termination of the grant period. (NOTE... Newport Beach Grant
Request will include request for retention of development system).
g) Grantee must maintain records and accounts in accordance with general account-
ing principle. OLEA will require fiscal reports (i.e. monthly, quarterly,
and final... also quarterly progress reports, and final project- completion
report) .
�f h) OLEA may inspect records any time during reasonable business hours. (Also GAO).

i) Third Party Participants must be reflected in the Grant Request and
must show that the grantee remains in charge of the project. (City
will clearly manage this effort; this must be expressed in the Grant
Request) .
OLEA PROCESSING. Application for grant will be reviewed initially for completeness
and the grantee advised accordingly.
ADVISORY PANEL.. Project application is reviewed by a working panel of professionals
an experts. Review may pass through more than one panel. Project is then forwarded
to AG for action.
GRANT AWARD. Grantee is advised of award through notification of the "Statement of
ranrd," (Form LEA 2) and advised of any special condition applicable to the award.
GRANT PAYMENT. Payment of grant funds will be made by U.S. Treasury check drawn in the
name of the grantee. Upon receipt of LEA -2, "Statement of Grant Award," grantee must
request funds on Form LEA -3.
GRANT ADJUSTMENTS. Any adjustments in the approved grant (s) must be submitted in
writing Form LET-76 to OLEA with reason and basis for proposed changes.
GRANT COMPLETION. Grants must be completed prior to the termination dates set forth
in the Statement of Award. All obligations must be met within 90 days of termination
and unobligated funds returned within such period.
FINAL REPORTS.. LEAH grantees are required to prepare a detailed final report which
appropriately describes in straightforward language the objectives attained by the
project. Length of the narrative report is generally dictated by the nature of the in-
dividual project.
