AGREEMENT FOR ARCHITECTURAL AND
ENGINEERING SERVICES
(Newport Beach Civic Center Site
Evaluation and Master Planning Study)
THIS AGREEMENT is made and entered into thisoLf;� oC day
of 1968, by and between the CITY OF NEWPORT
BEACH, a municipal corporation, hereinafter referred to as 11City11 ,
and WELTON BECKET AND ASSOCIATES, a California corporation, here-
inafter referred to as "Becket1.
RECITALS-
The City Council and administrative staff are engaged
in a study to determine the most suitable site for a new Civic
Center, Becket has offered to provide City with the professional
architectural and engineering services necessary to enable the
City Council to evaluate the alternate sites and to make an in-
formed decision as to the best site for the City's purposes. The
City also intends to retain the firm of Economics Research Associ-
ates, hereinafter referred to as "ERA ", to assist Becket in
developing the information needed to complete the services de-
scribed in this agreement.
NOW, THEREFORE, the parties agree as follows-
1. SERVICES TO BE PROVIDED.
Becket agrees to furnish the following professional
services-
A. Site Evaluation.
to Make a comprehensive study of the location, to-
pography, accessibility, environmental and other physical
and aesthetic features of each of the three following
sites -
a. The existing City Hall site, hereinafter
referred to as Site A. This study shall not include
any consideration of the acquisition of property
surrounding Site A.
b. The site westerly of Jamboree Road and
southerly of the future extension of Santa Barbara
Drive, hereinafter referred to as Site B.
C. The site north of Coast Highway and west
of MacArthur Boulevard in Newport Center; herein-
after referred to as Site C.
2. Make a study of the on -site vehicular and pedes-
trian traffic circulation for each of the above sites in
cooperation with ERA, which has been retained by the City
to furnish Becket with a study and evaluation of off -site
traffic considerations.
3. Obtain information concerning the availability
of and cost of bringing utilities to each of the sites to
be studied.
4. Intensively evaluate Site A to determine the
feasibility of constructing a high -rise municipal building
on said site with minimal inconvenience to the conduct of
municipal operations and to determine how the site might
be developed in increments.
So Prepare a preliminary report of its findings as
to Sites B and C, from which the City will select one site
for which Becket will prepare a master plan, conceptual
study, and cost estimate as provided in paragraph B.
B. Master Plans and Conceptual Studies-
Becket will prepare for Site A and the other site se-
lected for further study-
to A master plan showing the proposed location, con-
figuration and interrelationships of the anticipated govern-
mental and nongovernmental buildings, plazas or other public
areas, parking facilities, ingress and egress and general
landscape plan. Sizing of these facilities shall be predi-
cated on space studies already made by City, with adjustment
for any changes indicated by ERA's growth projections.

2, Concept sketches showing the proposed architec-
tural character for each Civic Center site. Design will
vary for the two sites because of their size, location
and surrounding environment,
3. Becket will establish a construction cost budget
for each of the two sites based upon its past experience
in planning civic centers and on the information developed
as a result of its master plan and conceptual study of the
two sites in Newport Beach.
Co Report and Presentation.
1, Upon completion of the work described in para-
graphs A and B above, and the completion of the services to
be furnished by ERA, Becket shall, in concert with ERA, pre-
pare a comprehensive written report evaluating the two sites
and recommending the site which Becket and ERA jointly agree
should be utilized as the site for the proposed Civic Center,
Becket shall furnish City with 25 copies of said reports
Becket's contribution to the report shall consist of
those matters involving professional architectural and
engineering services and judgments including, but not lim-
ited toy the following matters-
a. Construction and other development cost
budgets having a bearing on the over -all. evaluation
of the sites,
bo The availability of utilities at the two
respective sites and, if required, the costs of
bringing utilities to the undeveloped site.
co A cursory investigation of the present
space and number of employees in City °s existing
facilities and, on the basis of Becket's experience
in space programming, a comparison of the City's
present space situation with that which Becket has
found typical with other municipalities for which
it has rendered professional services,

d. The advantages of having a larger Civic
Center complex which would contain facilities for
other levels of government (county, state and fed-
eral) or ancillary quasi - governmental tenants.
e. A discussion of the advantages or dis-
advantages of the two sites as they concern aes-
thetics, on -site traffic flow and parking, the
possibilities for site amenities (plazas, fountains,
open spaces, etc.), and orientation of structures.
2, Becket agrees to make a final oral presentation,
at a time mutually convenient to Becket and City, summarizing
the results of the comprehensive report prepared for City.
II. PAYMENT FOR SERVICES,
A. Amount of Payment.
City agrees to pay Becket, upon satisfactory completion
of the services described in paragraph I, a total sum of $12,000.
The foregoing fee is subject to the express condition that Becket
will be employed by City to provide full architectural and engi-
neering services on all new buildings the City determines to have
constructed on either of the two sites being studied. Becket °s
fee for architectural and engineering services in connection with
any such future construction would be based upon the fee schedule
of the California Council of Architects. City shall be entitled
to a credit against such fee for that portion of the money paid
for work done under this agreement which is utilized by Becket
in furnishing such future services.
B. Time of Payment.
1. $4,000 shall be payable 30 days after this
agreement has been fully executed.
2. $48000 shall be payable within 60 days after
this agreement has been fully executed.

3a The final payment of $44000 shall be payable
upon delivery of the comprehensive report and completion
of the oral presentation referred to in paragraph I-C.
Co Reimbursements.
City agrees to reimburse Becket for the following ex-
penses in addition to the lump sum fee set forth above-
1a Blueprinting and photographic process repro-
ductions other than blueprints or reproductions used
solely for Becketps internal needs..
20 Transportation and living expense incurred
beyond a 50 -mile radius of BeckeC s Los Angeles office;
such expenses shall not exceed a maximum of $30 per day
per employee, for subsistence.
3e Long distance telephone and telegraph charges,
not including such charges incurred for communication
between BeckeC s Los Angeles office and the City of
Newport Beach,,
4o Photographs and maps;, if purchased by Becket,
5� Costs incurred in the preparation of brochures
or other special promotional materials ordered by City.
City agrees to pay Becket for reimbursables upon sub-
mission of itemized statements at 30-day intervals,
Do Additional Services„
Becket agrees upon the request of City to perform
additional services such as the preparation of brochures, ap-
pearances to make presentations to community groups, and con-
ferences with public officials and private individuals, Upon
presentation of an itemized statement, City agrees to compensate
Becket for such additional services„ in addition to the lump sum
fee referred to above, on the basis of 2.75 times the payroll
costs of Becket's personnel involved in performing such addi-
tional services, Presentations to the City Council or the City

Council's Building Committee shall not be considered additional
services and shall be included within the lump sum fee set forth
above.
III. CITY'S OBLIGATIONS,
City agrees to furnish Becket with the following infor-
mation to the extent necessary to enable it to perform the ser-
vices called for by this agreement:
1. Complete and accurate surveys of the three
sites, giving the grades and lines of streets, pavements
and adjoining properties; the rights, restrictions,
easements, boundaries and contours of the building site,
and full information as to sewer, water, gas and electrical
services or other utilities as they currently exist.
2. Soil tests and a foundation investigation report.
3. All maps, photographs, statistical data, surveys,
analyses or reports which City has had made in connection
with this project which will assist Becket in the develop-
ment thereof.
IV. TIME OF COMPLETION.
Becket agrees to complete all of the services described
in this agreement within 90 days from the date of execution of
this agreement by City.
V. TERMINATION OR ABANDONMENT OF AGREEMENT.
Prior to the completion of the services provided for in
this agreement, City may on three days' prior written notice to
Becket terminate this agreement. In the event of termination by
City without fault on the part of Becket, it is agreed that City
shall pay Becket for its architectural services completed to the
date of notice of termination on the basis of 2.75 times Becket's

payroll costs, exclusive of clerical services, plus all reimburs-
able costs incurred prior to notice of termination. In no event
shall the total payment exceed $12,000.
Following the completion of all the services provided
for in this agreement, City agrees to pay Becket for said services
the difference between the sum of $12,000 and a sum equal to 2075
times Becket's payroll costs, exclusive of clerical services,
upon the occurrence of any of the following events:

to design any buildings to be constructed on either of the
two sites studied.
2 If, within five years from the date of completion
of the services provided for in this agreement, City does
not enter into an agreement with Becket for architectural
services to design a building or buildings to be constructed
on either of the two sites studied.
VI, ASSIGNMENT.
This agreement shall not be assigned by Becket without
the written consent of City.
VII, MATERIAL TO BE FURNISHED CITY.
In the event this agreement is terminated, or upon com-
pletion of the work, Becket agrees-to furnish to City copies of
all memoranda, correspondence, computations and study materials
in its files pertaining to the work described in this agreement
which City requests. In addition, Becket will turn over to
City all of its presentation materials and visual aids used in
connection with said work, such as mounted display boards, block
models of the master plans, concept studies and drawings.
VIII. GENERAL PROVISIONS,
The personnel of Welton Becket and Associates, a

California corporation, is comprised of licensed architects,
registered engineers and a staff of specialists and draftsmen
in each department, The corporation itself is not a licensed
architect, but represents and agrees that wherever the perfor-
mance of this agreement requires the services of a licensed
architect or registered engineer, such services hereunder will
be performed under the direct supervision of licensed architects
and registered engineers.
Wherever in this agreement payment is based upon labor
costs or direct payroll costs, such references shall include
direct labor costs of all our consultants, and such costs shall
be deemed the same as labor costs of Becket.
IN WITNESS WHEREOF, the parties hereto have executed
this agreement as of the day and year first above written.

The Civic Center Site Selection Committee is pleased to recommend
approval and execution of the herein attached contractual agree-
ments for professional services from the consulting firms of
Welton Becket and Associates - Architects and Economics Research
Associates - Economists.
Attached herewith in addition to the contractual agreements is a
comprehensive digest of the Committee's study efforts and conclu-
sions culminating in the above referenced recommendations.

In February of 1967 a Civic Center Site Selection Committee consist-
ing of Howard Rogers - Chairman, Doreen Marshall and Robert Shelton
of the City Council and William Clark and John Jakosky of the Plann-
ing Commission was appointed to make recommendations regarding the
selection of a Civic Center site.
In essence the Committee's charge consisted of
(1) an evaluation of the present City Hall
site and its adaptability for future
Civic Center purposes
(2) an analysis of other potential Civic
Center sites throughout the City.
The following outline identifies the scope of the Committee's detailed
and exhaustive study efforts:
1. An inventory of all potential Civic Center sites was pre-
pared. Such inventory in addition to containing the ex-
isting City Hall site included:
A.. Old Castaways Restaurant site
B. Dunes and Bayside Village site
C. Beacon Bay site
D. Promentory Point site
E. Bayside Drive below Promentory Point site
F. No. of Coast Hwy. and west of Mac Arthur Blvd. site
C. West of Jamboree Rd. and No. of San Joaquin
Hills Road extended site
H. West of Jamboree Rd. and So, of Santa
Barbara Drive extended site.
2. The Committee after thoroughly reviewing and analyzing data
collected on each of the sites determined that only the last
three sites and the present City Hall site were worthy of
further consideration.
3. Next the Committee in an effort to determine what uses might
be interested in ,joining the City facilities in a Civic
Center complex interviewed representatives of the following

4. After a thorough evaluation of the interests indicated by
such agencies and organizations it was decided by the Com-
mittee that preliminary site selection studies and prelim-
inary master planning studies should include the following

tion recommendation. This conclusion was arrived at after
it became evident that schematic architectural design
studies and cost estimates were going to be necessary in
order to come to an intelligent conclusion.
6. The Committee after securing the City Council's approval as
to the need for such consulting services instructed staff
to prepare a list of qualified architectural planning con-
sultants for consideration. The list was prepared on the
following basis:
A. Consultants having indicated an interest in
being considered (unsolicited).
B. Consultants recommended as worthy of consid-
eration by Committee members and staff.
C. Consultants with existing offices in Southern
California.
D. Consultants with a wide variety of office
sizes and experience.
The final list contained the names of twenty consultants or
associations of consultants listed below.

7. The Committee came to the following conclusions as a result
of a careful review of each of the twenty consultants qual-
ifications as identified on consultant evaluation ranking
forms and experience resumes.
A. The consultant inventory should be reduced
in number to seven with a cross section of

B. Each of the seven consultants should be
invited to a personal informal meeting,
with the Civic Center Site Selection
Committee.
8, The Committee next selected the following seven consultants
to be personally interviewed.

Eckbo, Dean, Austin & Williams

F. Ruhnau, Evans & Steinman in association

9. Each of the seven consulting firms was subsequently given
the opportunity to present for approximately one hour its
general qualifications and in addition specific Civic Center
project site selection experience.. A second hour was then
devoted to a question and answer session.
10, The Committee after analyzing the consultants qualifications
and presentations determined that it would next be appropri-
ate to further reduce the consultant field from seven to the
following four:

11. It was also decided that it would be appropriate to visit at
that time the offices of each of the four consultants select-
ed for the final threshhold of consideration. This determina-

of joint ventures.
12. The Committee subsequently did visit the offices of
each of the six consultants and after lengthy
sessions determined that a combination of the offices
of Ruhnau, Evans & Steinman in association with Jones
& Emmons combined with the William Pereira organiza-
tion would provide all the necessary expertise to
prepare a comprehensive and objective site selection
study. In addition, if later commissioned to do so,
such a combination of consultants would have the
talent to prepare plans and construction documents
of outstanding quality as well.
13. Staff was then instructed to prepare a written set
of consultant responsibility scope specifications to
serve as a guide to the consultant in preparing a
written proposal to the City.. (A copy of such scope
specifications is attached. Please note that site
No. 3 on Page One is no longer available.)
14� The tentatively selected consultants once again met
with the Committee and after a meeting of minds a
proposal was requested. Unfortunately in preparing
the proposal the consultants found that they were not
going to be in a position to work compatibly with one
another. The association requested by the Committee
and agreed to by the consultants was therefore by
mutual agreement dissolved.
15. The Committee then determined that there were four
alternative courses of action open:
To ask for a proposal from one of the
above mentioned and tentatively agreed
to consultants (Jones & Emmons, Ruhnau
Evans & Steinman or William Pereira).
This idea was discarded after informal
discussion with such consultants.
To select another of the four finalist
consultants and request a proposal.
To look to other consulting firms not
on the first inventory list that might
have the necessary skills to do a proper
job.
To look at the original consultant list
of twenty to determine if any consultant
with the necessary qualifications had
been overlooked.

16. The Committee determined it was appropriate to follow a
course of action involving the latter two options. Shortly
thereafter the following firms were interviewed.
A. Welton Becket and Associates - Architects -
Los Angeles
Ladd and Kelsey - Architects - Pasadena
17. Such interviews clearly revealed a very strong experience
and qualification background in the firm of Welton Becket
and Associates. A subsequent Committee visit to the
Welton Becket office reinforced this conclusion since it
became evident that the firm had a Civic Center project
experience considerably more extensive than that evident
in the firm's printed brochures. The following list iden-
tifies some of the most recent design achievenents of the
Welton Becket organization:

18., The Committee during discussions with the Welton Becket organ-
ization representatives became convinced of the need for
economic consulting services to provide objective answers to
the following kinds of questions:
Effect of a new Civic Center,if constructed
on the existing City Hall site,on surrounding
land uses and land values.
Effect of the elimination of the existing
City Hall and Police facility on surrounding
land uses and land values.
Effect of the development of a new Civic Center
complex on land uses and values surrounding
such new complex:

Land value appraisals on each of the 3
remaining sites (The site located on
the west side of Jamboree Road north of
San Joaquin Hills Road extended had in
the meantime been committed by the Irvine
Company to an apartment development.)
19. A survey of qualified economic consultants revealed that
Economics Research Associates, a Los Angeles based firm,
was particularly qualified to provide services of the
type deemed necessary and appropriate by the Committee.
This conclusion was arrived at on the basis of the follow -
ing,facts:
A, E.R.A. has a very favorable experience
background and reputation in Orange County
having worked recently for the County and
the Irvine Company among "others.
B. E.R.A. has worked on many joint participa-
tion projects with architectural - planning
firms and has worked well on numerous pro -
jects with Welton Becket and Associates,
C. E.R.A. has a particularly strong experience
background in site selection studies.
20, The Committee further decided that the economic consulting
firm should be hired under separate contract to the City
rather than to the architect. This decision was made to
insure complete objectivity in the findings and recommenda-
tions of the economic consultant.
21, Proposals were ;requested from Welton Becket and Associates
and Economics Research Associates and after considerable
study and minor modification were approved by the Civic
Center Site Selection Committee (Copies of the consultants
proposals are attached,.)
The Civic Center Site Selection Committee considers the firms of
Welton Becket and Associates and Economics Research Associates
outstandingly qualified to undertake site selection studies and aid
the City 'n its efforts to select the most appropriate Civ c Center
site.,
