A G R E E M E N T _n THIS AGREEMENT entered into this day of 1968, BY AND BETWEEN AND ORANGE COUNTY FLOOD CONIROL DISTRICT, hereinafter referred to as ''DISTRICT ", CITY OF NEWPORT BEACH, hereinafter referred to as "CITY ". R E C I T A L S A. Westcliff Drive in the City of Newport Beach from Dover Drive northwesterly through Irvine Avenue and Irvine Avenue from Westcliff Drive northeasterly through Cabrillo Street are primary highways under the Orange County Master Flan of Arterial Highways. B. Westcliff Drive and Irvine Avenue within the above limits are subject to flood flows frequently exceeding street capacity; and, CITY, through the Flood Control Advisory Committee of the City Engineers Association of Orange County, has requested DISTRICT's financial assistance in the construction of Westcliff Storm Drain (hereinafter referred to as STORM DRAIN) running from East Costa Mesa Channel. in Dover Drive and Westcliff Drive through Irvine Avenue including a storm drain lateral (hereinafter referred to as LATERAL) in Irvine Avenue running from STORM DRAIN to Cabrillo Street. C. CITY desires to improve Westcliff Drive and Irvine Avenue and to include STORM DRAIN and LATERAL as a part of the street improve- ment project. D. It is in the interest of DISTRICT and CITY to cooperate financially in the construction of STORM DRAIN and LATERAL. as a joint venture under a single contract. T E R M S NOW, THEREFORE, in consideration of the mutual benefits, 1' 2 3I 4 5' 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 29 30 31 32 as Go covenants and_i!�mdi ons to be derived by the parties hereto, it is agreed as follows: 1. DISTRICT shall perform hydrologic studies required and submit to CITY a report on peak flow rates for storms of 10 -year recurrence interval which shall be the basis of hydraulic design of STORM DRAIN and LATERAL by CITY. 2. CITY shall prepare plans and specifications for the improvement of Westcliff Drive and Irvine Avenue including STORM DRAIN and LATERAL and shall submit STORM DRAIN and LATERAL plans and specifi- cations to DISTRICT for approval. After approval of said plans and specifications by DISTRICT's Chief Engineer, CITY shall advertise same for bids, receive the bids, open same in public and if a satisfactory bid is received, award a contract for the construction, all in accor- dance with applicable provisions of law. 3. During construction, CITY shall assign a qualified Inspec- tor charged with overall contract administration and for obtaining con- struction in accordance with the plans and specifications. DISTRICT's Chief Engineer shall assign a qualified Inspector to the work whose function shall be certification at the end of construction to said Chief Engineer that the work has been accomplished in good and workman- like manner in accordance with the plans and specifications. During the progress of the work, CITY's Inspector shall cooperate fully with DISTRICT's Inspector regarding conformance to the plans and specifica- tions and shall provide promptly copies of material tests, logs of test borings, soils tests,survey results and other items necessary or desirable to determine adherence to the plans and specifications. 4. CITY shall not issue any change orders for STORM DRAIN or LATERAL without first having obtained the concurrence of DISTRICT's Chief Engineer. 5. CITY shall arrange for any modifications, relocations, reconstruction, or the supporting in place of utilities made necessary by the construction of STORM DRAIN and LATERAL and CITY shall bear all 100.19 11 -� so 40 1 costs in connection therewith, except the cost of constructing a 2 parallel sewer in Westcliff Drive and the cost of relocating the 24 3 inch concrete cylinder water line in Dover Drive shall be shared as 4 described in paragraph 7. 5 6. Upon completion of the STORM DRAIN and LATERAL construc- 6 tion, CITY shall request in writing the approval of DISTRICT's Chief 7 Engineer of the work, which approval shall be predicated upon the 8 final report of DISTRICT's Inspector. 9 7. DISTRICT shall pay to CITY the sum of (a) plus (b) below. 10 a. 50% of total cost (estimated to be approximately 11 $100,000) of STORM DRAIN and LAERA.L and their 12 appurtenances. The total cost to be computed on 13 the basis of unit and lump sum prices and final con - 14 tract quantities for reinforced concrete box culvert 15 and pipe in place, and backfilled to pavement sub - 16 grade, catch basins with connector pipes, junction 17 chambers, manholes, transitions, an outlet structure, 18 restoration of surface improvements made necessary 19 by lateral construction, approximately 500 feet of 20 parallel sewer with manholes and cleanout, and re- 21 locating the 24 inch water line in Dover Drive. 22 b. 10% of the sum of (a) above to cover CITY's cost of 23 design, inspection, field engineering, final reports 24 and acceptance. 25 DISTRICT's share shall be paid in two installments. The first install - 26 ment shall be 25% of the successful contractors bid price for the con - 27 struction of STORM DRAIN and LATERAL and shall be paid to CITY after 28 the award of contract within 30 days of receipt of an invoice from 29 CITY. The second installment shall be the difference between (a) 30 plus (b) above, and the first installment. Upon receipt in writing of 31 approval by DISTRICT's Chief Engineer, CITY shall file a notice of 32 completion and shall present DISTRICT with an invoice for the second F850 19 1 installment of its share of "he cost. DISTRICT shall pay to CITY, 2 within 30 days of receipt of said voice, the second installment of 3 DISTRICT's share of the cost of the construction of the STORM DRAIN 4 and LATERAL. 5 8. Upon CITY's receipt in writing of approval by DISTRICT's 6 Chief Engineer of the work, DISTRICT shall maintain and operate the 7 underground portions of the STORM DRAIN located in Westcliff Drive 8 and Seventeenth Street and CITY shall maintain and operate all street 9 drainage inlets, laterals and catch basins that are within the boundaries 10 of CIT`i and constructed as a part of STORM DRAIN. CITY shall maintain 11 or arrange with the City of Costa Mesa for the maintenance and operation 12 of LATERAL and all street drainage inlets, laterals and catch basins 13 that are within the boundaries of the City of Costa Mesa and constructed 14 as a part of STORM DRAIN and LATERAL. 15 9. Laura Lagios LL:ih Att:(4) Co S , , 4 n July 22, 1968 TO: CITY COUNCIL GJ 9 FROM: Public Works Department SUBJECT: COOPERATIVE AGREEMENT WITH ORANGE COUNTY FLOOD CONTROL DISTRICT FOR THE CONSTRUCTION OF A STORM DRAIN SYSTEM IN WESTCLIFF DRIVE AND IRVINE AVENUE RECOMMENDATION: Adopt a resolution authorizing the Mayor and City Clerk to execute a Cooperative Agreement with the Orange County Flood Control District for the subject construction, DISCUSSION: Included in the current budget is a project providing for the construction of a storm drain system in Westcliff Drive from the Dover Drive Flood Control Channel to Irvine Avenue, and in Irvine Avenue from Westcliff Drive to Cabrillo Street. This pro- ject will be incorporated into the reconstruction of Westcliff, with the Flood Control District sharing in the storm drain construction costs. The estimated cost of the storm drain system is $200,000 with the Flood Control District contributing 50% of the cost, The Flood Control District contribution has been increased over the $75,000 provided for in the preliminary budget as a result of subsequent negotiations. Also included in the project is work within the City limits of Costa Mesa. It is proposed that the cost of this work be shared by Costa Mesa and by the Districts An agreement covering this portion of the work is now under discussion with the City of Costa Mesa. This project is now being designed. Plans and specifications will be submitted to the Council for consideration early in 1969 4 Loseph .
