CONTRACT FOR ENGINEERING SERVICES
Proposed Assessment District No. 53
(Newport Heights and Balboa Alleys)
THIS CONTRACT is made and entered into this / day of
7/ , 1969, by and between the CITY OF NEWPORT BEACH, a
municipal corporation, hereinafter referred to as "City," and
WILLIAMSON AND SCHMID, hereinafter referred to as "Engineer."
RECITALS:
A. The Public Works Director of City has recommended to
the City Council that it employ a private engineering firm to
survey, design and prepare plans for the construction of alleys
and alley approaches in certain blocks of Newport Heights and
Balboa.
B. Engineer has submitted a proposal to City to perform
said services in connection with the project, and is well qualified
to perform the work.
NOW, THEREFORE, the parties mutually agree as follows:
1. Scope of Work. (a) Engineer will perform
topographic surveys showing all existing improvements which are
visible and necessary to properly design the alleys, including
sewer, manholes, existing water and gas meter locations, power
pole locations, existing driveways and fences.
(b) Prepare 20 -scale plans and profiles in ink on
mylar showing existing improvements.
(c) Design profiles of alleys, alley approaches and
driveway modifications to the approval of the Public Works Director
(d) Complete 20 -scale drawings showing all proposed
improvements and revisions to existing facilities, suitable for
inclusion within contract documents to be used for obtaining bids
for the performance of the work.

2. City to Furnish Soils Investigation. City will
furnish the necessary soils investigation for determining the
structural sections, and for preparing the specifications, proposal
land contract documents.
3. Completion of Services. Engineer will make every
effort to complete the work called for by this contract by
December 15, 1969.
4. Compensation. Engineer shall be compensated on the
basis of the following fee schedule, following his submission to
the City of an itemized statement or statements.

Engineer guarantees that the maximum cost for said work shall not
exceed $24,620, provided that the work is completed before
December 31, 1969. The aforesaid maximum cost does not include
the cost of providing centerline ties for survey monuments, which
service is not required by City.
5. Reimbursement for Reproduction Costs and Work Done
by Outside Firms. City agrees to reimburse Engineer for the actual
cost of reproducing drawings and other documents. It will also
(reimburse Engineer for the actual cost of work performed by
outside firms; and for blueprints at cost, plus 25 %.
6. Right to Drawings, Reports, etc. Original drawings,
reports, notes, maps, and other documents shall become the property
of the City and may be reproduced as deemed necessary by the Public
Works Director.
7. Termination. City reserves the right to terminate

this contract at any time by giving Engineer three (3) days' prior
written notice either by personal service or by placing said
notice in the United States mail, postage prepaid, addressed to
Engineer at 1535 East First Street, Santa Ana, California 92701.
In the event that City shall terminate this contract, it shall
reimburse Engineer for the actual work done up to the date of
termination on the basis of the rates and costs set forth in
paragraphs 4 and 5.
8. Independent Contractor. Engineer, its agents and
employees, in the performance of this contract, shall at all times
be an independent contractor and shall under no circumstances be
considered as officers or employees of City.
9. Administration of Contract. For the purposes of
administering this contract, the Public Works Director or his
authorized representative shall be responsible for representing
the City in all negotiations and discussions with Engineer.
10. Hold Harmless. Engineer shall indemnify and save
harmless the City, and its officers and employees, from all
damage and liability arising from any errors, omissions, or
negligence in Engineer's performance of this contract and of the
engineering work and services herein provided.
11. Assignment. This contract shall not be assigned by
Engineer without the written consent of City.
