ASSIGNMENT OF CRUDE OIL PURCHASE CONTRACT
Re: Contract Dated October 29, 1969
Buyer: Golden Eagle Refining Company, Inc.
Seller:_ City of Newport Beach
Producirg Field: West Newport
Golden Eagle Refining Company, Inc., does hereby transfer and assign to
Carson Oil Company, a California Corporation, all of its rights, title and interest
in and to the above - referred to contract, and delegates to Carson Oil Company the
performance of all of its obligations thereunder effective March 1, 1970. Carson
Oil Company covenants and agrees that it will promptly and completely perform all
obligations of Golden Eagle Refining Company, Inc. , under said contract, including,
but not limited to, the payment of the purchase price for all oil delivered thereunder
on and after March 1, 1970.

As the seller or successor in interest to the seller's rights and interests in
and to the contract above referred to, this will advise you of the foregoing assign-
ment of said contract by Golden Eagle Refining Company, Inc. , to Carson Oil Company.
Any communications in regard to said contract should be addressed to Carson Oil
Company, Attention Mr. Sol Alexander, Suite 912, 900 Wilshire Boulevard, Los
Angeles, California 90017, Telephone 689 -4390.
It is hoped that the fine relationship which has existed will be continued under
this arrangement.
