j CALIFORNIA, hereinafter called "CITY ", and SOUTHLAND HELICOPTERS,

hereinafter called "SOUTHLAND ".

7i WHEREAS, the CITY is anticipating the purchase of two helicop-
8li ters for police patrol work; and
9111 WHEREAS, SOUTHLAND represents that it has in its employ per -
1011 sonnel who are properly licensed, trained and qualified to give
1111 flight training; and

12 WHEREAS, CITY desires to obtain the services of SOUTHLAND for
13 such services and SOUTHLAND is willing to provide such services:
14 NOW, THEREFORE, in consideration of the mutual terms and
1511 conditions hereinafter set forth, it is agreed as follows:
16 1. SOUTHLAND shall provide complete flight training in
171 helicopters owned by the CITY and complete ground training for two
1811 individuals and training for Kenneth L. McGregor who will be a
191 commercially rated rotorcraft and helicopter pilot on the effective

2011date of this contract.

21111 2. Said training program shall begin on or about September 1,

221;1970 and be conducted on a full time basis so as to expedite
2.3 preparation of the pilots for regular patrol work.
24 3. The training program to produce well qualified and skilled

25i pilots with special police training will consist of:

261 A. 100 hours of dual instruction @ $20 per hour = $ 2,000.00

27 B. 100 hours of supervised solo @ $5 per hour = 500.00
28 1 C. 50 hours of ground instruction,

29;1 given by a flight instructor @ $8 per hour = 400.00
30 D. 100 hours ground school as follows:
3111 (a) Basic private - 30 hours 80.00
32i (b) Advanced commercial - 60 hours 150.00

3 I This makes a total cost of $3,230 for each individual
Oil trained. An optional cost would be $60 for examiner fees for

5 private and commercial flight tests. This additional fee would
6 make a total cost of $3,290 for each individual.

7.1 4. Said training program to give adequate and thorough

8i+ preparation so that applicant may successfully pass the written,
9 and flight tests prescribed by the Federal Aviation
101 Administration for a Commercial Rotorcraft- Helicopter Certificate.
1111 5. Instructors working on this program for SOUTHLAND shall
12± have a minimum of 1,000 hours flight time in helicopters and 500
131 hours of flight instruction experience.
141 1 6. Said flight training to take place at the Orange County
15I Airport, Long Beach Airport, and approved practice areas for 160
16i'I hours, over and around the City of New ort Beach for 40 hours.
17 i 7. In the case of Kenneth L. McGregor, only Phase IX and X
181; of the curriculum will be necessary consisting of:

24 I! This makes a total cost of $650. After Officer McGregor has
25jiflown on patrol for approximately 200 hours, flight instructor's

techniques of aerial observation, communications, and reporting.
9. SOUTHLAND will provide expertise on the following:
A. Patrol routes
B. Safety corridors
C. Heliports and landing areas
D. Communication
H. Administration and operational scheduling
F. Public relations
10. CITY shall provide helicopters for training including all
costs for maintenance, insurance, fuel and oil.
11. CITY will issue to SOUTHLAND, prior to the commencement
of flight training activities, a Certificate of Insurance including
acknowledgment that SOUTHLAND is named as an "Additional Named
Insured ", for liability, passenger liability, and hull coverages.
In the event the CITY elects to self- insure All Risk Hull
Coverage, it is agreed that SOUTHLAND will be held harmless for
any and all hull damage incurred during execution of this agreement.
1811 12. For said training, supervision, and advice, CITY shall pay
19'1 to SOUTHLAND the sum of $7,230 (2 individuals at $3,290 and one
201111 individual at $650.). This payment to be made as follows:

21�' A. $5,000 at the execution of this agreement.
22! B. Balance at successful completion of training program.

' C. $820 at start of flight instructor course for Officer

2511 13. In case any trainee fails or is unable to continue with

26ii said training, replacement student shall be trained at same rates

2711 as set forth in the curriculum provided at additional cost to the

28! CITY.
29i. 14. The helicopters provided by the CITY shall be hangared

!daily at the Orange County Airport and all flights shall begin at
that location, weather permitting.

15. This agreement may be amended with approval of both
parties.
IN WITNESS WHEREOF, the parties hereto have caused these
presents to be duly executed with all the formalities required
by law on the respective dates set forth opposite their
signatures.

the City of Newport Beadh and Southland to provide for
