R E C I T A L S: 1. The City of Yewnort Bench has acquired 19.24 acres from The Irvine Company for the develooment of a. Civic. Center in Newport Center on Civic Center Drive between Neeoort Center Drive and Avocado Avenue. The City of Newport Beach is interested in having the harbor Judicial District facilities located within: the peri- meters of this 19.24 -acre Civic Center site, and has offered to sell to the County of Orange seven acres for $650,028.00. 33 2. The anticipated future needs for municipal courts in the Harbor Judicial District would indicate six courts in the reasonable future with a possible expansion to twelve courts in the distant future. To induce the County of Orange to locate court facilities within the Civic Center, the CITY has offered to provide: A. Prisoner detention facilities on City property B. All off -site improvements (except sidewalks). C. Rough grading of the Civic Center site. D. All utilities available at the COUNTY'S site within. Civic Center Drive. E. One hundreb twenty (12.0) parking spaces for COUNCY or CITY use on City property adjacent to the COUNTY'S seven- acre site. 3. COUNTY'S purchase price is based on a valuation nrenise of a fully improved site including but not limited to Items 2B, 2C. and 2D above. 92 -6 4 4. By Minute Order dated September 15, 1970, the Board of Super- visors of the County of Orange indicated that the courts should be relocated within Newport Beach's Civic Center Complex nrovided that a satisfactory agreement to purchase, executed by the City of Newport Beach, can be submitted to the Board of Supervisors within ninety (90) days from September 15, 1970. NOW, THEREFORE, in consideration of the premises set forth, it is agreed by and between the parties hereto as follows: I The CITY shall: A. Open an escrow with Title Insurance and Trust Company of Santa Ana and forthwith deposit into said escrow a properly signed Grant Deed conveying fee title to the parcel desig- nated as G. A. 1223 -1. (CITY'S obligation of clearance includes, but is not limited to, obtaining all waivers and written consents from The Irvine Company to effect Clause IB above.) C. Do all things necessary to have all the following completed and available for use by COUNTY on the date indicated: 1. Prisoner Detention Facilities by January 1, 1973. These facilities are intended ',o nrovide prisoner deten� ion capability for the courts in combination with the City detention facilities, and therefore, shall be archi- tecturally integrated with and compatible to the court facilities. Said COUNTY prisoner detention facility is to be a maximum of five thousand (5,000) square feet. Although COUNTY prisoner facilities will be in combination with the CITY detention facilities, they will be separate from the C.T.TY detention facilities and under the jurisdiction of the Marshal of the County of Orange when required for detention of COUNTY prisoners. The COUNTY facilities, except for Marshal's office space, shall be available for use by CITY when not required for detention of prisoners under the Jurisdiction of the Marshal.. ,2 -7 -2- The CITY will be responsible for the maintenance and upkeep of these facilities, and furnish all necessary services such as; air conditioning, heating, utilities, etc. The final size of the prisoner detention facility will be based on a plan of development that is predicated on an ultimate population of up to 365,000 for the Harbor Judicial District. The ultimate District population shall be determined by COUNTY. The COUNTY'S Director of Building Services shall be the approving authority in determining the proper size of the COUNTY portion of the facility. 2. Gas, water and electricity and sewer facilities with capacity adequate for the ultimate twelve -court facility shall be available in Civic Center Drive at COUNTY'S site. by January 1, 1972. 3. The following off -site improvements shall be completed by January 1, 1972. a. Civic Center Drive as depicted on Exhibit D attached hereto for its .full width including; a fifty -two (52)- foot -wide paved travel way, con- crete curbs and gutters, landscaping and lif�,hting;. b. Construct within Avocado Avenue adjacent to Civic Center Site as shown on.Exhibit D attached hereto, a thirty -two (32) -foot portion of a paved travel way, concrete curbs, and gutters and landscaping. C. Storm drain structure within Civic Center Drive right of way and alone that portion of Newport Center Drive fronting on the Civic Center site. 4. Improved parking; spaces for one hundred and twenty (120) cars by July 1, 1974 unless the Director of Building Services of the County of Orange agrees in writing* to extend this time limit. Said parking; spaces shall be located on City -owned land adjacent to the County Court site property. Said spaces shall be available for use by the COUNTY on a shared basis with the CITY. The COUNTY shall not be entitled to any special priority or exclusive use of such spaces, except with the expressed written consent of the CITY. Said consent shall be given if it is required to accommodate jurors during impanelment. 5. Grade and contour the entire Newport Center Civic Center site in accordance with a master p'an to be developed by CITY. Said master plan shall be completed by April 1, 1971 and submitted to the C -unty of Orange for its review and approval. Said plan shall be approved or disapproved within 30 days from the date of its submittal. The rough grading• of the site in accordance with the approved plan will be completed no later than January 1, 1972. Detailed plans for all of the above facilities which relate to the COUNTY'S site are to be reviewed and approved by the COUNTY'S Director of Building; Services prior to the commencement of the construction of any -3- b2 -� of said items. The Director shall complete this review and approve or disapprove of said plans within thirty (30) days after they have been submitted to him by CITY. CITY shall obtain a signed receipt from the Director of Building Services indicating the items delivered for approval and the date on which they were received by the Director. Failure of the Director to act within said thirty (30) day period shall be deemed to constitute approval. D. At any time prior to December 31, 1971, upon the written request of the COUNTY'S Director of Real Property Services, deposit into an escrol.., with Title Insurance ar.d Trust Company, a properly signed Grant Deed conveying fee title to Parcel G. A. 1223 -1.1. A copy of the Grant Deed to be executed and deposited into the escrow by the CITY is attached hereto and designated as Exhibit C. E. After the Grant Deed to Parcel G. A. 1223 -1.1 has been deposited into the escrow, forthwith do all things necessary to vest title in the same manner as in paragraph I B above. II The COUNTY shall: A. On notice from Title Insurance and Trust Company that title may vest as provided in Clause IB, deposit $439,749 into the escrow opened by the CITY with Title Insurance and. Trust Company for the acquisition of Parcel. G. A. 1223 - -1. Said escrow shall be instructed that payment of these funds is to be made to the CITY at such time as title vests in the manner Provided for in Clause I B above. B. If COUNTY exercises it ri=hts to acquire Parcel G. A. 1223 -1.1 as provided in Clause I D and I E above, on notice from Title Insurance and Trust Company that title may vest as provided in Clause IB, deposit $210,279 into said escrow with the instructions that said funds are to be paid to the CITY at such tine as title vests in the COUNTY in the manner provided for in Clause I B above. C. At such time as title for in Clause II A and II necessary steps to accept they might be recorded and It is mutually agreed: is capable of vesting as provided B above, the COUNTY shall take the the Grant Deeds involved so that the escrows closed. III A. In the event the CITY does not fulfill its obl.iaations as set forth in Clause I C of this Agreement v thin the time limit provided therein, the COUNTY may at its option construct szch facilities or providL alternate solutions to accommodate the COUNTY'S need. B. CITY shall pay to COUNTY all costs and damages incurred by C M:TY by reason of CITY'S failure to perform as provided in I C, including but not ll.mited to, costs for coordination, overhead, and other expenses incurred by the COUNTY that can reasonably be attributed to the CITY'S failure to perform. CITY shall. not be liable for any dama>es caused by delays which can reasonably be attributed. to COUNTY. If delays are caused by unforeseen events beyond the control of CITY such -4- 92 -9 delays will entitle the CITY to a reasonable extension of time to complete performance. War, labor disputes, strikes, fires, adverse weather conditions necessitating cessation of work, and other similar action of the elements, inability to obtain materials, equipment or labor because of federal government restrictions or similar reasons shall constitute good cause for an extension of time. C. That adequate parking should be available at all times for the public facilities that are built by the CITY and COUNTY. So that this might be assured both COUNTY and CITY agree that each will provide a minimum of one parking space for every two hundred twenty -five (225) square feet of gross building that each builds. CITY shall provide one hundred and twenty (120) parking spaces for joint CITY and COUNTY use. Both CITY and COUNTY each shall include said 120 spaces as a part of each entity's parking space requirements under the terms of this paragraph. D. That the CITY with the assistance of the COUNTY shall develop the main architectural theme. The COUNTY's design and the design of CITY facilities which directly relate to those of the COUNTY shall have joint approval of both parties. This will include but not be limited to the detention facilities, security corridor, receiving facilities, and service entrance. It will also include those areas of shared parking, shared sidewalks, and shared landscaping. The reviewing entity shall have a period of sixty (60) days to review said plans and to work with the constructing entity to reconcile any differences needed to make the plans compatible. Approval shall not be unreasonably withheld. Construction on COUNTY land will be in compliance with the COUNTY's Building Codes and administered by COUNTY's Building and Safety Department. Grading shall be under the jurisdiction of the CITY. E. To provide, by exchange of easements or by operating agreement, for reasonable vehicular and pedestrian access between buildings, parking areas, walkways, and peripheral streets within the Civic Center site. Also, if the master plan of development approved by CITY and COUNTY indicates it would be in the best interest of each entity to exchange land to readjust property lines each entity shall take the necessary steps to effect said exchange. The areas of land exchanged shall be equal and the total area of land which either entity must commit to the exchange under the terms of this Clause shall not exceed one acre. F. The main entrance drive for the Civic Center site connecting to Civic Center Drive shall be located on COUNTY's property and shall be COUNTY's responsibility and, the main service drive for the Civic Center site connecting to Avocado Avenue shall be located on CITY property and shall be CITY's responsibility. "Responsibility" is defined as construction and maintenance. G. That if it is determined by the City Council of the City of Newport Beach or the Board of Supervisors of the County of Orange that a joint powers authority is the appropriate vehicle for financing the construction of any portion of the -5- 92-10 11/25/70 Civic Center improvements by either CITY or COUNTY, that both parties hereto shall cooperate with each other in developing and establishing a joint powers authority. H. CITY's performance of certain aspects of Clause IC of this agreement are predicated on actions of the County of Orange. In the event the County of Orange delays the CITY's action by failing to furnish necessary information or review, the CITY's obligation to perform in the time limits set forth in IC above shall be extended a reasonable length of time. I. That the parties hereto shall each pay one -half of escrow fees incurred under the terms of this agreement. Any title insurance required by the County of Orange shall be paid for by the County of Orange. J. That heating and air conditioning facilities shall be independently developed by COUNTY and CITY on the respective property. Each entity shall be responsible for the adequacy of its own heating and air conditioning facilities and bear all cost relative thereto. K. That the obligations of the County of Orange under this contract are subject to complying with Section 25350 of the Government Code of the State of California. It is understood, however, that the Orange County Board of Supervisors will forthwith authorize publication of the Notice of Intention to Purchase the subject property. If, upon the hearing pursuant to said notice of intention to purchase, the Board of Supervisors of the County of Orange shall determine that it is not in the public interest to purchase said property, this agreement shall become null and void and the parties hereto shall be relieved of all obligations hereunder. L. CITY's obligation to construct the joint detention facility and other improvements described in Paragraph I is contingent upon the awarding of a. construction contract for the courts facility by the COUNTY on or before January 1, 1972.
