WHEREAS, City proposes to provide domestic water service to a hillside area known as Harbor View Hills, Sector IV which is partially located in three undeveloped water pressure zones (Master Plan Zones III, IV and V); and WHEREAS, City further proposes to increase the operational flexibility of the present water system with a connection from Water Pressure Zone III to II and a pumping facility from Big Canyon reservoir to Water Pressure Zone III; and WHEREAS, engineering services are necessary to design and prepare plans and specifications for the proposed facilities, and engineering relating to them; and WHEREAS, Engineer has submitted a proposal to design and prepare plans and specifications for the proposed facilities; NOW, THEREFORE, the parties agree as follows 1. General City engages Engineer to furnish the services hereinafter specified for the compensation herein stipulated, and Engineer agrees to perform such services upon said terms. -1- • 2. Duties of Engineer Engineer shall: a. Design and prepare detailed plans and specifi- cations for construction of: (1) Buried, prestressed concrete 1.5 MG Zone IV Storage Reservoir. (2) Zone III Pumping Station with 2 turbine- type pumps driven by electric motors with provision for 2 future pumps. (3) Zone IV Pumping Station with 2 vertical turbine -type pumps driven by electric motors with provision for 2 future pumps. (4) Zone III to Zone II Pressure Reducing Station. (5) Primary 24 -inch suction line for Zone IV Pumping Station. (6) Site preparation for Items (1) through (4). Plans and specifications shall be prepared to permit one construction contract for the reservoir (Item 1) and another for Pumping Station, Pressure Reducing Station, and 24 -inch Suction Line (2), (3), (4) and (5). b. All field survey work required to complete Items (1) through (6). C. Coordination with Southern California Edison Company and Pacific Telephone Company on extension of their facilities. d. Preparation of a manual describing in detail the operation and maintenance of the facilities listed in Items (1) through (4). WX • 0 e. Prepare construction specifications, bid proposals and contract documents for each contract suitable for use by City in calling for competitive bids. f. Prepare a final quantity estimate and related cost estimate for contract described above. 3. Duties of City City agrees to provide Engineer the following: a. Necessary information regarding existing facilities at Big Canyon Reservoir. b. Soils information which is necessary to the design of the pumping stations and the storage reservoir. C. Standard sheets for the preparation of plans. d. Consultation as needed to accomplish the project. 4. Completion of Services Engineer agrees to complete all of the services specified herein within ninety (90) days after execution of this agreement. 5. anent by City City agrees to pay Engineer for under the provisions of basis of 2 -1/2 times the di direct labor rates as shown schedule, but not to exceed thousand dollars ($24,000). Monthly partial payments, each payment to be the amount earned as determined by the fee schedule. The sum of the monthly partial payments shall not exceed ninety percent (90 %) of the above maximum fee. b. The balance of the total amount to be paid upon acceptance of the construction work by the City Council but in any event not later than twelve (12) months after the signing of the plans by the Public Works Director. In addition, City shall reimburse Engineer for the actual cost of reproduction of copies of said plans, specifications and related documents and other related cost authorized by the Public Works Director and advanced by Engineer. 6. Termination This agreement may be terminated at any time by City upon three (3) days written notice to Engineer by placing said notice in the United States mail, postage prepaid, addressed to Engineer's business office. In the event of termination due to the fault of Engineer, City shall be relieved of any obligation to compensate Engineer. If this agreement is terminated for any reason other than the fault of Engineer, City agrees to compensate Engineer for the actual services performed up to the effective date of the notice of termination on the basis of the fee schedule contained in this agreement. • 0 7. Amendment The scope of the services to be furnished by Engineer may be changed and the maximum fee amended upon prior written approval of the Public Works Director. 8. Assignment This agreement or any portion thereof shall not be assigned without the written consent of City. 9. Hold Harmless Engineer shall assume the defense of and indemnify and save harmless the City, and its officers and employees, from all claims, loss, damage, injury and liability directly arising from any errors, omissions, or negligence in Engineer's performance of this agreement or from the engineering work and services herein provided.
