AGREEMENT FOR ENGINEERING SERVICES
(Soil and Geologic Investigation for Proposed
Zone IV Water Storage Reservoir for Harbor View
Hills, Sector IV)
THIS AGREEMENT is made and entered into this '7 }h

NEWPORT
BEACH,
a municipal corporation, hereinafter
referred
to
as "City ",
and the firm of CONVERSE, DAVIS AND ASSOCIATES, CONSULTING
ENGINEERS AND GEOLOGISTS, hereinafter referred to as "Engineer ":
WHEREAS, City proposes to provide domestic water
service to a hillside area known as Harbor View Hills, Sector IV,
which is partially located in three undeveloped water pressure
zones (Master Plan Zone III, IV and V); and
WHEREAS, a Zone IV Water Storage Reservoir is required
for said area; and
WHEREAS, engineering services are necessary to
investigate, analyze and study the soil and geologic conditions
of the proposed site; and
WHEREAS, Engineer has submitted a proposal to perform
the necessary work;
NOW, THEREFORE, the parties agree as follows:
1. General
City engages Engineer to furnish the service
hereinafter specified for the compensation herein
stipulated, and Engineer agrees to perform such
services upon said terms
2. Duties of Engineer
Engineer shall:
(a) Arrange for any survey work needed to locate
the proposed reservoir site in the field.

(b) Perform the necessary field work and laboratory
testing to determine:
1. Engineering properties of the in -place soil and
bedrock materials as they relate to foundation
support for the proposed reservoir tank.
2. Description and nature of the soil and rock types
which are expected to be encountered during
excavation and backfilling around the structure.
3. Geologic relationship of the terrace and bedrock
materials underlying the reservoir site, location
of faults, and an opinion regarding the effects
of seismicity on the proposed construction.
4. Stability of temporary and permanent cut and fill
slopes.
5. Specific recommendations for the design and
construction of foundation, floor slab and wall
elements of the proposed reservoir.
6. Chemical analysis and pH values of representative
on -site soils.
(c) Present findings of work and testing described in
paragraph 2(b), analysis of findings and recommendation
in a written report. Said written report shall include,
at least, the following:
1. A description of the field investigation, boring
logs and subsoil profiles, if appropriate.
2. A description and summary of all laboratory test
results.
3. Recommendations for the design and construction
of foundations for the proposed project.

4. Estimates of immediate and long -term foundation
settlements.
5. General site preparation and grading recommendations.
6. Recommendations for temporary and permanent
excavations and slope stability.
7. Lateral soil resistance and bearing.
8. Recommendations for floor slab support.
(d) Consult with City as needed to accomplish the
project.
3. Duties of Ci
City agrees to provide Engineer consultation as needed
to accomplish the project.
4. Completion of Services
Engineer agrees to complete all of the services
specified herein within forty (40) calendar days
after execution of this agreement.
5. Payment by City
City agrees to pay Engineer for all services called
for under the provisions of this agreement on the basis
of Fee Schedule attached hereto designated Exhibit "A"
and by this reference made a part hereof, but not to
exceed the total sum of four thousand, six hundred and
fifty dollars ($4,650.00).
The amount to be paid Engineer shall be payable as
follows:
(a) Monthly partial payments, each payment to be the
amount earned as determined by the fee schedule. The
sum of the monthly partial payments shall not exceed
ninety percent (90 %) of the above maximum fee. 8414tNC G

6. Termination
This agreement may be terminated at any time by City
upon three (3) days' written notice to Engineer by
placing said notice in the United States mail, postage
prepaid, addressed to Engineer's business office. In
the event of termination due to the fault of Engineer,
City shall be relieved of any obligation to compensate
Engineer. If this agreement is terminated for any
reason other than the fault of Engineer, City agrees
to compensate Engineer for the actual services per-
formed up to the effective date of the notice of
termination on the basis of the fee schedule contained
in this agreement.
7. Amendment
The scope of the services to be furnished by Engineer
may be changed upon prior written approval of the Public
Works Director.
8. Assignment
This agreement or any portion thereof shall not be
assigned without the written consent of City.
9. Hold Harmless
Engineer shall assume the defense of and indemnify and
save harmless City, and its officers and employees,
from all claims, loss damage, injury and liability,
directly arising from any errors, omissions, or
negligence in Engineer's performance of this agreement
or from the engineering work and services herein
provided.

It is the objective of Converse, Davis and Associates to provide its clients with the best available professional and
technical talent, and prompt and efficient service. The compensation of Converse, Davis and Associates will be
based upon the following schedule of rates, expenses and conditions. The objective of the schedule is to pro-
vide compensation which will permit Converse, Davis and Associates to perform assignments with competent per -
sonnet and realize a reasonable profit.

f. Mileage -12 cents per mile may be charged for pickup trucks or automobile

projects
requiring more than one day.
Billing
Invoices will be issued monthly and are payable upon receipt, unless otherwise agreed. A service charge of 1 % percent per
month will be payable on any amounts not paid within 30 days. Any attorney's fee or other costs incurred in collecting any
delinquent amount shall be paid by the client:
Conditions
Our findings, recommendations, specificalions, or professional opinions will be presented after being prepared in accordance with
generally accepted professional engineering practice in the fields of foundation engineering, sail mechanics, and engineering
geology. we make no other warranty, either express or implied.
In the event the client makes a claim against Converse, Davis and Associates for any act arising out of the performance of our
professional services, and the client fails to prove such claim, than the client shall pay all legal and other casts incurred by
Converse, Davis and Associates in defense of such claim.
