NMUWAS, STATE and Cj entered into fully ex-
ecuted Agreement No. 2947, dated October 24, 1972, providing
for distribution of cost for modification of traffic control
signal system and safety lighting at the intersection of
Balboa Boulevard- Superior AU"aus with State Highway Route 1
(west Coast Highway), all of 4*ich is situated within the
City of Newport leach, and
WHEREAS, Agreement No. 2947 provides STATE'S share
of the modification shall not exeeed $28,700 unless otherwise
provided for in a subsequent agreement between CITY and STATlr
and
WHEREAS, subsequent to the execution of Agreement
No. ,2947, certain Contract Change Orders were initiated and
are described as followas
(1) After the award of the contract, CALTRANS re-
quested that the median 1 -A traffic signal standard for the
eastbound Coast Highway double left -turn lane be changed to
a specially designed standard which could display side -by -side
signal heads. Total cost $1,962.
(3) In accordance with Section XIIC of the Special
Provisions, the Balboa Boulevard -Coast Highway traffic signal
must be kept in service at all tines. This change order

provided' for overhead tempol t wiring to accomplish this
operation ate, as specified, was extra work. Total cost
$898.84.
(4) The contract called !js Type •D• pedestrian
signal heads. This type of ped -head was not avilable and a
Type "C" pod -head was substituted for both traffic signal
installation in the contract. Total cost reduction to con-
tract ($1,080.98). Cost reduction for the Balboa Boulevard -
Coast Highway signal ($590.49).
(9) This change order covers modifications to the
Balboa Boulevard -Coast Highway traffic signal. Existing
conduit and nagnitometers which were planned to be reused
were found to be in a deteriorated state and new conduit,
wiring and 6 new magnitometers were required. Also, the
placement of Pole E3 required special setting procedures due
to the close proximity of Edison Co. 4RV• wires. Total cost
$1,574.82.
WHEREAS, the actual amount of STATE'S share based
on construction cost is $30,821.30.
NOW IT IS THEREFORE AGREED that STATE'S share of
the modification be increased to $30,821.30, the actual STATE'S
share.

Payment by STATE Of funds referred to herein is
contingent upon the allocation funds by the California
Highway CoMission.
Alothing in this. Supplemental Agreement shall be
constreed as changing ar4r provisions of Agreement No. 2947
except as herein stated.
IN WITNESS MKEREOF, the parties hereto have caused
this agreement to be executed by their respective officers,
duly authorized, the provisions of which Agreement are effec-
tine as of the day, month and year first hereinabove written.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF NEWPORT BEACH AUTHORIZING THE MAYOR AND
CITY CLERK TO EXECUTE A SUPPLEMENTAL COOPERA-
TIVE FINANCING AGREEMENT BETWEEN THE CITY OF
NEWPORT BEACH AND THE STATE OF CALIFORNIA,
DEPARTMENT OF TRANSPORTATION (CALTRANS) FOR
BALBOA BOULEVARD WIDENING - 44TH STREET TO
COAST HIGHWAY
WHEREAS, there has been presented to the City Council
of the City of Newport Beach a certain supplemental cooperative
financing agreement between the City of Newport Beach and
the State of California, Department of Transportation (CALTRANS)
in connection with the widening of Balboa Boulevard - 44th
Street to Coast Highway; and
WHEREAS, the City Council has reviewed the terms and
conditions of said agreement and finds them to be satisfactory
and that it would be in the best interest of the City to
authorize the Mayor and City Clerk to execute said contract;
NOW, THEREFORE, BE IT RESOLVED by the City Council
of the City of Newport Beach that said agreement above described
is approved, and the Mayor and City Clerk are hereby authorized
and directed to execute the same on behalf of the City of
Newport Beach.

within fhe City of Newport Beach, and desire to specify herein
the terms and Vanditions under which said system is to be
modified, financed and maintained.
NOW, THEREFORE, in consideration of the counts
and corAltions herein contained, the parties hereto agree as:'
follows
SECTION I
CITY AGRBBS:
(1) To modify the traffic control signal system and
safety lighting herein before mentioned, through construction
by contract with construction contractor licensed by the State.
of California, said contract to be carried out in accordance
with laws governing CITY with reference to the character of
the work to be done thereunder, and to be completed in con-
formity with plans and specifications of CITY or STATE, and
to the satisfaction of and subject to the approval of STATE.

(2) To bear CITY'S share of design eagi.nsering
costs, construction engineering costs, and.construction costs
required to complete the modifications referred to herein, such
share to be a sum bearing the same proportion to the total
cost of modification of the traffic control signal system and
safety lighting as the number of, legs of highways under juris-
diction of CITY at the intersection involved bears to the total
number of legs of highways at and% intersection.
(3) To reimburse STATE for CITY'S proportionate
share of the cost of maintenance and operation of said traffic
control signal system and safety lighting, such share to be
determined in the manner provided in that Agreement for main-
tenance of State highways within the CITY which is in effect
at the time said costs are incurred, or if no such agreement
exists, such share to be a sum bearing the same proportion to
the total cost of maintenance and operation of said traffic
control signal system and safety lighting as the number of
loge of highways under jurisdiction of the CITY bears to the
totall number of legs of highways at such intersection.

(4) To apply for neoillilary encroachment permits,
for work within the State Highway rigjjt,:*t1 Tway, in accordance
with STATE'S standard permit pros.

STATE AGREES:
(Y3 To pay to CITY,: promptly upon rendition of a
statement therefor, STATE'S sha".,of the design engineering
costs, construction engineering obsts, and construction cost
required to complete the modification referred to herein,
.such share to be a sum bWAng the same proportion to the
total cost of modification of the traffic control signal
system and safety lighting as the number of legs of highways
under jurisdiction of STATE at the intersection involved
bears to the total number of legs of highways at such inter-
section.
It is estimated that STATE'S share of the modifica-
tion is $28,700. The actual amount of STATE'S share will be
determined after the modification is completed, but in no
event shall STATE'S share exceed $28,700 unless otherwise
provided in a subsequent agreement between CITY and STATE.

(2) to maintain and operate the entira traffic
control signal system and safety lighting as modifLed.
SECTION 111
% is mutually understood and agreed:
(1) That design engineering costs, including all
overhead charges attributed to design engineering, are to be
14.9 percent of construction costs of the modification; and
that construction engineering costs, including all overhead
charges attributed to construction engineering, are to be
11.3 percent of construction costs of the modification.
(2) That obligations of STATE under terms of this
Agreement are subject to the allocation of funds by the
California Highway Commission.
(3) That neither STATE nor any officer or employee
thereof shall be responsible for any damage or liability
occurring by reason of anything done or omitted to be done
by CITY under or in connection with any work, authority or
jurisdiction delegated to CITY under this Agreement. It is
also understood and agreed that, pursuant to Government Code
Section 895.4, CITY shall fully indemnify and hold STATE

(4) That neither CITY nor any officer or employee

by reason of anything done or aeitted to be done by STATE
under or in oonnection with any work, authority or Jurisdic-
tion not delegated to CITY under this Agreement. It is,also
understood and agreed that, pursuant to Goverment Code
Section 895.4, STATE shall trolly indemnify and hold CITY
harmless from any liability imposed for injury (as defined
by Government Code Section 810.8) occurring by reason of
anything Hone or omitted to be done by STATE under or in con -
nection with any work, authority or jurisdiction not delegated
to CITr under this Agreement.
(5) That, should any portion of the project be
financed with Federal Funds or state tide Tax Funds all
applicable procedures and policies relating to the use of

such funds shall apply notwithstanding other provisie" of
this ant.
(6) That if at'40y time it is determia4a that any
portion of tw total eligible project oosts are to be
financed from TOPICS funds, the STATE share will be bam"
on the stun of participating items remaining after the?VOPICS

WHEREAS, there has been presented to the City Council
of the City of Newport Beach a certain cooperative financing
agreement between the City of Newport Beach and the State of
California Division of Highways for traffic signal modifica-
tion at the intersection of Balboa Boulevard and Coast Highway;
and
WHEREAS, the City Council has considered the terms
and conditions of said agreement and found them to be fair
and equitable;
NOW, THEREFORE, BE IT RESOLVED that said cooperative
financing agreement above described is approved, and the Mayor
and City Clerk are hereby authorized and directed to execute
the same on behalf of the City of Newport Beach.
