Jawlimm AGREEMENT FOR ENGINEERING SERVICES (Design of Phase I of the Balboa Boulevard Widening from Coast Highway to 44th Street) THIS AGREEMENT is made and entered into this �, 4JI, day of 1971, by and between the CITY OF NEWPORT BEACH, r a municipal corporation, hereinafter referred to as "City ", and the firm of WILLIAMSON and SCHMID, Civil Engineers, hereinafter referred to as "Engineer "; W I T N E S S E T H: WHEREAS, City proposes to widen Balboa Boulevard between Coast Highway and 44th Street, in the City of Newport Beach, with a traffic signal at the Balboa Boulevard -47th Street intersection; and WHEREAS, engineering services are necessary to design and prepare plans and specifications for the aforementioned improve- ments; and WHEREAS, Engineer has submitted a proposal to perform preliminary investigations, design and prepare plans and specifica- tions for the proposed widening project; NOW, THEREFORE, the parties agree as follows: 1. GENERAL City engages Engineer to furnish the services hereinafter specified for the compensation herein stipulated, and Engineer agrees to perform such services upon said terms. 2. DUTIES OF ENGINEER The Engineer shall: (a) Prepare 20 -scale aerial survey map supplemented with cross - sections and field topography as necessary, and tie -out all existing centerline monuments to clear anticipated construction. -1- (b) Prepare alternate design studies of alignment for Balboa Boulevard from Coast Highway to 44th Street, including contacts with affected property owners and agencies (including the State Division of Highways) to determine the precise alignment for Balboa Boulevard in this vicinity. (c) Prepare hydrology study showing drainage areas, direction of street flow, and location and size of existing facilities; prepare calculations for runoff; recommend needed drainage facilities. (d) Prepare 20 -scale detailed street improvement plans and profiles, including revisions to all existing facilities. (e) Prepare precise alignment for Balboa. Boulevard between Coast Highway and 44th Street showing right of way takes; prepare legal descriptions for all right of way purchases and set property corners 1 -foot off right of way line on all parcels taken. (f) Prepare traffic signal plans for the inter- section of Balboa Boulevard and 47th Street, including modifica- tions to the traffic signal at Balboa Boulevard and Coast Highway to electrically coordinate the two intersections (including all contacts and negotiations with the State Division of Highways). (g) Prepare street lighting details on Balboa Boulevard for relocation and changing to a multiple circuit system to be included within the 20 -scale street improvement plans. (h) Prepare estimate of construction quantities and Engineer's estimate of construction costs. (i) Prepare special provisions and bid proposal. (j) Prepare a design report as required in the Arterial Highway Financing Program Procedure Manual dated September, 1970. -2- consultation. (k) Provide necessary field supervision and (1) Set precise alignment centerline monumentation after construction. (m) Design modifications to the sewer pump station at 47th Street and Balboa Boulevard, if required. This item shall be considered outside the scope of the project herein provided for and a price for the design of this modification shall be negotiated separately with the City Public Works Director at the time the modification is determined to be necessary. 3. DUTIES OF CITY City agrees to provide Engineer the following: (a) Linen sheets for preparation of plans. (b) All existing as -built plans for reference. (c) Compile and provide existing field survey data. (d) Existing hydrology studies. (e) Updated traffic information, including turning movements at Coast Highway and 47th Street. (f) Traffic index and R- values for determining structural sections. (g) Consultation as needed to accomplish this work. 4. COMPLETION OF SERVICES Engineer agrees to complete all of the services specified herein on or before June 30, 1972. 5. PAYMENT BY CITY City agrees to pay Engineer for all services called for under the provisions of this agreement on the basis of the hourly rate schedule set forth below, but not to exceed the total sum of Twenty -three thousand seven hundred and thirty -two dollars ($23,732.00): -3- 0 40 Regular Overtime Principal Engineer $30 $38 Design Engineer $20 $27 Assistant Engineer $17 $23 Design Draftsman $15 $20 Draftsman $13 $18 Secretary $ 6 $ 9 4 -Man Survey Party $60 $80 3 -Man Survey Party $50 $65 2 -Man Survey Party $40 $50 1 -Man Survey Party $20 $25 In the event that the scope of the services is changed, and the time period extended beyond June 30, 1972, as provided for in Paragraph 7, the hourly rates shown above may be subject to an increase each ensuing August 1st, beginning August 1, 1972, until completion of the project. The amount to be paid Engineer shall be payable as follows: (a) Monthly partial payments, each payment to be the amount earned as determined by the fee schedule. The sum of the monthly partial payments shall not exceed ninety -three per cent (93 %) of the above maximum fee. (b) The balance of the total amount to be paid upon completion of the services herein provided for. In addition, City shall reimburse Engineer for the actual cost of reproduction of copies of said plans, specifications and related documents and other related costs authorized by the Public Works Director and advanced by Engineer. 6. TERMINATION This agreement may be terminated at any time by City upon three (3) days' written notice to Engineer by placing said notice in the United States mail, postage prepaid, addressed to Engineer's business office. In the event of termination due to the fault of Engineer, City shall be relieved of any obligation to compensate Engineer. If this agreement is terminated for any reason other than the fault of Engineer, City No agrees to compensate Engineer for the actual services performed up to the effective date of the notice of termination on the basis of the fee schedule contained in this agreement. 7. AMENDMENT The scope of the services to be furnished by Engineer may be changed and the maximum fee and time period for completion revised upon prior written approval of the Public Works Director. 8. ASSIGNMENT This agreement or any portion thereof shall not be assigned without the written consent of City. 9. HOLD HARMLESS Engineer shall assume the defense of and indemnify and save harmless the City, and its officers and employees, from all claims, loss, damage, injury and liability, directly arising from any errors, omissions, or negligence in Engineer=s performance of this agreement, or from the engineering work and services provided herein. IN WITNESS WHEREOF, the parties hereto have executed this Agreement on the date first above written.
