DISCUSSION: During the last Council meeting, Councilman Kymla inquired about the effect the natural gas conversion kits may have on the vehicle warranty. The vehicles on which the conversion kits will be placed all have exceeded the 50,000 miles. They are, therefore, beyond the warranty period. If the City purchases the kits at the end of the one year trial period, they may, however, be placed on'new vehicles. A check with Ford, Chevrolet, General Motors and Chrysler indicates that the natural gas conversion kits will not affect any warranty on the vehicles. RLW:pg p ROBERT'L. DISCUSSION: The Southern California Gas Company approximately one year ago proposed that the City convert six of its vehicles for use of compressed natural gas fuel. Execution of an agreement to do so was delayed pending construction of a natural gas fueling facility within a reasonable distance of the City Yard. A Southern California Gas Company fueling station is now in operation in the City of Costa Mesa approximately three blocks from the City Yard. Dual Fuel Systems, proposes, in accordance with City all equipment necessary compressed natural gas as a version equipment. The dual line. Inc., a subsidiary of Pacific Lighting Corporation, the attached agreement, to provide at no cost to the to effect conversion of six City vehicles to use of source of power. City mechanics will install the con - system permits operation on either natural gas or gaso- The agreement is for a period of one year. Upon termination of the agree- ment the City will have the option of purchasing the conversion equipment or return- ing it to the Company. The purchase price will not exceed $240 per kit. A number of governmental jurisdictions, including the State and Orange County, have equipped vehicles to operate on natural gas. The benefits to be gained are air pollution abatement and a reduction of vehicle operation and main- tenance costs. The City now has six trucks operating on, N quefied petroleum gas (Propane) and will shortly have five diesel - powered trucks. With an additional six vehicles operating on compressed natural gas the City will have the opportunity to evaluate the cost savings and operating efficiency of theee various fuels compared with gasoline. (the Company) and the City of Newport Beach as of the date of its execution. The City of Newport Beach wishes to convert a portion of its fleet vehicles to enable such converted vehicles to operate using compressed natural gas as a source of power. The Company desires to assist the City of Newport Beach in effecting such conversion and in demonstrating the air pollution abatement and operating cost benefits of a natural gas system. It is therefore agreed between the Company and the City of Newport Beach that the Company will furnish to the City of Newport Beach at no cost to the City of Newport Beach all equipment necessary to effect conversion of up to and including six (6) vehicles owned by the City of Newport Beach to enable such converted vehicles to operate using compressed natural gas as a source of power. All costs incurred in connection with the actual installa- tion and removal of such equipment will be borne by the City of Newport Beach. The City of Newport Beach agrees to save the Company harmless from all lia- bility for injury or loss of property or personal injury and death caused by the negligent or wrongful act or omission of any employee of the City of Newport Beach while such employee may be acting within the scope of his office of employment. The Company agrees to save the City of Newport Beach harmless from all lia- bility from injury, loss of property, or personal injury and death caused by the negligent or wrongful act or omission of any employee of the Company or as a result of the use of any equipment supplied by the Company. This agreement to be effective while such employee or piece of equipment is acting within the scope of his office of employment or equipment is being used as set forth in Paragraph 3 of this agreement. The Company agrees to make available technical assistance and expertise to the City of Newport Beach in effecting such conversion without cost to the City of Newport Beach upon the City of Newport Beach's reasonable request therefor. Title to all equipment furnished to the City of Newport Beach by the Company will remain in the Company and the City of Newport Beach will acquire no interest in such equipment other than as provided in this agreement. Notwithstanding the foregoing, the City of Newport Beach shall have the option to purchase such equipment or to return the same to the Company upon termina- tion of this agreement as hereinafter provided, which election shall be made by notice in writing to the Company at any time prior to such termination. In the event the City of Newport Beach elects to exercise its option to pur- chase, the purchase price of such equipment will be negotiated by the parties but in no event will such purchase price per conversion kit less tankage be more than Two Hundred Forty Dollars ($240.00) it being understood that a more 0 9 precise purchase price cannot presently be ascertained. The Company re- presents that it will conduct any such negotiations in good faith and in a reasonable manner. 'Ihe term of this agreement is one (1) year from the date of its execution.
