Newport Blvd. Area Code 714 673 -2110 DATE February 7, 1972 Harbor View Hills - Lawn Authorized by Resolution No. 6421 , adopted on 8-8_66 (Manager authorized to Effective date of Contract February 1. 1972 sign er4oneering omtracts) Contract with V7N OMM po� Address 2301 CMcus Drive Amount of Contract Not to exceed $49800.00 city 6le c A 1 41 • 0 zg'e AGREEMENT FOR ENGINEERING SERVICES �y _ �� 2 - E Senior Citizens Park Harbor View Hills THIS AGREEMENT is made and entered into this 1st day of February 1972, by and between the CITY OF NEWPORT BEACH, a municipal corporation, hereinafter referred to as "City ", and VTN Orange County, hereinafter referred to as "Engineer "; W I T N E S S E T H• WHEREAS, City desires to develop a senior citizens recreation facility in the Harbor View Hills area of the City of Newport Beach; and WHEREAS, engineering services are necessary to prepare a general master plan for said facility; and WHEREAS, Engineer has submitted a proposal to prepare a general master plan; NOW, THEREFORE, the parties hereto agree as follows; A. GENERAL 1. The site for the development of the above senior citizens recreation facility is a 4 ± acre parcel located at San Joaquin Hills Road and Crown Drive in the Harbor View Hills area of the City of Newport Beach; 2. City engages Engineer to furnish the services hereinafter specified for the compensation herein stipulated, and Engineer agrees to perform such services upon said terms. B. DUTIES OF ENGINEER, PAYMENT BY CITY 1. Engineer agrees to perform the following services, and City agrees to pay Engineer for same, on the following fee basis: (a) Plotting from topographic site survey already performed by City, not to exceed: $ 300.00 ...1- I _ L, (b) Preparation and presentation of the colored master site plan indicating items for both present and future construction, to be completed following meetings with the City, The Irvine Company, Edison Company, and representatives of the prospective users of the facility: (c) Preparation of landscaping and irrigation plans for Phase I development: (d), Design and working drawings for lawn bowling greens. (Note: A single design is to suffice for both greens.) (e) Design for parking lot: (f) Site engineering and grading plans. (Note: These plans are to be complete for the entire 4 t acre site, inasmuch as total site consideration for drainage, flood control, etc., must be given toward ultimate construction): TOTAL FEE NOT TO EXCEED: -0- $ 2,100.00 1,500.00 350.00 550.00 $4,800.00 The above services are to include ten (10) sets of working drawings, specifications and bid documents; additional copies will be provided City at Engineer's cost. The total amount to be paid Engineer, not to exceed Four Thousand Eight Hundred and no /100 Dollars ($4,800.00) shall be payable as follows: Sixteen Hundred and no /100 Dollars ($1,600.00) upon completion of thirty percent (30 %) of the agreed services; $1,600.00 upon completion of eighty percent (80 %) of the agreed services; and the balance of the total amount due shall be paid upon completion of all services herein. For purposes of determining when payments shall be due, the parties hereto shall mutually agree on the computation of percentages of completion of said services. C. COMPLETION OF SERVICES Engineer agrees to complete all of the services specified herein within sixty (60) calendar days after execution of this agreement. -2- J D. TERMINATION This agreement mAy be terminated.at any time by City upon three (3) days' written notice to Engineer. Notice shall be deemed served upon deposit in the United States mail, postage prepaid, addressed to,Engineer's business office. In the event of termination due to the fault of Engineer, City shall be relieved of any obligation to compensate Engineer. If this Agreement is terminated for any reason other than the fault of Engineer, City agrees to compensate Engineer for the actual services performed up to the effective date of the notice of termination on the basis of the fee schedule contained in this agreement. E. ASSIGNMENT This agreement or any portion thereof shall not be assigned without the written consent of the City. F. HOLD HARMLESS Engineer shall assume the defense of and indemnify and save harmless the City, and its officers and employees, from all claims, loss, damage, injury and liability, directly or indirectly arising from any errors, omissions, or negligence in Engineer's performance of this Agreement or from the engineering work and services herein provided. IN WITNESS WHEREOF, the parties hereto have executed this agreement on the date first above written.
