TECHNICAL SERVICES AGREEMENT
Project TRIP
Traffic Records Implementation Project
THIS AGREEMENT is made and entered into this 20th day of
October , 1972, effective Octo er 1972,
by and between APPLIED TECHNOLOGY COMPANY, a Division of PRODUCTS OF
INFORMATION TECHNOLOGY, INC., 225 Paularino Avenue, Costa Mesa, California,
92627, a Delaware Corporation doing business as PRODUCTS OF INFORMATION
SYSTEMS, (hereinafter referred to as "Contractor ") and the CITY OF NEWPORT
BEACH, CALIFORNIA (hereinafter referred to as "Buyer ").
PURPOSE
The purpose of this Agreement is to provide for the rendering of certain
services and work by the Contractor as hereinafter provided.
NOW, THEREFORE, Contractor and Buyer hereby agree as follows:
ARTICLE I DESCRIPTION OF WORK
Contractor shall provide technical services and associated support to accom-
plish the tasks described in Exhibit "A" attached hereto, under the terms of
this firm Fixed Price Agreement.
ARTICLE II TERM OF AGREEMENT
The term of this Agreement shall commence on its effective date and shall
terminate either when the total contract costs have been expended or on June
30, 1973, whichever is sooner, unless further amended in writing as a
Change to this Agreement.
ARTICLE III PAYMENT
Payment for work under the terms of this Agreement will be made monthly
upon presentation of invoices in triplicate indicating amounts claimed
for services authorized herein.
ARTICLE IV LIMITATION OF OBLIGATIONS
Notwithstanding any other provision contained herein, the total obligations
of the Buyer to purchase services and the Contractor to furnish services
hereunder shall not exceed the total amount of $4,500.
ARTICLE V FULFILLMENT OF OBLIGATION
Fulfillment of the Contractor's obligations hereunder shall occur upon
satisfactory completion of the Tasks outlined in Exhibit "A ".

ARTICLE VI PROJECT INSPECTION
Should it be so desired, the Contractor will cooperate fully with the Buyer,
the State, and the National Highway Safety Bureau in reviewing and inspecting
the Contractor's technical accomplishments as the work progresses. Should a
formal presentation be desired, adequate notice should be given the Contractor
to allow for.preparation time.
ARTICLE VII OWNERSHIP OF DATA
The ownership of all data and material collected under the contract resides
with the Buyer and the Office of Traffic Safety.
ARTICLE VIII TERMINATION
The Buyer may, at its discretion and at any time, terminate this Agreement.
The Contractor shall be duly notified in writing of the decision to terminate,
and will be allowed thirty (30) working days to terminate project operations.
` No termination shall affect obligations or cost incurred prior to receipt of
notice of termination provided such obligations or cost were incurred in good
faith.
ARTICLE IX NON - SOLICITATION
The Contractor warrants that he has not employed or retained any company or
persons, other than a bona fide employee working solely for the Contractor,
to solicit or secure this contract, and that he has not paid or agreed to
pay any company or person, other than a bona fide employee working solely
for the Contractor, any fee, commission, percentage, brokerage fee, gifts,
or any other consideration, contingent upon or resulting from the award or
making of this contract. For breach or violation of this warranty, the
State shall have the right to annul this contract without liability, or,
in its discretion to deduct from the contract price or consideration, or
otherwise recover, the full amount of such fee, commie,.ion, percentage,
brokerage fee, gift, or contingent fee.
ARTICLE X EQUAL OPPORTUNITY ASSURANCE
During the performance of this contract, the Contractor agrees as follows:
a. The Contractor will not discriminate against any employee or applicant
for employment because of race, sex, creed, color, or national origin. The
Contractor will take affirmative action to ensure that applicants are employed,
and that employees are treated during employment without regard to their
race, sex, creed, color, or national origin. Such action shall include, but
not be limited to the following: employment, upgrading, demotion or transfer;
recruitment or recruitment advertising; layoffs or termination; rates of
pay or other forms of compensation; and selection for training, including
apprenticeship. The Contractor agrees to post in conspicuous places, available
to employees and applicants for employment, notices setting forth the pro-
visions of this nondiscrimination clause.

b. The Contractor will, in all solicitations or advertisements for employees
placed by or on behalf of the Contractor, state that all qualified applicants
will receive consideration for employment without regard to race, creed,
color, or national origin.
c. The Contractor will send to each labor union or representative of
workers with which he has a collective bargaining agreement or contract
or understanding, a notice advising the labor union or workers' repre-
sentative of the Contractor's commitments under this nondiscrimination
clause and shall post copies of the notice in conspicuous places avail-
able to employees and applicants for employment.
d. The Contractor will permit access to his books, records, and accounts by
the applicant agency, the State, and the Federal Highway Administration for
purposes of investigation to ascertain compliance with this nondiscrimination
clause.
e. In the event of the Contractor's noncompliance with the nondiscrimination
clauses of this contract, this contract may be canceled, terminated, or
suspended in whole or in part.
ARTICLE XI SUPERSEDURE
This document contains the entire Agreement between the parties. The
Agreement may not be changed except by a written instrument signed by both
parties.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement effec-
tive as of the day and year herein stated.

DESCRIPTION OF WORK
The City of Newport Beach is contracting with Applied Technology to
provide systems consulting services to assist in effecting a transfer of
the TRACES Traffic Records System to Newport Beach. The services contracted
for include providing copies of deliverable TRACES documents, orientation
and training in TRACES systems and procedures, and implementation support.
These activities are further specified in the task statements listed below.
Task 1 - Orientation and Trainine in Svstem Procedures
A. Conduct a general system orientation of the Traffic Records System
for the following personnel:
(1) Data Processing Personnel (2 persons)
(2) Project TRIP Task Force Personnel (5 persons)
(3) Management Personnel (3 -4 persons)
(4) Traffic Personnel (2 -3 persons)
(5) Training Division Personnel (1 -5 persons)
(6) Traffic Records Clerk (1 person)
(7) Keypunch Operators (1 -2 persons)
This will be one or two training sessions for a total of fifteen to
twenty -two personnel at most.
B. Conduct in -depth training sessions in detailed system methods,
procedures, and techniques for the following personnel.
(1) Systems Analyst /Programmer (1 -2 persons)
(2) Traffic Records Clerk (1 -2 persons)
C. Train the Traffic Records Clerk in the methods and techniques
associated with data extraction from Traffic Collision Reports and Citations,
and in the preparation of Fact Sheets for data storage.
D. Train the Systems Analyst /Programmer in the system data processing
philosophy and methods of operation.
E. Orient the Keypunch Operators in the use of Fact Sheets and in
keypunching from them. It is understood that these personnel are already
competent in the operation of a keypunch machine.
F. Conduct a training session for management and user personnel in
the use of the system output reports.

Task 2. Deliverable Documentation
A. Project documentation requirements consist of providing one copy
of each of the deliverable documents of the TRACES Traffic Records System.
This consists of an eight volume set of reports.
B. Prepare a work plan for implementation of the system.
Task 3. Conversion Support
A. Assist the Systems Analyst /Programmer in minor conversion of
system features. These conversion changes will be limited to the following:
(1) Expansion of the intersection code to four digits
(2) Deletion of the Patrol Area
(3) Increasing the Direction field to two digits
(4) Changing of output report headings
Task 4. Implementation Support
A. Assist the Systems Analyst /Programmer in processing of output
reports and in de- bugging report programs.
B. Assist the Traffic Records Clerk in data extraction and the coding
of Fact Sheets.
It is understood that the Buyer will prepare the quarterly project pro-
gress reports and final system documentation for Project TRIP.
