Both the seller and buyer will pay upon demand, regardless of the consummation of this escrow, all charges incurred by you for them, including your escrow fees. Unless otherwise provided therein, SELLER will pay title charge, fee for preparation of instruments executed by him, recording fees on any documents necessary on his part to complete this escrow, and seller's escrow fee. When taxes are to be adjusted as called for above, the adjustment is to be made based on the latest tax figures avail- able to you. Taxes shall include personal property taxes of the former owner, if any, and also include any special district levies, payment of which are included therein and collected therewith, and any taxes and assessments levied or assessed subsequent to date of these instructions. 5. Execute on behalf of the parties hereto, assignments of interest in any fire insurance policies handed you and for- ward them upon close of escrow to the proper parties or agent. In all acts in this escrow relating to fire insurance, including adjustments, if any, you shall be fully protected in assuming that each such policy is in force and that the necessary premium therefor has been paid. 6. In the event that the principal amount of encumbrances of record is different than shown in consideration memo found above, the sale price is to remain the same and you are to adjust the cash through escrow accordingly unless you are instructed to the contrary herein. You are to charge buyer and credit seller the amount shown on benefici- ary's statement as an impound account for future payments. 7. The parties to this escrow have entered into these instructions for the purpose of completing the sale and purchase of the herein described real property on the terms and conditions set forth in these instructions. The instructions are not intended to cancel or supersede any agreements between the parties entered into outside of these instructions. 8. In the event of a failure of a performance or condition to be complied with in a stated period of time, or on or before a stated date, or in the event these instructions are not complied with on or before the date shown on page 1, either party may give you a written demand to cancel, otherwise complete this escrow as soon as possible. In the event such demand is signed by less than all of the parties hereto, you are to withhold all documents and proceeds until ten days after you have mailed a copy of said demand to the non - signing parties and their agent, if any, at the respective addresses shown herein. 9. In the event conflicting demands are made or notices served upon you with respect to this escrow, the parties hereto expressly agree that you shall have the absolute right at your election to do either or both of the following: (a) Withhold and stop all further proceedings in, and performance of, this escrow, or (b) File a suit in interpleader and obtain an order from the court requiring the parties to interplead and litigate in such court their several claims and rights amongst themselves. In the event such interpleader is brought, you shall ipso facto be fully released and discharged from all obligations to further perform any and all duties or obligations imposed upon you in this escrow, and the parties jointly and severally agree to pay you all costs, expenses, and reasonable attorney's fees expended or incurred by you, the amount to be fixed and a judgment thereon to be rendered by the court in such a suit. 10. In the event it may be necessary or proper in order to comply with the conditions and instructions of this escrow, you are authorized to (a) Cause to be deposited, during the pendency of this escrow, any funds or documents with any bank, savings and loan association, or title company, to be credited to the account of SANTIAGO ESCROW COMPANY, as required to complete this escrow, and (b) Furnish to any broker hereunder or any lender, or anyone acting on behalf of the lender, any information concerning this escrow, including among other things certified copies of all escrow instructions and any amendments thereto and copies of final closing statements upon request. 11. MISCELLANEOUS INSTRUCTIONS (a) Make all disbursements by your check. (b) These instructions may be executed in counterparts, each of which so executed shall, irrespective of the date of its execution and delivery, be deemed an original and such counterparts together shall constitute one and the same instrument. (c) Any amended, supplemental or additional instructions given in connection with this escrow shall be subject to the conditions contained herein. Closing of this escrow is contingent upon concurrent closing of Santiago Escrow Company Escrow No. 1174 between the City of Newport Beach and The Irvine Company covering subject property. 2. BUYER and SELLER agree and understand that the consideration of $456,249.00 as shown in this escrow represents a return of the purchase price of $439,749.00 plus $16,500.00 interest on that sum for the period said monies were held by the City of Newport Beach. 6. KENT is made and entered into this � day of lJL , 19729 by and between the COUNTY OF O'ANGE, political subdivision of the State of California, hereinafter referred to as "COUNTY" and the CITY OF NEWPORT BEACH, hereinafter referred to as "CITY ". RECITALS 1. CITY and COUNTY entered into an Agreement dated December 23, 1970, which provided for the conveyance of certain real property in CITY'S proposed Civic Center to the COUNTY. Said parcel is designate` as PM 1223 -2 and is described in Exhibit A attached hereto. 2. As a part of the consideration for said parcel, the Agreement obligated the CITY to provide certain additional facilities such as prisoner detention facilities, off -site improvements, rough grading, utilities, and additional parking on CITY'S property for 120 cars. 3. Since the date of this Agreement, it has become the mutual desire of both CITY and COUNTY to rescind the Agreement of December 23, 1970, ana return to the status quo that existed prior to said Agreement. 4. It has been mutually determined by CITY and COUNTY that the return of the land to CITY and the return of the cash consideration to COUNTY, plus interest for the period the money was held by CITY would re- establish said status quo. 5. In the event the COUNTY wishes to establish a court site for the Harbor Judicial District at another location within the City of Newport Beach, the CITY will extend its fullest cooperation to the COUNTY. This cooperation includes but is not limited to the acceptance of the dedication of improved public streets. NOW, THEREFORE, in consideration of the premises set forth, it 1s agreed by and between the parties hereto as follows: P The CITY shall: A. Immediately open an escrow with Sant`.ago Escrow Company, 544 N port Center Drive, Suite 455, Newport Beach, California, and forthwith deposit into said escrow $456,249 with instructions that said money be paid to COUNTY when title to PM 1223-2 vests in CITY in the manner set forth in Clause II below. Any title insurance required by CITY shall also be paid for by CITY. II COUNTY shall: A. Upon notice by the Title Insurance and Trust Company the funds set forth in Clause I above have been deposited in escrow by CITY, deliver to said escrow a Grant Deed conveying fee title to the parcel designated as PM 1223 -2; a copy of the Grant Deed the COUNTY is to execute and deposit into escrow is attached hereto and designated as Exhibit A. B. Forthwith do all things necessary to vest title in the manner set forth in the Policy of Title Insurance No. 497044 dated April 8, 1971, issued by Title Insurance and Trust Company. A copy of said title insurance policy is attached hereto and designated as Exhibit B. III IT IS MUTUALLY AGREED that: A. Both CITY and COUNTY will cooperate and do whatever is necessary to close said escrow; time is of the essence. B. Upon the close of the escrow opened under the terms of this Agreement, the December 23, 1970, Agreement between CITY and COUNTY shall be deemed totally rescinded and all obligations of either COUNTY or CITY by reason of said Agreement shall be can- celled. C. COUNTY is attempting to acquire title to parcel GA 1223 -3.02 as is shown on Exhibit C attached hereto and made a part hereof. In the event the COUNTY does successfully acquire title to this parcel for the purpose of developing it as a court site for the Harbor Judicial District, CITY agrees to accept the dedication for CITY street purposes, all those portions of rights of way designated on the attached Exhibit C as parcel numbers 3.11, 3.21, 3.31 and 3.41 at such time as those said parcels have been improved to CITY standards and adequate title is capable of vesting in CITY. D. The obligations of the County of Orange under this contract are subject to complying with Section 25365 of the Government Code of the State of California. It is understood, however, that the Orange County Board of Supervisors will forthwith authorize publication of the Notice of Intention to Purchase the subject property. Laura Lagios City Clerk dg Encl. d7- i1 z CITY OF NEWPORT BEACH Office of City Attorney 13(;;� To: The Honorable Mayor and April 10, 1972 Members of the City Council From: City Attorney Subject: Reconveyance of the County Courthouse site to the City on September 15, 1969, the City and The Irvine Company entered into an agreement for the City to purchase the Civic Center site at Newport Center from The Irvine Company. In that agreement, certain conditions were attached to the property, giving The Irvine Company control over the review, approval or disapproval of the buildings to be located on the property, and reserving all mineral rights. The City and the County of Orange, on December 23, 1970, then entered into an agreement providing for the conveyance of a portion of the Civic Center site to the County for the construction of the courthouse facilities. As a condition of the escrow for the sale of the property to the County, The Irvine Company was required to quitclaim all of its interests in that portion of the property being conveyed. The funds paid by the County for the site were handed over to The Irvine Company to offset by that amount the amount originally owed by the City for the entire parcel. The City and the County subsequently entered into an agreement on March 7, 1972, for the rescission of the courthouse site agreement and for the City to repurchase, at the original purchase price, the property previously conveyed to the County. On or before June 1, 1972 the Company will deposit in escrow the sum of $456,249 which you are authorized by the City to transfer to escrow #x1173 between the County of Orange and the City, which funds are to be used to pay the purchase price for the property being pur- chased from the County of Orange by the City. 2. The City's indebtedness to the Company for $439,749 of such amount shall be evidenced by a promissory note now held by the Company as modified by a Modification Agreement in the form of Exhibit C to the Exhibit I Agreement. The execution and delivery of such modification Agreement is a condition to the closing of this escrow. 3. In order to complete the transactions contemplated by the Exhibit I Agreement the City will deliver to you a Deed in the form of Exhibit A attached to the Exhibit I Agreement conveving title to the property to the Company and the Company will deliver to you a Deed conveying the property back to the City as contemplated in the Exhibit I Agreement. The recordation of these Deeds in the order set forth above is a con- dition to the closing of the escrow. In addition, the City shall execute and deliver a recordable form of Acceptance of Grant Deed for recording through this escrow. 4. As contemplated by the Exhibit I Agreement, the property will become subject to an existing Lease between the City, as Lessor, and the Company, as Lessee, which Lease covers property adjoining the subject property. This will be accomplished by the Lease Modification and Ratification Agreement attached as Exhibit D to the Exhibit I Agreement. The execu- tion and delivery of this Lease Modification and Ratification Agreement is a condition to the close of escrow. 5. The closing of the escrow is further conditioned upon obtaining a CLTA owners policy of title insurance issued by Title Insurance and Trust Company with policy liability limited to $456,249 insuring the City, as the owner in fee of the property and the Company as an additional insured, as its interest may appear, subject only to those matters approved in writing by the City and the Company. You are instructed to obtain a preliminary title report for the subject property and submit it to the City and the Company for approval. 6. The City and The Irvine Company entered into an agreement for purchase and sale on September 15, 1969 (the "former agreement ") providing for the purchase by the City of certain therein described real property subject to the terms and conditions of such agreement and the documents attached thereto. On December 23, 1970 the City and the County of Orange, a political subdivision of the State of California (the "County ") entered into an agreement providing for the conveyance of a portion of the property covered by the former agreement to the County. c. On April 19, 1971 transactions contemplated by the agreement between the City and the County referred to in B above were consummated and the Company quitclaimed certain continuing interest it had in the property under the former agreement and the documents attached thereto. As a result of the consummation of such agreement, the Company received the sum of Four Hundred Thirty Nine Thousand Seven Hundred Forty Nine Dollars ($439,749) as a principal payment on the note made by the City in favor of the Company, evidencing the City's obligation to pay the purchase price for the property. Concurrently the lease between the Company, U as lessee, and the City, as lessor, was orally amended to reduce the rental payments due to the City from the Company by an amount equal to the interest payments to the.reduction in the interest payments due the Company from the City pur- suant to said note. D. On March 7, 1972 the City and the County entered into an agreement for rescission providing for the repurchase by the City of the property previously conveyed to the County for a purchase price of Four Hundred Fifty Six Thousand Two Hundred Forty Nine Dollars ($456,249). E. The Company is willing to provide the funds to the City with which to carry out the rescission agreement provided that the property, when reacquired by the City, become subject to all the terms, covenants, conditions of the former agreement and to all rights which were in favor of the Company and quitclaimed at the time of the purchase by the County. NOW, THEREFORE, the parties agree as follows: 1. Subject to the fulfillment by the City of its obligations and agreements herein contained, the Company will deliver to the City or, as directed by the City, the sum of Four Hundred Fifty Six Thousand Two Hundred Forty Nine Dollars ($456,249), which amount will be used by the City to consummate the rescission agreement. 2. Grantee shall notify Grantor in writing of its intent to make bona fide sale or lease, precisely describing the parcel to be sold or leased, and Grantor shall have thirty (30) days in which to notify Grantee if it wishes to exercise its option. The Architectural Committee shag have authority to approve architectural sketches within the meaning of Section 20.08.210, but all approvals shall be based on standards of good architectural design; such standards, which shall be entitled "Drawings and Illustrated Architectural Standards for Certain Areas Designated in Title 20 of the Municipal Code of the City of Newport Beach," shall be approved by the Planning Commission and the City Council, and shall be on file in the City Building Inspector's Office. The drawings shall show desirable architectural standards, but are not designs which must be copied in order to secure approval of plans. The variances between that draft and this document are in respect to money and the exhibit that shows the street patterns. The monetary amount corresponds to the City's offer set forth in the City Council's Resolution 7591 dated December 27, 1971. In that document the City offered to return the $439,749 consideration together with interest thereon in the amount of $16,500 for a total consideration of $456,249. This Agreement provides for recision of the December 23, 1970 Contract between the City and County for the acquisition of a site from the City for the Harbor Judicial District Court. This Agreement essentially corresponds to the draft that was sent to you by my letter of February 1, 1972. The variances between that draft and this document are in respect to money and the exhibit that shows the street patterns. The monetary amount corresponds to the City's offer set forth in the City Council's Resolution 7591 dated December 27, 1971. In that document the City offered to return the $439,749 consideration together with interest thereon in the amount of $16,500 for a total consideration of $456,249. Exhibit C has been redrafted by Collins Radio Companyts Engineer, VTN, and now complies with the requirements of Collins: Traffic Engineer, Alan M. Vorhees and Associates. Benjamin Nolan, the City Engineer, has reviewed this plat and it meets with his approval. I have included in this document signature blocks for the approval by the City Attorney, City Engineer, and the City Manager. The purchase price was the sum of $439,749. Said amount received by the City was paid over to the Irvine Company to re- duce the promissory note and release the property from the en- cumbering deed of trust held by the Irvine Company pursuant to the land purchase agreement between the City and the Irvine Com- pany for the proposed Newport Beach Civic Center site property. On December 7, 1971, the Orange County Board of Supervisors voted to relocate the Court facilities from the Newport Center site to the Collins property in Newport Beach, thereby eliminating the need for the property in Newport Center. In light of the Board's action to relocate the Court's facilities, it was felt that it would be in the best interest of both the City and the County if Newport Beach were to take the property back. We have received a letter from the Irvine Company, signed by Mr. William R. Mason, wherein the Irvine Company has agreed to provide the necessary funds to repay the County for the reconvey- ance of the land. The purchase price of $439,749 plus interest thereon in the amount of $16,500, would be paid to the County. The $439,749 would be reapplied to increase the note held by the Irvine Company under the sale - purchase agreement between the City E Re: Rescission Agreement -2- December 27, 1971 and the Irvine Company for the Civic Center site. The additional $16,500 interest would be absorbed directly by the Irvine Company and this amount would not be added to the note. Adoption of the resolution on this evening's agenda would be in effect an offer to rescind the agreement between the City and the County for the conveyance of the 5.26 acres of the Newport Center property and a tender of the purchase price of $439,749 to the County, plus interest thereon in the amount of $16,500. The offer of rescission would be conditioned on the Board of Supervisors' taking a similar action to mutually rescind the agreement. If the mutual rescission is accomplished, the parties would be placed back in the same position as they were before the sale of the property, the only difference being that the County would have an additional $16,500 as interest on the purchase price money ac- cruing from the date of the sale to the present.
