SUBJECT: TRAFFIC SIGNAL MODIFICATION AT THE INTERSECTION OF SAN JOAQUIN HILLS
ROAD WITH MAC ARTHUR BOULEVARD
RECOMMENDATION:
Adopt a resolution authorizing the Mayor and City Clerk to execute a
cooperative financing agreement with the State Division of Highways
for the subject project.
DISCUSSION:
On May 22, 1972, the Council authorized the staff to negotiate cooperative
financing agreements with the State Division of Highways for updating of the traffic
signals on State highways at five locations within the city. The subject location
was included in this group.
The proposed project will provide for a double left turn lane on southbound
MacArthur Boulevard and modernization of the traffic signal detection system, The
State Division of Highways will prepare the plans and specifications and administer
the contract.
The estimated construction cost of the project is $21,000. The estimated
cost of the city's share is $10,000. The actual amount of the city's share of the
construction cost will be determined after completion of the work and will be in the
relationship of the number of legs of the intersection under city jurisdiction to the
total number of legs in the intersection.
Sufficient funds for the city's share of the construction cost are included
in the 1972 -73 capital improvement budget (Gas Tax Fund).

Attached are four copies of the subject agreement and a copy of
the Mate's transmittal letter. Please review the agreement and if
acceptable, approve and forward with the State's transmittal letter to
tie City Clerk. If not, return them for revision.
In addition, please prepare the necessary Council resolution authorizing
the ;ayor and City Clerk to execute the agreement.
This agreement is scheduled to be submitted for Council consideration
at their July 10, 1972 meeting. A. Council memo will be prepared by
the Public Works Department explaining the proposed modifications.

signal system and channelization at the intersection of San
Joaquin Hills Road with MacArthur Boulevard.
Attached are the original and six copies of a City -State
Participation Agreement No. 2916 covering costs. Please sign
the original and first two copies of this agreement. When
the agreement is executed on behalf of the City, please
return the original and two copies of the agreement and three
certified copies of the resolution by the City Council
authorizing approval of the agreement.
A draft of this agreement was reviewed by your office.
After execution by the State, one copy of the fully executed
agreement will be returned for your files.

California, hereinafter
referred to as "CITY"
STATE OF CALIFORNIA,
acting by and through its
Business and Transportation
Agency, Department of Public
Works, Division of Highways,
hereinafter referred to as
"STATE"
WHEREAS, STATE and CITY contemplate modification
of traffic *oatrol signal system and channelization at the.
intersection Ot -San Joaquin Hills Road with State Highway
Route 73 (MacArthur Boulevard), all of which is situated
within the City of Newport Beach, and desire to specify
herein tits -terms and conditions under which said work is
to be accomplished, financed and maintained.
NOW, THEREFORE, in consideration of the covenants
and conditions herein contained, the parties hereto agree
as follows:
SECTION I
STATE AGREES;
(1) To modify the traffic control signal system
and channelization hereinbefore mentioned, through construction
by contract with construction contractor licensed by the
State of California, said contract to be carried out in
accordance with provisions of the State Contract Act, Chapter 3,
Part 5, Division 3, Title 2 of the Government Code, and
work completed in conformity with plans and specifications
of STATE.

(2) To bear the entire expense of preparation
of plans and specifications, and STATE'S share of construction
engineering costs (including all direct and indirect costs
((functional and administrative overhead assessment)) attrib-
gtable to such work, applie&JA accordance with STATE'S
standard accounting procedures) and construction costa
required to complete the modifications referred to herein
such share to be a sum bearing the same proportion to the
total cost of modification of the traffic control signal
system as the number of legs of highways under jurisdiction
Of STATE at the intersection involved bears to the total
number of legs of highways at such intersection and all costs
of channelization modification.
(3) To maintain and operate the entire traffic
control signal system as modified.
SECTION II
CITY AGREES:
(1) To deposit with STATE within 30 days of
receipt of billing therefor (which billing will be forwarded
immediately following STATE'S bid advertising date of a

construction contract for the aforesaid installation), the
amount of $10,000, which figure represents CITY'S estimated
share of construction engineering costs and construction costs
required to complete the modifications referred to herein.
The actual amount of CITY'S share of construction
engineering costs (including all direct and indirect costs)
shall be 18.74 of CITY'S share of construction costs.
The actual amount of CITY'S share of construction costs will
be determined after completion of work and a financial settle -
ment made upon final accounting of costs; said share will be
a sum bearing the same proportion to the total cost of
modification of the traffic control signal system as the number
of legs of highways .under jurisdiction of CITY at the inter-
section involved bears to the total number of legs of highways
at such intersection.
(2) To reimburse STATE for CITY'S proportionate
share of the cost of maintenance and operation of said
traffic control signal system and safety lighting, such
share to be determined in the manner provided in that

Agreement for Maintenance of'State Highways within the CITY
which is in effect at the time said costs are incurred, or
if no such agreement exists, such share to be a sum bearing
the same proportion to tbt total cost of maintenance and
operation of said traffic e"trol signal system and safety
lighting as the number of legs of highways under jurisdiction
of the CITY bears to the total number of legs of highways at
such intersection.

It is mutually understood and agreed:
(1) That obligations of STATE under terms of this
Agreement are subject to the allocation of funds by the
California Highway Commission.
(2) That neither STATE nor any officer of employee
thereof shall be responsible for any damage or liability
occurring by reason of anything done or omitted to be done
by CITY under or in connection with any work, authority or
jurisdiction delegated to CITY under this Agreement. It is
also understood and agreed that, pursuant to Government Code
Section 895.4, CITY shall fully indemnify and hold STATE

harmless from any liability imposed for injury (as defined
by Government Code Section 810.8) occurring by reason of
anything done or omitted to be done by CITY under or in
connection with any work, authority or jurisdiction delegated
to CITY under this Agreement.
(3) That neither CITY nor any officer or employee
thereof, is responsible for any damage or liability occurring
by reason of anything done or omitted to be done by STATE under
or in connection with any work, authority or jurisdiction not
delegated to CITY under this Agreement. It is also understood
and agreed that, pursuant to Government Code Section 895.4,
STATE shall fully indemnify and hold CITY harmless from any
liability imposed for injury (as defined by Government Code
Section 810.8) occurring by reason of anything done or omitted
to be done by STATE under or in connection with any work,
authority or jurisdiction not delegated to CITY under this
Agreement.
(4) That, should any portion of the project be
financed with Federal Funds or State Gas Tax Funds all applicable
procedures and policies relating to the use of such funds shall
apply notwithstanding other provisions of this Agreement.

(5) That if at any time it is deter®ined that any
portion of the total eligible project costs are to be
f#Aanced from TOPICS funds, the "STATE share will be based
on the am of participating items remaining after the TOPICS
funds have been deducted.
IN WITNESS WHEREOF, the parties hereto have caused
this agreement to be executed by their respective officers,
duly authorized, the provisions of which Agreement are
effective an of the day, month and year first hereinabove
written.

WHEREAS, there has been presented to the City Council
of the City of Newport Beach a certain contract between the City
of Newport Beach and the State of California for the modification
of the traffic control signal at the intersection of San Joaquin
Hills Road with MacArthur Boulevard; and
WHEREAS, the City Council has considered the terms and
conditions of said agreement and found them to be fair and
equitable;
NOW, THEREFORE, BE IT RESOLVED by the City Council of
the City of Newport Beach that said agreement for the work above
described is approved, and the Mayor and City Clerk are hereby
authorized and directed to execute the same on behalf of the City
of Newport Beach.
